5 1.0 Project Information 1.1 INTRODUCTION On April 1, 2015 Stanford University (Stanford) is converting from gas fired cogeneration to grid power plus a new electrically powered heat recovery plant for meeting the university s energy needs. Since 2011, Stanford has received electricity from California s Direct Access electricity market and will increase its sourcing of grid power from a current 5 percent to 100 percent on April 1, 2015 when the cogeneration unit is decommissioned. The university is interested in procuring a significant amount of its electricity needs from off campus renewable energy sources. In conjunction with this planning effort, Stanford is evaluating options for Electric Service Provider (ESP) services for scheduling and supplying power to Stanford. Stanford is issuing this Request for Proposal (RFP) to interested companies with the intent of selecting partners who can provide anywhere from 33 to 100 percent of Stanford s net energy consumption (95 to 285 million kwh per year) through off campus generation of renewable energy. In addition, Stanford is interested in partners who can provide additional renewable energy as Stanford s load increases over time. The partner(s) are required to develop, design, build, finance, own, operate, and potentially transfer the projects to Stanford. The partner would need to supply the power to Stanford s chosen ESP (yet to be selected); however respondents to this RFP may also propose to be Stanford s ESP. The key features of this proposal are: Project Sites Project locations are not restricted, except that the power must meet California RPS Portfolio Content Category 1 requirements. Full Capacity Deliverability Status The project should have Full Capacity Deliverability Status by its commercial operation date, and should maintain such status throughout the agreement term. Technology Options and Eligibility Respondents may propose any California RPS eligible technology, new or existing projects, with a minimum 20 MW AC capacity. Stanford may select multiple projects in order to achieve their desired renewable energy goals. Coordination with ESP It is expected that the winning respondent(s) to this RFP will coordinate with Stanford s ESP to facilitate the scheduling of energy and the transfer of Renewable Energy Credits (RECs) and Resource Adequacy (RA) derived from the asset to Stanford during the term of the contract. Schedule All projects must have achieved commercial operation before the end of However, Stanford can accept delivery as early as April 1, In order to meet this schedule and demonstrate project viability, projects should provide evidence of site control and progress on interconnection work. Project Agreements and Ownership All proposals at a minimum should offer a 25 year nonescalating PPA. Other financial structures are also of interest. Stanford is interested in proposals reflecting the following if they present a reduction in the university s long term electricity costs: Prepayment by Stanford of up to 25 percent of the project s revenue Cost to transfer ownership to the university prior to the end of the plant s amortization period Cost to transfer ownership at the end of the plant s amortization period (25 years) Project Information 1 1

6 PPA terms longer than 25 years, or optional PPA term extensions beyond the initial 25 year term, if the project is expected to continue generating electricity beyond that time For projects on leased land with a buy out by Stanford at the end of term, lease extensions (if possible) to enable the university to continue project operation beyond the end of the PPA term More information on the general goals of the RFP and the project are listed in this section. Subsequent sections cover the following areas: Section 2: RFP Procedure and Technical Data Section 3: Bid Submission Instructions Section 4: Evaluation Procedure In addition, the Appendices contain additional technical information that may be helpful in bid development. 1.2 BACKGROUND Stanford University is served by a district energy system that provides heating (steam) and cooling (chilled water) services to both its academic campus and hospital facilities, along with a 60kV substation and 4kV/12 kv high voltage distribution system serving power to the main campus only (hospital power is provided by the City of Palo Alto). Stanford currently has 480 kw of on site PV power generation in several installations across the campus and is considering installation of another 5 MW. The university has developed a long term energy and climate plan that balances energy efficiency investment in new buildings, existing buildings, and a new energy supply system known as the Stanford Energy System Innovations (SESI) program. As a successor to the existing Cardinal Cogeneration plant, SESI provides for the installation of an electrically powered heating and cooling plant featuring heat recovery from the campus cooling system with both hot and cold water thermal energy storage. Under SESI, the university will cease on site power cogeneration on April 1, 2015 and move to grid purchases under Direct Access to power the heating and cooling plant and meet campus electrical loads. Enhancements to the SESI program now under consideration include the installation of additional on site solar PV; installation of a Ground Source Heat Exchange (GSHE) system to augment the core SESI heat recovery process; and installation of a high voltage transmission line connecting the City of Palo Alto, Stanford, and SLAC 1. At the time of conversion to the new electrically powered heat recovery central energy facility in 2015, total campus electrical demand is expected to grow to just under 285 million KWh per year. Peak demand is not expected to change due to an economic dispatching and electrical demand management process incorporated into the new energy facility. This system will be used to optimize the total campus electrical profile with respect to both time of use grid electricity prices and peak demand charges. For this solicitation, it is anticipated that one or more power purchase agreements may be signed. The minimum contractual terms and conditions Stanford will consider are those contained in the PG&E RAM. 7 and conditions. Respondents are encouraged to detail any deviations from the RAM that would provide greater benefit to Stanford. 1.3 GOALS The main goals for this solicitation include the following: Energy and Full Capacity Deliverability Status Stanford is considering a renewable energy purchase ranging in size from 33 to 100 percent of its annual electricity consumption. A representative campus load profile is provided at Attachment A. Respondents may bundle multiple projects together to assist Stanford in achieving the desired energy volumes. All projects submitted in response to this RFP must either already have obtained Full Capacity Deliverability Status or, with reasonable certainty, anticipate achieving Full Capacity Deliverability Status prior to achieving commercial operation by the end of Each project bid into this RFP must have a minimum size of 20 MW AC Cost Stanford is interested in proposals that provide the lowest lifecycle cost. Lifecycle cost will consider guaranteed equipment performance factors, estimated annual production, proposed cost ($/MWh), avoided cost, Stanford s economic factors, and contract structure. Cost for delivered energy should include the value of all environmental and resource adequacy attributes. Stanford has developed a detailed campus energy model that optimizes dispatch of its campus energy assets against expected demand and costs for power. Stanford desires that renewable energy be cost effective when taking into account current grid energy purchases, direct access customer charges, utility distribution rates, RECs, and time of use value. All bids received will be evaluated in Stanford s economic model; projects that provide the greatest value to Stanford at the lowest cost will be given preference in the evaluation process. Respondents are required to specify a power price ($/MWh) for each year of the 25 year term of the PPA. If respondent is also proposing to serve as Stanford s ESP please provide this cost separately and do not include the cost of these services in the PPA price. Additional information about the requested pricing structure is included in Section 2.8 of this RFP Environmental Impact Stanford is pursuing this project as part of its commitment to sustainability. Development of new facilities would need to demonstrate that environmental impacts are minimized to the extent practical. 1.4 PREFERRED DEVELOPMENT PARTNER ATTRIBUTES It is expected that the developer would be the lead in design, financing, construction, and operation of the facilities, with guidance from Stanford on key issues of importance to the University. Attributes that are strongly preferred in the development partner include the following: Project Information 1 3

8 A commitment to the full development process, including working with Stanford during design, permitting, construction, and operation Flexibility in development of contract structures that may take advantage of Stanford s capital (e.g. a pre payment component to the contract) Ability to maximize applicable grants and tax incentives A strong track record of similar projects, including work with tax exempt entities A dedicated team including senior corporate officers specifically committed to the success of this project, a local project office, and main point of contact that would be engaged with Stanford throughout the process. A demonstrated ability to work closely with Stanford s ESP or to serve as Stanford s ESP 1.5 DEVELOPMENT PROCESS After selection of the winning bidder(s) in response to this RFP, Stanford plans to quickly negotiate terms of a PPA. Proposed PPA structures would be discussed, with Stanford engaging legal, tax, and capital partners as necessary to refine preferred structures to the satisfaction of both the university and partner. Stanford would then present recommended PPAs to its Board for final approval. Development term and operational term letters of credit will be required by the developer as terms in the PPA, to minimize the risk of the project being canceled due to direction from leadership, economics, permitting issues, or for other reasons. 1.6 PROJECT SCHEDULE Proposed major project development milestones are shown below. All timing is preliminary only and may change during the development process. 9 2.0 RFP Procedure and Technical Data Proposals are requested for renewable electricity as set forth in this RFP. All proposals shall be prepared and submitted in accordance with the instructions, the technical specifications, and the technical proposal forms. This section provides information on procedures, technical data, and pricing. 2.1 SCHEDULE Stanford has established the following schedule for the RFP, but reserves the right to amend the proposed schedule at any time. Questions to be addressed during the pre proposal meeting should be submitted to the contact person provided for in Section 2.3 by 5:00 Pacific Time on November 3, Additional questions will be taken during the Webinar and may be submitted up until the question deadline provided for in the timeline in Section QUESTIONS AND ANSWERS All inquiries, questions, or other communications pertaining to the requirements set forth in the RFP must be sent via electronic mail to the e mail address below. Any verbal guidance shall be considered non binding. Written answers to questions will be provided after the webinar. The deadline for submittal of questions is provided in the Section 2.1. Responses to questions will be answered during the pre proposal meeting and released in document form to all interested parties after the pre proposal meeting. 2.4 SUBMITTAL REQUIREMENT Three (3) original copies along with an electronic copy of the Bidder s proposal should be delivered to the address below by 2:00 pm on November 17, 2014: Elsa Baez Sustainability & Energy Management Department 327 Bonair Siding Stanford, CA The proposal shall be submitted in a sealed package with the following information shown on the package: Bidder name and address Stanford Off Campus Renewable Energy Project Proposal clearly labeled Each bidder shall designate a representative who will be granted deposit only access to a Box website for purposes of uploading an electronic copy of their submittal by the deadline in addition to providing the hardcopies and a physical electronic copy via USB key to the physical address above. Contact information for this individual including address must be provided to the person listed above no later than November 17, 2014 so that Stanford may grant access to the Box website to the specified individual in time to meet the submittal deadline. The electronic submission should contain a single Adobe pdf file of the proposal and Excel worksheets containing the Technical Proposal Form. If bidding multiple projects within one submission, separate Technical Proposal Forms are required. Electronic proposals shall include the Bidder name in the file name. Proposals received later than this date and time may be rejected. A proposal may be withdrawn by the firm submitting the proposal at any time prior to the closing date and time for receipt of proposals. 2.5 PROPOSAL OWNERSHIP All proposals submitted belong to Stanford and will not be returned. Stanford will use reasonable efforts to protect proprietary and confidential information, but Stanford reserves the right to release such information to its agents or consultants to help evaluate the proposals. 2.6 BINDING PROPOSALS Proposals must be submitted in the legal name of the respondent who would be bound by any agreement with Stanford. Proposals must be signed by an authorized representative of the company. RFP Procedure and Technical Data 2 2

11 2.7 TECHNICAL INFORMATION This section summarizes available background and design information that may be useful to respondents in preparing their bids Eligible Equipment Proposals are open to any California RPS eligible renewable energy technologies (Portfolio Content Category 1.) Technologies must be commercially proven, with respondents demonstrating commercial track record. References to state certifications and eligibility (such as SB1 approved equipment for solar PV) are encouraged Eligible Locations There are no restrictions on the location for the project, but any electricity delivered must meet California RPS Portfolio Content Category 1 requirements and the project must maintain full capacity deliverability status throughout the term of the agreement Eligible Respondents Respondents to this RFP must demonstrate the following: Eligible renewable resource: Show CEC registration as RPS eligible or timeline for obtaining approval Interconnection: System Impact Study, Phase I study, or passed the Fast Track screens or supplemental review Site Control: Attest to 100 percent site control through (a) direct ownership, (b) lease, or (c) an option to lease or purchase that may be exercised upon contract execution Development Experience: Attest that one member of the development team has (a) completed at least one project of similar technology and capacity or (b) begun construction of at least one other similar project Transmission and Interconnection Projects must show point of interconnection into the CAISO. Respondents are only required to deliver power to the Point of Interconnection (POI). If respondent desires to deliver energy to Stanford s offtake point the delivery point is DLAP_PGAE APND. If respondent is proposing the latter please provide additional details as to how respondent proposes doing so and at what cost to Stanford. Respondent will be responsible for providing its own scheduling services and all costs associated with ensuring the energy is scheduled through its Scheduling Coordinator to Stanford s ESP. 2.8 CONTRACT STRUCTURE, COST, AND PRICING Stanford has identified a variety of project options and configurations that respondents may provide. 12 2.8.1 Cost Data Required Stanford is requesting price proposals that outline the price of energy ($/MWh) for each year of the contract at the point of delivery. The timeframe that the firm prices are good for should be specified, along with the metrics used for adjustments after the pricing window has expired. Firm prices must be valid for at least 180 days from the date of bid submission. If respondent is proposing to be Stanford s ESP and SC please provide the cost associated with these services separately Contract Structures Stanford is willing to consider any contract structures proposed by the bidder to minimize total life cycle cost to Stanford, however at a minimum a 25 year non escalating PPA with project buyout for $1 at the end of year 25 is required to be submitted. Contract structures may include a power purchase agreement (PPA), pre paid PPA up to 25 percent of the term contract value, and early buyout options, though bidder is not constrained to just these options. Stanford is interested in adept structures that minimize the net cost of project power deliveries over its full life cycle, and may be interested in taking ownership of the project sometime during the term of the contract. The respondent should be clear in their response to the financing and ownership structure of the project, along with any alternatives being proposed. While the Technical Proposal Form gives options for PPA, prepaid PPA, and ownership transfer options, respondents are free to define other finance options. In addition to the above required contract structure, Stanford is requesting, but not requiring, proposals for each of the following: A 25 year PPA with an early buyout option (buyout date defined by respondent) and a project buyout for $1 at the end of year 25; A 25 year PPA with a pre payment of 25 percent of the total term cost and a project buyout for $1 at the end of year 25; A 25 year PPA with an early buyout option (buyout date defined by respondent), a prepayment of 25 percent of the total term cost, and a project buyout for $1 at the end of year 25. Responses should use the PG&E RAM as the minimum standard for PPA terms and conditions. Stanford will assign additional value to responses that propose contractual terms more beneficial than those contained in the RAM. Respondents proposing enhanced contract terms should outline the conceptual modifications being proposed and how this will benefit Stanford Ownership Stanford is a tax exempt institution under section 501(c) (3) of the Internal Revenue Code, and therefore is seeking a development partner that can take advantage of available grants, tax and depreciation incentives to minimize project cost. 13 3.0 Bid Submission Instructions The following section includes the bid requirements that apply to this RFP. All proposals must comply with the requirements in this Section. Other Information (Optional) Proposals should be concise and clearly organized in the sections outlined above. Section titles should match those listed here. Appendices should be included as necessary. Proposals that are not prepared and submitted in accordance with these instructions may be considered noncompliant and be rejected. 3.1 COVER LETTER Each respondent should include a cover letter signed by an individual authorized to execute agreements on behalf of the respondent. The cover letter should include the following statements: (Respondent) hereby acknowledges receipt of Stanford University s Off Campus Renewable Energy RFP and agrees to abide by all terms and conditions outlined in the RFP. All statements made in this proposal are true to the best of the Respondent s belief. If selected as a winning bidder by Stanford, the Respondent will work diligently to negotiate in good faith toward executing project agreements. This proposal is valid for a period of (list number, minimum 180) days. 3.2 EXECUTIVE SUMMARY Complete an executive summary which highlights the key aspects of the bid. Information that should be provided includes the development site, technology proposed to be used, project size, proposed contractual structures, proposed pricing, interest in being an ESP, and why the respondent should be selected by Stanford as the preferred development partner. 3.3 RESPONDENT INFORMATION Provide the following information in this section: Legal name and address of RFP respondent. 14 Legal form of RFP respondent (partnership, corporation, joint venture, etc.). If the legal entity is a joint venture or partnership, please identify the member/owner of the joint venture or partnership and the percent ownership and provide all information required under this section for each member/owner. If RFP respondent is a wholly owned subsidiary of a parent company, identify the parent company. Provide org chart. Name, title, address, telephone number, and address of person to contact concerning the proposal. A summary description of entity that will provide warrantees and guarantees supporting respondent s proposal. 3.4 TECHNICAL PROPOSAL FORMS The respondent must complete all applicable portions of the Technical Proposal Form. This form must be submitted electronically as a Microsoft Excel file. To be considered responsive, the applicable portions of the Technical Proposal Form must be completed in their entirety and in accordance with the corresponding instructions. If multiple projects are being bundled together in a response, a different form should be completed for each project. Items in orange shaded boxes must be filled in by the bidder. Items in green boxes are for the bidder to select from a drop down menu. Items in grey reference other cells or contain formulas for calculation. The major aspects of the technical proposal forms are as follows: Overview: Information should be provided for the bidder and parent company, facility, output, and commercial operation date. Energy Production Profile: Respondents must provide the expected hourly energy production for a typical meteorological year, excluding degradation over time. PPA Pricing and Committed Energy: This form includes year by year energy and pricing information at the point of interconnection or delivery for the entire 25 year term. This form must be completed for the base case simple PPA structure at a minimum. Other pricing structures are optional. Additional information on the content expected to be included for pricing is outlined in Section Milestone Schedule Interconnection Information ESP Designation: If the respondent is proposing to provide ESP services to Stanford please provide the information requested in this form. 3.5 RESPONDENT QUALIFICATIONS AND EXPERIENCE The RFP respondent shall describe projects where the RFP respondent has provided similar services to those being requested by Stanford. The respondent should identify the role and scope of work that the respondent performed on each project, along with approximate associated contract value. Include three project references that Stanford can contact to provide feedback on project performance. The same information should be provided for major subcontractors proposed for this project. This section should outline the respondent s specific experience (if any) in the following areas: Bid Submission Instructions 3 2

15 Working with colleges and universities Development and execution of novel contract structures, such as pre paid PPAs Examples of projects that have been completed and in commercial operation similar to those being proposed Examples of completed interconnection and environmental permitting processes for similar projects that have achieved commercial operation Examples of experience successfully providing ESP service (if this option is included in bid) 3.6 RESPONDENT FINANCIAL INFORMATION In order for the respondent to provide sound proof of financial capability to carry out its proposal, the following information should be included if available. If unavailable, the respondent should provide similar information which demonstrates its financial capability to carry out its proposal. Current bond ratings Current rating agency information Legal counterparty s (and/or parent company s) annual report for the last three years Audited financial statements and footnotes from the past three years If any of the above information is available on the internet, website links are preferred to paper or electronic copies. Stanford will require development period security and delivery term security as specified in the PG&E RAM PPA. Respondents should verify in their response that security obligations of this level can be met. All liability for the validity and collection of tax credits, accelerated depreciation, or other value to be derived by the respondent is the sole responsibility of the respondent and failure to collect that value due to disallowance of tax credits, expirations of tax credits, accelerated depreciation, or other reasons, will not affect the amounts Stanford is otherwise obligated to pay under the agreement nor reduce in any way the obligations of the developer as specified under the PPA. 3.7 PROJECT ORGANIZATION AND KEY PERSONNEL Describe the project organization of the RFP respondent, subcontractors and project partners, including identification and responsibilities of all key personnel. Highlight the involvement expected from each of the personnel that would be working on this assignment. List the relevant experience of the specific individuals proposed for the project team and include resumes as an appendix. For the projects outlined in the experience section (Section 3.5), identify in a matrix table which members of the proposed project team worked on these projects. 3.8 TECHNICAL INFORMATION Proposals should have enough technical information so that Stanford can understand the approach, equipment used, configurations, and how they relate to the cost and performance information that was developed. This includes information related to the type of plant, configuration, general layout diagrams, preliminary site plan showing site boundaries and plant layout, diagram of generating equipment, resource type (for example, geothermal, wind), nameplate capacity rating (MW AC), net plant capacity (MW AC), annual net output (MWh), projected capacity factor, in service date, and the major equipment providers. Estimates should clearly address anticipated degradation rates for the 25 year term if applicable. If the proposal is based on an existing generating facility, the Respondent must provide historical data for the last 3 years or from when the generating facility was built. Existing generation facility submittals in the 8760 portion of the Technical Proposal Form should reflect most recent 12 months of plant generation. Existing generation facility information must also include the net output rating (MW), capacity factor, and scheduled outage rate. Respondents must also provide a basic (non confidential) description of any existing or proposed energy, REC and RA sales arrangements involving the generating facility and how they relate to this Proposal. If the Proposal for sale of renewable energy is from a new generating facility that is yet to be built, Respondent must describe any feasibility studies performed for the generating facility. Respondent must also describe the level of engineering completed for the generating facility and the plan for equipment procurement and construction. If companies have been identified for any of these services, please identify those companies. An estimated hourly production profile must be provided showing the expected energy deliveries across a normal meteorological year. The data and evaluations provided must support the proposed level of generation and the projected capacity factor. Outline any warrantees or guarantees offered from the project Site Characteristics and Demonstrated Site Control The Respondent must: Provide a legal description of the generating facility site and, both a street map and the appropriate section of a USGS (or equivalent) map showing the location of the generating facility. Provide an aerial photo or Google Earth image of the project site showing project facilities, if existing, or layout of proposed facilities. Provide a description of the lease/ownership arrangement in place, the number of acres at the site, site access roads and, as applicable, water rights or the plan for securing water rights, the waste disposal plan, and the transmission, water supply, fuel supply (as applicable), or other infrastructure additions required outside of the site boundaries for the Bid Submission Instructions 3 4

17 Proposal to be implemented. The map should show all land parcels, with parcels owned, leased or optioned by the Respondent clearly marked. For leases, confirm that the lease cost for the first 25 years is included in the PPA prices with no balloon or end of lease payments. Respondents should define the desired plan for transfer of ownership or decommissioning at the end of the project life. Disclose any land liabilities or limitations whether they be liens, environmental restrictions, easements, access rights to others, mineral rights owned by others, historic or cultural restrictions, or other items that may impact the ability of the project to be executed as planned. Identify any mitigation requirements already defined and estimated cost Transmission Interconnection Information Stanford will consider generating facilities that meet California RPS Portfolio Content Category 1 requirements and are able to deliver power to the California ISO. If respondent is proposing a project located outside of California, respondent should demonstrate the arrangements it has in place to ensure that 1) compliance with RPS Category 1 requirements will be maintained for the term of the contract; and 2) full capacity deliverability status will be maintained for the term of the contract. Respondents who are proposing a project currently under development must demonstrate as part of their RFP bid response that the proposal bid into the RFP is in the generation interconnection queue for any and all relevant Transmission Provider(s) necessary to transmit the energy to a CAISO system interface point, has requested Interconnection Service under the relevant Transmission Provider(s) Open Access Transmission Tariff(s) and that activities associated with this request are in progress or complete (including any necessary Interconnection Feasibility Studies, System Impact Studies, or Facilities Studies). Respondents must submit the following documentation: 1. A summary of the current status of the generator s application for interconnection with the applicable Transmission Providers. 2. Any study completed by the applicable Transmission Provider(s), including but not limited to the Interconnection Feasibility Study, System Impact Study, and/or Facilities Study in which the estimated cost of any required transmission system upgrades, additions and/or modifications are identified. 3. Specify the interconnection point for the existing or proposed generating facility as being studied by the applicable transmission provider(s). 4. A timeline defining the major milestones to be completed for all interconnection work Provide, if possible, the historical basis cost for the last two years from each proposed asset s delivery node to the DLAP_PGAE APND. If respondent has a forecast of future basis costs please provide it as well. Providing this information is not required and is not a request to include the transmission basis cost in the project price. Bid Submission Instructions 3 5

18 3.8.4 Energy Deliverability and Scheduling The successful respondents(s) will be responsible for delivering energy to the interconnection point with the applicable transmission system within the CAISO grid. Stanford will be responsible for any congestion costs incurred in delivering the power to Stanford s applicable load aggregation point. Stanford will accept proposals for projects anywhere that can deliver into CAISO, however consideration will be given for expected congestion costs over the term of the supply agreement. The successful respondent(s) will deliver documentation to Stanford s ESP showing that Stanford has title to all renewable energy credits associated by the project as necessary to enable Stanford to utilize the RECs to meet its Renewable Portfolio Standard obligations and document any voluntary renewable purchases. Respondent s SC will be responsible for scheduling the energy and transferring resource adequacy capacity, and renewable energy credits produced by the project to Stanford s ESP/SC. Alternatively, if the successful respondent(s) would like to utilize Stanford s ESP/SC for scheduling services the successful respondent(s) will make arrangements directly with this entity. All SC costs associated with scheduling energy and transferring resource adequacy capacity and renewable energy credits to Stanford s ESP/SC will be the sole responsibility of the successful respondent(s). Stanford expects to contract with a third party for provision of ESP and scheduling services. Stanford will consider proposals from respondents interested in providing ESP and SC services to Stanford in conjunction with a proposed renewable project, however Stanford reserves the right to select renewable projects and decline associated ESP and SC services proposals. See section 3.13 for detail requirements for provision of ESP and SC services Resource Supply The Respondent must provide sufficient information on the renewable resource supply to provide assurance that the generating facility will be able to meet its projected production estimates for the duration of the generating facility life. In particular, please provide evidence of registration with CEC as eligible renewable resource, or timeframe for obtaining this documentation. In addition, the following information is requested for the different technologies: Geothermal Provide summary of all collected geothermal data for the proposed generating facility site. Characterize the geothermal resource quality, quantity and projected production levels. Provide a graph or table that illustrates the annual and monthly projection of geothermal resources. Describe any other existing geothermal facilities in the resource area and characterize their production and their anticipated impact, if any, on the generating facility Biomass Describe the biomass fuel makeup and its source. Bid Submission Instructions 3 6

19 Provide a resource assessment of available biomass fuel for the generating facility and its proximity to the generating facility. The resource assessment should identify long term fuel price risk and availability risk issues. Identify competing resource end uses. Provide a plan for obtaining the biomass fuel, including a transportation plan. Identify any contracts or letters of intent to acquire and transport the biomass fuel Solar Describe the sources of insolation data, either onsite, satellite, or a nearby station. If using a nearby station, state the exact distance from that station. Identify the number of years of solar data, and the accuracy of the data. PVSYST model reports and 8760 production profile for typical meteorological year (TMY) Wind Provide a summary of all collected wind data from met stations on site. Indicate where the data was collected, what equipment was used, and its proximity to the generating facility site. Provide either at least one year of wind resource data, a wind resource assessment report from a qualified meteorologist, or both. Compare the long term wind speeds in the area to the collected resource data at the generating facility site. Confirmation of wind turbine availability All resources must provide an 8760 energy production profile for a typical meteorological year in the accompanying technical proposal form Assurance of Generating Equipment Supply Respondent should demonstrate that respondent has access to, or has completed sourcing of, the necessary major equipment to complete engineering and construction of the facility contemplated in the proposal to meet the stated Commercial Operation Date. 3.9 ENVIRONMENTAL PERMITTING The Respondent should: Include a description of how the generating facility complies or will comply with all applicable environmental laws and regulations. For any existing or new generating facilities, provide a detailed list of all applicable state, local and federal permits for the construction and operation of the facility and, provide a Bid Submission Instructions 3 7

20 detailed path schedule containing clear and concise task descriptions and anticipated timelines for securing those permits and approvals. Important milestones and decision points in the schedule along with an explanation of how permitting activities will be coordinated within the overall construction and development schedule. Provide copies of any permits already successfully secured, including their associated applications and supporting documents, studies and reports. Describe any coordination efforts with local, state and federal agencies with respect to any environmental issues. Describe any existing on site environmental issues of concern such as site contamination, presence or lack of waste disposal area, state or federally protected plant and wildlife species and species of concern present or potentially present, sensitive habitats or ecologically sensitive areas, wetland delineations, and any other known environmental issues potentially having a negative impact on the ability to complete the development of the generating facility or meet the long term obligations of a PPA. Describe the land uses adjacent to and in proximity of the generating facility site. Describe current or planned efforts to build local community support. Provide any air quality modeling results, and estimated air emission rates identified or expected to be included in an air permit process. For wind projects include airspace and radar clearance PROJECT SCHEDULE The respondent should describe the project schedule, and provide a detailed schedule in MS Project (or equivalent) outlining the expected timeline for development and construction of the project. Include major milestones such as permitting, financing, engineering design, procurement, construction, interconnection, commissioning, acceptance testing, commercial online date. Respondent shall provide Stanford with a date by which respondent would need a contract executed with Stanford in order to ensure commercial operation no later than December 31, OPERATIONS AND MAINTENANCE PLAN Provide an overview for the procedures that are required to operate and maintain the equipment installed at each of the locations. It is expected that the operations and maintenance plan would include at a minimum the following sections: Staffing plan On site facilities Preventive maintenance schedule Performance testing, monitoring, and reporting Approach to unscheduled maintenance Bid Submission Instructions 3 8

21 Spare parts inventory management Warranty and insurance management 3.12 PRICING AND CONTRACT STRUCTURE In this section, the bidder should provide narrative details regarding the project and contract structure that should be considered by Stanford in its bid evaluation Cost Information Respondent may propose multiple pricing options for Stanford to consider as provided for in the Technical Proposal form. However, respondent must submit a 25 year non escalating PPA with a project buyout for $1 at the end of year 25 including all environmental and resource adequacy attributes. Indicative estimates for energy price at the Stanford takeoff point may also be provided, but are not necessary; respondents should specify the point of delivery for the response and include this in the Technical Proposal Form. See section for more detail. The prices shall be provided in nominal US Dollars. Indicate in this section if the respondent can provide renewable energy beyond the base amounts defined in the response and Technical Proposal Form, how much can be provided, and the price for this excess energy Proposed Contract Structure This section should outline the proposed contract structure desired by the respondent. The technical proposal form allows price inputs in four potential contract structures: PPA, PPA with transfer, prepaid PPA, and prepaid PPA with transfer. Only the first pricing structure is required; alternate structures are optional. Pricing structures without transfer should assume a term of 25 years. If proposing early buyout structure, please clearly state the Fair Market Valuation (FMV) method. The transfer cost should include all land, improvements, easements, land access rights, transmission access rights, and everything else required to allow the project to continue operating under the same conditions. If proposing a prepay structure, please assume a 25 percent prepaid structure Project Financing Plan and Partners Present a complete financing plan that covers the total project costs of the facility being proposed including, among other things, development costs, construction financing, and long term financing. Provide supporting documentation to show financial capability to construct the facility Incentives Assumptions Bidder shall identify all incentives and tax related benefits that were assumed in developing the pricing for the proposed projects. Provide a summary of the process to realize those incentives and benefits and the risk factors that could prevent realization of those incentives and benefits. It is Stanford s intent that bidder will take all risk associated with the failure of bidder to realize any incentives or tax related benefits associated with the project(s) INTEREST IN ACTING AS STANFORD S ESP Respondents expressing interest in serving as Stanford s ESP should provide information to enable evaluation of ability to act as an ESP (such as experience and financial support). Note California Bid Submission Instructions 3 9
