Any other instruction (Please specify) SmartMoney Account facility (SMA) I/We, details of whom are mentioned hereinabove (hereinafter referred to as I/We/ Customer(s), which expression unless repugnant to the context or meaning thereof include his/her/their heirs, executors, successors, administrators and assigns) have requested the Bank to sanction me/us the SmartMoney Account facility of ` for a period of with maturity instructions specified under details of Fixed Deposits/SmartMoney Account facility above. 1. I/We are aware that the SmartMoney Account facility (SMA), is a fluctuating overdraft facility, against the security of lien on the Single/Joint Fixed Deposits with the Bank, details of which are as given in the account opening form, attached herewith. The Bank shall have the right to set-off any outstanding dues due and payable by me/us to the Bank, against the amounts lying in the said Fixed Deposits. 2. Under the SMA facility, I/We can withdraw upto 90% of the total amount in the said linked Fixed Deposits, and the renewal(s) thereof, with the Bank or such lesser sum and for so long as the Bank in its sole discretion may deem fit, at the following interest rate: - Interest on amount overdrawn will be charged at the rate of 2% p.a. over the weighted average of the interest rates applicable on the Fixed Deposits. - If the value of the overdraft exceeds 90% of the linked deposit value, overdraft interest will be calculated at the Bank s unauthorised overdraft rate, on the overdrawn value, until such time it is regularised. 3. In case a Fixed Deposit is prematurely withdrawn, the interest rate that shall be taken into consideration for calculating the weighted average of the interest rates, shall be the contracted rate which would have been payable to me/us for the contracted tenure without reference to the interest paid at the time of such premature withdrawal. It will also be subject to other terms and conditions governing such premature encashment of Fixed Deposit that maybe applicable then. 4. The Bank may at its sole discretion, recall the SMA facility and apply the monies lying in my/our Fixed Deposit account(s) towards the outstanding amount including interest thereon and/or any applicable charges, in case I/We fail to service the interest payable by me/us on the use of this facility, after giving a prior notice of 30 days at my/our correspondence address as recorded with the Bank. I/We declare that the signatories hereto have attained the age of majority. I/We have read and understood the terms and conditions of the SMA facility and agree to be bound by the said terms and conditions governing SMA facility and amendments thereof as made by the Bank, details of which are published by the Bank on its website from time to time. Signatures Important Notes Your Fixed Deposit will automatically be renewed for the same period at the prevailing interest rates on maturity, if we do not receive prior notice before maturity The sole/first deposit holder will be usually regarded as the beneficial owner of the Fixed Deposit and considered as the payee for the purposes of income tax deduction at source (TDS) from the interest on such deposit TDS, when due and applicable will be deducted in accordance with the provisions of the Income Tax Act, 1961 and the Rules there under as in force. Such TDS shall be recovered from Saving/Current/Demand Deposit account(s). Please designate the account from where you would like the TDS amount to be deducted for all existing accounts. Please also provide details of the designated account as and when you renew/place additional deposits with HSBC India. For cumulative deposits, in case of non-designation of an account or lack of funds in the designated account, or if you hold only cumulative Fixed Deposit account(s) at HSBC India, the TDS (where applicable) would be recovered from the interest being accumulated to/paid on the deposit. For resident/nro ordinary deposits, in the absence of a revert from you for designation of the applicable account for recovery of TDS or if the designated account is out of funds, HSBC India will recover TDS (where applicable) from the account designated to receive interim interest of the deposit. If you hold only resident/nro ordinary Fixed Deposit account(s) at HSBC India, HSBC India will recover TDS (where applicable) from the interim interest proceeds/maturity proceeds(whichever is earlier) or from the encashment proceeds (in case of pre-mature encashment) of the deposit. Please contact our branch and submit the necessary documents in case lower TDS applies as provided by the relevant tax treaties. These documents should be submitted along with the Account Opening Form and also before the start of each new financial year. HSBC India reserves its right to reject any such claims. Hence any claim for refund of TDS will lie directly with the Government of India and HSBC India will not be liable in any manner For senior citizen and for those who are eligible for TDS exemption claims, request you to provide the relevant duly filled and signed forms to the staff at our branches. Please note that these forms are available at our branches and have to be submitted alongwith the application form as well as at the beginning of each financial year thereafter HSBC India, on request from a sole/joint depositor(s), may allow withdrawal of a Fixed Deposit before completion of the tenure of the deposit, agreed upon at the time of placement of the deposit, subject to penalty on the premature withdrawal, as may be applicable at the time of withdrawal. With effect from 3

4 1 October 2013, Fixed Deposits will attract a penal rate of 1%, on premature withdrawal, irrespective of the amount placed under the Fixed Deposit and the date of placement. The interest payable will be reduced by the penal rate i.e. 1%, from the rate prevailing on the date of placement of the deposit, for the period for which the deposit remained with HSBC India or the contractual rate. No interest will be paid on premature withdrawals of deposit which has remained with HSBC India for less than the minimum period for which deposits were being accepted for the said currency and deposit type, as on the date of placement of deposit. In the event of death of one (or more but not all) of the joint accountholders, premature termination will be permitted against joint request from the survivor(s) as per the terms of contract and against valid documentation In the event of death of all the deposit holders, the nominee can seek premature withdrawal of the Fixed Deposit as per the terms of contract and against valid documentation. Such premature withdrawal will not attract any penal charge However in case of premature withdrawal of the Fixed Deposit, interest will be paid at the applicable interest rate for the period for which the deposit remained with HSBC India In case of joint accountholders where one of the accountholder is a Senior Citizen, the special Senior Citizen Fixed Deposit interest rate will be applicable, provided the Senior Citizen is the 'First holder' on the said Fixed Deposit SmartMoney Account Most Important Terms and Conditions Features The SmartMoney Account facility is a combination of a savings account and Fixed Deposit(s), which enables an existing accountholder of The Hongkong and Shanghai Banking Corporation Limited, India (Bank) who is desirous of availing, the facility provided by the Bank (here inafter referred to as Borrower ) to enjoy the higher returns of a Fixed Deposit and yet retain the liquidity and flexibility to meet of the Borrower s needs. Additionally, the Borrower can enjoy all the benefits of a savings account without having to maintain the Average Quarterly Balance/Average Monthly Balance (AQB/AMB). Overdraft facility The Borrower can withdraw upto 90% of the principal value of the Fixed Deposit(s) that has been linked to the facility. Overdraft interest is payable towards the overdrawn amount in the facility, while the linked Fixed Deposit(s) continues to earn interest at the rate applicable from the placement/renewal date. The linked Fixed Deposit(s) will be charged in favour of the Bank and the Bank is authorised to exercise the right of set-off and lien on all such Fixed Deposits. Overdraft charges Interest on amount overdrawn will be charged at the rate of 2% p.a. over the weighted* average of the interest rates applicable to the linked Fixed Deposits, subject to a maximum of the Bank s Prime Lending Rate, as may be declared by the Bank from time to time. The interest on the overdraft is calculated on the daily outstanding balance from the date of overdraft at the above specified interest rate till such date that the overdraft inclusive of interest/charges is repaid. The overdraft interest accrued shall be debited to the Bank account linked to the facility at the beginning of every month. If the value of the overdraft exceeds 90% of the linked deposit value, the overdraft interest will be calculated at the unauthorised overdraft rate on the overdraft value (beyond 90%), until such time that it is regularised within 90% of the linked deposit value. The unauthorised overdraft rates are displayed on the Bank s website under general account rules/terms and conditions. *Illustration of weighted average: If one Fixed Deposit (D1) is for `400,000 at 4% (R1) interest and one deposit (D2) for `100,000 at 6% (R2) interest rate, then the OD interest rate will be 6.4% (Weighted Average** + 2%) **Weighted Average: = [D1*R1% + D2*R2%]/(D1 + D2) = [(400,000*4%) + (100,000*6%)]/(400, ,000) = 4.4% In case the borrower fails to service the interest payable on the use of this facility, the Bank may at its sole discretion, after providing the borrower 30 days notice at the last correspondence address updated with the Bank, recall the said facility and adjust the monies in the Fixed Deposit account opened under this facility towards outstanding amount including interest thereon and/or any related charges. Eligibility A Resident Indian of a minimum of 18 years of age can avail of the facility. The minimum Fixed Deposit value that is eligible for the facility is as defined in the Bank s website under the facility. An existing savings account can be converted into the facility subject to the fulfilment of specific documentary requirements applicable to the facility. Closure/Conversion of the SMA into a regular savings bank account In case the linked Fixed Deposit is to be withdrawn, the amount so withdrawn shall first be adjusted against the outstanding amount, including interest thereon and/or any related charges in the linked savings account. In case of premature withdrawal of the Fixed Deposit, the overdraft interest rate that will be considered will be the weighted average of original contracted interest rates of the Fixed Deposits and not the Fixed Deposit interest rate at the time of such premature withdrawal. It will also be subject to other terms and conditions governing such premature encashment of Fixed Deposit. The facility may be closed or converted to a regular savings bank account at any time, vide a written application to the Bank, duly signed by all the joint Borrowers. The outstanding amount including charges/interest due on the overdraft facility will be recovered before the closure/conversion of the facility. Pursuant to the closure of the facility the terms and conditions as applicable to standalone savings account will apply. Other Conditions 1. In absence of a maturity instruction on a Fixed Deposit which has been linked to avail of the facility, the Bank will have right to renew automatically the Fixed Deposit(s) on the maturity date for an identical period at the prevailing interest rate, unless instructions to the contrary are received from the borrower prior to maturity. The renewal will be in accordance with the regulatory guidelines in force at the time of the renewal. The facility will also continue on renewal of the said Fixed Deposit unless informed otherwise by the borrower. 2. On Fixed Deposit with maturity instruction with facility, the Bank will follow the maturity instruction stated by the borrower at the time of placing the Fixed Deposit and the facility will also continue on the said Fixed Deposit unless informed otherwise by the borrower. 3. A Fixed Deposit (with facility availed of by the borrower at the time of placing the Fixed Deposit) with a maturity instruction of crediting the proceeds of Fixed Deposit to the linked savings/current account, the Bank will credit the proceeds of Fixed Deposit after deducting any amount that may be due and outstanding, including but not limited to overdue interest, charges, costs, expenses, to the linked savings/current account and discontinue the facility unless informed otherwise by the borrower. 4. SmartMoney Account facility cannot be clubbed with Cluster Deposit facility. For detailed terms and conditions pertaining to SmartMoney Account facility and for Minimum Balance and Total Relationship Balance requirements please refer 4

The Bank and other members of the HSBC Group are required to and may take any action to meet Compliance Obligations relating to or in connection with the detection, investigation and prevention of Financial Crime (Financial Crime Risk Management Activity) and act in accordance with the laws, regulations and requests of public and regulatory authorities operating in various jurisdictions which relate to Financial Crime. The Bank may take, and may instruct (or be instructed by) any other member of the HSBC Group to take, any action which it or such other member, in its sole and absolute discretion, considers appropriate to take in accordance with all such laws, regulations and requests. Such action may include but is not limited to: (a) screening, intercepting and investigating any instruction, communication, drawdown request, application for services, or any payment sent to or by you, or on your behalf, (b) investigating the source of or intended recipient of funds, (c) combining customer information with other related information in the possession of the HSBC Group, and/or (d) making further enquiries as to the status of a person or entity, whether they are subject to a sanctions regime, or confirming your identity and status and (e) share information on a confidential basis with such HSBC Group offices whether located in India or overseas in relation to prevention of Financial Crime. Exceptionally, our Financial Crime Risk Management Activity may lead to us delaying, blocking or refusing the making or clearing of any payment, the processing of your instructions or application for services or the provision of all or part of the services. To the extent permissible by law, neither we nor any other member of HSBC Group shall be liable to you or any third party in respect of any loss (whether direct or consequential and including, without limitation, loss of profit or interest, however it arose) that was suffered or incurred by you or a third party, caused in whole or in part in connection with the undertaking of Financial Crime Risk Management Activity. In certain circumstances, the action which the Bank may take may prevent or cause a delay in the processing of certain information. Therefore, neither the Bank nor any member of the HSBC Group warrants that any information on the Bank's systems relating to any payment messages or other information and communications which are the subject of any action taken pursuant to this clause is accurate, current or up-to-date at the time it is accessed, whilst such action is being taken. For the purpose of the present clause: Compliance Obligations means obligations of the HSBC Group to comply with: (a) laws or international guidance and internal policies or procedures, (b) any demand or request from authorities or reporting, disclosure or other obligations under laws, and (c) laws requiring us to verify the identity of our customers. Financial Crime includes money laundering, terrorist financing, bribery, corruption, tax evasion, fraud, evasion of economic or trade sanctions, and/or any acts or attempts to circumvent or violate any laws relating to these matters. 6. Documents/Correspondence (a) Know Your Customer/Due Diligence requirement: In line with the requirements of the Bank's policy, the Know Your Customer (KYC) documents along with other documentation need to be submitted at the time of opening a new account or as and when requested by the Bank. The Bank reserves a right to allow/restrict operations in a newly opened/existing accounts maintained with the Bank, if the customer is not able to satisfy the due diligence requirements in line with the Bank s policy. (b) Undelivered Correspondence: The Bank reserves a right to block transactions/allow operations in a newly opened/existing accounts maintained with the Bank, if the account deliverables/welcome letter/welcome pack/bank correspondences not limited to account statements, etc., are returned undelivered and the Bank is unable to contact the accountholder at the address/contact number provided by them at the time of account opening/updated in Bank records. 7. Tax Representation (a) Individual Accounts: You are responsible for fulfilling any obligation that you may have with respect to the filing of returns or other required documentation in respect of and the payment of all relevant taxes, including, without limitation, all income, capital gains, wealth and estate duties, stamp duties, Service Tax, Value Added Tax and any other applicable taxes. The creation and continued operation of your account and/or the acquisition, holding or disposal of investments or assets in such account, as well as any income, distributions or losses realised in relation to the operation of the account may expose you to tax consequences depending on a number of factors including, but not limited to, your applicable domicile, your place of residence, your citizenship or the type of assets you hold in your account. Certain countries may have tax legislation with extraterritorial effect regardless of your place of domicile, residence or citizenship. The Bank does not provide any legal or tax advice and you should seek legal and/or tax advice from an independent legal and/or tax adviser. You acknowledge and agree that the Bank has no liability in respect of any of your tax obligations and/or any legal and/or tax advice provided to you by third parties. (b) Non Individual Accounts: Customer (and each Connected Persons) is responsible for fulfilling its own obligations with respect to the filing of returns or other required documentation in respect of reporting and payment of all relevant taxes, including, without limitation, all income, capital gains, wealth and estate taxes. The creation and continued operation of the account and/or the acquisition, holding or disposal of investments or assets in such account, as well as any income, distributions or losses realised in relation to the operation of the account may expose you (or any Connected Person) to tax consequences depending on a number of factors including, but not limited to, applicable domicile, place of residence, citizenship, place of incorporation or the type of assets held in the account. Certain countries may have tax legislation with extra-territorial effect regardless of place of domicile, residence, citizenship or incorporation. The Bank does not provide any legal or tax advice and you (and each Connected Person) should seek legal and/or tax advice from an independent legal and/or tax adviser. You acknowledge and agree that the Bank has no liability in respect of any of your tax obligations (or those of any Connected Persons) and/or any legal and/or tax advice provided to you by third parties. Customer Declaration I/We confirm having read and understood the account rules, and hereby agree to be bound by the terms and conditions and amendments governing the account(s) and any further amendments made by the Bank from time to time. (Copy of account rules/terms and conditions is available on I/We agree that the Bank shall have the right to modify the account rules and the terms and conditions at its sole discretion, which shall be put up on the website from time to time. I undertake to verify the Bank s website for modifications to the account rules from time to time. I/We declare that the information given herein by me/us is true and correct, which the Bank is entitled to verify directly or through any third party agent. I/We also agree that, if any such declarations made by me/us are found to be incorrect, the Bank is not bound to pay any interest on the account(s) opened by me/us and is entitled to terminate the account relationship. I/We agree and accept that the Bank may need to share or transfer data or information about me/us to any third party service provider, whether located overseas or in India, who provides outsourced services to the Bank in connection with the operation of the Bank s business, in accordance with the applicable guidelines of the Reserve Bank of India. Any such sharing or transfer of information will be done strictly on a confidential basis and the Bank will endeavour to maintain strict confidentiality of such information. However, the Bank or such third party service providers, whether located in India or overseas, may disclose information if required or permitted by any law, rule or regulation or at the request of any public or regulatory authority or if such disclosure is required for the purposes of preventing fraud. I/We will also be liable to comply with the Foreign Exchange Management Act, 1999, and the rules and regulations made thereunder and an amendments thereto. For Mobile Alert Subscribers I/We wish to avail of the Mobile Alert Services and receive SMS Alerts on my mobile phone number registered with the Bank. I/We have read and understood the terms and conditions related to the service (a copy of which is available as part of the Account Rules on I understand that the Bank may, at its absolute discretion, discontinue the service completely or partially without any notice to me/us. I/We agree that the Bank may debit my/our account for service charges as per the prevailing tariff from time to time. I/We accept and agree to be bound by the above mentioned terms and conditions and to any changes 5

6 made therein from time to time in the future. I/We undertake to intimate the Bank immediately in the event of any change in my mobile phone number. I/We also understand that the SMS Alerts under this service may contain certain Personal and/or Account information. I/We also understand and acknowledge that while the Bank will make all reasonable efforts to ensure that my/our personal/account information is kept confidential, the SMS Alerts cannot be guaranteed to be completely secure and the Bank shall have no liability in this regard. I/We understand and acknowledge that: HSBC does not provide any tax advice to its customers I/We understand it is my/our responsibility to comply with tax laws and accordingly I/We would comply with the worldwide tax reporting and filing obligation as applicable I/We am/are obliged to provide any information requested by HSBC, that is required by law I/We understand that where a referral by HSBC is made to an external organisation for specific tax advice for me/us, the contract for such tax advice is between me/us and the third party, and any advice provided is the responsibility of such third party, and not HSBC Consent Clause 1. I/We, understand that as a pre-condition, relating to grant of the loan/advances/other non-fund-based credit facilities to me/us, the Bank, requires my/our consent for the disclosure by the Bank of, information and data relating to me/us, of the credit facility availed of/to be availed, by me/us, obligations assumed, by me/us, in relation thereto and default, if any, committed by me/us, in discharge thereof. 2. Accordingly, I/We, hereby agree and give consent for the disclosure by the Bank of all or any such: (a) Information and data relating to me/us; (b) The information or data relating to any credit facility availed of/to be availed, by me/us, and (c) Default, if any, committed by me/us, in discharge of my/our such obligation as the Bank may deem appropriate and necessary, to disclose and furnish to Credit Information Bureau (India) Ltd. (CIBIL) and/or any other agency authorised in this behalf by RBI. 3. I/We, declare that the information and data furnished by me/us to the Bank are true and correct. 4. I/We, undertake that: (a) The CIBIL and/or any other agency so authorised may use, process the said information and data disclosed by the Bank; and (b) The CIBIL and/or any other agency so authorised may furnish for consideration, the processed information and data of products thereof prepared by them, to banks/financial institutions and other credit grantors, as maybe specified by the Reserve Bank in this behalf. 5. I/We acknowledge that the Bank remains entitled to assign any activities to any third party agencies/service providers at its sole discretion. I/We further acknowledge the right of the Bank to provide details of my/our account and sharing or transfer of information which will be on a confidential basis to HSBC Group offices or any other third party agencies/service providers, whether located in India or overseas for the purpose of availing support services of any nature by the Bank, and also may disclose information if required or permitted by any law, rule or regulation or at the request of any public or regulatory authority or if such disclosure is required for the purposes of preventing fraud, without any further specific consent or authorisation from me/us.
