1 REQUEST FOR CONSULTANTS QUALIFICATIONS OF THE TECHNICAL ASSISTANCE TO THE NATIONAL INSTITUTE FOR EDUCATION DEVELOPMENT (NIED) WITH POLICY DEVELOPMENT AND TRAINING IN THE TEXTBOOK REFORM PROCESS MCAN/COM/RCQ/1C01004-B MCA Namibia (MCA-N) requires the services of an individual consultant (hereinafter referred to as the Consultant ) to provide the following services: Summary of Services The objective of this Request for Consultants Qualifications is to procure the services of an experienced Consultant to assist the National Institute for Educational Development (NIED) with Policy Development, Training and overseeing the first steps in the implementation of the Curriculum and Textbook Reform Process. The consultancy service will develop the policy on the curriculum reform cycle; revise the policy on the evaluation of learning support materials (LSMs); and review the purpose, design and functionality of the annual textbook catalogue. This document sets out the application procedure and the Terms of Reference for the above assignment. Location: Okahandja and Home Office Anticipated Start Date: 05 September 2011 Duration of Assignment: The Consultancy will be for 130 working/business days (26 weeks) over a period of 19 months between 5 September 2011 and 31 March 2013, of which 17 weeks will be for full time site work at the NIED offices in Okahandja, Namibia and 9 weeks for part time home office work. Application Procedure and Selection Before applying, interested Consultants shall review the Terms of Reference (Attachment 2), which provides a detailed description of the assignment and the qualifications and experience required of the Consultant. Interested Consultants shall send their responses, which shall include an Expression of Interest (EOI) to be considered for the assignment including the date of availability, up-todate CV demonstrating that the Consultant fulfils the minimum requirements described in the TOR, contact details (i.e., address, telephone and fax numbers, address, website, etc.), at least three references that can comment on the Consultant s related work experience, and any other relevant information.

2 The selection shall be carried out in accordance with the procedures for Selection based on the Consultants Qualifications method set forth in Annex VI, Section 1.B. 3.7 of the MCA Namibia Procurement Rules (see the Procurement page on website for the Procurement Rules). The selected Consultant will be requested to submit combined technical and financial proposals for the assignment, which, together with the Consultant s EOI and the attached Form of Contract (Attachment 3), will be used for the negotiation of a fixed-price contract between the Consultant and MCA Namibia. 7 Attachment 2: Terms of Reference TERMS OF REFERENCE TECHNICAL ASSISTANCE TO THE NATIONAL INSTITUTE FOR EDUCATION DEVELOPMENT (NIED) WITH POLICY DEVELOPMENT AND TRAINING IN THE TEXTBOOK REFORM PROCESS 1. SUMMARY Textbooks, an important component of Learning Support Materials (LSMs), are a cost-effective way to improve learner achievement, particularly in the short to medium term. For many teachers, textbooks are an indispensable resource and without them, many teachers may not be able to teach the curriculum effectively. However, in order to ensure a marked improvement in the quality of teaching and learning, it is critical that textbooks are optimally utilised by the learners. In the Namibian experience, there are four key stages in the LSM supply chain cycle that are critical to improving educational quality, namely; (i) evaluation and selection, (ii) procurement, (iii) delivery and payment, and (iv) coordination, utilisation and management. If any of these components are not fully functional, the quality of teaching and learning can be compromised. It is against this background that MCA-Namibia, as part of its support programme to the National Institute for Educational Development (NIED), is seeking the services of an experienced curriculum policy development and planning expert to develop a policy on the curriculum reform cycle, a policy on the evaluation and selection of learning support materials (LSM), a Training Manual for bid Evaluators and standard bidding documents to solicit the submission of sample LSMs and expressions of interest from prospective bid Evaluators; to provide training for the first cohort of bid Evaluators; and to assist NIED in overseeing the evaluation and selection of LSM s to be included in the 2013 textbook catalogue. BACKGROUND 2.1 The Millennium Challenge Corporation (MCC) The Millennium Challenge Corporation (MCC) was established in January 2004 as a United States government corporation to implement the Millennium Challenge Account (MCA). MCC s mission is to reduce poverty by supporting sustainable, transformative economic growth in developing countries, which create and maintain sound policy environments. MCC is designed to support innovative strategies and to ensure accountability for measurable results. For additional information on MCC please visit Namibia s Millennium Challenge Compact The Millennium Challenge Account Namibia (MCA-N) Compact, providing grant funding for public investments in Education, Tourism and Agriculture, was signed on 28 July 2008 between the Republic of Namibia and the US Government, acting through the MCC. An amount of US$304.5 million will be available for development in the target sectors, over and above current Government allocations and assistance from other development partners. 7

8 Attachment 2: Terms of Reference The goal of Namibia s Millennium Challenge Compact is to reduce poverty through economic growth in the Education, Tourism and Agriculture sectors. To accomplish the Compact Goal of increasing income, the MCA-Namibia Programme aims to achieve the following objectives: i) Increase the competence of the Namibian workforce (knowledge, skills and attitude); ii) Increase the productivity of agricultural and non-agricultural enterprises in rural areas. The Compact aims to improve the quality of education and training for the underserved populations, and attempts to capitalize on Namibia s comparative advantages to increase the incomes of the poor Namibians, predominantly in the northern areas of the country. In Education, the Programme seeks to bring the quality of the work force closer to the requirements of industry and the labour market at large. This is in line with the aspirations of Vision 2030 and the 3 rd National Development Plan s strategic objective for productive and competitive human resource and institutions ; whose values informed the programming, content and activities of the Education and Training Sector Improvement Programme (ETSIP). The Education project aims to improve the competency and knowledge of young Namibians by supporting new and innovative methods of learning in addition to the more traditional approaches to education and improve physical infrastructure for learning and teaching in schools, regional study and resource centres and Community Based Skills Development Centres. The Tourism Project seeks to bring the conservancies in high potential tourism areas into the mainstream of the tourism business, increasing the financial and in-kind benefits to rural conservancy members. Internationally-acknowledged best practice models for community-based tourism and community-based natural resource management underpin the Tourism Project. This is the first time in MCC history that a country programme includes tourism, acknowledging the sector s tremendous poverty alleviating potential in conservancy areas. The Etosha National Park will serve as a model for increased participation by the adjacent conservancies. The MCA-N Tourism Project will facilitate access to the Park for the conservancies around it through exclusive access concessions, to be awarded through the 2007 Concession Policy. The Agriculture Project comprises three main activities in livestock, land access and management and indigenous natural products. The Livestock Activity seeks to bring the marketing opportunities for farmers who live north of the Veterinary Cordon Fence closer to the opportunities farmers enjoy south of the fence. The focus will be on improving veterinary services aimed at obtaining animal disease-free status for the Northern Communal Areas (NCA) in order to gain access to international markets. The accompanying public investment in rangeland management will improve access to grazing and farming practices. The overall objective is to increase the farmers cash income derived from livestock and smallstock farming in the NCA. Through the Land Access and Management Activity the Communal Land Boards, traditional authorities and other key stakeholders will be empowered to better manage the available resources. Increasing direct participation of the primary producers in the processes of value addition to raw, natural products such as Marula, Kalahari Melon Seed, Hoodia, Devil s Claw and Ximenia is the key objective of the Indigenous Natural Products Activity. The value chain approach that the MCA-N Programme has adopted will ensure that the activities are responsive to the fast-changing market realities for natural products. At present, most of the revenue from selling products made of these valuable commodities is generated outside 8

9 Attachment 2: Terms of Reference Namibia. The MCA-N Programme will facilitate an increased participation by the primary producers in the final processing, packaging and marketing of these products. This RFP relates to the Education Project and more specifically to the Vocational and Skills Training Activity. 2.3 The MCA Namibia Management Structure MCA-N is the accountable entity, responsible for the overall management of the Compact s implementation. MCA-N is a legal entity within the National Planning Commission (Office of the President) comprised of a Board and a Programme Management Unit. The MCA-N Board provides oversight and strategic guidance and is ultimately responsible for the Programme s success. The MCA-N Management Unit is responsible for the implementation of the Compact, including programme management, financial management and reporting, and coordination of monitoring and evaluation. The Programme is legally governed by the Compact and its supplemental agreements. For additional information please visit The Education Project The MCA-N Programme intends to improve the effectiveness, efficiency and quality of Namibia s education sector through systemic reforms and critical interventions that are consistent with the objectives of the Education and Training Sector Improvement Programme (ETSIP). In particular, MCC funding will be used to improve the quality of education and training and access for under-served groups thereby enhancing the quality of the labour force increasing (self-) employment perspectives of many young people in Namibia. The Education Project comprises of the following activities: 1. Improving the quality of general education This Activity involves the rehabilitation and renovation of infrastructure (including teacher housing) and equipment in approximately 47 primary and secondary schools, and the funding of training programs for school administrators and teachers. 2. Improving access to and management of textbooks This Activity will focus on expanding access to and improving the distribution and management of textbooks within primary and secondary schools. 3. Investment in construction and management of Regional Study and Resource Centres This Activity will fund the construction of approximately three regional study and resource centres ( RSRCs ) in underserved areas that will improve community access to documentation, information resources, training materials and programs, as well as study facilities. 4. Expanding vocational and skills training With MCC funding, the Vocational and Skills Training Activity will assist with the establishment of a National Training Fund ( NTF ) within the Namibia Training Authority 9

MCC Funding will also be utilized (a) for the construction or renovation of approximately nine COSDECs, and (b) to support efforts so that the private-training industry responds to the training demands of Namibia s market economy. 5. Expanding and improving access to tertiary education finance- MCC funding will provide technical support for the data collection of current tertiary loan and bonding programmes with a view to assisting the Government of Namibia to operate an equitable yet sustainable tertiary education finance programme. As cross-project support, the MCA-N Programme will contribute to the management and prevention of HIV and AIDS in the education sector by supporting the HIV/AID Management Unit (HAMU) in the Ministry of Education (MoE). 2.5 Improving Access to and Management of Textbooks Overview As part of MCA-N support to the Ministry of Education on Improving Access to and Management of Textbooks Activity, the MCA-N education project will support the National Institute for Educational Development (NIED) to develop policies relating to curriculum review cycles and the development, selection and ranking of learning support materials and capacity development for textbooks and learning support materials evaluators. This approach will support the 2011 Textbook Policy Implementation Plan of the Ministry of Education. The Policy provides the basic regulatory framework for the development, evaluation, selection, procurement, payment, delivery, use and management of learning support materials. That Policy is at broad strategic level, requiring a subsequent detailed policy implementation planning stage, which is the purpose of this technical service. The required consultancy service will thus focus on strengthening the first stage of the supply chain, namely; the selection of good quality, relevant and cost effective learning support materials (LSMs) that will support the implementation of the curriculum, thereby improving learning outcomes. 3. OBJECTIVE This Terms of Reference seeks to procure a consultancy service to assist the National Institute for Educational Development (NIED) with Policy Development, Training and overseeing the first steps in the implementation of the Curriculum and Textbook Reform Process. The consultancy service will develop the policy on the curriculum reform cycle; revise the policy on the evaluation of learning support materials (LSMs); and review the purpose, design and functionality of the annual textbook catalogue. 4. SCOPE OF SERVICES This consultancy focuses mainly on strengthening the first stage of the supply chain, namely the selection of good quality, relevant and cost effective LSMs that will support the implementation of the curriculum, thereby improving learning outcomes. The Consultant will address three of the priority policy strategies as stated in the National Textbook Policy, i.e. to develop the policy on the 10

11 Attachment 2: Terms of Reference curriculum review cycle, revise the policy on the evaluation of LSMs and review the purpose, design and functionality of the annual textbook catalogue. The Consultant is expected to work closely with the NIED Director and officials to develop a Curriculum Review Cycle Policy, and its articulation with the timetable for the development, publication and distribution of LSMs; LSMs Evaluation and Selection Policy and Training Manual and to assist in the process of evaluation and selection of LSMs. The key functions of the Consultant are summarised in Summary of Key Activities: Compile and Submit Inception Report Develop the Curriculum Review Cycle Policy for the implementation of an integrated, sustainable and coordinated learning support material (LSM) supply chain (from curriculum design to LSM delivery and usage) that will provide the best value, curriculum relevant textbooks and other LSMs in an equitable way to all learners and teachers; Develop the Learning and Support Materials (LSM) Evaluation and Selection Policy and a Training Manual; Develop Documentation for the 2013 Catalogue Bidding Process; Provide training to Administrators and Evaluators on the evaluation and selection processes; provide technical assistance during the evaluation and selection of LSMs for the 2013 Catalogue; and Consolidate the Consultancy Activities Draft Final Report 4.2 Specific Tasks: Task 1: Compile and Submit Inception Report Full Time Field Work September to November 2011 Two weeks (10 days) Level of Effort Study the National Textbook Policy, the Guide for the Submission and Evaluation of Textbooks and Teaching and LSMs, the 2011 Textbook Catalogue and other relevant curriculum policy documents to be made available by NIED; and Draft an inception report outlining activity objectives in an implementation plan, proposed activity scope and locations, stakeholder engagement plan, clearly defined roles and responsibilities, training types and methods, and a timeline for the entire implementation period. This work-plan will include milestones to assist in measuring progress towards stated objectives. Submit the Inception Report to MCA-N for approval Task 2: Develop the Curriculum Review Cycle Policy Full Time Field Work September to November 2011 Four weeks (20 days) Level of Effort Consult with and solicit the views of the following stakeholders on their expectations and the suggested outputs of the consultancy: 11

Formulate a draft Curriculum Review Cycle Policy by subject and grade and its articulation with timetables for the development, publication and distribution of new LSMs; Submit the Draft Curriculum Review Cycle Policy to MCA-N for comments; Incorporate changes and submit the Final Curriculum Review Cycle Policy to MCA-N for approval Task 3: Develop the Learning and Support Materials (LSM) Evaluation and Selection Policy and a Training Manual Full Time Field Work September to November 2011 Six weeks (30 days) Level of Effort Review the Namibia National Textbook Policy (2008), the Textbook Policy Implementation Plan (2011), the National Curriculum for Basic Education, the NIED Guide for the Submission and Evaluation of Textbooks and Teaching and Learning Materials (2007) and other relevant documents; Consult with the MCA-N Director Procurement and MCA-N Director Education on the MCC requirements to which the LSM Evaluation and Selection Policy must comply in order for future LSM procurements to qualify for future MCA-N Compact funding; Formulate a Draft LSM Evaluation and Selection Policy, which shall include, but not necessary be limited to: - Policy proposals for the minimum and maximum number of LSMs per subject per grade to be included in textbook catalogues; - Policy proposals on catalogue review and renewal cycles to be in tune with the proposed curriculum review cycles contained in the Draft Curriculum Review Cycle Policy; 12

13 Attachment 2: Terms of Reference - Policy proposals on the minimum technical specifications for textbooks and LSMs at all levels; - Policy proposals on bidding, evaluation and selection processes for LSMs to ensure the selection of good quality, relevant and cost effective LSMs to be included in textbook catalogues; - Policy proposals on the required qualifications and experience; and the solicitation, selection, appointment, training, remuneration and performance management of evaluators to execute the evaluation and selection processes; - Policy proposals on contractual obligations for publishers and suppliers whose LSMs are selected for inclusion in the textbook catalogues; and - Policy proposals on the processes and responsibilities for the procurement from selected publishers and suppliers and the distribution to individual schools of LMSs ordered by schools on an annual basis from the textbook catalogues. Formulate a Draft LSM Evaluation and Selection Training Manual; Submit the Draft LSM Evaluation and Selection Policy and Training Manual to NIED and other stakeholders at a Stakeholders Workshop during the last week of November 2011 to obtain feedback and comments. Part Time Home Office Work January 2012 One week (5 days) Level of Effort Incorporate relevant changes and submit the Final LSM Evaluation and Selection Policy and Training Manual to MCA-N; Task 4: Develop Bidding Documentation for the 2012/13 Catalogue Bidding Process Part Time Home Office Work February 2012 to June Six weeks (30 days) Level of Effort The Consultant can rely on the support of the MCA-N Procurement Unit in the development of the Bidding Documentation. Review the purpose, design and functionality of the textbook catalogue and make recommendations on amendments to its format to make it more user friendly; Develop a Draft Invitation to Bid (ITB) for new LSMs to be included in the 2013 catalogue, which shall include the following: - Letter of Invitation to publishers and suppliers to submit manuscripts and sample learning materials. - Instructions to bidders on eligibility requirements; the requirements and procedures for the submission of proposals; the procedures that will be followed for the opening and evaluation of proposals, the selection of LSMs to be included in the 2013 catalogue and the award of supply agreements to successful publishers and suppliers. 13

14 Attachment 2: Terms of Reference - Reference to the applicable curricula for the particular subject and grades and where it can be obtained. - Generic technical specifications for textbooks and LSMs at all levels; - The Evaluation Criteria that will be used for the selection of the LSMs to be included in the textbook catalogue - Bidding forms that prospective bidders must complete; and - Key contractual terms and conditions to be included in the supply agreements of successful publishers and suppliers. Submit the Draft Invitation to Bid for LSMs to MCA-N Incorporate changes and submit the Final Invitation to Bid for LSMs to MCA-N. Develop a Draft Invitation for Expression of Interest (EOI) for prospective evaluators, which shall include the following: - Letter of Invitation for prospective evaluators to express their interest; - Terms of Reference for evaluators spelling out objectives, activities, tasks and responsibilities; - Bidding forms consisting of the required Letter of Expression of Interest and the format of Curriculum Vitae to be submitted; - The Evaluation Criteria that will be used for the selection of evaluators; and - Key contractual terms and conditions to be included in the performance contracts for evaluators. Submit the Draft Invitation for the Expression of Interest for Evaluators to MCA-N; and Incorporate changes and submit the Final Invitation for the Expression of Interest for Evaluators to MCA-N Task 5: Provide training to NIED Administrators, Catalogue Designers and Evaluators; and provide technical assistance during the evaluation and selection of LSMs for the 2013 Catalogue: Full Time Field Work Mid January to February 2013 Five weeks (25 days) Level of Effort Conduct one (1) training session to NIED officials on textbook catalogue design and the administration of the evaluation, ranking and selection processes of sample LSM s submitted by publishers and suppliers; Conduct three (3) training sessions for the first cohort of Evaluators (no less than 100) at Okahandja on the evaluation and ranking of submitted LSMs, using a participatory approach with NIED staff; 14

15 Attachment 2: Terms of Reference Compile and submit to MCA-N a Draft Training Feedback Report outlining the training processes, results, lessons learnt and recommendations for improvements of future training sessions. Assist NIED in overseeing the first round of evaluation and ranking of submitted LSMs for the 2013 textbook catalogue; Assist NIED in the selection of LSMs to be included in the 2013 textbook catalogue and the compilation of a Bid Evaluation Report for approval by the appropriate authorities. Compile and submit to MCA-N a Draft Evaluation and Selection Feedback Report outlining the processes, results, lessons learnt and recommendations for improvements of future evaluation and selection sessions Task 6: Consolidate the Consultancy Activities Draft Final Report Part Time Home Office Work March Two weeks (10 days) Level of Effort The Final Report on the implementation of all consultancy activities will be distributed to stakeholders as listed in above. The Final Report shall provide a comprehensive overview of the performance of the Consultant s services based on the scope of work. The Final Report shall also include a detailed proposed way forward to improve future curriculum reform cycles. The report shall also include: A narrative Report on the development and approval of Curriculum Review Cycle Policy and the LSM Evaluation and Selection Policy. Final recommendations on the format of the rationalised and user friendly Textbook Catalogue Final standard bidding documents for Invitation to Bid for LSMs and Invitation for the Expression of Interest for Evaluators Final Training Feedback Report incorporating comments and suggestions received from MCA-N and NIED Final Evaluation and Selection Feedback Report incorporating comments and suggestions received from MCA-N and NIED 5. Reports The Consultant shall submit all written Deliverables and Reports in English and in an application compatible with recent versions of Microsoft Applications to MCA-N. Deliverables will be considered draft upon initial receipts. Drafts will be reviewed and accepted or concerns raised and/or comments provided within 5 business days of receipt. The Consultant shall appropriately address the MCA-N and NIED concerns and provide final deliverables within 5 business days of receiving the MCA-N response. 15

16 Attachment 2: Terms of Reference 5.1 Performance and Quarterly Reports The Consultant will be expected to achieve the milestones specified in the work plan and to demonstrate substantial progress toward achievement of such milestones through three (3) brief Quarterly Reports (2-3 pages) due on 30 November 2011, 31 March 2012 and 30 June 2112 respectively. The Consultant will report to the MCA-N General Education Manager on activities performed, including any updates to the work plan and any issues that could affect the progress of services, as well as challenges and solutions to these challenges. The Consultant will work collaboratively with NIED staff using a participatory approach. 6. OWNERSHIP AND MAINTENANCE OF WORK PRODUCT All work files and documents generated for and during this contract shall become the joint property of the National Institute for Educational Development, Ministry of Education and MCA-N. Written reports shall include full citations of all outside sources drawn upon, documented appropriately in footnotes and a bibliography. The Consultant shall establish and maintain a comprehensive inventory, either hard copy or electronic (preferably both), of all relevant documents made available and collected. All such documents will be compiled in usable form and delivered in an organized fashion to NIED Management and MCA-N at the end of the contract. MCA-N with prior written approval may ask the Consultant to show documents to interested parties and make presentations of same. The copyright and ownership of all project materials will remain with NIED and MCA-N. 7. PAYMENT SCHEDULE A Fixed Contract Price for the Consultancy will be negotiated with the selected Consultant. CONSULTANT QUALIFICATIONS AND EXPERIENCE Required qualifications/expertise for the Consultant: Applications are invited from competent individual consultants who can demonstrate strong experience in education policy development, especially in Curriculum Planning and Policy development; in learning materials planning, specification and evaluation in developing countries (preferably sub-saharan Africa); and in national government level capacity-building in the education sector. Educational requirements: A relevant Masters Degree with relevant coursework in curriculum related studies, education policy development and management; a PhD will be an added advantage. Experience requirements: Experience with education sector policy formulation and analysis and/or education sector curriculum policy in developing countries, preferably at national or provincial/regional level; 17

18 Attachment 2: Terms of Reference Ten (10) years progressively responsible experience in curriculum and materials development, quantitative analysis of programmes, monitoring and evaluation, or related work; Familiarity with processes of strengthening national, regional, and local entities and building local capacities for self-management within the context of decentralization; Proven experience in facilitating capacity building and training, development and implementation. Experience in the education sector in developing countries, sub-saharan Africa in general and Namibia in particular is an added advantage. Experience in learning materials planning, specification and evaluation. Ability to quickly become familiar with Namibia s National Development Planning processes, Vision 2030 and ETSIP in particular and gain a good insight into teacher education programme in Namibia. 10. GENERAL CONDITIONS During site visits the Consultant will be based at the NIED offices in Okahandja, Namibia. On a day to day basis, the Consultant will report to the MCA-N General Education Manager. Agreement This CONTRACT AGREEMENT (this Contract ) made as of the [day] of [month], [year], between MILLENNIUM CHALLENGE ACCOUNT-NAMIBIA ( MCA Namibia ), on the one part, and [full legal name of the Consultant] (the Consultant ) on the other part. [Note: If the Consultant consists of more than one entity, the following should be used] This CONTRACT AGREEMENT (this Contract ) made as of the [day] of [month], [year], between Millennium Challenge Account Namibia ( MCA Namibia ), on the one part, and [full legal name of lead Consultant] (the Consultant ) in [joint venture / consortium / association] with [list names of each joint venture entity], on the other part, each of which will be jointly and severally liable to MCA Namibia for all of the Consultant s obligations under this Contract and is deemed to be included in any reference to the term Consultant. WHEREAS, RECITALS (a) The United States of America, acting through the Millennium Challenge Corporation ( MCC ) and the Republic of Namibia (the Government ) have entered into a Millennium Challenge Compact for Millennium Challenge Account assistance to help facilitate poverty reduction through economic growth in Namibia on July 28, 2008 (the Compact ) in the amount of $304,477,816 ( MCC Funding ). The Government, acting through MCA Namibia, intends to apply a portion of the proceeds of MCC Funding to eligible payments under this Contract. Payments made under this Contract will be subject, in all respects, to the terms and conditions of the Compact and related documents, including restrictions on the use, and conditions to disbursement, of MCC Funding. No party other than the Government and MCA Namibia shall derive any rights from the Compact or have any claim to the proceeds of MCC Funding; and (b) MCA Namibia has requested the Consultant to provide certain consulting services as described in Appendix A to this Contract (the Services ); and (c) The Consultant, having represented to MCA Namibia that the Consultant has the required professional skills and technical resources, has agreed to provide such services on the terms and conditions set forth in this Contract. NOW THEREFORE, the Parties to this Contract agree as follows: 1. In consideration of the payments to be made by MCA Namibia to the Consultant as set forth in this Contract, the Consultant hereby covenants with MCA Namibia to perform the Services in conformity in all respects with the provisions of this Contract. 2. Subject to the terms of this Contract, MCA Namibia hereby covenants to pay the Consultant, in consideration of the performance of the Services, the Contract Price (as defined below) or such other sum as may become payable pursuant to the provisions of this Contract at the times and in the manner prescribed by this Contract. 3

23 II. General Terms and Conditions of Contract 1. General Provisions 1.1 Definitions Capitalized terms used in this Contract and not otherwise defined have the meanings given such terms in the Compact or related document. 1.2 Relationship Between the Parties 1.3 Law Governing Contract Nothing contained in this Contract shall be construed as establishing a relationship of master and servant or of principal and agent as between MCA Namibia and the Consultant. This Contract, its meaning and interpretation, and the relation between the Parties shall be governed by the laws and any other instruments having the force of law in the Republic of Namibia, as they may be issued and in force from time to time ( Applicable Law ). In the event of a conflict between the MCA Namibia Procurement Rules and applicable provisions of the Tender Board of Namibia Act, 1996 or any other public procurement laws or regulations of Namibia, the MCA Namibia Procurement Rules shall prevail. 1.4 Interpretation Unless otherwise indicated, throughout this Contract: (d) each Appendix to this Contract is incorporated herein by reference and constitutes and integral part of this Contract; (e) all references to contracts, agreements, or other documents shall be deemed to mean such contracts, agreements or documents, as the same may be amended or otherwise modified from time to time; (f) confirmation means confirmation in writing; (g) in writing means communicated in written form (e.g., by mail, , or facsimile) delivered with proof of receipt; and (h) the headings are for reference only and shall not limit, alter or affect the meaning of this Contract. 1.5 Notices Any notice, request or consent required or permitted to be given or made pursuant to this Contract shall be in writing. Any such notice, request or consent shall be deemed to have been given or made when delivered in person to an authorized representative of the Party to whom the communication is addressed, or when sent to such Party at the address specified in Section 1.5.3, or sent by confirmed facsimile or electronic , if sent during normal business hours of the recipient Party A Party may change their address for receiving notice under this Contract by giving the other Party notice in writing of such change to the address specified in Section

24 1.5.3 The notice address for each party is: For MCA Namibia: For Consultant: 1.6 Location The Services shall be performed at such locations as are specified in Appendix A to this Contract and, where the location of a particular task is not so specified, at such locations, whether in Namibia or elsewhere, as MCA Namibia may approve. 1.7 Authorized MCA Namibia Representative Any action required or permitted to be taken, and any document required or permitted to be executed under this Contract by MCA Namibia may be taken or executed by its [specify appropriate officer]. 1.8 Taxes and Duties Except as may be exempted pursuant to the Compact or another agreement related to the Compact, available on the MCA Namibia website, the Consultant may be subject to certain Taxes on amounts payable by MCA Namibia under this Contract in accordance with Applicable Law. The Consultant shall pay all Taxes levied under Applicable Law. In no event shall MCA Namibia be responsible for the payment or reimbursement of any Taxes. In the event that any Taxes are imposed on the Consultant, the Contract Price shall not be adjusted to account for such Taxes. For the avoidance of doubt, (a) the Consultant will be subject to Applicable Law regarding the following Taxes (collectively, the Non- Exempt Taxes ), and are not exempt from such Taxes pursuant to the provisions of the Compact: income and profit taxes (including individual and corporate), transfer duty taxes, stamp duty taxes, fuel levies, motor vehicle taxes and rates and taxes; and (b) in the case of valueadded Taxes, the Consultant, if registered in Namibia as a payer of value-added Taxes, (i) may invoice MCA Namibia for value-added Taxes associated with performing the Services and (ii) may receive tax exemption from import customs and value-added Taxes on supplies, goods and services imported for the performance of the Services if such supplies, goods or services are consigned to MCA Namibia. 6

25 1.8.2 The Consultant, the Consultant s members and their eligible dependents, shall follow the usual customs procedures of Namibia in importing property into Namibia If the Consultant or any of the Consultant s members or eligible dependents, do not withdraw but dispose of any property in Namibia upon which customs duties or other Taxes have been exempted, the Consultant (a) shall bear such customs duties and other Taxes in conformity with Applicable Law, or (b) shall reimburse such customs duties and Taxes to MCA Namibia if such customs duties and Taxes were paid by MCA Namibia at the time the property in question was brought into Namibia Without prejudice to the rights of the Consultant under this Section, the Consultant will take reasonable steps as requested by MCA Namibia or the Government with respect to the determination of the Tax status described in this Section If the Consultant is required to pay Taxes that are exempt under the Compact or a related agreement, the Consultant shall promptly notify MCA Namibia (or such agent or representative designated by MCA Namibia) of any Taxes paid, and the Consultant shall cooperate with, and take such actions as may be requested by MCA Namibia, MCC, or either of their agents or representatives, in seeking the prompt and proper reimbursement of such Taxes MCA Namibia shall use reasonable efforts to ensure that the Government provides the Consultant the exemptions from taxation applicable to such persons or entities, in accordance with the terms of the Compact or related agreements. If MCA Namibia fails to comply with its obligations under this paragraph, the Consultant shall have the right to terminate this Contract in accordance with Section 2.7.5(d). 1.9 Fraud and Corruption Requirements MCC requires that MCA Namibia and any other beneficiaries of MCC funding, including any bidders, suppliers, contractors, subcontractors and consultants under any MCC-funded contracts, observe the highest standards of ethics during the procurement and execution of such contracts. Definitions As used in this Section 1.9: (i) (j) coercive practice means impairing or harming or threatening to impair or harm, directly or indirectly, persons or their property, to influence their participation in a procurement process, or affect the execution of a contract. collusive practice means a scheme or arrangement between two or more parties, with or without the 7

26 knowledge of MCA Namibia, designed to establish prices at artificial, non-competitive levels or to otherwise deprive MCA Namibia of the benefits of free and open competition. (k) corrupt practice means the offering, giving, receiving, or soliciting, directly or indirectly, of anything of value to influence the actions of a public official (including MCA Namibia and MCC staff and employees of other organizations taking or reviewing selection decisions) in the selection process or in contract execution or the making of any payment to any third party, in connection with or in furtherance of a contract, in violation of (A) the United States Foreign Corrupt Practices Act of 1977, as amended (15 USC 78a et seq.) ( FCPA ), or any other actions taken that otherwise would be in violation of the FCPA if the FCPA were applicable, or (B) any applicable law in Namibia. (l) fraudulent practice means any act or omission, including any misrepresentation, in order to influence (or attempt to influence) a selection process or the execution of a contract to obtain a financial or other benefit, or to avoid (or attempt to avoid) an obligation. (m) obstructive practice means (i) (ii) destroying, falsifying, altering or concealing evidence material to the investigation or making false statements to investigators in order to impede an investigation into allegations of a corrupt, fraudulent, coercive, collusive, or prohibited practice; and threatening, harassing, or intimidating any party to prevent it from disclosing its knowledge of matters relevant to the investigation or from pursuing the investigation, and acts intended to impede the exercise of the inspection and audit rights of MCC provided under the Compact and related agreements. (n) prohibited practice means any action that violates Section E (Compliance with Anti-Corruption, Anti- Money Laundering and Terrorist Financing Statutes and Other Restrictions) of Article III to this Contract. Measures to be Taken MCC may cancel the portion of MCC Funding allocated to this Contract if it determines at any time that representatives of MCA Namibia, the Consultant or any other beneficiary of the MCC Funding were engaged in corrupt, fraudulent, coercive, collusive, prohibited or obstructive practices during the selection process or the execution of this Contract, without MCA Namibia, the 8
