For more information about us and what we do visit Governance Parkinson s UK ( the Charity ) is a registered charity in England and Wales, Scotland and soon to be registered in Northern Ireland. The charity is also a company limited by guarantee. The role of the Nominations Panel (the Panel) The Panel is a formally constituted committee of our Board of Trustees and is made up of a combination of Trustees and independent (non-trustee) members. The Panel is committed to developing innovative governance best practice to ensure the charity s recruitment, induction, evaluation and development mechanisms are fit for purpose and identify the best possible candidates. 2 of 10

3 Being a Panel member Panel members should be committed to the aims, objectives and values of Parkinson s UK and have professional expertise, skills and knowledge in one or more of the following areas: charity governance frameworks and structures; charity governance best practice and trends; trusteeship and committee practice; recruitment, induction, performance review and development practices; coaching or mentoring; governing similar sized charities or not-for-profits; the wider environments in which the charity operates. We are looking to recruit two new independent Panel members full details are included in the enclosed role description. 3 of 10

4 NOMINATION PANEL MEMBER ROLE DESCRIPTION 1 ABOUT THE ROLE The Nominations Panel s primary purpose is to keep under review the ongoing succession of the Board and its committees and identify and nominate candidates to fill such vacancies as and when they arise. KEY TASKS AND RESPONSIBILITIES The responsibilities of the Nominations Panel are to: 1. Keep under review the structure, size and composition of the Board and its committees and advise the Board with regard to any changes. 2. Annually give consideration to Board and committee succession planning and ensure that adequate time is allowed for the various recruitment procedures (election and appointment) to be undertaken. 3. Annually review the charity s recruitment procedures and associated documentation to ensure they remain effective and reflect best practice and advise the Board with regard to any changes; 4. Identify and nominate for approval by the Board, candidates for appointment as Trustees as and when they arise and specific committee roles (e.g. the Chair) as instructed. 1 Last review by the Nominations Panel on November 2015 (to reflect updates to terms of reference)

5 The Panel thus has responsibility to: 4.1. Identify the specific professional and managerial skills and expertise needed to balance the Board ( the criteria for selection ); 4.2. Search for candidates to meet the criteria for selection, from within and without the Charity, and then select, vet and interview them; 4.3. Nominate to the Board the candidate whom they consider to be best for each particular vacancy; 4.4. Keep under regular review the efficacy and efficiency of the Panel, particularly how well the criteria for selection are identified, and to plan for future needs of the Board; 5. The Panel shall in carrying out their responsibility under paragraph 4: 5.1. Annually review the roles and responsibilities of the Chair, Honorary Officers and trustees and advise the Board with regard to any changes; 5.2. Consider whether the needs of the Board are likely to be better satisfied by the appointment of an individual to serve as a specific Honorary Officer as well as a Trustee; 5.3. Comply with the charity s recruitment procedures. 6. Periodically review the charity s remuneration policy, including pensions schemes and any general arrangements for performance related pay, and submitting revisions to the Board of Trustees as required Consider and make recommendations on such other matters as may be directed by the Board. 2 Specific addition approved by the Board 28 May of 10

6 PERSON SPECIFICATION - QUALITIES, SKILLS AND EXPERIENCE The Nominations Panel is committed to developing innovative governance best practice and candidates should consider whether they can bring the following qualities, skills and experience: a) All members should have, or be able to acquire (with the support of the charity): commitment to the aims and objectives of the charity; understanding of its culture and commitment to its values; understanding of the charity s governance framework including its committee structure; understanding of relevant legislation or other rules governing the charity; understanding of the Parkinson s community and key stakeholders; ability to ask challenging questions and contribute an objective and independent perspective; willingness to devote the necessary time to the role commitment to the seven Nolan Principles of public life: selflessness, integrity, objectivity, accountability, openness, honesty and leadership. The Panel should also collectively possess knowledge/skills/experience in 3 : charity governance frameworks and structures; charity governance best practice and trends; trusteeship and committee practice; recruitment, induction, performance review and development practices; coaching or mentoring; governing similar sized charities or not-for-profits; the wider environments in which the charity operates. PRACTICALITIES Member Support Contact: Support is provided by a small Governance team who can assist with travel arrangements, circulation of meeting papers and general queries. Location: Charity meetings are usually held at the charity s national office at 215 Vauxhall Bridge Road, London SW1V 1EJ however occasional travel outside of London may be required. 3 Individual members to bring one or more of the following. 6 of 10

7 Anticipated length of role: Nominations Panel members are generally appointed for a fixed term of up to four years. Members can generally not serve more than two consecutive full terms and after this time must stand down. Anticipated time contribution: The Nominations Panel usually meets around four times a year during normal business hours. Members are expected to adequately prepare for, attend and contribute to all Nominations Panel meetings and participate in additional tasks and meetings as required by the Nominations Panel or the Board of Trustees. The expected time commitment is the equivalent of between 7 and 8 days a year (excluding travel) as detailed below: 4 half day meetings of the Nominations Panel membership of assessment & interview panels as required additional meetings and training as required keeping up-to-date with developments within the charity and charity governance best practice. TRAINING PROVISION A full induction will be provided for all members following appointment. This will be followed up with regular correspondence from the charity to keep members up to date and engaged with its work. Additional training may also be provided as appropriate. WHAT THIS ROLE OFFERS VOLUNTEERS As a Nomination Panel member you will have the opportunity to contribute to the work and effective governance of Parkinson s UK. Our committee members say they get enormous job satisfaction from using their skills and experience to support the work of the charity - knowing that they are making a real difference for people affected by Parkinson s. VOLUNTEER EXPENSES The role of a Nominations Panel member is unpaid. However we are committed to ensuring that no volunteer should find themselves out of pocket because of expenses incurred when carrying 7 of 10

8 out activities on our behalf. As a volunteer, you can claim out of pocket expenses in line with Parkinson s UK s Volunteer Expenses Policy. 8 of 10

9 REFERENCES Before appointing a committee member our Board must ensure that prospective individuals are not unsuitable to act as such. In line with Charity Commission guidance the following checks and register searches will be conducted before an individual is recommended for appointment: Basic disclosure: This identifies convictions considered unspent under The Rehabilitation of Offenders Act 1974 (conducted by Disclosure Scotland). Individual Insolvency Register (maintained by the Insolvency Service) Register of disqualified directors (maintained by Company House) Register of persons removed as a charity trustee (maintained by Charity Commission) Reference will then be requested for all successful candidates before their first meeting where practicable 9 of 10
