5 Management and Organizational Structure Relevant Board Members José Luis Vázquez CEO José L. Vázquez has more than 15 years of experience in Telecomms and Interactivity markets, where he is a skilled professional. He founded Fresh in the year 2000 being the CTO, and became the CEO of the company in José Luis holds a degree in Advanced Telecommunication Engineering (UPM) and a MBA (IESE). Graham Duncan CFO Graham Duncan is a chartered accountant having qualified with PricewaterhouseCoopers where he worked for 5 years in the audit and business advisory sector. Prior to joining mirada, Graham was the CFO of Parallel Media Group plc, an AIM listed sports marketing company, before this he was the Group Financial Controller for Sportal International Ltd. Javier Casanueva Chairman Javier Casanueva is a partner at Baring Private Equity Partners Espana S.A. ( Baring ), and has extensive experience in transactions both in Europe and the USA. He has sat on the boards of numerous companies across a variety of sectors as a representative of Baring. Francis Coles Non Executive Director Francis Coles was the founding Director of New Boathouse Capital and the director of AIM listed merchant bank Quayle Munro in the past, in addition to covering fund raising and M&A in Europe and Latin America as director of Barings. He currently functions and a Non-Executive Director on mirada s board and is independent. 5

The strength of mirada s offer lies in the following assets: One of the widest EPG/PVR and VOD client expertise in the market: To date, mirada has deployed 12 EPGs and 7 VOD applications (using different types of middleware, return path technologies and CA systems). We believe this expertise is the key when it comes to specifying the right application and designing a User Interface that is not only nice-looking and intuitive but also technically sound, future-proof and performance-oriented. An unparalleled end-to-end digital TV know-how, which includes itv design, operation and consulting: mirada is much more than an application development company. We have not only developed one of the widest applications portfolios in the market but we have also provided consulting services for many of our customers. We have worked with a wide range of customers including Auna, Ono, Jazztel, R, Euskaltel, RedBee/ BBC and Cabovisao to provide application GUI designs, pull VOD architectures, functional designs, technology partner selection, and much more. mirada also offers its clients the unique benefit of also being an operator of its own interactive TV applications through TV, weband mobile. A hands-on UI definition and graphical design expertise: as a designer and operator of interactive TV services (YooPlay, GalaTV, Montecarlo Roulette channels on BskyB and the web), we understand how consumers interact with their televisions and use this knowledge to design applications that are clear, simple and intuitive, making the Interactive Digital Television experience quick and easy for end-users. Our UI expertise encompasses dozens of applications including EPGs, VOD, EnhancedTV applications, websites and even mobile interactive portals. Access to a network of partners - to cover integration issues and to bring additional UI alternatives. As a pioneer in interactive TV, mirada has vast experience in operator projects, where multiple partners and vendors are required to launch a new service. 8 mirada Interactive Expertise Track Record mirada Track Record The depth and scope of mirada s expertise has allowed us to work on multiple consulting projects addressing not only interactive application matters but also back- end and head-end components, as well as more general technological choices and migration issues, often in a multi-middleware environment. Technology evaluation/ selection & migration projects (EPG, VOD, MW) EPG/PPV/VOD code audit: review of UPC Chello EPG s code and architecture and evaluation of the effort and architecture required to upgrade the EPG, introducing new functionalities and a new UI (reusing existing backend components) and migrating to a new middleware in a second phase. Analysis, technical feasibility study and generation of the architecture needed to replace MOTOROLA native code with a third party EPG. Middleware performance and features benchmark (NDS Core now MediaHighway Evolution vs. OpenTV vs. MHP). Assessment and process definition needed to migrate a deployed STB with MediaHighway Evolution software to an OpenTV middleware. MHP Testing: mirada has been asked to test the MHP stacks by the MHP consortium (generating and running test applications). User Interface Design mirada has designed multiple applications such as EPGs, VOD clients, Enhanced TV services and many more using both internal resources (mirada has full time designers on board) and UI specialist freelancers. mirada s main references in this domain are: Jazztel (EPG, VOD, surfer) R_Cable Guide Euskaltel Guide evolution Etisalat/ Quative (VOD application) Cabovisao (VOD design and STB Flash prototyping up to date; EPG and search functions design in 2010). mirada next generation guide (NAVI) tvmediacenter service (UPnP) Other itv services: meetic (dating application), Argentina Government (Elections), star bazaar (Shopping applications),... WEB designs. As a global services provider, mirada has developed different applications as well, exclusively for the Web, and some 360o services. For many of these designs, prototyping has been developed in Flash in order to get feedbacks and corrections in a close to real configuration, early in the development process. Signalling and Data Format Related Consulting Design of various private EPG data formats (for euskaltel, Telecable, ). VOD data carousel design: hybrid design for both MHP and native applications (MOTOROLA STBs) data being shared between broadcast and return path (for ONO). Idem over OpenTV for Etisalat. Design of backend and data format for return path (ONO). TV Mail application: data format design for TV Mail applications based on MPEG private section signalling (Digital+, Euskaltel, Telecable, Auna/ONO). Stock application: design of stock market real-time data format suitable for OpenTV, Pantalk, MHP applications running on their respective STB (Digital+, Auna, RTVE). Signalling and Data Format Related Consulting Design of a PushVOD architecture. Advice on design implementation and testing of intelligent TV services (recommendations, search, etc.) for Virgin Media. TV based gaming services: Consulting for La Francaise Des Jeux (French national lottery operator); analysing the options for the provision of a live TV-based lottery game. The consultancy covered: Analysis of business & 8

9 commercial models, advice of game concepts & show formats, technical analysis of feasibility of integrating such a game with LFDJ s existing DTV and back office infrastructure. Definition of a service Roadmap for a Portuguese DTT license contender (our client won the license, partly thanks to mirada s work). Coordinator/ participant in a number of European funded projects: SERMEDIA (muti-platform content consumption platform), Audience Measurement projects (MET TV with Universidad Politecnica, TVE; Arena ), ADI (HD content), IDENTIFICA-T (Electronic Passport with SUN and Indra), ACTUA-TV (Spanish DTT). In addition to the above information, mirada has provided its experience and know-how across different countries in Latin America (Chile, Argentina, Venezuela, Colombia, Uruguay,etc.) in different projects related to interactive TV and applications for DTT Technology. mirada has also worked with Television Operators providing not only Interactive applications according to their requirements, but also supplying our experience and know-how for interactive advertisement to: Antena 3, Cartoon Network, Cuatro/ Sogecable, Disney Television International, ITV, MTV Networks, Music Choice, Net TV, Radio Television Espanola, Telemadrid/La Otra, Universal Studios Network, Warner Bros., Gala TV, Overseas Property Channel, Playboy TV, Channel 4, Channel 5, UKTV. Digital TV services consulting: working with both Sky and Flextech (now Virgin) providing advice on the range of services that could be delivered using DTV. This covered services such as Pay per Play games, travel agent type services to support travel based TV channels and banking. Analysis for each service covered functionalities required, types of transactions to be offered, as well as User Interface prototyping. 9
