OUR OBLIGATION TO YOU This policy is our promise to you to pay for your loss if:- 1. a loss of a type described under What has gone wrong occurs prior to the end of the policy period, 2. you have discovered and told us about this loss during the policy period or discovery period, 3. the loss is covered under What does the policy pay, 4. the loss is not excluded under What is not covered, and 5. you have met the duties under Your obligations to us. Our promise is also subject to the conditions set out under General Matters. 2. WHAT HAS GONE WRONG? You have suffered a loss because of:- a. an internal crime, or b. an external crime, or c. a theft, physical loss or damage. 3. WHAT DOES THE POLICY PAY? We will pay up to the sum insured for loss (as described below) which you suffer as a result of an act or acts described under What has gone wrong, but we will not pay for loss referred to under What is not covered. The loss that we will pay must be direct financial loss sustained by you anywhere in the world in connection with a single act or series of related, continuous or repeated acts of: a. internal crime or b. external crime or c. theft, physical loss or damage. The loss will include the direct financial loss sustained by a client which is discovered during the policy period, or the discovery period, as a result of you suffering an internal crime or an external crime or a theft, physical loss or damage and where you have responsibility for the care, custody and control of the money, securities or property of any client, unless caused by an employee in collusion with such client or any employee thereof. The loss must be sustained prior to the end of the policy period and be discovered and notified by you during the policy period or the discovery period, if applicable. 4. FEES, COSTS AND EXPENSES We will pay for any reasonable auditor s fees or investigation costs, other than internal costs and salaries, incurred by you with our prior written consent in order to identify and to quantify a loss covered by this policy. 5 We will also pay any legal fees incurred by you in defending any demand, claim or legal proceedings resulting from any loss covered by this policy. We will pay fair and reasonable costs incurred by you, with our prior written consent, as a result of a covered loss hereon to restore your computer, network or electronic commerce services to their pre-loss operating capacity. The amount in respect of such computer costs is subject to the sub-limit specified in Item 4 ii) of the Schedule to this policy and is subject to the excess as specified in Item 6. Such payments will be part of the sum insured. 5. EXTENSIONS Any cover provided pursuant to you having selected any of the extensions below, is subject to all of the terms, conditions and exclusions of this policy and will form part of, and not be in addition to, the sum insured as specified in Item 4 of the Schedule. a) Contractual Penalties: We will pay the amount of any penalty (other than punitive penalties) assumed and enforced against you under written contract, resulting directly from a covered loss. The maximum amount payable in respect of such penalties is subject to the sub-limit specified in Item 5 of the Schedule to this policy and is subject to the excess as specified in Item 6. b) Interest: We will pay interest that you would have received or any interest that you are legally obliged to pay to a client (other than interest under a written contract) because of a covered loss. Interest is payable for the period between when the covered loss occurred and when it was discovered calculated at the Reserve Bank of Australia issued official cash rate on the date the loss is discovered. The amount in respect of Interest is subject to the sub-limit specified in Item 5 of the Schedule to this policy and is subject to the excess as specified in Item 6. c) Public Relations Expenses: We will pay you Public Relations Expenses resulting from a covered loss. The amount in respect of such Public Relations Expenses is subject to the sub-limit specified in Item 5 of the Schedule to this policy. d) Outsourcing: We will pay for any loss of your money, securities or property as a result of loss perpetrated by employees of any company to whom you outsource services (including but not limited to payroll, computing or accountancy services) under a written contract and subject to you being able to prove that the company to whom you outsource has been checked for their honesty, competence and financial stability and that you retain the right to audit their services. Where any loss perpetrated by an employee of such outsourcing company is also insured under a policy under which that employee is a beneficiary or pursuant to an indemnity under a contract then, to the extent permitted by the Insurance Contracts Act 1984 this policy will only cover such loss to the extent that the amount of such loss is excess the amount of such other insurance. Where any loss perpetrated by an employee of such outsourcing company is also covered under an indemnity agreement under which that employee is a beneficiary then this policy will only cover such loss to the extent that the amount of such loss is excess the amount of such indemnity agreement. 6 e) Extortion: We will pay for any loss, excluding all costs and expenses, of monies or property paid by you as a result of the communicated threat to do bodily harm to a director, employee, partner, or relative or to commit a computer crime provided that prior to the surrender of any money, securities or property the employee receiving the threat has reported the threat or demand to a director, officer or manager and that you have reported the matter to the police. We will not pay for any payments in respect of negotiation or investigation, medical or travel costs, medical fees or other ancillary expenses incurred by you in respect of any extortion. f) Automatic Acquisitions: We will extend cover for thirty days for any newly acquired or created insured from the date of acquisition or creation provided that any such company is controlled by you. For cover to continue to be provided you must advise us in writing within such thirty day period of any acquisitions or creation for our written agreement, if the gross annual revenue of any such company exceeds 25% of the gross annual revenue you declared to us in the proposal form or as stated in the latest annual report, whichever is the latter. We will discuss with you any appropriate changes to your coverage and any additional premiums that are to apply. We will not pay for any loss resulting from acts committed prior to the date of acquisition by the insured unless agreed by us in writing. g) Partners: We will pay for any loss to cover your partner(s) whilst performing acts coming within the scope of the usual duties of an employee. However, for any loss arising from fraudulent acts of partner(s), we will deduct from the amount that we will pay in respect of such a loss the amount(s) equal to the financial value of the partner s equity share as determined by the closing value of your books of account as of the date of the discovery of the loss by you or any partner not in collusion with the fraudulent partner. h) Erroneous Funds Transfer: We will pay you for any loss resulting from the unlawful retention by a third party of money or securities which were misdirected or erroneously transferred by you. This extension shall only apply if you have exhausted every reasonable course of action to secure recovery of such Money or Securities. This extension is subject to a sub-limit of 10% of the sum insured amount specified in Item 4(i) of the Schedule to this policy and subject to the excess as specified in Item WHAT IS NOT COVERED? We will not pay loss consisting of or which is due to:- a) fines, penalties or damages for which you are legally liable except for compensatory damages arising from a loss covered by this insurance and, only where you have selected such extended cover, the contractual penalty cover as set out under Extensions to this policy. b) any loss that you have discovered before the commencement of the policy period. c) loss caused by or involving any person(s) who actively control(s) your business. d) loss caused by an employee after you became aware that they have committed acts of fraud, dishonesty, or criminal damage. This exclusion will not apply if the person who discovers such acts is in collusion with the employee. e) any recall costs and expenses. ACE elite fraudprotector Insurance Policy (ed. 7 f) damage or destruction to any premises which you own or occupy for the purposes of conducting your business. g) indirect or consequential loss other than as may be agreed under the Extensions. h) income or profit. i) loss of confidential information, though we will cover loss where confidential information has been used to help to commit an act covered by this insurance. j) loss resulting directly or indirectly from any credit arrangement, false accounting, trading in securities, commodities, futures, options, currencies, foreign exchange or the like unless the loss is a result of internal crime, which results in an employee or another person or organisation in collusion with such employee making an improper financial gain other than salaries, commissions, fees, bonuses, promotions, awards, profit sharing, pension or any other employment benefits. k) any loss caused by an employee unless covered under internal crime 7. YOUR OBLIGATIONS TO US You should understand that you have a number of obligations to us that arise before we insure you; during the policy period; and when a problem arises. These obligations are described below. a) Before we agree to insure you The information given to us before we agree to insure you must be complete, accurate and not misleading. As it is important, the proposal form and the other written information which you, or anyone on your behalf, provide are incorporated into and form the basis of this insurance. The proposal form reminded you that you must disclose to us all facts and matters, which might be relevant to our consideration of your proposal. If you did not do so, we may be entitled to reduce our liability under this policy, to cancel the policy and/or to avoid this policy from its beginning. We will not do this if all of the following conditions are met. Firstly, we must have insured you before you were first aware, or ought reasonably to have been aware after enquiry, of the material matters and have continuously insured you since then. Secondly, you must satisfy us that the misrepresentation or failure to disclose was innocent and was not intended to mislead us. b) During the policy period You must tell us promptly if: (a) one or more of you merge with another business. (b) if anyone acquires more than 25% of the voting shares of the business of any one of you. (c) an administrator, receiver or liquidator is appointed to any one of you. 8 8. HOW TO ADVISE US OF A LOSS We need prompt notice should a loss arise in order that we can protect your interests. Therefore you must inform us in writing within 45 days of discovering a loss at: Financial Lines Claims, ACE Insurance Ltd, O Connell Street, Sydney NSW We, or a duly appointed representative, will then liaise with you concerning the steps to be taken in respect of the loss. You must provide us with full and accurate information about any loss or potential loss of the type described under What has gone wrong. If you, or anyone on your behalf, try to deceive us by deliberately giving us false information then we may be entitled to refuse to pay the loss and to cancel the policy. 9. HOW WE WILL CALCULATE YOUR LOSS When calculating the loss that we pay under this policy the valuation of direct financial loss shall be determined by:- i) the lesser of the market value of securities at the close of business on the day that you discover the loss, or the cost of replacing the securities. In addition the premium for issuing any lost instruments bond which may be required. ii) the lesser of the cash value of other property at the time of the loss or the cost of repairing or replacing it with property or material of similar value or quality. If you hold the property as a pledge or collateral for a loan then the cash value will be that which you agreed and recorded when you made the loan. If this value is not recorded then the unpaid portion of the loan plus accrued interest will be the cash value. iii) the rate of exchange applying to a foreign currency as published in The Australian Financial Review on the date that you discover the loss. If there is no such rate published on that day and you and we cannot agree the appropriate rate of exchange, the rate will be determined by arbitration as described under General matters. Unless otherwise stated, all amounts under this policy are expressed and payable in the currency of the Commonwealth of Australia. iv) the cost of blank books, blank pages, data media or other materials and the cost of labour and computer time required for the copying or transcription of data in order to reproduce books of accounts, records and electronic data. You must pay the excess for each loss. If a recovery is made after a loss then the proceeds, less the actual cost of making the recovery, will be distributed as follows:- i) first, to you for any amount of the loss which exceeds the sum insured and the excess; ii) second, to us for any settlement made; and iii) third, to you for the amount paid as the excess. After we have made a payment under this policy we will be subrogated to your rights of recovery in respect of the payment. You must execute all papers and do whatever is necessary to secure any rights including the execution of any documents to enable us to bring a suit in your name whether before or after a payment by us. 9 If a loss involves property that you do not own we may settle the claim with the owner, provided you have given your consent. 10. EACH LOSS LIMIT Payment of any loss will not reduce our liability for other loss. However, our maximum liability for any single loss will not exceed the amount specified as the sum insured. This will be the case regardless of whether the loss is sustained during the policy period and/or during a period prior to the policy period. All loss flowing from the acts of the same person or group of persons in collusion will be a single loss. This will be the case whether such loss involves one or more of the problems a) to c) set out under What has gone wrong, involves one or more incidents of loss or is sustained in one or more policy periods. Regardless of the number of years that this policy is in force, of whether it is or may be renewed and of the number of premiums paid, the sum insured shall not be cumulative from year to year or period to period. By accepting this policy, you are considered to have given notice to us cancelling any prior policy issued by us. 11. MEANING OF THE POLICY TERMS Throughout this policy document we have highlighted words in bold type. The special meanings of such words are described below:- a) Associated Company means a company, joint-venture or other entity in which the policyholder or one of its subsidiaries controls the voting rights and retains management control. b) Client means a customer to whom the insured provides goods or services either under a written contract or for a fee. c) Computer crime means an act or acts of a person amounting to:- 1) the loss of your:- i) money, securities or property under the direct or indirect control of a computer system by manipulation of computer hardware, software programmes or systems, by any person to which system you have not given authorised access; ii) money, securities or property from an account which you maintain at a financial institution following fraudulent electronic, telegraphic, cable, teletype, tested telex, telephone or written instructions to debit, transfer or deliver funds from such account. These instructions must appear to have been given by you or someone to whom you have given authorisation, but actually have been fraudulently transmitted, issued or fraudulently altered by another. 2) The intentional and wilful use of computer, network or electronic commerce services to erase, destroy, modify or corrupt data or to deny users access to your computer, network or electronic commerce services. 10 d) Control(s) means actions by a person or persons who you do not have the right to direct and control in their performance by virtue of their total or partial ownership of an insured. e) Counterfeiting means an act by a person which causes you to act upon or give value for a negotiable instrument that is an imitation of an authentic negotiable instrument and which deceives you into believing that the imitation is the authentic original negotiable instrument. Instruments which contain fraudulent misrepresentations of fact but are genuinely signed or endorsed, are not counterfeit for the purposes of this insurance. f) Discover, Discovery or Discovered means the time at which you or one of your directors or executive managers becomes aware of an act or acts which a reasonable person would assume may give rise to a loss covered by this policy. We should be informed of any such acts though the exact amount or details of the loss may not be known. Knowledge possessed by any one of you, your directors or executive managers will be deemed to be discovery by all of you. g) Discovery Period means the period stated in Item 7 of the Schedule to this policy immediately following termination or non-renewal of this policy. You must notify us in writing within 30 days following the effective date of termination or non-renewal of this policy, if you wish to elect the discovery period. Within this time, you may report any loss which you have discovered that was connected to an act committed during the policy period. There is no discovery period on renewal of this policy or upon the expiry, cancellation or other termination of this policy, if a similar policy or cover (whether issued by us or another insurer) replaces it. h) Employee means a person in your regular service whom you compensate by wages, salary, fees and/or commissions and who you have the right to direct and control in the performance of this service, including: i) any of your directors, trustees or consultants whilst performing acts coming within the scope of the usual duties of an employee. ii) any temporary personnel supplied by outside agencies, students, secondees, or volunteers whilst performing services for you. iii) any contractor but only when performing acts coming within the scope of the usual duties of an employee and only limited to services he is contracted to supply. iv) any professionally qualified lawyer retained by you, or any employee of such lawyer, whilst performing services on your behalf under the retainer. v) any trustee, fiduciary, administrator or officer of any plan established by you and falling within the definition of insured. vi) any of your retired employees working under written contracts vii) any employee for a period of sixty days immediately following termination of their service unless termination of their employment was as a result of an internal crime which would have been covered under this or a similar policy of insurance. viii) any employee whom you are unable to identify but who has caused you to sustain a loss provided that the evidence submitted proves beyond reasonable doubt that the loss was due to an act of an employee despite not being identifiable by name. 11 i) Excess means the amount stated in Item 6 of the Schedule, which you must retain of each and every loss. j) External Crime means an act or acts of a person who is not an employee of computer crime, counterfeiting or forgery which results in you sustaining a direct financial loss. k) False Accounting means the creation, recording or concealment of financial results or transactions with the intention of giving, or which results in, a misleading or deceptive statement of your financial condition. l) Forgery means the signing or endorsing or copying of the signature in the name of a genuine person by another person without authority and with the intent to deceive. Such signature must have been written on a cheque, a credit card, a credit card transaction slip or a bill of exchange, received or given by you in consequence of which you have acted or transferred funds or goods causing you to sustain a loss. It does not include a genuine signature applied without authority. A signature may be hand-written, mechanically, or electronically produced or reproduced. m) Insured means the policyholder and is deemed to include:- i) all subsidiary or associated companies existing at or before the inception date (or subsequent renewal date) and in respect of which we have received a proposal form. ii) any subsidiary or associated companies acquired or created after the inception date (or subsequent renewal date) from the date of such acquisition as agreed under Extensions iii) any subsidiary or associated company who ceases for any reason to be a subsidiary or associated company during the policy period for any internal crime, external crime or theft, physical loss or damage which occurs prior to the date of cessation. iv) any plan which you maintain on behalf of your employees other than any plan organised under the rules or regulations of the Employment Retirement Income Security Act of 1974 and any amendment thereto. n) Internal Crime means any act or acts of fraud or dishonesty committed by an employee to obtain a personal financial gain or which causes you to suffer a direct financial loss. Acts by an employee colluding with a person or persons who are not employees will also constitute internal crime. Acts by an employee which cause you to sustain a loss as a result of the intentional or wilful use of your computers or network services to steal money, securities or property or to modify destroy or delete data are included. Acts by an employee for gain in the form of salaries, commission, fees, bonuses, promotions, awards, profit sharing, pension or other employment benefits are not internal crime. For the avoidance of doubt, recklessness or inadvertence do not constitute intent. ACE elite fraudprotector Insurance Policy (ed. AU 09/10) Page 10 of 14

12 o) Money means currency, coins, bank notes and bullion, cheques, travellers cheques, registered cheques, postal orders or money orders held for sale to the public. p) Plan means any pension or employee benefit plans which you maintain on behalf of your employees. Payments for any loss will be made direct to the plan and a nil excess will apply. q) Policy period means the period of time from inception to expiry date in Item 2 of the Schedule. r) Property means tangible physical property other than money or securities. s) Policyholder means the entity named in Item 2 of the Schedule. t) Public Relations Expenses means the reasonable fees and related expenses of a public relations firm or consultant, crisis management firm or law firm, which you may engage with the written consent of us (which should not be unreasonably delayed or withheld) to prevent or limit adverse effects or negative publicity in relation to a covered loss under this policy. u) Securities means all negotiable and non-negotiable instruments or contracts, including any note, stock, bond, debenture, evidence of indebtedness, share or other equity or debt security, representing either money or property, but does not include money. v) Subsidiary means a company or other entity in which the policyholder directly or indirectly: i) controls the majority of the voting rights ii) controls the right to appoint or remove the majority of its board of directors iii) controls alone, pursuant to a written agreement with other shareholders, a majority of the voting rights iv) holds more than half of the issued share capital. w) Sum insured means our limit of liability in respect of loss being the amount specified in Item 4(i) of the Schedule to this policy. x) Theft, Physical Loss or Damage means: i) a dishonest and unlawful act of a person of taking your property, money or securities with the intention of permanently depriving you of its use or obtaining a financial gain for themselves, or ii) iii) the actual destruction or disappearance of money or securities, or damage to property owned by you or your client which you have in your care, custody and control. y) Transaction means any of the following events occurring during the policy period in respect of the policyholder: i) the policyholder sells all or more than 90% of its assets to any other entity; ii) the policyholder merges or consolidates into or with another entity; iii) any person, entity or affiliated group of persons and/or entities obtains the right or power to elect, appoint or designate at least fifty percent (50%) of the policyholder s directors; ACE elite fraudprotector Insurance Policy (ed. 13 iv) any person, entity or affiliated group of persons and/or entities acquires fifty percent (50%) or more of the policyholder s issued capital; or v) a receiver, receiver and manager, liquidator, administrator, official manager or trustee is appointed to manage, administer, liquidate, supervise, or otherwise take control. z) You or Your References to you or your, are references to the Insured. 12. GENERAL MATTERS a) References in this policy to we, our or us are references to ACE Insurance Ltd (ABN b) Single Policy: This policy is a single contract of insurance between us and the Insured and is for the benefit of all of you as joint insured parties. Accordingly, without limitation:- i) the policyholder will act for itself and for all of you for all purposes under this policy; ii) payment of any loss under this policy to the policyholder shall fully release us with respect to such loss; iii) our liability for loss sustained by one or all of you shall not exceed the amount for which we would have been liable had the loss been sustained by any one of you; iv) any loss sustained by any one Insured to the benefit of another Insured would not be covered. c) Computation: For the purposes of this policy, an inventory shortage or profit and loss calculation are not sufficient to establish that you have suffered a loss because of an act or acts described under What has gone wrong. d) Governing Law: This insurance, including its construction, application and validity is governed by the laws of the Commonwealth of Australia and of the State or Territory of the office of ACE in which the policy was issued. The courts of that State or Territory have exclusive jurisdiction in relation to any disputes regarding the interpretation of this policy. e) Other Insurance: To the extent any covered loss is or would be recoverable under any other insurance or indemnity agreement but for the existence of this policy or but for a breach of a warranty term or condition of such other insurance or indemnity agreement, then to the extent permitted by the Insurance Contracts Act 1984 (Cth), this policy, subject to its limitations, conditions, provisions and other terms, will only cover such loss to the extent that the amount of it is in excess of the amount of such other insurance or indemnity agreement. f) Dispute Resolution: Any dispute arising out of or relating to this insurance, including a dispute in respect of its construction, application or validity, will be determined by Counsel (to be mutually agreed or, in default of agreement, to be selected by the then President of the Law Society, or equivalent organisation, for the State or Territory out of which the policy was issued). Counsel s determination acting as an expert, not as an arbitrator, will be binding on both you and us. We will bear the costs of obtaining this determination. g) Cancellation: This policy may be cancelled by the policyholder at any time and cancellation takes effect at the time that notice of cancellation is provided to us. The policy may be cancelled by us in accordance with the Insurance Contracts Act 1984 (Cth). Where the policy is cancelled by: ACE elite fraudprotector Insurance Policy (ed. AU 09/10) Page 12 of 14

14 (i) the policyholder, we will refund any unearned premium calculated at customary short rates; (ii) us, the premium payable by you will be calculated on a pro rata basis in respect of the time on risk, unless you have discovered a loss before the cancellation takes place, in which case the premium will be deemed to be fully earned and none will be repayable to you. Payment or tender of unearned premium, if any, will not be a condition precedent to the effectiveness of cancellation, but will be made as soon as practicable. h) Transaction: If a transaction occurs during the policy period, this policy is amended to apply only to loss resulting from internal crime, external crime or theft, physical loss or damage occurring prior to the effective date of that transaction in respect of the insured. i) Assignment: You may not assign this policy or the rights to it unless we have agreed in writing. j) Goods and Services Tax: Where we makes any payment under this policy: (i) the amount of the payment will be reduced by the amount of any input tax credit to which you are or may, in our opinion, be entitled to claim; and (ii) you must inform us of the extent of any entitlement to an input tax credit for the premium at or before the time a claim is made under this policy. If you make a claim under this policy, you must inform us of your Australian Business Number if you have one. The amount of the applicable excess is calculated after deduction of the amount of any input tax credit that you are or may, in our opinion, be entitled to claim.
