24 List s Plus 10% GST General Terms and Conditions of Sale Risk and Title: All goods sold by Fortress Hardware Distributors to the Purchaser remain the absolute property of Fortress Hardware Distributors and no right, title or transfer of interest of any kind shall transfer to the Purchaser until such time as the price of the goods and all other moneys (if any) due from the Purchaser to Fortress Hardware Distributors have been paid in full. Until such time as all monies owed by the Purchaser to Fortress Hardware Distributors have been paid, the Purchaser shall be only a bailee of the goods for Fortress Hardware Distributors (hereinafter called 'the Supplier') and the Purchaser shall: 1) Hold the goods so as to enable them always to be readily identified as the property of the Supplier 2) Upon demand re-deliver the goods to the Supplier or allow the Supplier by its servants or agents to enter upon any premises where the goods are stored to recover the same The Purchaser is authorised, prior to payment for the goods being made, to sell the goods for the account of the Supplier. The Goods shall be at the Purchasers risk from the time of the goods being dispatched from the Supplier's premises. Description of Goods: Weights and or dimensions included in any catalogue advertisement price list or other literature are approximates only and details thereof shall not be binding. Quotations: No quotation given by the Supplier shall be deemed binding until such time as the Purchaser receives written confirmation from the Supplier accepting the order. Quotations are valid for thirty (30) days only and the Supplier reserves the right to amend it if an error or omission has occurred. Warranties: To the extent that the Trade Practices Act 1974 allows, warranties if approved shall be limited to either 1) Repair or replacement of goods concerned or the supply of equivalent goods 2) The payment of the cost of repairing or replacing the goods or the acquiring of equivalent goods whichever may be determined most appropriate by the Supplier in the circumstances. For any warranty claim to be actioned the Purchaser or other third party must within 30 (thirty) days of first becoming aware of the facts giving rise to the claim notify the Supplier in writing of the details of the claim and deliver the goods freight prepaid to the Supplier so as to enable the Supplier to examine the same and satisfy itself as to the validity of the claim. Warranties shall not apply in the case of.. 1) Defect(s) due to misuse or neglect 2) Goods which have been altered or added to or otherwise modified in any manner 3) Goods repaired or serviced by any person other than the supplier or its authorised representative 4) Goods used for purposes other than those for which they were designed or intended The Purchaser or third party shall satisfy itself as to the condition quality and suitability of the goods and the fitness of the goods for the purpose(s) for which the goods are being purchased and as to its compliance with the description (if any) of such goods. Any description shall be by way of identification only and the use of such descriptions shall not constitute this contract sale by description. Selling : All goods will be billed at prices existing at the time of invoicing. All prices quoted are subject to change without notice. Minimum Order Value: Unless previously arranged, orders with a nett invoice value (excluding tax) of less than A$100 will not be processed. Payment: Payment is to be nett 30 (thirty) days from date of statement. Special orders or specially priced items are payable strictly seven (7) days from date of invoice. Backorders: Backorders will be held at the Suppliers discretion unless advised otherwise. If backorders fall below our minimum order value they may be forwarded when the next order is placed. Credit Claims: Invoice numbers and date are required on all credit claims. All claims for loss, damage, and shortage or price discrepancy must be made in writing within seven (7) days after invoice date. Custom made or specially ordered goods are non returnable. All goods returned for credit must be in resalable condition. Goods returned for credit in unsaleable condition will not be credited. 24

25 List s Plus 10% GST Return of Goods: For goods to be accepted for return prior authorisation must first be obtained from the Supplier and the goods must be in new and resalable condition. Goods correctly supplied which are returned by the Purchaser will be subject to a handling charge (minimum 15%). Resalable as used in these terms and conditions means: 1) Original, Undamaged packaging 2) Not Shop Soiled 3) Not Ticketed or marked in any manner 4) Still current catalogue items Recovery of Debts In the event that it becomes necessary to institute debt recovery and legal proceedings to recover overdue and or otherwise unpaid debts to the Supplier, then 1) Any and all discounts or special prices showing on unpaid invoices become null and void and the current total list price becomes payable 2) The Purchaser shall pay all costs of collection of amounts owing by the purchaser to the Supplier, including but not restricted to Solicitor and or Agents fees Special s and Discounts Special prices or discounts may be available for volume orders, specific contracts or for items indented and delivered directly to the Purchasers address. For special prices or discounts to apply, strict adherence to our trading terms must occur. Late payment will result in the special price or discount becoming null and void, and the current list price being applied. 25
