(c) Publisher shall not be respsible for errors or omissis any advertisg materials provided by Advertiser or Agency (cludg errors key numbers) or for changes made to such advertisg after the applicable closg date. (d) Publisher may sert the advertisg anywhere Publicati its discreti, and any cditi orders or copy structis volvg the placement of advertisg shall be treated as a positig request ly and cannot be guaranteed. Publisher s ability or failure to comply with any such positig request shall not relieve Advertiser or Agency of the obligati to pay for the advertisg. (d) Advertiser and Agency agree that Publicati shall be under no liability for the failure, for any reas, to publish any advertisg or circulate any issue of Publicati. GERAL (e) Publisher shall not be obligated to return any advertisg material. (a) If Agency has entered this Agreement behalf of Advertiser, Agency cfirms that Advertiser has been provided with a copy of the terms hereof. (f) Any advertisg published Publicati may, Publisher s discreti, be published and archived by Publisher or any anye authorized by Publisher, as many times as Publisher and those authorized by Publisher wish, and any product, media and archive (cludg anythg prt, electric or other form). (b) This Agreement cstitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior agreements and understandgs relatg to the subject matter. No changes to this Agreement shall be effective unless made writg and signed by the party sought to be bound. WARRAIES, INDEMNITIES, LIMITATIONS (c) For clarity, Publisher shall not be bound by any cditis, prted or otherwise, appearg Advertiser or Agency ctracts, orders or structis which cflict with, vary or add to these terms and cditis. (a) Advertiser and Agency each warrant, represent and covenant to Publisher that: (i) it has the full right and power to offer the advertisg materials to Publisher and to enter to this agreement; (ii) the advertisg materials do not cta any defamatory, libelous or slanderous material and will not violate any dividual rights, cludg without limitati, tellectual property rights, rights of privacy, publicity or persality of any pers; (iii) it has obtaed all csents, waivers, releases and rights necessary for the use of such advertisg materials published the Publicati(s), as ctemplated by each order. (b) Advertiser and Agency shall be jotly and severally liable for all ctent (cludg text, representati and illustratis) of any advertisg prted. Advertiser and Agency shall jotly and severally demnify Publisher, its affiliates and their respective officers, directors, employees, ctractors and agents agast any and all liability and costs cludg any legal fees arisg from a breach of this Agreement and/or resultg from the publicati of the advertisg materials, cludg without limitati, defamati, illegal competiti or trade practice, frgement of trademark, trade name, or copyrights, and violati of rights of privacy, property or ctract. (d) Neither Advertiser nor Agency may assign any rights or obligatis under this Agreement. (e) Advertiser and Agency agree not to promotial or merchandisg reference to Publicati any way without the prior written permissi of Publisher each stance. (f) No provisi of this Agreement shall be deemed waived by a course of cduct unless such waiver is writg signed by all parties and statg specifically that it is tended to modify this Agreement. (g) This Agreement is governed by and cstrued accordance with the laws of the Provce of Ontario and the federal laws of Canada applicable there. Any proceedg relatg to the subject matter of this Agreement shall be with the exclusive jurisdicti of the courts of the Provce of Ontario.
