Audit The audit area focuses on mandatory and voluntary audits of single and consolidated financial statements in accordance with national and international financial reporting standards; Special audits like audits of an incorporation of an enterprise, mergers and audits with regard to restructuring measures; in addition, we support our clients in the areas of application of IFRS, preparation of single and consolidated financial statements as well as restructuring, recapitalization, insolvency issues and in the area of internal control systems. Valuation services Our valuation services focus on expert opinions according to IDW standard S 1 (e.g. in connection with business combinations or company restructurings); advisory support for M&A transactions including shareholder changes and succession planning; advice on accounting issues (e.g. purchase price allocation, impairment of investments and goodwill); audit of contributions in kind according to German Corporation Act. 8 Our core businesses 4. Due Diligence Being a reliable partner for our clients we accompany every transaction step through an on-site financial due diligence and/or tax due diligence. For these services we have developed a red-flag-strategy. Our problem-oriented approach results in state-of-the-art analysis and reporting modules which provide reliable guidance for our clients decisions. Our focus is on medium-sized and capital-market-oriented transactions. We also support our clients in financial communications with banks and investors (e.g. private equity funds) by way of structuring financial data and business plans and performing plausibility checks. 9 Our clients Our clients are mainly medium-sized companies with managing directors and shareholders who appreciate personal assistance by advisors who understand their way of thinking. We also give advice to larger international and capital-market-oriented companies as well as private-equity-companies on complex issues. We frequently fulfill tasks when other firms are in conflicts of interest. We maintain a flat hierarchy and organizational structure to ensure fexibility and a high level of quality. 10 Gerhard Lampe Born in 1955, Diplom-Volkswirt, German Auditor, Tax Consultant Gerhard Lampe started his career in the audit department of Touche Ross International, where he made valuable experiences in supporting clients in the US. Before the foundation of Lampe & Kollegen he was an audit partner at KPMG for sixteen years with a focus on medium-sized companies. Mr Lampe has extensive expertise in supporting international companies. His focus is on providing audit and advisory services on national and international financial reporting as well as business combinations and financial due diligence. As CEO of Lampe & Kollegen AG Mr Lampe is an entrepreneur-oriented advisor for general managers and shareholders. Seite 10

11 Dr. Peter Knobling Born in 1967, Diplom-Kaufmann, German Auditor, Tax Consultant Dr Knobling worked at KPMG from 1996 to 2006 and was mainly in charge for medium-sized industry and trade clients. He also was a member of the KPMG-internal quality insurance system. Since 2002 he is an approved auditor for quality control by the German Institut der Wirtschaftsprüfer. Since 2002 he regularly has been lecturing accounting at the Johann Wolfgang Goethe-University Frankfurt/Main. As a member of the board of directors of Lampe & Kollegen AG Dr Knobling takes the responsibility for internal quality assurance and our expert in international financial reporting according to IFRS and US-GAAP. 12 Martina Läger Born in 1978, Diplom-Kauffrau, E.M.B.Sc., German Auditor, Tax Consultant Martina Läger started her career in audit services in Until 2008 she audited commercial clients at KPMG. From 2008 till 2013 she worked for a medium-sized audit and tax advisory firm with an intenational network and enlarged her experience by transaction based consulting (carve-outs, special audits, financial due diligence, IFRS special issues) and in the field of valuation services. From 2010 until 2013 Ms Läger was assistant chairman of the supervisory board of Lampe & Kollegen AG; in July 2013 she was appointed to the board of directors of our company. Her current responsibilites and main tasks are audits of single and group financial statements according to IFRS and local GAAP as well as transaction services. Seite 12

13 Dr. Roland Schorndorfer Born in 1960, technical-oriented Diplom-Kaufmann, German Auditor, Tax Consultant, Certified Public Accountant (CPA) Dr Schorndorfer was in charge for almost all areas of operations in audit and tax advisory at KPMG from 1987 to From 1999 to 2001, he was an expatriate at KPMG LLP in USA in connection with the development of a new audit software till 2013, he was a visiting lecturer for group accounting in accordance with national (HGB) and international (IAS/IFRS) accounting standards at the University of Stuttgart. Dr Schorndorfer is a founder member and managing director of Lampe & Kollegen GmbH Steuerberatungsgesellschaft in Stuttgart. At Lampe & Kollegen Dr Schorndorfer is in charge for the audit of single and consolidated financial statements as well as many special projects like the transition from US GAAP to German GAAP or accounting during insolvency and liquidation. Furthermore, he is contact person for all problems in connection with VAT. Seite 13

14 Dr. Andreas Kaiser Born in 1970, Diplom-Ökonom, Tax Consultant Dr Kaiser was a member of KPMG s tax consulting team in Stuttgart from 1997 to 2002, where he also worked in Chicago/USA for several months. From 2002 to 2005 he was research assistant to Professor Dr Bareis, chair for taxation at University of Hohenheim (Stuttgart); theme of his thesis was Real estate transfer tax planning for restructuring and acquisitions till 2012 Dr Kaiser was a visiting lecturer for international fiscal law at the Berufsakademie Stuttgart and Duale Hochschule Baden-Württemberg (Baden-Wuerttemberg Cooperative State University). Dr Kaiser is a founder member and managing director at Lampe & Kollegen GmbH Steuerberatungsgesellschaft in Stuttgart. His special focus is on tax advisory for public and non-public companies, restructurings, real estate transfer tax issues, international tax issues, insolvency and financial restructuring tax issues. At Lampe & Kollegen Dr Kaiser is in charge of the tax department. Seite 14

15 Lutz Nebeling Born in 1961, Diplom-Kaufmann, German Auditor Mr Nebeling was partner in the corporate finance department of KPMG in Frankfurt and Stuttgart until Beside many medium-sized clients, Mr Nebeling supports larger clients in solving special issues (e.g. purchase price allocations, impairment tests, audit of non-cash contributions, valuations in connection with tax-motivated restructurings). Mr Nebeling has considerable knowledge of international capital marketoriented transactions. He issued expert opinions for many restructurings in accordance with the German Corporation Act and German Reorganization Act (mergers, reorganizations and payments to minorities). At Lampe & Kollegen Mr Nebeling is responsible for the business valuation and corporate finance department. Seite 15

16 Monika Reinhardt Born in1977, Diplom-Ökonomin, German Auditor, Tax Consultant Ms Reinhardt worked at KPMG Stuttgart from 2003 to Since 2005 she was audit manager being responsible for the audit of single and consolidated financial statements of listed companies in accordance with IFRS, US GAAP and German GAAP. She was a member of KPMG s excellence team for deferred taxes since Ms Reinhardt joins Lampe & Kollegen since Ms Reinhardt s focus is on the audit of single and consolidated financial statements, deferred taxes and general advisory for tax issues.
