1 Special Terms and Conditions of JAXX UK Limited, Seventh Floor, 90 High Holborn, London WC1V 6XX (hereinafter JAXX ) - Horse racing bets These special terms and conditions were last modified on 18 December Preamble The following special terms and conditions apply to all betting contracts that you acknowledge with your registration with JAXX and at the submission of each bet at JAXX, which terms and conditions thus become a component of the betting contract. These special terms and conditions supplement the General Terms and Conditions for Use of the Internet Portal and regulate participation in horse races that JAXX offers on jaxx.com, particularly the rules with regard to betting, the possible types of bets and the payout odds and amounts. As to the bets and the contractual content of the betting contracts, in addition to these special terms and conditions, depending on the type of bets placed or on the relevant betting organiser, special regulations on betting also apply. This will be separately referred to in the following special terms and conditions. The special terms and conditions referred to hereinafter apply to bookmaker bets, that is to say bets that are held by JAXX themselves as organisers. In addition, the current special terms and conditions of a totaliser company apply for horse races, if a bet is transferred to a totaliser company. On the electronic betting slip it is shown for each bet whether the bet represents a bookmaker bet of JAXX as organiser, or the bet is negotiated through a totaliser. In some cases, you may decide for yourself whether your bet is to be held by JAXX as bookmaker or should be passed on to a totaliser. The special terms and conditions for horse racing bets can be printed out. I. Contract conditions With your submission of a bet you declare: a) That you have read the general terms and conditions and these special terms and conditions of JAXX, and at the time of the brokering of your bet through a totaliser company have read and accepted the special terms and conditions of the totaliser company. b) According to the general terms and conditions, you will only use the betting offer of JAXX if you are 18 or older (or have reached whatever more advanced age is required to be an adult according to your country s laws), and if said use is permitted according to the laws of your country. We reserve the right to ask you to provide proof of your age. Your account may be suspended until you have produced the relevant proof of age. That you know and accept that we are unable to provide you with legal advice or assurances, and that you are solely responsible at all times for always adhering to current legal provisions and ensuring that you are legally authorised without limitation to use said services. That you acknowledge that minors are not permitted to bet. c) That you have no knowledge of the events on which the current bet is based prior to the time of purchasing a contract. Page 1 of 12

2 d) That you did not obtain the means with which you cover your bet from any tortious action and that these means are at your free disposal. e) That you are not involved as a sportsman, owner, trainer or official in the betting event. f) That you submit bets in your own name and for your own account, and not for the account of a bookmaker or other betting broker. g) That you have taken cognizance of the information on the risk of gambling addiction and have not applied for a self-block at any other private or national game of chance or betting company or been barred therefrom for any other reason. II. Special terms and conditions for brokerage via a totaliser organiser II.1. Contracting parties and betting commitment totaliser organiser With the brokerage of a totaliser, you as betting customer, JAXX as broker and the bookmaker or totaliser company with which brokerage is effected are involved as contracting parties. The bet is forwarded to a totaliser company. In this context JAXX is the statement transmitter of the relevant totaliser company. The betting contract between you and the totaliser company goes into effect at the headquarters of the totaliser company upon the receipt and acceptance of the brokered betting submissions by the totaliser company. You can determine from the offer to which totaliser company your bet will be forwarded. The betting events that can be bet on will be decided by JAXX. The totaliser bets concerning horse racing in Germany that are offered involve solely totaliser bets of German horse racing associations in accordance with 1 (1) 1 RennwLottG. Depending on the individual bet organiser, the special terms and conditions of German harness racing or racecourse apply. With regard to the bets offered on horse racing abroad, these are cooperative international totaliser bets according to 1 (4) RennwLottG based on relevant cooperation between German horse racing associations and foreign horse racing associations or totaliser organisers. The total pool funds collected in Germany are then transferred to the relevant foreign totaliser partner, who is also a pool holder and whose special terms and conditions apply for these foreign races. Bet submission with brokerage by a totaliser organiser a) Only persons that have reached 18 years of age may place bets. b) With the placement of a bet you declare that you know nothing about the outcome of the race. 3 c) The bet is complete when your betting request enters the computer of the totaliser company via JAXX, irrespective of the manner in which this is done, when it is accepted and JAXX receives confirmation from the totaliser company. In case of doubt, you waive the passing on and the sending of the acceptance statement from JAXX (bet brokerage confirmation). d) The brokerage of the bets, in whatever way the bet submission is effected (phone, internet, SMS) is done without JAXX being obliged to supervise this process. The decisive point is always the bets stored in the computer of the relevant totaliser company under the betting slip numbers. e) The number on the betting brokerage confirmation stands for the name of the horse. If the starter list does not correspond with the information stated on the bet brokerage confirmation of the totaliser company, the numbering of the totaliser company prevails. If the number and horse name are marked, the number of the horse always prevails. f) Bet brokerage confirmations must be inspected upon receipt in terms of correctness and completeness, and any errors must be specified before the start of the relevant race. Complaints received after the start of the race cannot be considered. Subsequent cancellations cannot be made. g) Bet orders cancelled prior to the start will be cancelled by means of a suitable marking in the central computer of the totaliser company. In that case the payment will be refunded. h) The time printed on the bet brokerage confirmation is considered to be the acceptance time. If the acceptance time is after the actual starting time (not the planned starting time), the bet is invalid. It is handled as a nonstarter and the payment is refunded. Actual start time is published in the racing newspapers after the race has started. i) Changes or additions or other manipulations of the bet brokerage confirmation make the bet invalid and exclude a right to winnings or reimbursement. II.3. Payout a) By submitting your bet, you are contracting JAXX to take receipt of possible winnings for you against presentation of the bet receipt. The payment of winnings and the refundable stakes to your account with JAXX takes place once the odds and the settlement of the totaliser company are received by JAXX. The odds are calculated by the respective totaliser company. Decisive for the outcome of the event is in the first instance a legal judgment. In case of doubts, the payment of winnings may be postponed until the appearance of the official race report. You may at any time make withdrawals from your playing account in favour of the bank account you specified at the time of registration. JAXX reserves the right to make payments to other bank accounts only after proof of suitable authorisation and to have payments made only through the method you have chosen for payment. b) JAXX reserves the right, in cases of substantiated suspicion of betting or race manipulation, to block the payment for the relevant race until a racing tribunal or court of law has established that neither betting nor race manipulation has taken place. Until the legal decision, only the stakes may be refunded. Page 3 of 12

4 III. Special terms and conditions for betting at JAXX as an organiser/bookmaker (hereinafter referred to as bookmaker bet) III.1. Contracting parties bookmaker betting 1. The betting events that can be bet on will be decided by JAXX. 2. Your offers as betters to place bookmaker bets will be held upon receipt of the offer by JAXX as bookmaker. The bet is placed solely between yourself and us as the party offering bets. 3. Every bet is based on the following special terms and conditions of bookmaker betting in addition to the general business terms and conditions of JAXX. With the submission of the bookmaker bet, you declare as better that you have taken cognizance of our special terms and conditions and their applicability to the bet. 4. Every further transmission of the bet by JAXX is possible at all times, without this affecting the relationship between you and JAXX as bookmaker. 5. JAXX is free to reject the acceptance in individual bets, to limit the stakes of bets in terms of amount and/or to either decrease or increase the maximum payout. 6. With the submission of the bet, the better declares that he has no knowledge about the outcome of the race. 7. In case of a public presentation error, odds can still be changed even after the conclusion of an event/a race. Example: Win odds of a horse 13.0 instead of 1:30 8. JAXX always strives to present odds without errors; should, however, a presentation include errors, JAXX reserves the right to make changes/corrections in odds even after the fact. III.2. Types of bets Basically the following types of bets can be played. Which of the types of bets on this list are actually offered is the decision of JAXX. In addition, other bets can also be placed according to different agreements, the conditions and odds calculation will be made known in supplementary provisions in addition to these general terms and conditions. With regard to all types of bets, a condition for a profit decision is that the wagered horse did not run without bets. In dead heats there is a division of odds in the relevant types of bets. a) Single bets 1. Win bets are taken if the wagered horse was reported as first by the totaliser. 2. Place bets are taken if the wagered horse was reported as first or second or first, second or third by the totaliser. Beyond 3rd place, all place bets are lost, even if the totaliser announces 4th place odds. With place bets there are no stable bets. 3. Ita bets are taken if the wagered horse was reported as second by the totaliser and the starter count was at least 4 horses. The calculation of Ita bets is settled on the basis of the second place odds; in second place odds the following applies: 2nd place odds x 2; with three place odds the following applies: 2nd place odds x 2.5. If in a race the odds of the second bets are less than the ita bet odds, the second bet odds are considered the ita odds. If in a race fewer 2 horses finish, all Ita bets are lost. With Ita bets there are no stable bets. With regard to the refund of any place bets to the totaliser, the ita bets made with the bookmaker are calculated on the basis of place odds 10 for 10. 5 4. Trita bets are taken if the wagered horse was reported as third by the totaliser and the starter count in Germany was at least 7 horses, on all other courses 8 horses. The calculation of trita bets is settled on the basis of the third place odds. The Trita odds are 2.5 times the third place odds. If in a race the third bet odds are less than the trita odds, the third bet odds are considered to be the trita odds. If in a race fewer than 3 horses finish, all trita bets are lost. With trita bets there are no stable bets. With regard to the refund of any place bets to the totaliser, the trita bets made with the bookmaker are calculated on the basis of place odds 10 for Stable bets If two or more horses are in a race for a stable (i.e.: same owner), at the totaliser there are only joint odds for all horses of that stable ( stable odds ). In France and Italy there is only a stable bet for win bets. In American races, the stable odds are also applied to the other types of bets. If one of the stable horses does not participate in a stable bet, the stakes for that horse are refunded. 6. Double bets are taken if the 2 wagered horses were reported as first and second by the totaliser, whereby what counts is the precise order. If one of the wagered horses does not run, the bet is open and the stakes are refunded. If in a race fewer than 2 horses finish, all double bets are lost, to the extent that there are no double bet odds at the totaliser. With double bets there are no stable bets. 7. Twin bets are taken if the 2 wagered horses were reported as first and second in random order by the totaliser. If one of the wagered horses does not run, the bet is open and the stakes are refunded. If in a race fewer than 2 horses finish, all twin bets are lost, to the extent that there are no twin bet odds at the totaliser. With twin bets there are no stable bets. 8. Place twin bets are taken if the 2 wagered horses were reported as first, second and third in random order by the totaliser. If one of the wagered horses does not run, the bet is open and the stakes are refunded. If in a race fewer than 3 horses finish, all place twin bets are lost, to the extent that there are no place twin odds at the totaliser. If in a race fewer than 8 horses start, all place twin bets are refunded, to the extent that there are no place twin odds at the totaliser. With place twin bets there are no stable bets. Place twin bets are playable only on French racecourses. Place twin bets can only be completed on French racecourses. 9. Triple bets are taken if the 3 wagered horses were reported as first, second and third in precise order by the totaliser. If one of the wagered horses does not run, the bet is open and the stakes are refunded. If there are no triple bets in a race at the totaliser, the stakes are refunded. If in a race fewer than 3 horses finish, the bookmaker bases his calculations on the rule at the totaliser. 10. Trio ordre bets are taken if the 3 wagered horses were reported as first, second and third in precise order by the totaliser. If one of the wagered horses does not run, the bet is open and the stakes are refunded. The calculation of the Trio Ordre bets is done - if the bet is not taken and the French totaliser reports no Trio Ordre odds - on the basis of the win and place odds: TrioOrdre odds = Win odds x 2. Place odds x 3. Place odds; divided by 15 If a stable horse has won and the win odds are smaller than 1st place odds, 2.5 times the 1st place odds are considered to be the win odds. If in a race fewer than 3 horses finish, all TrioOrdre bets are lost. Page 5 of 12

6 11. Trio bets are taken if the 3 wagered horses were reported as first, second and third in random order by the totaliser. If one of the wagered horses does not run, the bet is open and the stakes are refunded. If at the French totaliser the trio odds are calculated, the payout of the trio bet is according to the trio odds. If the trio bet is not taken at the totaliser, the bookmaker pays for the correctly chosen bets the calculated trio odds to maximally 50,000:10. Regardless of any special arrangements at the totaliser (e.g. payment of the first two horses) at the bookmaker all bets are lost. If in a race fewer than 3 horses finish, all trio bets are lost, to the extent that there are no trio odds at the French totaliser. With trio bets there are no stable bets. 12. Finish bets In a finish bet it is wagered which horses will win in a race on a race day of three races. The bet is won if the winner of 3 races was correctly predicted. The totaliser odds are paid out. If one of wagered horses does not run, the finish bet will be treated as a win-shift-bet. 13. Combination bets are single bets in abbreviation. b) Carryover bets This involves bets that entail the agreement that the available money will be partially or entirely - including residuals - also be used on subsequent races. In the conversion or division of races or if the bets were noted in the wrong sequence in terms of time, carryover bets are calculated in the sequence in which they were written. For different types of bets, bet type is calculated to bet type, that is to say win to win, place to place etc... In carryover bets even those under 1 are calculated to the carryover amount. If 2 or more horses run in a race subsequent to double designation, for the calculation the win value of the first written horse is decisive. Place bets are settled as written. For bets that proceed with different maximum payouts partially or entirely via different bet types, the lowest maximum payout is considered to apply. III.3. Rating 1. For the rating of a race and thus the outcome of the bets, the official race results of the totalisers allocated to the race are the basis. 2. The number recorded at the bet signifies the name of the horse. If a horse runs twice in one day, all bets apply only to the first start, if the race is not mandatory. If at the bet submission the number and horse name are specified, the horse s name is decisive. 3. If a cancelled race is still run on the same day, the bet applies to this race. If a race is shifted to another race day, all bets for this race are open; the stakes are refunded. III.4. Determination of winnings/payouts a) General 1. The payout of winning bets is done bearing in mind the maximum payout per bet and the maximum payout per race. For the establishment of claims to winnings and their calculation, the official totaliser result prevails. The payout of the bets depends on the totaliser of the corresponding track. If a type of bet, contrary to expectations, is not held, the stakes are refunded. In GB payout is done according to the Starting Prices or Win/close rates (see Table III.4. Payouts, b)). 2. The payout of winnings can be postponed until the appearance of the official race report. Page 6 of 12

If one of the following types of bets does not take place on the totaliser, the bookmaker pays, irrespective of any possible special regulation at the totaliser (for example, a certain sequence) for the correctly picked bets, bearing in mind the current maximum payout per bet and the maximum payout per race, the replacement odds according to the following table. All other bets that are ours are lost. The payout in GB races takes place according to the bookmaker closing rates (SP) that are converted to odds for 10, whereby the numbers after the comma are Page 7 of 12

8 dropped. In dead heats, the following division of stakes and winnings takes place. If no SPs are announced in a race, all stakes are refunded for all types of bets. In GB there are no stable bets. 2. Odds reduction If in GB a horse is withdrawn, the SPs are reduced accordingly, whereby the numbers after the comma are dropped. The reduced odds are also applied in all odds calculated from the SPs. Decisive for the amount of the odds reduction is the display in the SIS system. Only the winnings share and not the stakes are reduced. 3. The payout of place bets focuses in GB on the SPs, which are paid out as follows: For 4 to 7 horses For 8 or more horses For 16 or more horses 1/4 of the odds (2 places) 1/5 of the odds (3 places) 1/5 of the odds (4 places) Place shift bets are not offered and, insofar as they are processed by the system, rated at 10:10 (repayers) 4. If a favourite participates in a race (odds under 20 for 10), there are special place odds: For 4 to 7 horses For 8 or more horses For 16 or more horses 1/7 of the odds (2 places) 1/10 of the odds (3 places) 1/10 of the odds (4 places) The fourth place of 16 horses is only paid out in GB if it is a handicap race and for the fourth place in the SIS text system a win-close course is announced. All place bets beyond 4th place are lost, even if a fifth win-close course is announced in the SIS text system. In dead heats, the following division takes place. If in a race the 1st or 2nd place odds are higher than the double bet odds, for the relevant place odds the double bet odds are paid out. If in a race the 3rd place odds are higher than the trio bet odds for the 3rd place odds the trio bet odds are paid out. 5. Double bets for GB races (from six starters) For double bets the odds of the English bookmaker (CSF) are paid out. If in a race there are no CSF odds or fewer than 3 starters, all stakes are refunded. If one of the wagered horses does not run, the stakes are open and are refunded. If in a race only one horse finishes, accordingly the regulation for the English bookmakers applies (see SIS Text system). 6. Trio bets for GB races (from six starters) The calculation of trio bets is done on the basis of the SPs of the English bookmakers that are converted in German odds for a stake of 10, whereby the numbers after the comma are omitted. If only two SPs are announced, the relevant last show odds (contingent odds) are added. The SPs for the second and third place only count up to the following values, for: 5-6 starters 150, 7-9 starters 250, starters 350, more than 12 starters 500. Page 8 of 12

9 The calculation is done using the following formula: Trio odds = SP1x(1:(((1:SP2):(0,1-1:SP1))x((1:SP3):(0,11-1:SP1-1:SP2)))). If in a race fewer than 9 horses run, the trio bet odds are limited to x times the double bet odds, whereby x is the number of the horse that ran. The thus calculated trio bet odds apply for a stake of 10. In dead heats, for the various finishes trio bets are calculated with the relevant SP odds. If in a race fewer than 4 horses start (in Ireland 6), all trio bets of the relevant race are repaid, as long as in the English SIS text system no tricast-odds (TC) are published. For the triple bets carried out at the bookmaker for GB, the odds calculated according to the abovementioned formula apply, unless a TC is announced in the SIS system. In this case the tricast odds are paid out for the trio bet. If one of the wagered horses does not run, the bet is open and the stakes are refunded. If in a race fewer than 3 horses finish, the double bet odds are paid out. If in a race only one horse finishes, the win bet is paid out. If in a race no horse finishes, the stakes are refunded. III.5. Regulation for foreign province locations Considered as provincial locations are race courses over whose events no results are published in the German Info Dienst (DATEK). For these race courses only bets are accepted that can also be effected at the local race course totaliser. Erroneously accepted bets that are contradictory are invalid; the stake is refunded. III.6. In dead heats, the limits are divided accordingly. For special bets a maximum payout of 5,000 applies. The maximum total winnings per customer per week (based in each instance on 7 days and independently of the size of the bets placed) equals 50,000. If winnings exceed the maximum amount per week, there is no carryover to the next week, but the excess amount expires. Single bets are added to this. In addition, there is a general winnings limit for each race. This is the highest amount of money in which the bookmaker participates per race and loss. The winnings limit is 30,000 per race. IV. Payment system You can view the transactions in your playing account on the internet. If you undertake transactions exclusively by telephone, for a fee you will receive a monthly statement of transactions at the beginning of the subsequent month. V. Final provisions V.1. Liability a) We are liable for loss that is imputably caused by our employees or agents. In cases of simple negligence of our employees or agents, our liability is limited to the sum of 50,000. b) In case of involuntary malfunctions or failures of technical equipment that we use, we are not liable. c) If at horse race betting, for reasons of force majeure or the intervention of third parties betting documents are destroyed or made unusable such that a determination of the odds and the calculation of winnings is not possible, the betting stakes will be refunded without deductions. No right exists to bet winnings. Page 11 of 12

12 d) For transmission errors of betting data and race results JAXX accepts no liability. JAXX uses third parties for the fulfilment of its services; however it has also contractually ruled out any liability with regard to them. Thus, compensation claims due to incorrect, delayed, manipulated or improper data transmission over the internet or otherwise transmission errors of data and results are ruled out under any circumstances. This also applies in case of erroneous notification of winnings or payout of winnings. In case of an erroneous notification of winnings by JAXX, you have no right to payout of the erroneously notified winnings. You have no right to any amounts of winnings that come erroneously into your account. JAXX is authorised to have such amounts reversed. e) The limitation of liability does not apply to culpably caused damage to life, body and health. V.2. Providing false data If upon a demand for payout it should be established that your data are incorrect, particularly if bets have come in from countries that we have explicitly ruled out, JAXX has the right to declare all bets submitted by you until that date to be invalid and to dissolve the contractual relationship retroactively. In this case, you shall only be entitled to a refund of the stakes, minus the accumulated processing costs at JAXX. V.3. Ban on cession and pledge You are not authorised to cede, pledge or otherwise legally dispose of claims against the bookmaker either free or for payment, or use such claims to settle claims of the bookmaker.
