This Court has jurisdiction to consider this Motion pursuant to 28 U.S.C. 157 and This is a core proceeding pursuant to 28 U.S.C. 157(b). Venue of these cases and the Motion in this district is proper pursuant to 28 U.S.C and The statutory predicate for the relief requested herein is section 105(a) of the Bankruptcy Code, as supplemented by Bankruptcy Rule GENERAL BACKGROUND A. General 2. On May 31, 2012 (the Petition Date ), each of the Debtors filed a voluntary petition for relief under chapter 11 of the Bankruptcy Code. 3. The Debtors are continuing in the possession of their respective properties and the management of their respective businesses as debtors in possession pursuant to sections 1107 and 1108 of the Bankruptcy Code. By order dated June 1, 2012, these chapter 11 cases were consolidated for procedural purposes. 4. On June 12, 2012, the Office of the United States Trustee for the District of Delaware (the U.S. Trustee ) appointed an official committee of unsecured creditors (the Committee ). B. Additional Background and Matters Resolved by the Settlement Agreement 5. On July 29, 2014, RG Steel filed a Verified Petition for Writ for Mandamus in the Ohio Eleventh District Court of Appeals, thereby initiating the action captioned RG Steel Warren, LLC vs. Adrian s. Biviano, et al., Case No TR-64 (the Mandamus Action ), to recover a tax refund claim (the Tax Refund Claim ) from the Trumbull County Officials. 2

On September 23, 2014, the Trumbull County Officials filed their Motion to Add New Party Defendants therein seeking to add certain of the Settling Parties as defendants in the Mandamus Action. Such motion was granted by the Ohio Eleventh District Court of Appeals on January 27, On October 31, 2014, the Warren City Schools filed a Motion to Intervene in the Mandamus Action which motion was granted by the Ohio Eleventh District Court of Appeals on January 27, On February 24, 2015, the Warren City Schools filed a Motion for Summary Judgment claiming the Tax Refund Claim of RG Steel was without merit and should be denied and on July 24, 2015, the Trumbull County Officials joined in the Motion for Summary Judgment. 9. On December 28, 2015, the Ohio Eleventh District Court of Appeals issued its Per Curiam Opinion denying the Verified Petition for Writ of Mandamus. On February 10, 2016, RG Steel appealed this decision and filed its Notice of Appeal of Appellant RG Steel Warren LLC with the Supreme Court of Ohio, designated as Case No (the Supreme Court Appeal ). 10. Thereafter, the Supreme Court of Ohio referred the case for mediation pursuant to S.Ct.Prac.R As a result of the mediation conference, the Trumbull County Officials, the Warren City Schools, and RG Steel have agreed to resolve the issues related to the Mandamus Action and Supreme Court Appeal as set forth in the Settlement Agreement. 3

The terms of the settlement between the Settling Parties and RG Steel are embodied in the Settlement Agreement, the material terms of which are described below: 3 (a) (b) (c) Upon the filing and service of this Motion upon certain parties and the entry of an order of the Bankruptcy Court approving the Settlement Agreement, the Trumbull County Officials shall cause the payment to RG Steel the sum of One Hundred Twenty Thousand Dollars ($120,000.00) (the Settlement Payment ) in full and final satisfaction of any and all claims, causes of action, or disputes of any nature whatsoever that RG Steel may hold or otherwise assert against the Settling Parties, including but not limited to the claims and causes of action set forth in the Mandamus Action. Within three (3) business days following the receipt of the Settlement Payment, RG Steel shall dismiss the Mandamus Action and the Supreme Court Appeal, with prejudice. Subject to Bankruptcy Court approval of the Settlement Agreement, the Settling Parties and RG Steel shall release each other and certain of their affiliated and related parties from any and all claims, demands, causes of action, or liabilities, related to the Mandamus Action and the Supreme Court Appeal, other than as set forth in the Settlement Agreement. RELIEF REQUESTED 12. By this Motion, the Debtors request entry of an order, in substantially the form annexed hereto as Exhibit A, authorizing and approving the Settlement Agreement, pursuant to section 105(a) of the Bankruptcy Code, as supplemented by Bankruptcy Rule This summary of the Settlement Agreement is qualified in its entirety by the Settlement Agreement. If there are any inconsistencies between the summary contained herein and the Settlement Agreement, the Settlement Agreement shall control. Capitalized terms used but not defined in this Motion have the meanings ascribed to such terms in the Settlement Agreement. 4

5 Case KJC Doc 4624 Filed 06/29/16 Page 5 of 7 BASIS FOR RELIEF REQUESTED A. The Settlement Should be Approved Pursuant to Section 105(a) and Bankruptcy Rule 9019(a) 13. The relief requested herein is authorized by section 105 of the Bankruptcy Code and Bankruptcy Rule Section 105(a) of the Bankruptcy Code provides that [t]he court may issue any order... that is necessary or appropriate to carry out the provisions of this title. 11 U.S.C Bankruptcy Rule 9019 provides, in pertinent part, that, on motion by the trustee and after notice and a hearing, the court may approve a compromise or settlement. Fed. R. Bankr. P Under this authority, the Third Circuit has emphasized that [t]o minimize litigation and expedite the administration of a bankruptcy estate compromises are favored in bankruptcy. Meyers v. Martin (In re Martin), 91 F.3d 389, 393 (3d Cir. 1996) (quoting 9 Collier on Bankruptcy [1] (15th ed. 1993)); see also In re World Health Alternatives, Inc., 344 B.R. 291, 296 (Bankr. D. Del. 2006) (finding settlements generally favored in bankruptcy ); In re Culmtech, Ltd., 118 B.R. 237, 238 (Bankr. M.D. Pa. 1990) (observing that compromises are favored in bankruptcy and... much of litigation in bankruptcy estates results in settlements ). In addition, the District of Delaware has recognized that the approval of a proposed compromise and settlement is committed to the sound discretion of the bankruptcy court. See In re Louise s, Inc., 211 B.R. 798, 801 (D. Del. 1997). 15. The Third Circuit has enumerated four factors that should be considered in determining whether a settlement should be approved. The four enumerated factors are: (1) the probability of success in litigation; (2) the likely difficulties in collection; (3) the complexity of the litigation involved and the expense, inconvenience and delay necessarily attending it; and 5

6 Case KJC Doc 4624 Filed 06/29/16 Page 6 of 7 (4) the paramount interest of the creditors. In re Martin, 91 F.3d at 393 ; accord Will v. Northwestern Univ. (In re Nutraquest, Inc.), 434 F.3d 639, 644 (3d Cir. 2006). 16. Here, consideration of the relevant Martin factors weigh in favor of approval of the Settlement Agreement. Although the Debtors believe they have a good faith basis to prosecute the Mandamus Action and the Supreme Court Appeal, there is no certainty that the Ohio Supreme Court would rule in the Debtors favor. Further, the Debtors have limited remaining assets to pursue such litigation. The Mandamus Action has been pending for nearly two years at this point and has involved several rounds of procedural and substantive briefing. The expense and delay related to further litigation at the appellate and possibly trial court levels may be significant. At this point, the Debtors have made distributions under the Global Settlement Order and the Debtors strongly desire to exit these cases and conclude their affairs as soon as possible. The Settlement Agreement assists the Debtors in doing so. 17. Further, the Settlement Agreement, if approved, will provide for a cash infusion to the Debtors estates which will assist with continuing administrative costs of the cases. A noted above, the Settlement Agreement also reduces the administrative costs of litigating with respect to the Settling Parties, which litigation may not create any commensurate benefit to the estates. 18. The Debtors further request that the order approving the Settlement Agreement be immediately effective notwithstanding any applicable Bankruptcy Rules. 19. For the foregoing reasons, the Debtors submit that the Settlement Agreement should be approved pursuant to Bankruptcy Rule NOTICE 20. Notice of this Motion will be given to: (a) counsel to the Settling Parties; (b) the U.S. Trustee; (c) counsel to the Committee; (d) counsel to the agents for the Debtors 6

7 Case KJC Doc 4624 Filed 06/29/16 Page 7 of 7 prepetition and postpetition senior secured lenders; (e) counsel to the agent for the Debtors prepetition junior secured lenders; (f) counsel to The Renco Group, Inc., a secured noteholder; (g) Severstal Dearborn LLC, Severstal US Holdings LLC, Severstal US Holdings II, Inc., and OAO Severstal; and (h) those parties requesting service in these cases pursuant to Bankruptcy Rule The Debtors submit that, under the circumstances, no other or further notice is required. WHEREFORE, the Debtors respectfully request that the Court enter an order, substantially in the form attached hereto as Exhibit A, authorizing and approving the Debtors entry into the Settlement Agreement and the terms of the Settlement Agreement pursuant to section 105(a) of the Bankruptcy Code and Bankruptcy Rule 9019 and granting such other and further relief as is just and proper. The parties are authorized and empowered to take all actions necessary to implement the Settlement Agreement and perform their obligations thereunder. 4.
