4 The IPO Lawyer Yearbook - A Preview Sonsini and Whitman Set Six Year Records Groll and Sutherland Claim 2003 IPO Lawyer Laurels 1/7/04 - With 2004 poised to be one the most active IPO years since the bubble burst, IPO issuers and underwriters will be hunting for the most qualified and experienced lawyers to represent them through the IPO process. A look back at the last six years reveals the most active lawyers who gained experience during the IPO boom and a closer look at 2003 shows which lawyers were able to complete deals in a tough IPO market. The lawyers included in our study titled 'IPO Lawyer Yearbook' which will be published on January 15th are those that were listed on the final amendment of the IPO registration statement for issuers that went public in Additional lawyers not named on the registration statement may have been involved in the IPO process. Sonsini and Whitman Set Six Year Records Larry W. Sonsini of Wilson Sonsini Goodrish & Rosati (Palo Alto) was the leading IPO rainmaker during the last six years with 30 to his credit on a combined basis, 18 as issuer's counsel and 12 as underwriters' counsel. Following close behind were his partners, Jeffrey D. Saper (Palo Alto) and Alexander D. Lynch (NY) with 28 and 25, respectively. Twenty-three of Lynch's representations were completed while he was a partner at the now defunct Brobeck, Phleger & Harrison. Thirty-nine law firms had lawyers represented in the Top 100 IPO Lawyers '98-'03 (ranked by number of ). The most prolific law firm was Wilson Sonsini with 25 lawyers represented, three of which were formerly with Brobeck. When ranked by aggregate IPO offering amount, the clear winner on a combined basis was Charles S. Whitman, III of Davis Polk & Wardwell (London). Whitman represented the underwriting syndicate led by Goldman Sachs on the largest IPO in the last six years, AT&T Wireless, and his international focus allowed him to represent underwriting syndicates on two non-u.s. headquarterd (Alstom and Rhodia) for an aggregate IPO offering amount of $15.5 billion. Jeffrey Small, also of Davis Polk (NY), came in second with an aggregate IPO offering amount of $10.9 billion and was closely trailed by Allan L. Beller who generated $10.3 billion in the Clearly Gottlieb Stein & Hamilton New York office before taking over as Director of the SEC Division of Corporate Finance. Twenty-seven law firms were represented by lawyers in the Top 100 IPO Lawyers '98-'03 (ranked by aggregate IPO offering amount). Sullivan & Cromwell claimed 15 spots to lead the pack. Page 4 of 54
5 Groll and Sutherland Claim 2003 IPO Lawyer Laurels On a combined basis (issuer s representation plus underwriters' mandates), Michael Groll of LeBoeuf, Lamb, Greene & MacRae (NY) took advantage of his firm s expertise in insurance and represented four out of LeBoeuf's six and in the process grabbed the laurels as the most active IPO lawyer in James W. McKenzie, Jr. was able to work out of Morgan Lewis & Bockius' D.C. and Philadelphia offices to complete three (two REITS and one business service company), allowing him to claim 2nd place over 19 lawyers who completed two in All three of McKenzie's were as issuer's counsel, placing him in the top spot as the most active IPO issuer's lawyer in Only three other lawyers represented more than one issuer that went public in 2003: Justin W. Chairman (Morgan Lewis), Alan F. Denenberg (Davis Polk), and Benjamin F. Garmer, III (Foley & Lardner). Three of Groll's four were as underwriters' counsel, making him the premier underwriters' lawyer in Groll stole the show from ten other lawyers who represented two IPO underwriting syndicates. When determining the top lawyers in terms of aggregate IPO offering amount, you need look no further than China Life Insurance Company Limited, the largest IPO of 2003 with an offering amount of $2.9 billion. On a combined basis (issuer's representations plus underwriters' mandates), Susan J. Sutherland of Skadden Arps Slate Meagher & Flom topped the three other lawyers named on the China Life IPO, by completing a second IPO in 2003, Endurance Specialty Holdings Ltd., for an aggregate IPO offering amount of $3.1 billion Sutherland's work as underwriters' counsel on China Life also placed her at the top of the IPO underwriters' lawyer list along with her partner Gregory G.H. Miao. Debevoise & Plimpton represented China Life, placing two of its lawyers, Wolcott B. Dunham, Jr. and James C. Scoville, at the top of the IPO issuer's lawyer list.
