3 M O D E R ATO R S & PA N E L I ST S Paul Bishop, FTI Consulting Paul Bishop is a Senior Managing Director in FTI s Corporate Finance practice and is based in Toronto. Mr. Bishop has more than 25 years of international insolvency and restructuring experience, having practiced in Canada, the U.K. and Bermuda. His areas of expertise include the formulation and implementation of reorganization strategies for Canadian and multi-national companies, business rescues and turnarounds. Mr. Bishop has wide ranging experience having acted as advisor to lenders and companies in many different industries. Mr. Bishop s recent work includes engagements as Financial Advisor to Circuit City, CRO of a large independent trucking company and Court Appointed Monitor of Canwest L.P. Mr. Bishop holds a B.A. with honours in economics from the University of Sheffield. Mr. Bishop is a contributing editor to the Americas Insolvency and Restructuring Guide. He is a chartered insolvency and restructuring professional, a member of the Insolvency Institute of Canada, a member of the Turnaround Management Association and a licensed trustee in bankruptcy. Pam K. Boparai, Alvarez & Marsal Canada, ULC Pam Boparai is a Senior Director with Alvarez & Marsal in Vancouver, British Columbia. Ms Boparai joined Alvarez & Marsal in She has developed experience in restructuring matters over the past 10 years, including involvement in formal restructuring appointments in Canada, such as Monitor under the Companies Creditors Arrangement Act (CCAA) and various appointments under the Bankruptcy and Insolvency Act (Canada) as Trustee, Receiver and Interim Receiver. She has advised corporate stakeholders, including secured creditors, equity holders and government agencies, in distressed and crisis management circumstances. Over the years, Ms Boparai has gained in-depth experience in interim and crisis management working on a number of cases, both out-of-court and Court supervised, where operations and financial performance were closely monitored while restructuring alternatives were pursued and considered until such time the business was refinanced, rationalized or sold as a going concern. She also has extensive experience working on business viability assessments, involving security position reviews and evaluating business plans and related financial forecasts. Ms Boparai s industry experience involves retail operations, patent related companies in pharmaceutical and technology space, forestry and other natural resource and energy businesses, having acted as Monitor in a number of CCAA proceedings of companies in these sectors. In addition, she has assisted clients across a range of other industries, including seniors residential market, Ms Boparai was a senior member of the teams engaged as the Monitor in the CCAA proceedings of Sterling Shoes Inc., Angiotech Pharmaceuticals, Inc., A&B Sound Ltd. and Doman Industries Ltd. (predecessor to Western Forest Products Ltd.). Ms Boparai also is currently acting as a Court appointed Receiver Manager of a seniors residence known as Cedarbrooke Chateau and is acting as a Court appointed Receiver Manager of Pakit Inc. Ms Boparai also acted as a Monitor in the CCAA proceedings relating to Impax Energy Services Trust, a service provider in the oil and gas industry, and Redcorp Ventures Ltd., an exploration and development company in the mining industry. Prior to joining Alvarez & Marshal, Ms Boparai was an Associate Partner with KPMG LLP in Vancouver, Canada. Ms Boparai holds professional designations as a chartered accountant, chartered financial analyst, chartered insolvency and restructuring professional and a licensed trustee in bankruptcy. Ms Boparai was a director (and past President) of the Northwest Chapter of the Turnaround Management Association from 2006 to Kelly Bourassa, Blake, Cassels & Graydon LLP (Conference Chair) Kelly Bourassa is a Partner in the Restructuring & Insolvency Group at Blakes and is the head of the restructuring practice in Calgary. She is an experienced insolvency lawyer whose practice focuses on all aspects of commercial reorganizations, workouts, receiverships and other enforcement of security. She has represented many different parties affected by the insolvency process, including debtors, purchasers, lending syndicates, secured and unsecured creditors, receivers, monitors and trustees. Ms Bourassa s representative cases on the public record include: representing the senior lending syndicate in the CCAA/CBCA proceedings of OPTI Canada Inc. (oil and gas), representing the court-appointed receiver in the receivership of the Chocolaterie Bernard Callebaut Group (retail), representing a secured equipment lessor in the CCAA proceedings of Cow Harbour Construction Ltd. (oil sands services), acting as Canadian counsel to the financial adviser to the debtor in the cross-border CCAA/Chapter 11 proceedings of Trident Exploration Corp. (oil and gas), and representing the monitor in the CCAA proceedings of Fairmont Resort Properties Group (hospitality). Ms Bourassa has authored and co-authored articles and papers on various insolvency related topics for continuing legal education programs, conferences, and seminars with a particular interest in derivatives and eligible financial contracts. She has also authored supplementary materials in a legal text, Law in International Finance. In March 2010, Ms Bourassa was retained by Industry Canada as an adjudicator for the 2010 Trustee in Bankruptcy Licensing Oral Boards in Calgary, Alberta. Ms Bourassa is a member of the board of directors of the Northwest Chapter of the Turnaround Management Association. She is also a member of the Insolvency Law Section of the Canadian Bar Association, the American Bankruptcy Institute, the Canadian Insolvency Foundation, the Turnaround Management Association Northwest Chapter, The Law Society of Alberta and The Law Society of Upper Canada. David Bowra, e Bowra Group David Bowra is a chartered accountant and licensed trustee in bankruptcy. He is the President of The Bowra Group Inc., a financial advisory services practice based in Vancouver. He was formerly partner-in-charge of one of the big 4 accounting firm s financial advisory service for Western Canada. Mr. Bowra has practiced exclusively in the area of insolvency since 1976 and has been involved in numerous mid and large sized business reorganizations. He has extensive experience in carrying out CCAA restructuring assignments, conducting financial assessments and insolvency-related engagements on behalf of financial institutions and other creditors, debtors, and prospective investors in a variety of industries including manufacturing, real estate, forestry, construction, retail, agriculture and service and hospitality sectors. He is currently interim CRO for the Aadmi Group and has also acted as interim CEO of Skeena Cellulose Inc. and Coe Newnes McGehee Inc. Over the last 5 years, Mr. Bowra has been involved in numerous real estate projects. Mr. Bowra is a member of the Canadian Association of Insolvency and Restructuring Professionals, the Insolvency Institute of Canada and the Institute of Corporate Directors. He is also currently a member of the Board of Governors of Langara College, and the BC Institute of Chartered Accountants Professional Enquiry Conduct Committee. Mr. Bowra has an economics degree from University College Cardiff, South Wales. 3

Davis, Revitalization Partners, LLC Since founding Revitalization Partners with Bill Lawrence in 2003, Al Davis has stepped into numerous companies with faltering businesses that were headed for failure. Mr. Davis quickly identified management, markets and new business relationships, defining and implementing courses of action leading to improved profitability. He has executed successful turnarounds and divestures in such diverse industries as software & hardware and solar technology, luggage manufacturing, wood products, radio, payday loans and distribution. His broad technology background includes cable and data communications, semiconductors, systems, simulation, enterprise software and government contracting. Mr. Davis has raised over $150 million in equity capital, and has structured and executed a number of domestic and international M & A transactions on behalf of public and private corporations. Previously, Mr. Davis was General Manager of Intel s Software Distribution and Support Operation, Director of worldwide marketing for Intel Microprocessor Division, General Manager for a technology division of Litton Industries and a Sales Manager for Digital Equipment Corporation. As a partner in a venture fund, he has been responsible for guidance and interim management of several of the funds technology investments. Mr. Davis holds an M.B.A. from Pepperdine University and a B.S. in Electrical Engineering from University of Southern California. Jamie Dunbar, Century Services Inc. Jamie Dunbar is Vice President, Liquidations with Century Services Inc., a privately-held, Calgary-based firm of professional appraisers, specialty lenders and asset-recovery experts. Mr. Dunbar leads Century s liquidation team and brings more than 25 years of hands-on experience in successfully directing some of the largest liquidations in Canada, including Remington Tire, Regal Greetings & Gifts and Cassidy s. He has dealt with sales covering more than $2.5 billion in collateral in all inventory classifications, as well as more than 300 auction sales. Based in Toronto, Mr. Dunbar s broad knowledge base is also applied to Century s appraisal work for traditional and asset-based lenders, legal, accounting and restructuring professionals through Century s six regional offices across Canada and the U.S. Renee Fellman, Renee Fellman & Associates Renee Fellman, winner of a 1997 TMA Turnaround of the Year Award, specializes in keeping companies out of bankruptcy by restoring profitability. As Interim CEO for 19 companies and consultant to 15, Ms Fellman has developed and implemented financial, operational, and strategic improvements, recruited and built management teams, and changed corporate culture in companies facing severe distress. Her industry experience includes construction, health care, manufacturing, medical devices, packaging, printing, professional services, restaurant, retailing, technology, transportation, and wholesale distribution. Ms Fellman s insights and expertise have been cited in such publications as NikkeiBusiness, The Los Angeles Times, thedeal.com, and The Journal of Corporate Renewal. She has served twice on the Board of Directors of the Northwest Chapter of TMA and as a Director of the Association of Certified Turnaround Professionals. Ms Fellman received her B.A. in History from Northwestern University and her M.B.A. from Portland State University, where she was a recipient of the Graduate Honor Scholar Award. Wayne Fraser, RBC Capital Markets Wayne Fraser is a Vice President in the Asset Based Lending Group at RBC Capital Markets. Mr. Fraser leads origination and deal structuring for ABL in Western Canada. Mr. Fraser joined RBC in 2007 and has an M.B.A. in Finance and Strategy, and a bachelor s degree in Economics. He has 14 years lending and finance experience. Prior to joining RBC, Mr. Fraser was self employed operating a finance brokerage and real estate holding company. Mr. Fraser is currently on the National Board of the Canadian Manufacturers and Exporters, and Chair of the Alberta Divisional Board. Each of these experiences provide him a unique perspective on transactions, strategy and exceeding client expectations. Stacy Gottlieb, Wells Fargo Capital Finance Stacy Gottlieb is the Senior Vice President and Western Regional Credit Manager for Wells Fargo Capital Finance (WFCF), based in Santa Monica, California. Ms Gottlieb has a more than 20-year career in asset-based finance, with the last 12 years at Wells Fargo. She started in 2000 at Wells Fargo, then Foothill Capital Corp, as a relationship manager. For the past five years, she has been responsible for the west coast asset-based portfolio for agented deals $35 million and over at what is now known as Wells Fargo Capital Finance. WFCF has approximately $5.0 billion in outstanding commitments in the west coast portfolio. Its deals include several important private equity relationships and span industries such as telecom, technology, consumer products, gaming, mining, construction, automotive and building products to name a few. Ms Gottlieb is a senior member of WFCF s credit committee, and is intimately involved in existing portfolio deals and underwriting new business opportunities that ultimately end up in the west coast portfolio. During her career, Ms Gottlieb has been involved in numerous workout situations that included liquidations in and out of bankruptcy, 363 sales in bankruptcy, receiverships, etc. She has worked closely with bankruptcy attorneys, consultants and investment bankers in many of these situations. Ms Gottlieb received her undergraduate degree from University of Rochester with a B.A. in Economics and a M.B.A. from Rutgers University, with an emphasis in Finance. Geoff Groshong, Miller Nash LLP Geoff Groshong is a partner in Miller Nash s Seattle office and a member of the firm s insolvency practice team. Mr. Groshong advises businesses and individuals on business bankruptcy and commercial law matters, with an emphasis on Chapter 11 reorganization. His experience includes representing debtors, debtors-in-possession, Chapter 11 and Chapter 7 trustees, creditors committees, secured lenders and other lienholders, unsecured creditors, indenture trustees, and licensors of intellectual property. He was a Chapter 7 panel trustee for ten years for the Western District of Washington at Seattle and has served as a Chapter 11 trustee. Mr. Groshong is certified in Business Bankruptcy Law by the American Board of Certification. Mr. Groshong s professional activities include the Committee on Public Companies and Claims Trading for the American Bankruptcy Institute, former co-chair. Mr. Groshong s recent representations include: Counsel to the unsecured creditors committee for a restaurant franchising company, the unsecured creditors committee for a software development company, indenture trustees, and Chapter 11 debtors in possession, including real estate developers. 4

5 M O D E R ATO R S & PA N E L I ST S David Gruber, Farris LLP David Gruber is a Partner leading Farris restructuring and insolvency group and practicing in the area of corporate/commercial litigation. He has appeared regularly in the superior and appellate courts of British Columbia and Ontario and in the Federal Court, and has acted in several reported cases. As well, Mr. Gruber has significant experience in both international and domestic arbitration and other alternative dispute resolution processes and in negotiating and advising on dispute settlements. In the area of restructuring and insolvency, Mr. Gruber has acted for monitors, trustees and receivers, as well as for debtors, creditors and other affected parties, primarily in large-scale Companies Creditors Arrangement Act and Bankruptcy and Insolvency Act matters. Mr. Gruber s corporate/commercial litigation experience has encompassed shareholder and partnership disputes (including oppression claims), breach of contract cases, securities matters and allegations of breach of fiduciary duty. He has acted for corporations of all sizes, professional firms, governments, public and quasi-public institutions and for private individuals. He has acted on a number of significant matters including recently: For Streetwise Capital Partners Inc. on the Blackburn Development Ltd. CCAA; for Steels Industrial Products Ltd. in its CCAA; for a group of crossholding Noteholders in the Catalyst Paper CCAA; for the City of Vancouver in the restructuring of its Olympic Village development; as local counsel on the reorganization of Angiotech Pharmaceuticals; and for Lehman Brothers on its realization of a large condominium development. Clyde Hamstreet, Hamstreet & Associates Since founding his firm in Portland, Oregon, in 1988, Clyde Hamstreet has been a prominent figure in the national turnaround industry for nearly 25 years with extensive experience leading complex turnarounds. Recipient of several national and regional awards, Mr. Hamstreet is well known for building consensus among diverse interest groups and creating innovative solutions to seemingly intractable problems. With an expertise in corporate finance, management, and governance, Mr. Hamstreet has held executive positions in many corporations, including Chief Restructuring Officer, Chief Executive Officer, President, Chief Financial Officer, and Director. He has successfully restructured large and mid-size companies and has led many initiatives to restore underperforming corporations to profitability, both in and out of Chapter 11. His experience includes the strategic repositioning of core operations, complex refinancing and investment arrangements, aggressive cost reductions, intensive management of working capital, and sales and divestitures. He recently completed a two-year engagement serving as the CRO of Sunwest Management, a national senior living provider whose restructured operations and balance sheet gave birth to sustainable earnings after years of losses, ultimately attracting an affiliate of the Blackstone Group to acquire the operations in a $1.3 billion transaction. Mr. Hamstreet has extensive experience in bankruptcy and other legal settings and has served as an expert witness in numerous cases and multimillion dollar arbitrations. He has advised corporate boards on improving governance processes and creating more effective relations with management. Mr. Hamstreet is a Certified Turnaround Professional and has served in leadership positions of the Northwest and National Turnaround Management Associations and the Association of Turnaround Professionals. He has been nominated for turnaround practitioner of the year four times, winning the award in 1994, 2005, and In 2009 the Northwest Chapter of the Turnaround Management Association honored Mr. Hamstreet for his dedication and outstanding professional achievements in business restructurings and turnaround at its 10th Anniversary Cross-Border Conference. Mr. Hamstreet holds a B.S. in Business Administration from Oregon State University. Deryck Helkaa, FTI Consulting (President Northwest Chapter of TMA) Deryck Helkaa is a senior managing director in FTI Consulting s Corporate Finance practice and is based in Calgary. Mr. Helkaa has over 15 years of restructuring experience in representing companies, shareholders, creditors, lenders and management in both formal and out-of-court restructurings. Mr. Helkaa s experience comprises a wide variety of industries with a primary focus on real estate and the oil and gas industry, including companies operating in exploration and production, midstream and oilfield services sectors. His experience ranges from private to public companies, including many cross-border cases. Prior to joining FTI Consulting, Mr. Helkaa was a partner in the Transaction and Advisory Services group at Ernst & Young. Mr. Helkaa holds a B.A. in economics from the University of Western Ontario. He is a chartered accountant, certified insolvency and restructuring professional and licensed trustee in bankruptcy. He is a member of the Canadian Association of Insolvency and Restructuring Professionals, Insolvency Institute of Canada and Turnaround Management Association. He is the current President of the Turnaround Management Association s Northwest Chapter. Kibben Jackson, Fasken Martineau DuMoulin LLP Kibben Jackson is a partner in the Litigation and Dispute Resolution Group at Fasken Martineau DuMoulin LLP. His practice is in general corporate and commercial litigation with a focus on insolvency, corporate restructurings and secured creditor realization. Mr. Jackson has significant insolvency experience in most areas including forestry, gaming, mining and retail, as well as extensive experience in cross-border insolvency proceedings. He has worked with most of Canada s largest financial institutions and trustee firms, including in relation to bankruptcies and receiverships, and has represented both debtors and creditors in connection with significant reorganizations and debt restructurings. Prior to joining the firm, Mr. Jackson clerked for the Chief Justice of British Columbia at the British Columbia Court of Appeal. Mr. Jackson is a member of the Civil Litigation and Insolvency Sections of the British Columbia and Canadian Bar Associations and a member of the Board of Directors of the Turnaround Management Association s Northwest Chapter. Albert N. Kennedy, Tonkin Torp LLP Albert Kennedy s practice focuses on bankruptcy, commercial law and creditors rights. He has expertise in all areas of commercial, bankruptcy and creditors rights law. He has represented creditors (including a variety of financial institutions) and debtors in bankruptcy proceedings, commercial litigation and real estate foreclosures before both federal and state courts. He also has extensive experience in the negotiation and documentation of commercial loan transactions. In recent years, Mr. Kennedy has been a lead attorney in some of the most significant commercial bankruptcy cases filed in Oregon and Southwest Washington, including Stayton SW Assisted Living LLC (the Consolidated Sunwest cases), Storables, Inc., The Columbian Publishing Company, Renaissance Custom Homes, Columbia Aircraft Manufacturing Corporation, Graphic Arts Center Publishing Company, and The Archdiocese of Portland in Oregon. Some of Mr. Kennedy s more recent seminar and CLE presentations include: Bankruptcy Trusts: One Size Does Not Fit All (Turnaround Management Association, 2011), and Reorganization v. Liquidation in Chapter 11 Cases (24th Annual Bankruptcy Institute, 2011). Mr. Kennedy is listed in The Best Lawyers in America as one of Oregon s bankruptcy specialists. The Best Lawyers in America also named Mr. Kennedy as 2011 Portland Lawyer of the Year for creditor s rights and bankruptcy and 2012 Portland Lawyer of the Year for Bankruptcy Litigation. He received the Large Company Turnaround Transaction of the Year award from the Turnaround Management Association in Jonathan Legg, PricewaterhouseCoopers Inc. Jonathan Legg is a Senior Advisor to PwC s Advisory Services Practice. Mr. Legg was a Senior Executive in both RBC Bank (Operating Committee /Group Executive Committee) and CPR (Operating Committee/Executive Committee) and has a proven track record of success. He has chaired two Public Company Boards and regularly provides advice to Boards and C-Suite executives. His core competencies are in strategy, risk management, business model innovation, operating effectiveness, restructuring and corporate governance. As former President and COO of RBC U.S. Bank, and CEO, RBC Mortgage / Member of RBC Bank Operating Committee Mr. Legg was responsible for the U.S. Bank s overall performance and governance. Mr. Legg implemented structural changes in the Bank s businesses and sales force which created a more efficient and effective operating model, with enhanced revenue growth. In addition as CEO, RBC Mortgage he restructured the business prior to the U.S. sub-prime melt down. Its sale resulted in a substantial increase in RBC s market cap. Previous executive roles in RBC included head of the Financial Advisory Practice, providing advice on complex risk issues, and VP Special Loans / Restructuring. As a member of CPR s Executive Committee Mr. Legg was responsible for providing leadership and acting as a catalyst for transformational change across CPR.
