1 VGM Group, Inc., grew out of Van G. Miller s experience as a home medical equipment provider. In 1978, he founded Miller Medical Service, which grew into a franchise operation with 26 locations in the Midwest. Because of the 26 locations, Miller Medical received good volume discounts from its vendors, which enabled even a small franchisee to realize very good pricing. In 1986, he founded VGM & Associates, a buying group for independent HME providers. VGM has grown to include nearly 20 divisions, the majority of which are related to the HME industry. On June 3, 2008, VGM became a 100 percent employee-owned company, and is now known as VGM Group, Inc.

2 Van G. Miller is CEO and chairman of the board of VGM Group and all other related VGM companies. James E. Walsh Jr. is president of VGM Group. He also is corporate general counsel and a director of all VGM-related corporations. Jim Phillips is chief operating officer of VGM Group. He is responsible for day-to-day operations of VGM companies. Mike Mallaro is chief financial officer/chief information officer of VGM Group. Van G. Miller, CEO VGM implemented an Employee Stock Ownership Plan in It is the centerpiece of the company s plan for succession and continuity. The ESOP allows all full-time associates to participate as owners of VGM via company stock contributed to the ESOP. It is a very generous retirement plan because a fully vested VGM Associate is entitled to 100 percent of the benefits in his/her account when they leave VGM.
