Ecomic operators that fulfill the following conditions may take part in the proceedings: 1) Meet requirements imposed by Article 22 of the Public Procurement Law and are t subject to exclusion pursuant to Article 24 of the Public Procurement Law. In case of ecomic operators competing jointly for a contract, ne of the ecomic operators may be subject to exemption. 2) Have filed on time an application for participation in proceedings together with required representations and documents B. Documents confirming fulfillment of conditions: 1) Representation of ecomic operator confirming that: a) ecomic operator holds the rights to conduct given activities if laws require the necessity to hold such authorizations, b) the ecomic operator possesses the necessary kwledge and experience as well as technical and personnel potential to carry out the subject of the contract, c) the ecomic operator is in a financial and ecomic condition ensuring the performance of the order, d) the ecomic operator is t subject to exclusion from proceedings associated with the granting of the order. In case of ecomic operator competing jointly for a contracts, such representation shall be submitted in the form of a joint representation signed by all of the ecomic operator or by the plenipotentiary appointed pursuant to Article 23 par. 2 of the Public Procurement Law or by each of the ecomic operator. 2) A current excerpt from the appropriate register or a current confirmation of entry into the commercial activities register if separate laws require registration in the register of entry into the commercial activities register issued t earlier than 6 months prior to the deadline for submission of bids; 3) Current statement of the appropriate head of the tax office as well as the appropriate Social Insurance Fund (ZUS) office and Farmers Social Insurance Fund (KRUS) office confirming that the ecomic operator is t in arrears with the payment of any taxes, social security and healthcare charges or fees or a statement from such that the ecomic operator has obtained an exemption, postponement or right to payment of such outstanding payments in installments pursuant to binding law or a decision that the appropriate office has fully withdrawn from the execution of such issued earlier than 3 months prior to the deadline for the submission of applications for qualification to participate in tender proceedings; 4) Current information from the National Register of Criminal Records in the scope specified in Article 24 par. 1 items 4-8 of the Public Procurement Law issued t earlier than 6 months prior to the expiry of the time limit for submission of requests to participate in the contract award procedure;

In the case of ecomic operators competing jointly for a contract, the documents described in items 2) to 5) above shall be submitted by each ecomic operator competing for a contract. D. If the ecomic operator has the seat or place of residence outside the Republic of Poland, instead of documents referred to in: 1) for items 2), 3) and 5), the ecomic operator shall submit a document(s) issued in the country in which the ecomic operator has the seat or place of residence and confirming respectively that: a) neither winding up procedure was commenced r bankruptcy declared with respect to the ecomic operator, b) the ecomic operator is t in arrears with the payment of taxes, fees, social insurance or health insurance premiums, or stating that the ecomic operator was legally entitled to exemption, deferment or spread of payment into installments with reference to outstanding payments or stating that the execution of a decision of a competent authority has been stopped in its entirety, c) the ecomic operator has t been prohibited from competing for a contract; 2) in item 4), the ecomic operator shall submit a certificate of a competent judicial or administrative authority, place of residence or place of residence of a person to whom the documents refer to, within the scope specified in Article 24 items 4-8 of Public Procurement Law. The documents referred to in item 1 a) and c) as well as item 2 shall be issued t earlier than 6 months before the expiry of the time limit for submission of requests to participate in the contract award procedure. The document referred to in item 1 b) shall be issued t earlier than 3 months before the expiry of the time limit for submission of requests to participate in the contract award procedure. If in place of residence of a person or the country in which the ecomic operator has the seat or place of residence, the documents, referred to in items 1) and 2), are t issued, they shall be replaced by a document containing a declaration made before a tary, a competent judicial or administrative authority or a competent professional or trade body in the place or residence of a person or the country in which the ecomic operator has the seat or place of residence, respectively, issued later than indicated above. The ecomic operator which rely on kwledge and experience, technical potential, personnel capable of performing the contract or financial abilities of other entities, regardless of the legal nature of its relations with such entities, is required to prove to the awarding entity that it will have at its disposal the resources necessary to perform the contract, in particular by presenting to this end a written commitment of those entities whereby they undertake to put the necessary resources at the ecomic operator s disposal for the time of their use in performance of the contract. Additionally the ecomic operator which rely on kwledge and experience of other entities is required to present documents specified in section III.2.1. B. item 1 d), 2) - 5) and in section III.2.3. B item 1) in respect to these entities and the ecomic operator which rely on financial abilities of other entities is required additionally to present documents specified in III.2.2. B. item 1) in respect to these entities. In case of ecomic operators which, by proving fullfillment of requirements imposed by Article 22 of the Public Procurement Law, shall rely on the resources of other entities, based on rules provided for in Article 26 sec. 2b of the Public Procurement Law, and these entities will participate in performance of part of the contract, the ecomic operator, besides the presentation of written commitment of those entities whereby they undertake to put the necessary resources at the ecomic operator s disposal for the time of their use in performance of the contract, is required additionally to present documents specified in III.2.1. B. item 1 d), 2) - 5) in respect to these entities and relevant documents confirming fulfillment of conditions specified in section III.2.2. B. item 1) and III.2.3.B. item 1) and item 3) exclusively in the scope of such resources of other entities that ecomic operator is going to use for the purpose of fulfillment of conditions. In the case of ecomic operators competing jointly for a contract, ecomic operators shall establish a plenipotentiary to represent them in these proceedings. Such a power of attorney must arise from the text of the power of attorney granted by all of ecomic operators and be attached to submitted documents. Evaluation of fulfillment of terms and conditions for participation in proceedings shall take place on the basis of documents and representation submitted by the ecomic operator and on the basis of a 0 (does t comply) 1 (complies) criteria. III.2.2) Ecomic and financial capacity Information and formalities necessary for evaluating if requirements are met (if applicable): A. An ecomic operator that fulfils the following conditions regarding financial and ecomic capability may participate in the proceedings: 1) Has financial resources or ability to draw debt for an amount of less than EUR 1 million or its equivalent in a different currency.

6 6/ 14 ENOTICES_FortumPowerHeatPol - ID:2010-XXXXXX Standard form 5 - EN 2) During the last three (3) years and, if the period of activities is shorter, during such period, has achieved revenues during each year of commercial operations of at least EUR 5 million or its equivalent in a different currency. In case of ecomic operators competing jointly for a contract, the requirements listed in items above shall be fulfilled jointly by all of the ecomic operators (and t independently for each member). B. Documents confirming fulfillment of conditions: 1) Information of the bank or savings and loan cooperative in which the ecomic operator holds an account confirming the level of funds held by the ecomic operator or the ecomic operator s creditworthiness for a loan of less than EUR 1 million issued t earlier than three (3) months prior to the deadline for submission of filings for permission to participate in proceedings and, if the period of conducting commercial activities is shorter, for such period. 2) financial statements, or their part thereof, and, if such financial statements are required to be audited, the opinion of the independent auditor regarding their compliance with accounting laws as well as the auditor s opinion regarding the entire financial statements or their parts thereof and - in case of ecomic operators t required to prepare financial statements other documents indicating turver as well as assets and liabilities for the last three (3) financial years or, if the period of operations is less than three years for the entire period of operations. In case of ecomic operators competing jointly for a contract, the documents listed in items above shall demonstrate the joint fulfillment of the requirements indicated in items above by the ecomic operators. Evaluation of fulfillment of terms and conditions for participation in proceedings shall take place on the basis of documents and representation, submitted by the ecomic operator and on the basis of a 0 (does t comply) 1 (complies) criteria. III.2.3) Technical capacity Information and formalities necessary for evaluating if requirements are met (if applicable): A. An ecomic operator that fulfils the following conditions regarding technical capability may participate in the proceedings: 1) Has executed or is executing (regardless of the date of conclusion of a contract) the EPCM (Engineering, Procurement & Construction Management) Contract Manager s services within 3 years prior to the date of issuing the proceeding, or within the period of conducting the business activity, if its shorter for at least one Combined Heat & Power Plant, with comprehensive investment costs amounting to at least EUR (or equivalent in alternative currency). The EPCM services cover permit design, detail engineering, equipment & material procurement, project controls, site management & supervision of works during construction phase as well as plant commissioning. 2) Holds and implemented quality assurance system (ISO 9001 or equivalent quality assurance measures). 3) The contractor's employees, taking part in execution of order, have required qualifications for design works and unrestricted management of building works required by the Act dated 7 July 1994, Building Code (Dz.U. No. 156, Item 1118 as of 2006 with changes), in the scope necessary for order fulfillment and have good kwledge of English both orally and in writing. The purchaser require participation of the people who have building qualifications during execution of the order: - unrestricted design of installation line, in the scope of network, systems and heat equipment or in the scope of grid, installations and electric and power devices, - unrestricted management of building works as in above. 4) The contractor shall provide at least 30-person available team, performing the duties concerning engineering tasks, procurement issues, monitoring of construction works and the project management that has good kwledge of English both orally and in writing. When contractors cooperate in competing for the procurement awarding, the conditions mentioned in items 1, 2, 3, 4 should be fulfilled jointly by all contractors being the members of Consortium (t concerning each of them individually). B. Documents confirming fulfillment of the conditions: 1) Record of works described in A item 1, which have been completed or were being executed within 3 years prior to the date of issuing the proceeding for procurement awarding, or within the period of conducting the business activity, if its shorter; and also defining the contractor's role (individual contractor, member of Consortium), subject of the project (investment), its value, accomplishment dates, purchasers' names and the documents confirming the proper performance of works. 2) Certificate of independent authority issuing attestations of conformity between performance and quality standards issued by the entities heaving their seat in the other Member Country of the European Ecomic Area; or other documents confirming that the Contractor implements the equivalent means of quality preservation. 3) List of, at least, 30 people and entities which shall participate in the order execution, dealing with engineering tasks, procurement issues, monitoring and management of the construction site, occupying the positions of

7 7/ 14 ENOTICES_FortumPowerHeatPol - ID:2010-XXXXXX Standard form 5 - EN the Designer, the Construction Manager, the Control Engineer; also CVs and list with Information concerning their occupational competences, experience and education essential for the order execution and documents confirming their qualifications, specified in A item 3 and A item 4, and the scope of duties. When contractors co-operate in competing for the procurement awarding, the documents specified in items 1-3) should confirm the join fulfillment of conditions specified in A item 1, A item 2, A item 3, A item 4 by members of Consortium. Evaluation of fulfillment of terms and conditions for participation in proceedings shall take place on the basis of documents and representation, submitted by the ecomic operator and on the basis of a 0 (does t comply) 1 (complies) criteria. If the number of ecomic operators that meet conditions for participation in proceedings will be greater than five (5), the Contracting Authority will invite those ecomic operators that have obtained the greatest number of points calculated pursuant to the following principles: For each work meeting requirements described in part III.2.3 item 1) indicated in the list and confirmed by references of Clients, the ecomic operator will receive: 10 points with regard to each contract that has been completed and/or 5 points with regard to each contract being executed. In the case of two or more ecomic operators obtaining the same, maximum, number of points, all ecomic operators that have obtained the same number of points will be invited. If the number of ecomic operators meeting requirements for participation in proceedings will be less than five (5), the contracting authority will invite all contractors meeting such conditions. 3) Documents referred to in parts III.2.1, III.2.2 and III.2.3 shall be attached to the filing for permission to participate in proceedings in the original or a copy certified by the ecomic operator to be a true copy of the original. In case of ecomic operators competing jointly for a contract as well as in case of subjects, which resources ecomic operator relies on, the copies of documents referring respectively to ecomic operator or these subjects shall be certified by the ecomic operator or these subjects to be a true copy of the original. 4) The requests to participate in a procedure, including ecomic operator s representations, shall be submitted in written form, signed by persons authorised to do so and together with required documents, all bound into one whole, in two hardcopies (original and 1 copy). All n-blank pages shall be numbered and shall be initialled by the authorised person. 5) In case of a mutual bid, a plenipotentiary referred to in Article 23 par. 2 of the Public Procurement Act shall be appointed and an appropriate power of attorney attached to the documents. 6) The requests to participate in a procedure, documents and statements shall be submitted in English or Polish. The appeal should indicate the awarding entity s action or failure to act which is challenged as incompliant with the Public Procurement Law, contain a brief summary of the charges, define the demand and indicate the factual and legal circumstances which justify the lodging of the appeal. The appeal should be lodged with the President of the Chamber in writing or by electronic means with a secure electronic signature verifiable using a valid qualified certificate. The appellant should dispatch a copy of the appeal to the awarding entity before the expiry of the time limit for lodging the appeal, so that the awarding entity is able to become familiar with the appeal before the end of that time limit. It is implied that the awarding entity might become familiar with the appeal before the end of the time limit for filing the same, if a copy thereof was sent before the expiry of the time limit for filing, by one of the means defined in Article 27 paragraph 2 of Public Procurement Law. The appeal should be lodged: within 10 days from the date of dispatch of information on the awarding entity s action subject of appeal was sent, if the information was dispatched in the manner specified in Article 27 paragraph 2of Public Procurement Law or within 15 days. The appeal against the contract tice shall be lodged within10 days from the date of publication of ontract tice in the EU Official Journal of the EU. The appeal against actions other than mentioned above shall be lodged within 10 days from the date on which one have become or with due diligence may have become aware of the circumstances constituting the basis thereof. In case of appeals lodged against the contract tice or the specification of essential terms of contract, the awarding entity may extend the time limit for submission of tenders or time limit for submission of equests. In case of appeals lodged after the expiry of the time limit for submission of tenders, the period during which the ecomic operator must maintain his tender shall be suspended until the judgment is passed by the National Appeal Chamber. The awarding entity shall forthwith dispatch, t later than within 2 days from the date of receipt, a copy of appeal to all other ecomic operators who participate in the contract award procedure, and if the appeal refers to the content of contract tice or provisions of specification of essential terms of contract, shall also place it also on the website, where the contract tice is placed or specification is made available, calling upon the ecomic operators to access the appeal procedure. The ecomic operator expresses the accession to the appeal procedure within 3 days of the date of receipt of the copy of appeal, indicating the party, on whose side it accesses, and the interest in obtaining the adjudication in favour of the accessed party. The tification of accession to shall be submitted to the President of the Chamber in writing or by electronic means with a secure electronic signature verifiable using a valid qualified certificate, and a copy thereof shall be dispatched to the awarding entity and to the ecomic operator who lodged the appeal. The ecomic operators who accessed the appeal procedure become the participants of the appeal procedure if they have interest in the appeal being adjudicated in favour of one of the parties. The awarding entity or the appellant may file an objection against the accession of ather ecomic operator t later than by the time when the hearing is opened. The Chamber sustains the objection if the objecting party lends credence that the ecomic operator has interest in obtaining the adjudication in favour of the

The decision on sustaining or dismissing the objection may be issued by the Chamber at closed hearing. The decision on sustaining or dismissing the objection shall t be subject of complaint. The actions of a participant of the appeal procedure shall t stand in contradiction to actions and declarations of the party, he chooses to support, with the proviso for the submission of an objection, referred to in Article 186 paragraph 3, filed by a participant who joined the procedure at the awarding entity s side. The appellant and the ecomic operator summoned in accordance with paragraph 1 shall t subsequently use legal remedies with regard to the actions of the awarding entity performed in accordance with the judgement passed by the Chamber or the court or under Articles 186 paragraph 2 and 3. Appeal procedures shall be regulated by appropriate provisions of the [Polish] Code of Civil Procedure of 17 November 1964 on the court of arbitration, unless Public Procurement Law provides otherwise.
