1 NATIONAL BANK OF CANADA MASTERCARD TM CORPORATE CARD AUTHORIZED CARDHOLDER TERMS AND CONDITIONS Each Corporate Card is governed by the terms and conditions set out in this Agreement. Your first use of your Corporate Card is confirmation of your acceptance of the terms and conditions of this Agreement or, if applicable, its renewal or amendment. If you would like to obtain information about your Corporate Card, you can call us during our regular business hours at or free of charge at or visit our website at nbc.ca/mastercard. 1. DEFINITIONS Agreement: means this agreement and all its amendments. Authorized Cardholder: means each of the persons to whom a Corporate Card has been issued or who has been authorized by the Corporation to use a Department Card, a Department Account or a Vehicle Card. The terms you and your refer to such persons. Automated Services: means our automated banking services accessible with your Corporate Card, including access to another bank account you have at the Bank by way of an automated banking machine or other authorized equipment. Bank: means National Bank of Canada. The terms we, us and our refer to the Bank and, if applicable, all its affiliates and entities of its group. Cash Advances: means an advance of funds obtained (i) through the teller services or automated services of the Bank or at another financial institution where Cash Advances are permitted, (ii) using cheques, (iii) by performing quasi-cash transactions with a merchant, or (iv) by transferring funds from an account assigned to an Authorized Cardholder. Quasi-cash transactions are handled as Cash Advances. Quasi-cash transactions are purchases made through a merchant of articles that can be converted directly into cash. They include, but are not limited to, money orders, wire transfers, travellers cheques and transactions related to gaming (including, but not limited to, betting, off-track betting, racetrack betting, casino chips and lottery tickets). Corporate Card: means a Corporate Card issued by the Bank which includes, if applicable, a Corporate Card which can be used to make transactions related to travel expenses incurred by the Corporation s employees, a Sourcing Card (also known as a Purchase Card) which can be used to purchase goods and services, a Department Card which can be used to purchase goods and services by a specific group of the Corporation s employees, a Department Account (also known as a Virtual Card) which can be used to purchase goods and services by telephone or Internet, and a Vehicle Card which can be used for the purchase of goods and services (such as gasoline and maintenance and repair services for the vehicles) and to monitor and control a fleet of vehicles. The Corporate Card may be used for Purchases wherever MasterCard credit cards are accepted, subject to the terms and conditions of this Agreement. The Bank is not liable if the Corporation or an Authorized Cardholder cannot access the Corporate Card account, cannot Page 1 of 8

2 use a Corporate Card or if a transaction is declined, regardless of whether the reason was within the control of the Bank or not. Corporation: means the corporation or other entity which has directed us to issue a Corporate Card to you. Credit Limit: means the credit limit applicable to your Corporate Card which is shown on your Statement of Account. Electronic Banking Solutions: means our Internet Banking Solutions and our TelNat Telephone Banking Solutions. Password: means (i) the secret code that enables you to carry out transactions using one of our Electronic Banking Solutions, and (ii) the secret code that you have selected through a participating merchant for your online transactions. Purchase: means the acquisition of goods and services, in person, over the telephone, via the Internet or through the mail, from any person or merchant affiliated with the MasterCard International Inc. system at the time of the transaction. Statement of Account: means the detailed statement of all amounts debited or credited to your Corporate Card that we send to you on a monthly basis. Teller Services: means the services offered in our branches during regular business hours where you may carry out different banking transactions. Point-of-Sale Terminal: means an electronic terminal equipped with a card reader with or without a keypad used to enter the password and which is used to pay for Purchases or to obtain Cash Advances, notably automated banking machines, point-of-sale terminals at a merchant and in-home card terminals. 2. OTHER AGREEMENTS Other agreements entered into with the Bank may also apply to your Corporate Card, namely the Agreement Governing the Use of Automated and Electronic Banking Solutions. In the event of conflict, the provisions of this Agreement shall prevail over other agreements. 3. CREDIT LIMIT You must not use your Corporate Card beyond the Credit Limit granted to you. We may, at our discretion, authorize your Credit Limit to be exceeded. Such authorization, if applicable, does not constitute an increase in your Credit Limit and the Corporation remains responsible for any amount in excess of your Credit Limit. 4. CASH ADVANCES You will be entitled to take Cash Advances if the Corporation has authorized us to do so. Page 2 of 8

3 We may restrict Cash Advances to an amount lower than the Credit Limit. We may impose withdrawal limits on Cash Advances whenever we deem it necessary in order to protect our respective interests. 5. INTEREST CALCULATION Interest is calculated on any past due balances at the daily rate, which corresponds to the annual rate shown on the Fee Schedule. No interest on the amount of the Purchases made with a Corporate Card is payable if the Bank receives payment in full of the Corporate Card s total balance at the Payment Due Date. If the Bank does not receive the full payment of the total balance at the Payment Due Date or if the Bank receives a partial payment of the total balance at the Payment Due Date, the interest will be calculated on the Corporate Card s daily balance as of the inscription date of the Purchases on the Statement of Account. The interest payable on Cash Advances is calculated on the daily balance of the Cash Advances as of the date a Cash Advance was made until the date payment in full for such Cash Advances is received by the Bank. If applicable, any amount exceeding the available Credit Limit will also bear interest at the annual interest rate in effect on your Corporate Card. We will not pay any interest on any credit balance posted on your Corporate Card. 6. PAYMENTS The Corporation is responsible for any transactions using your Corporate Card. However, the Corporation may require that you pay the Bank the balance shown on your Statement of Account, in which case the following paragraphs apply: (a) We must receive payment of the complete balance shown on your Statement of Account by the payment due date. However, you may make a complete or partial payment at any time before the payment due date. (b) Payment can be made at no charge via our Teller Services, our Automated Services and our Electronic Banking Solutions. For payment by mail, please make your cheque or money order payable to National Bank of Canada and send it to 600, de la Gauchetière West, Transit , Montreal (Quebec) H3B 5B1. (c) When you send a payment by mail or make a payment via the Internet or an automated banking machine, be sure to leave enough time for us to credit it to you no later than the payment due date indicated on your Statement of Account. (d) Any credit note issued by a merchant will be credited to you on receipt. However, you remain responsible for paying the balance shown on your Statement of Account until we receive such credit note. Page 3 of 8

APPLICATION OF PAYMENTS The payment you make is applied to the amounts that appear on your Statement of Account in the following order: (i) interest, (ii) miscellaneous fees, including non-interest related fees, (iii) Cash Advances outstanding from the previous balance, (iv) Purchases outstanding from the previous balance, and (v) Cash Advances and Purchases appearing on your Statement of Account for the current period. Transactions made after the billing date will appear on your Statement of Account the following month. The order in which the payment will be applied may differ from that described above when you benefit from an offer bearing a promotional interest rate. In such a case, we may first apply your payment to the Purchase or Cash Advance bearing interest at the lowest rate. 8. USE OF THE CORPORATE CARD You may use your Corporate Card, up to your authorized Credit Limit, for the following purposes: (a) paying for Purchases; and (b) if authorized by the Corporation, obtaining Cash Advances. The Bank may, at any time and without prior notice, refuse to authorize Purchases or Cash Advances, namely if the total amount of Purchases or Cash Advances exceeds the Credit Limit or may result in the Credit Limit being exceeded. You acknowledge that the Corporate Card is issued to you for the benefit of the Corporation and is not to be used for your personal benefit, the benefit of any other persons or on their behalf. Your Corporate Card may not be used for illegal purposes. We reserve the right to refuse any transaction for any reason whatsoever in order to protect our respective interests. You can use the Corporate Card everywhere it is accepted. We cannot be held liable if a merchant or business refuses your Corporate Card. 9. CARD OWNERSHIP Your Corporate Card remains our property at all times and cannot be assigned to a third party. It must be returned to us on demand, namely if you contravene any of the provisions set out in this Agreement. We may issue, renew, replace or revoke your Corporate Card at our discretion or if directed to do so by the Corporation. 10. CARD USE PERIOD You may use your Corporate Card for the period we determine. The validation date and expiration date are indicated on your Corporate Card. However, the Corporation remains liable for payment of any Purchase or Cash Advance made using your Corporate Card after the expiration date of your Corporate Card. Page 4 of 8

5 11. LOSS OR THEFT OF YOUR CORPORATE CARD You must notify us immediately if your Corporate Card is lost or stolen. You must also notify us if you have reason to believe a third party has used your Corporate Card or your Corporate Card number without your authorization. The Corporation will not be held liable for the unauthorized use of your Corporate Card following the theft or loss of your Corporate Card from the time we receive a written or verbal notice from you. Also, the Corporation will not be held liable for amounts of Purchases or Cash Advances made using your Corporate Card prior to us receiving the above-mentioned notice provided that: (i) your are not in default under the terms of this Agreement Related to the National Bank of Canada MasterCard Corporate Card Program, (ii) you have exercised reasonable care to protect your Corporate Card and (iii) you have not notified us of two or more unauthorized activities in the previous 12 months. In all cases, you must cooperate in any investigations into the circumstances surrounding the unauthorized use of your Corporate Card and, if applicable, file a complaint with the police. You authorize us to take any measures we deem necessary to recover your Corporate Card and to report the loss or theft of your Corporate Card to the appropriate authorities to facilitate its recovery. Notwithstanding the foregoing, the Corporation is liable at all times for transactions made using your Corporate Card and your Password if you contributed to the unauthorized use of your Corporate Card and your Password. For example, disclosing your Password, keeping a poorly disguised copy of your Password or using a Password corresponding to intelligible data specific to you, such as your name, your telephone number, your home address, your date of birth or your social insurance number. We invite you to refer to the security advice that applies to your Corporate Card and your Password at the end of this Agreement. 12. CONSENT Each transaction made using your Corporate Card and your handwritten signature on paper through a merchant confirms that you have consented to this transaction. Furthermore, any transaction made with (i) your Corporate Card and your Password or (ii) your Corporate Card and the appropriate technology such as a Point-of-Sale Terminal, is just as legally binding as a transaction made in accordance with written instructions signed by you, and you are deemed to have authorized such a transaction. As a result, you acknowledge and agree that the posting of a transaction to your Statement of Account indicating a Purchase or Cash Advance constitutes irrefutable proof that services or goods were supplied to you. 13. TRANSACTION VIA TELEPHONE, INTERNET OR MAIL When you use your Corporate Card number to make a transaction without presenting your Corporate Card, for example by telephone, Internet or mail, you are deemed to have consented to this transaction as if it had been made in accordance with written instructions signed by you. 6 As a result, you acknowledge and agree that the posting of such a transaction to your Statement of Account constitutes irrefutable proof that services or goods were supplied to you. 14. CHECKING STATEMENTS OF ACCOUNT Every month, we will prepare and send you a Statement of Account indicating the debits and credits to your Corporate Card during the period covered by this Statement of Account, unless you have not used the Corporate Card and therefore have no balance payable. You must check each Statement of Account that we send to you within 30 days of the date of the Statement of Account and notify us of any errors or irregularities appearing thereon. After this 30-day period, you or the Corporation will no longer be able to contest items posted to your Statement of Account. The balance will then be considered to be final and accurate, except for errors or irregularities that you will have already brought to our attention within the required period. Any Statement of Account or notice that we send you under this Agreement is deemed to have been delivered or given to you, as applicable, (i) at your last known civic address appearing in our records if it is sent to you by regular mail or (ii) the electronic address you have designated if it is sent to you through our Electronic Banking Solutions or another designated information processing system. Statements of Account sent electronically are deemed to be received the moment they are sent through our information processing systems. You must notify us immediately if you have not received a Statement of Account within 10 days of the date you normally receive your Statement of Account. 15. PROOF OF TRANSACTIONS If you so request in writing, we can ask a merchant to issue a receipt, bill or other document confirming that the services or goods were in fact supplied to you. We must receive your written request within 30 days of the date of your Statement of Account. 16. TRANSACTIONS IN FOREIGN CURRENCY Foreign currency transactions will be entered on your Statement of Account in Canadian currency. A U.S. currency transaction will be converted into Canadian currency at the applicable exchange rate established by MasterCard Worldwide, marked up by a percentage. A foreign currency transaction other than in U.S. currency will first be converted into U.S. currency using the applicable exchange rate established by MasterCard Worldwide. The amount thus converted into U.S. currency will then be converted into Canadian currency at the applicable exchange rate established by MasterCard Worldwide, marked up by a percentage. The applicable exchange rate is the exchange rate in effect on the date the transaction is entered on your Statement of Account, which can be different from the date of the transaction. Page 6 of 8

7 17. OPTIONAL SERVICES Optional services may be offered to you for additional fees. You understand that these services may be governed by additional terms and conditions, and may also be subject to distinct agreements or authorizations. 18. PASSWORD AND CONFIDENTIALITY You must protect your Password and keep it confidential at all times. You must notify us immediately if the confidentiality of your Password is compromised or if you suspect another person of knowing it. 19. AMENDMENT TO THIS AGREEMENT We may, at any time and at our discretion, amend the terms and conditions of this Agreement by sending to the Program Coordinator a notice at least 30 days in advance and all Authorized Cardholders will be deemed to have reviewed the amendments and to have accepted being bound by them. An amendment to this Agreement does not create a new agreement and the unamended provisions of this Agreement remain in full effect. 20. CANCELLATION The Corporate Card is made available to you entirely at our discretion. We therefore reserve the right to terminate all or part of your right to use the Corporate Card, namely if you are in default with respect to the terms and conditions of this Agreement or if we are directed to do so by the Corporation. Any omission on our part to exercise any of these rights does not constitute a waiver to exercise such rights in the future. You or the Corporation may cancel this Agreement by contacting us. The Corporation will remain responsible for any amount due under this Agreement at the moment of cancellation, until payment in full. All provisions of this Agreement will continue to apply to your Corporate Card until payment in full by the Corporation to the Bank of all amounts outstanding. 21. SETTLEMENT OF DISPUTES WITH THIRD PARTIES We are not responsible for the quality of the goods or services you purchase with your Corporate Card. Any claim or dispute between you and the merchant in this regard, including your right to compensation, if applicable, will have to be settled between you and the merchant. In addition, certain advantages or services related to your Corporate Card may be offered by a third party, in which case we are not responsible for any such offers or for the conduct or actions of such third parties. Any claim or dispute between you and a third party in this regard, including your right to compensation, if applicable, will have to be settled directly between you and the third party. Page 7 of 8

8 22. ASSIGNMENT OF RIGHTS We may, from time to time and without your consent, assign to any person any of our rights under this Agreement. Moreover, you cannot assign your rights under this Agreement without obtaining prior authorization, in writing, from us. This Agreement is legally binding on our successors and assigns. 23. CHANGE OF ADDRESS You or the Program Coordinator must notify us promptly of any change in your home address or, if applicable, the address to which you would like to receive electronic documents. 24. CONFIDENTIALITY POLICY The Bank has a confidentiality policy for the protection of personal information. To consult this policy, visit SECURITY TIPS Your Password is your electronic signature do not reveal it to anyone under any circumstances: Do not use the same Password for more than one Corporate Card; Never lend your Corporate Card to anyone. It belongs to you and is for your use only; Memorize your Password do not write it down anywhere; Change your Password regularly at least once a month in order to reduce the chances of it being discovered. If you have reason to suspect that it is known by others, select a new one immediately; Never use numbers that could be easy to identify, such as those based on your address, telephone number, social insurance number or date of birth; When you are using your Corporate Card and must enter your Password, be sure to use your hand or body to block others view of the keypad; Always remember to retrieve your Corporate Card and take the transaction slip before leaving the premises; Keep your eye on your Corporate Card at all times and be sure to retrieve it once you have completed your transaction.
