2 REQUEST FOR PROPOSALS BACKGROUND The Central Bank of Lesotho was established by the Lesotho Monetary Act of 1978, as the Monetary Authority in Lesotho. It was elevated to the status of a Central Bank by an Amendment Act in In the year 2000 the Central Bank of Lesotho Act No. 2 of 2000 was enacted conferring autonomous status to the Bank. The Bank is fully owned by the Government of Lesotho and managed by a Board of Directors. The principal objective of the Bank is to achieve and maintain price stability. To attain this objective, the Bank performs a number of functions in accordance with modern central banking practices. The other important function of the Bank is to formulate and execute monetary policy for Lesotho. Other key functions of the Bank include to issue, manage and redeem the currency of Lesotho. The Bank also serves as a Banker for the Lesotho Government and the commercial banks act as a custodian of the country s foreign reserves and supervises the financial institutions. It also acts as an advisor to the Government on financial issues. In 2004, the Bank established Lehakoe Recreation and Cultural Centre (LRCC) as its strategy to develop a diverse environment, promoting healthy living and wellness through physical exercise and promotion of social interaction through highly developed hospitality services, including the sensitization of Basotho and non-basotho alike to the cultural heritage of Lesotho. The LRCC is not a separate legal entity from the Bank.

3 SECTION I: SCOPE OF WORK The Bank is looking to procure insurance cover for its insurable risk. The cover should respond to the following insurance needs of the Bank, but not limited to: Land and Buildings Motor Vehicles Office and General Equipment Office and General Furniture Fidelity Cover Travel Insurance Employee Benefits Covers should be categorized in the following manner: Category 1-Assets Land and Buildings Motor Vehicles Office and General Equipment Office and General Furniture Category 2-Specified Travel Insurance Fidelity Cover Workman s Compensation Fund Category 3-Employee Benefits Pension Fund Administration Pension Fund Investment Advisory Pension Fund Investments Management Pension Fund Actuarial Valuations Group Life Assurance Income Protection Funeral Cover The bidder may bid for category 1, category 2, category 3, any combination of the above or all of the above. The Bank reserves the right to withdraw any of the above services from the tender.

4 The proposal should indicate, among others, the following information: Evidence of business registration Evidence of registration with relevant regulatory bodies Evidence of Joint Venture agreements where applicable Evidence of Re-Insurance agreements where applicable Profile of the company Solvency ratio Evidence of track record in undertaking similar assignments Tax clearance certificate Any other information that the company may consider material SEALING AND MARKING OF TENDERS The proposal; showing no identification of proponent should be marked as follows: TENDER FOR INSURANCE COVER FOR THE CENTRAL BANK OF LESOTHO The proposals must be deposited in the tender box situated at the reception of the Bank on or before14:30hrs on Friday, 24 th April 2015, All correspondence or queries or requests for additional information must be ed to: SECTION II: INSTRUCTIONS TO BIDDERS 2.1 Eligible Tenders

5 2.1.1 This invitation to tender is open to all eligible bidders. Successful proposals shall provide the services specified in the documents The Bank s employees and related persons are not eligible to participate in the tender Bidders involved in corrupt or fraudulent practices or debarred from participating in public procurement shall not be eligible. 2.2 Cost of Tendering Bidders shall bear all the costs associated with the preparation and submission of the proposal, regardless of the conduct or outcome of the tendering process. 2.3 Amendment of Tender Documents At any time prior to the deadline for submission of tenders, the Bank, for any reason, whether at its own initiative or in response to a clarification requested by prospective bidders, may modify the tender documents by issuing an addendum. 2.4 Language of Tenders The bidder shall submit their tender in English. 2.5 Pricing Prices quoted by the bidder shall be inclusive of Vat and other applicable service charges Pricing can be done in Maloti or Rands Prices quoted by the bidder shall remain fixed during the Term of the contract unless otherwise agreed by the parties. 2.6 Compliance to Tax Obligations Certified copies of Lesotho Revenue Authority (LRA) Tax Clearance certificates or other relevant authority certificates must be submitted together with the bid. 2.7 Tender Currencies

6 2.7.1 Prices shall be quoted in Maloti or Rands. 2.8 Bidders Eligibility and Qualifications Bidders are required to provide details of the teams that will be allocated to the Bank, with a brief CV per staff member (qualifications, title and experience) Bidders shall provide 3 contactable references 2.9 Validity of Tenders Tenders shall remain valid for 90 days after the closing date of submissions Deadline for submission of Proposal Tenders must be received by the Bank no later than: 14:30hrs Friday 24 th April The Bank may, at its discretion, extend this deadline for the submission of tenders by amending the tender documents Evaluation and Comparison of Tenders The Bank will evaluate and compare the proposals which have been determined to be substantially responsive The Bank s evaluation of proposals will take into account, the following factors: (a) (b) (c) (d) Pricing Methodology Policy terms and conditions Solvency ratio

7 2.12 The following evaluation methods will be applied. EVALUATION CRITERIA Pricing 40% Methodology 30% Policy terms and conditions 20% Solvency Ratio 10% Contact No bidder shall contact the Bank on any matter relating to its tender, from time of the tender opening to the time the contract is awarded Any effort by a bidder to influence the Bank in its decisions on tender evaluation, tender comparison, or contract award may result in the rejection of the bidder s tender Post qualification The Bank will verify and determine to its satisfaction whether the bidder that is selected as having submitted the lowest evaluated responsive tender is qualified to perform the contract satisfactorily The determination will take into account the bidder s financial and technical capabilities Award Criteria The Bank will award the contract to the successful bidder whose tender has been determined to be substantially responsive and has been determined to be the lowest evaluated tender, provided further that the bidder is determined to be qualified to perform the contract satisfactorily Notification of Award.

8 Prior to the expiration of the period of tender validity, the Bank will notify the successful bidder in writing that its tender has been accepted The notification of award will signify the formation of the policy contract. Simultaneously the other bidders shall be notified that their tenders were not successful.

9 SECTION III GENERAL CONDITIONS OF CONTRACT 2.17 Definition In this contract, the following terms shall be interpreted as indicated. (a) The Policy Contract means the agreement entered into between the CBL and the bidder, as recorded in the contract form signed by the parties, including all attachment and appendices thereto and all documents incorporated by reference therein. (b) The Contract Price means the premium payable to the bidder under the Contract for the full and proper performance of the contractual obligations. (c) The Services means the insurance cover under policy contract. (d) The CBL means the Central Bank of Lesotho, procuring the services under this contract. (e) The Contractor means the organization or firm providing the services under this policy contract. (f) GCC means the General Conditions of Contract contained in this section. (g) SCC means the Special Conditions of Contract contained in this section. (h) Day means calendar day Application These General Conditions shall apply to the extent that they are not superseded by provisions of other part of contract Standards The services provided under this policy contract shall conform to the standards mentioned in schedule of requirements. 3. Use of Contract Documents and Information 3.1 The Contractor shall not, without the Bank s prior written consent, disclose the contract or any provision thereof or any specification, plan, drawing, pattern, sample, information furnished by or on behalf of the Bank in connection therewith, to any person other than a person employed by the contractor in the performance of the contract.

10 3.2 Delivery of Services and Documents Delivery of the services shall be made by the contractor in accordance with the terms specified by the Bank in the schedule of requirements and the special conditions of contract. 3.3 Prices No variation in or modification to the terms of the contract shall be made except by written amendments signed by the parties Contract price variations shall not be allowed for contracts not exceeding one year (12 months.) 3.4 Assignment The contractor shall not re-insure, in whole or in part, its obligations to perform under this contract, without disclosure to the Bank. 3.5 Termination for Default The Bank may, without prejudice to any other remedy for breach of contract, by written notice of default sent to the contractor terminate this contract in whole or in part. (a) If the contractor fails to provide any of all of the services within the period(s) specified in the Contract. (b) If the contractor fails to perform any other obligation(s) under the contract Termination for Insolvency The Bank may at any time terminate the contract by giving written notice to the contract or if the contractor becomes bankrupt or otherwise insolvent. In this event, termination will be without compensation to the contractor, provided that such terminations will not prejudice or affect any right of action or remedy, which has accrued or will accrue thereafter to the Bank.

11 3.6 Applicable Law The contract shall be interpreted in accordance with the laws of Lesotho. 3.7 Notices Any notices given by one party to the other pursuant to this contract shall be sent to the other party by post or and confirmed in writing to the other party s address A notice shall be effective when delivered or on the effective date of the notice, whichever is later.
