1 Questions Submitted by Prospective Proposers about the RFP for Consulting Services to Develop and Execute a Turnkey Out of Home Advertising and Other Non-Toll Revenue Generation Program Q1. p. 11: The RFP excludes All PATCO Trains, Stations, Station Platforms, Transit Facilities, Rolling Stock, Trestles, Park and Ride Lots, Rights of Way and Street Furniture due to your agreement with Titan Outdoor. Would it be possible to retain all PATCO assets in the RFP except the use of those assets explicitly included in the Titan contract? In other words, if Titan has exclusive use of stations for outdoor advertising, the stations could still be used for other revenue producing uses, like concessions, without violating their exclusive agreement. And, since the term of this proposal could run up to 15 years with the extensions, could you disclose the end date of the Titan contract and discuss the potential to pick up those assets as a part of this contract after Titan s end date. A1. Yes, PATCO Assets may be considered for alternative revenue generating opportunities that do not involve advertising. In certain cases, PATCO assets may be approved for other advertising opportunities if such advertising DOES NOT specifically target PATCO riders, e.g. a Billboard erected in a PATCO parking lot that faces a nearby highway targeting vehicle occupants. Q2. Bridge Lane Divider Q2a. A2a. Q2b. A2b. How many vehicles does the DRPA own? which bridges are they placed on? There are removable barrier machines on the BFB and the WWB. Are they always located on the bridge (or sometimes housed in areas not visible by traffic)? Both barrier machines are stored on the bridges at either end of the Plaza dependent upon the lane configuration. They are visible to the public although the sides of the machine are not viewable until motorist passes parallel to the stored machine. The machines generally are not removed from the barrier wall except for routine preventive maintenance or repair. Due to the daily need for wall moves at BFB and WWB, such maintenance and repairs would occur during a single day or over weekend if extended time needed. Such removals from the wall are not very frequent, so public visibility is a very high percentage of time.

2 Q2c. A2c. Can we wrap the entire vehicle? If not, what restrictions would apply? Selected consultant would have to identify any restrictions due to local, state or federal laws, statutes or regulations, or DRPA policies. Q3. Toll Booth Q3a. How many toll booths are there? (Total number and per bridge). How many of the toll booths are E-Z Pass lanes and does that number vary? A3a. BFB: 13 toll lanes total. 1 is E-ZPass only, 12 can be configured for either E- ZPass or manual. BRB: 10 toll lanes total. 3 are E-ZPass only, 7 are manual only. WWB: 15 toll lanes total. 2 are E-ZPass only, 7 are manual only, 6 can be configured for either E-ZPass or manual CBB: 7 toll lanes total. 2 are E-ZPass only, 4 are manual only, 1 can be configured for either E-ZPass or manual. Q3b. A3b. Q3c. A3c. Are all of the toll booths of similar size/dimensions and can we get those dimensions provided to us prior to the proposal submission date? This information is not available at this time but can be provided to the selected consultant. Is digital signage build-out a possibility if so, what restrictions would apply (i.e., can we show moving animation/video)? We would defer to selected consultant subject to any relevant safety and other laws/regulations regarding this activity. Q4. Naming Rights Q4a. A4a. Q4b. What would the approval process entail? (Does DRPA have sole approval authority to sell the naming rights of the bridges or would other entities be involved)? The selected consultant would need to put together a proposal/make the case for naming the bridge including potential revenue and other impacts. The approval process would consist of the Board s approval subject to the NJ Governor s veto. Is there a minimum length of contract required? 2

3 A4b. No. The contract term would be negotiated in the best interest of the parties involved. Q4c. A4c. Q4d. A4d. Could signage be added to the bridges as part of the sponsorship? DRPA will consider all opportunities subject to all applicable local, state and federal laws and regulations, and DRPA Board approval. Would any categories be excluded? Please see above response under A4c. Q5. Please clarify the general mission of the scope of work. We are confused as to whether DRPA is looking for an asset management consultant to identify various types advertising opportunities and find (through individual bid processes for each type executed on behalf of DRPA) advertising contractors to perform the work, or if this RFP also allows advertising contractors to bid on the individual advertising opportunities now. If it is the latter, then the actual opportunities would need to be identified in this RFP. We are confused because the second paragraph of Section I A asks for advertising companies to bid, but the rest of the scope of work appears to be an asset management contract. It is our belief that the advertising industry is so divided into specialized areas (such as transit ads, street furniture, billboards, sponsorships), that a single out of home/transportation advertising firm will not be able to provide a turnkey solution for all modes of advertising. Also advertising firms will not be able to provide non-toll revenue opportunities in other non-advertising areas or any of the other asset management and reporting requirements of the scope of work. So we assume that DRPA is looking for a consultant with advertising expertise as well as other asset management expertise to find advertising media companies on behalf of DRPA to create specific revenue generating opportunities for DRPA. A5. Please refer to Section III A last paragraph. There are three aspects of the RFP (Outdoor Advertising, Alternative Non-Toll Revenue, or Asset Inventory). It is our intention to seek out firms that have expertise in one or more of the stated scope areas. Based on their expertise, Proposers can submit proposals for one of the scope areas, two of the areas, or all three scope areas identified in the RFP. We reserve the right to enter into up to three separate contracts if three firms demonstrate acceptable experience in one of each of the three areas. Q6. Financial Proposal: Is DRPA looking for creative financial proposals and will entertain any compensation format? Our reading of Item 1 is that DRPA is looking for an incentive 3

4 fee format for transactional work, but please explain how the contractor would be paid for asset management work that is not transaction related is that what Item 5 means? How does a consultant bid on the financial price proposal for asset management services and the asset inventory work which constitutes the majority of the scope of work? We would suggest that the price proposal include a base management fee, incentives (percentage fees) for transactions, and the ability to negotiate a fixed price for the GIS system once the detailed parameters of the system are identified. Then the successful proposer can secure advertising and other revenue generating firms on behalf of DRPA through another bid process handled by the consultant. (See items 5. and 11. of Section III C. ; III. D; and item 5 of Section III E.) We don t understand the financial model (see item III.D.12 and 13 which seem to contradict each other) that would require the consultant to manage the advertising contractor at no cost or expense to DRPA. Do you mean that the consultant s management fee for the entire term of the contract would be paid from the proceeds of the advertising contracts? A6. We are open to any financial models. Please submit a revenue proposal in which you propose any compensation you choose. Q7. Section III B. Exclusion. Q7a. A7a. Please advise when Titan s contract on PATCO expires. If the contract expires before the end of the term of this contract, we suggest including the opportunity after the existing Titan contract expires. Titan s contract for exclusive rights for advertising on PATCO assets should not be a factor in developing proposals under this RFP. Q7b. Please reconsider excluding the PATCO assets by asset type, and in the alternative, just exclude the Titan scope of services on PATCO facilities for the remainder of the Titan contract term. By excluding all the PATCO facilities by type, then other non-transit advertising revenue generating opportunities are lost. For example, telecommunications opportunities would be excluded on stations, platforms, transit facilities, park and ride lots, rights of way, etc. In addition, the consultant can then assist DRPA with the reoffering of the Titan contract scope when that contract expires during the term of the consultant contract. A7b. The list of exclusions is set forth in the Titan contract which provides Titan the exclusive right to develop, sell, place and maintain various types of advertising media on PATCO properties. Your example of telecommunications opportunities is not included under the Titan contract. 4

5 Q8. Section III C. Consultant Services and Contract Administration Tasks Item 12. Please clarify that advertising contractor refers to advertising companies that the Consultant has obtained on behalf of DRPA through this contract. A8. Yes. Q9. Section III D. Outdoor Advertising Q9a. Item 11. Please clarify who its sole cost and expense refers to and what present and future advertising commitments refers to. The required asset inventory in Section F. could include a layer for all advertising display locations. But tracking of the sold advertising space could be handled by the advertising contractor for each type of display, and the Consultant could audit that tracking. Would this be an acceptable approach? A9a. its sole cost and expense refers to the selected consultant or advertising contractor - any organization other than DRPA. Either the consultant or contractors will bear additional costs associated with an electronic inventory of advertising displays. A9a.ii. Tracking of the sold advertising space could be handled by the advertising contractor for each type of display, and the Consultant could audit that tracking is an acceptable approach as long as the selected consultant compiles all information from various contractors and consolidates into one master inventory to be submitted to the DRPA each month. Q10. Section III. E. Alternative Non-Toll Revenue Generation Please clarify that the scope of work will include the transactional work for any opportunity that the consultant identifies that DRPA approves to proceed. A10. The scope of work includes any transactional work related to all opportunities identified by the selected consultant and approved by the DRPA. Q11. Section III. F. Asset Inventory and Control Program Q11a. Please describe DRPA s existing GIS system and advise what existing data DRPA currently has in its GIS system e.g. valuation plans, land parcels, station locations, orthophotos, street layers, etc. 5

Please advise what software protocols DRPA uses for its existing GIS system with which the proposed GIS asset management system will interface. A11b. See above. Q11c. Is the current GIS system web-based? A11c. See above. Q12. Please clarify that the word survey in Item III F. 1. refers to a review and not engineering surveys. A12 Survey means perform research, site visits, and other activities in order to determine what the DRPA owns and does not own. Q13 Please clarify that the word valuation refers to a compilation of assessors valuation data and general valuation of properties and assets of interest in non-fare revenue generating and not a formal appraisal of all properties and assets. A13. Your understanding is correct. Q14. Please advise the current condition of the DRPA s asset data e.g does it have any listing at all; does it have copies of deeds, valuations plans, track plans, etc. readily available or will this need to be researched by the consultant? A14. Any information available from the DRPA will be disclosed to the selected consultant, but the selected consultant should be prepared to research this information. 6

We suggest stating hourly rates and potential expenses for purposes of this proposal to be used in a negotiated detailed scope of work and price once a needs assessment and review of existing data has been performed by the successful proposer. A16. We are open to any and all financial models. 7

8 Below are the questions and answers from the August 16, 2012 Non-Mandatory Pre- Proposal teleconference: Q1. Can the DRPA provide a list of its properties? A1. Not at this time. The information we do have can be provided to the selected consultant. Q2. Once the hired consultant identifies opportunities, will those opportunities need to be competitively bid? A2. Generally, no. The competitive bid requirement should be fulfilled by completing this competitive process of hiring the consultant. Once that is completed, the selected consultant should have the ability to enter into agreements without going through additional competitive bid processes, subject to the DRPA s review and approval, compliance with the Authority s Bylaws, policies and procedures, and DRPA Board approval, if required. Q3. Once the consultant identifies opportunities for revenue enhancement, will the consultant also be expected to manage those opportunities/contracts? A3. Yes. Q4. Regarding the asset management piece of this RFP, will the DRPA need tenant management? A4. Yes, but only tenant agreements negotiated by the selected consultant. Q5. In terms of management of the portfolio of assets, would DRPA want the consultants to manage assets after improvements are installed/completed? A5. Yes. Q6. Can we submit a contingency cost proposal? A6. Yes. 8

We do have GIS software, but we are not currently using it. We do not have a GIS system in place and would like the selected consultant to assist in developing a GIS-based asset inventory. 9
