3 STATEMENT OF WORK This Statement of Work ( SOW ) is effective as of the date of the signature of Client ( Effective Date ) by and between ABB Enterprise Software Inc. (formerly known as Ventyx Inc.) located at 400 Perimeter Center Terrace, Suite 500, Atlanta, GA ( ABB Enterprise Software or ABB ) and Manatee County, a political subdivision of the State of Florida located at 1112 Manatee Avenue West, Bradenton, FL ( Client ). This SOW shall be performed pursuant to the Professional Services Agreement between the Parties effective June 23, 2009 ( Agreement ). In the event of any conflict in the terms between this SOW and the Agreement, the terms of this SOW shall prevail. All capitalized terms not otherwise defined herein shall have the same meaning as in the Agreement. This SOW with its Appendices and the Agreement represent the entire contract between the Parties regarding the subject matter and replace any prior oral or written communications. 1 INTRODUCTION AND OBJECTIVES This SOW is for the services described below in the Scope of Work section to support Client s implementation of the pre-configured Service Suite 9.3 workforce management system for its current Banner 4.4 software. 1.1 References Please refer to the following items which are associated with this SOW: None 2 SCOPE OF WORK Schedule A to this SOW describes the Detailed Services Plan for the time and material services to be delivered to Client by ABB under this SOW. 3 ESTIMATED SCHEDULE & DELIVERABLES The estimated schedule and deliverables have been identified within this SOW. 3.1 Estimated Schedule of Work The schedule of work will be agreed upon for acceptance of the SOW by both Parties. An indicative schedule is shown in Schedule A to SOW-VSS-US Detailed Services Plan. Manatee County SOW-VSS-US jt Page 3 of 9

4 3.2 Deliverables from ABB ABB will deliver the following items under this SOW: 1. Services and deliverables as described in Schedule A to SOW-VSS-US Detailed Services Plan. 3.3 Deliverables from Client Client will deliver the following items to support the activities for this SOW: 1. As described in Schedule A to SOW-VSS-US Detailed Services Plan. 3.4 Assumptions This SOW and ABB 's estimates are based on the following key assumptions. Deviations that arise that violate these assumptions that occur during the proposed project that affect tasks described or estimated costs will be managed through the Change Management Process shown in Schedule A, Appendix B. The following Assumptions in this Section 3.4 are being made in addition to the Project Assumptions set forth in Section 1.2 of the Schedule A: a. Services will be provided as a combination of remote/on-site, unless otherwise specified in this SOW. b. All software and documentation is to be delivered electronically. c. Service Suite source code will not be delivered. d. Client will provide a dedicated core team of functional and technical personnel that will serve as core team members, subject matter experts and Project execution resources as needed throughout the life of the Project. The complete make-up of both teams will be reviewed by Client and ABB during the Project initiation phase of the Services. e. ABB shall promptly advise Client in writing if it determines, in its reasonable opinion that Client has not provided, or is unable to provide for any reason, the functional or technical personnel or other resources that are necessary for the implementation of the project objective and the proper and timely performance by ABB of the Services hereunder. f. Client may request, in writing, removal and replacement of ABB project personnel as established in Client and ABB s Professional Service Agreement Section 4. 4 CHARGES 4.1 Fee Summary The fees for the Services set forth herein are estimated to be $286,651 USD performed at the rates set forth herein. Should this estimated fee be reached prior to completion of the Services, ABB will cease providing Services until such time as the Parties execute a Change Order, which includes an increase in the estimated fees. 5 Section Estimated Fee Schedule identifies the tasks required to fully execute the Scope of Work identified in Schedule A, Sections 3, 4, 5 and 6. Any changes or extension of professional services requested by Client outside of the identified scope will require the initiation of the change order process as identified in Schedule A, Appendix B. 6 4.1.1 Estimated Fee Summary ABB will provide a weekly Project Status Report that includes hours expended against the related sub-tasks described in Schedule A and as identified in Section Estimated Fee Summary and forecast the hours required to complete the related roll-up task. Invoices will detail the related tasks, project resources and ABB submitted hours. Any resource efforts anticipated that would exceed the hours identified in the Fee Summary as defined per Roll up Task shall require ABB s written documentation of the expanded scope and Client s prior written approval. For service hours identified in the Estimated Fee Summary table above as Ongoing, and Optional as requested by Client, ABB will bill as described in Section 4.3 Payment Terms. 7 ABB Rate Card through June 30, 2016 Resource Rate Project Management $230 Principal Consultant $230 Sr. Consultant $204 Consultant $ Travel Expenses Any travel expenses will be charged at cost. When it is necessary for the ABB resources to be onsite for an entire week, ABB will utilize a 3/4/5 travel schedule. A 3/4/5 travel schedule consists of the ABB resources travelling to the Client site Monday morning and returning Thursday evenings. The ABB resources will be on-site three nights, four days, and working in its respective ABB offices on the fifth day. Travel expenses for this SOW are estimated to be $18,500. Travel and expenses incurred by ABB associated with the performance of the services must have the prior written approval of Client. Hotel accommodations, airfare and car rental are reimbursed at actual cost. ABB shall use the Client negotiated rates for hotel accommodations. 4.3 Payment Terms ABB will invoice monthly in arrears. Invoices are due upon receipt and payable within thirty (30) days of the date set forth on each invoice unless otherwise set forth in the Agreement. ABB shall submit invoices for payments due with such documentation as required in this Agreement. 8 5 PUBLIC RECORDS ACT COMPLIANCE Pursuant to Florida Statutes , to the extent ABB is performing services on behalf of Client, ABB shall: a. Keep and maintain public records that ordinarily and necessarily would be required by Client in order to perform the service; and b. Provide the public with access to public records on the same terms and conditions that Client would provide the records and at a cost that does not exceed the cost provided in Florida Statutes Chapter 119 or as otherwise provided by law; and c. Ensure that public records that are exempt or confidential and exempt from public records disclosure requirements are not disclosed except as authorized by law; and d. Meet all requirements for retaining public records and transfer, at no cost, to Client all public records in possession of ABB upon termination of this Agreement and destroy any duplicate public records that are exempt or confidential and exempt from public records disclosure requirements. All records stored electronically must be provided to Client in a format this is compatible with all of Client s information technology systems. Manatee County SOW-VSS-US jt Page 8 of 9
