The first part of the formula is based on helping people perform at their best through enhanced knowledge and health-targeted nutritional supplementation. To accomplish this, we are proud to reward you with a lucrative and innovative way to earn income through our Xenesta International Compensation Plan. Instead of spending tens of millions of dollars on radio, print, and television advertising to drive national big box Retail channels for product distribution and sales, Xenesta provides a platform that rewards those who choose to share our unique and beneficial products with others. We are proud to call these individuals Brand Partners, and they are rewarded as Independent Associates for their sales efforts on behalf of Xenesta. Given that Direct Sales (fueled by the Internet and Social Media) is outpacing the growth of traditional Retail marketing channels, we are confident that our combination of this powerful business model and scientifically validated products will result in a truly win-win marketing and income solution that works for individuals around the world. 2 Brand Partner Compensation Plan

3 Compensation Plan Overview Xenesta Provides 8 Ways to Generate Income Customer Bonus / Retail Sales Overview: When you refer a Retail Customer to Xenesta who purchases a product, you receive a commission on that sale. On these Retail Customer orders you personally generate, you earn the difference between the Retail and Wholesale price, plus you earn 40% of the CV, and an additional 25% of the CV is placed into the Binary. As Retail Customers reorder products, you ve created a Residual Income. Plus, as your group grows, the 25% that is placed in the Binary creates another Residual Income which is based on the total number of Retail Customers, sponsored by all of the Brand Partners in your entire binary group. Guaranteed Minimum Check Overview: You earn up to $75.00 every month that you maintain a $74.95 (70 CV) personal order, and maintain 3 personally sponsored active Brand Partners who also purchase a $74.95 (70 CV) order. This Guaranteed Minimum Check reoccurs every month you maintain the above structure, and your $75.00 earnings will cover the cost of a month s supply of your own product! 3 Get 3 Bonus Overview: You receive a bonus of $ every month on top of all other commissions when you personally sponsor 3 Brand Partners who also personally sponsor 3, and each maintains a minimum order of $74.95 (70 CV) every month. This is a total of only 12 Brand Partners! And keep in mind; your 3 personally sponsored Brand Partners are each benefited as they earn a guaranteed minimum of $75.00 a month. 6 Get 3 Bonus Overview: This bonus is simply doing the 3 Get 3 one more time. You receive a bonus of $ on top of all other commissions when you personally sponsor 6 Brand Partners who each personally sponsor 3, and each maintains a minimum order of $74.95 (70 CV). This is a total of only 24 Brand Partners. Your 6 personally sponsored Brand Partners will benefit too because each of them earn a guaranteed minimum of $75.00 a month and you earn $ every month that your group of 6 or more (as described above) is maintained! Leadership Pack Fast Start Bonuses Overview: Purchase a Leadership Pack and you are qualified to earn commissions on all Leadership Packs purchased in 8 levels of your sponsor tree genealogy. Commissions are paid on your personally sponsored genealogy through 8 levels as follows: $100, $20, $20, $10, $10, $10, $10, $10. Weekly Binary Commissions Overview: Earn 15% to 20% on the smaller of your binary legs, with volume calculated to infinity, paid every week. 3 Generations of Matching Bonuses Overview: Earn a 10% Matching Bonus on the binary commissions of all personally sponsored Brand Partners when you maintain 70 CV yourself and one active personally sponsored Brand Partner maintains 70 CV. Earn the second-generation 10% match at the rank of Global Executive. Earn the third-generation of 10% match at the rank of Global Corporate Executive. Global Leader Pools Overview: 2% of the worldwide Xenesta commissionable sales volume is placed in two different pools to reward our top leaders. There is a 1% pool for qualified Global Executives, and a 1% pool for qualified Global Corporate Executives. Brand Partner Compensation Plan 3

4 Compensation Plan Detail: Customer Bonus / Retail Sales When you personally sponsor a Preferred Retail Customer and that Customer orders a Xenesta product, you earn the difference between the Retail and Wholesale price every time they order product. Xenesta Brand Partners have added benefits in the fact that Xenesta handles all of the details and accounting for your business the merchant account, purchases, inventory, shipping, customer service 800#, etc. and pays you commissions for all referrals made to the company by you. Even better, you can access your back office at Xenesta anytime to check on the commissions you have earned and the products that have been sold to the Customers and Brand Partners in your group. In addition to the commission based on the difference between Retail and Wholesale, you also earn 40% of the CV on your personal customers, and an additional 25% of the CV is placed into the Binary. As Customers reorder product, you ve created a residual income based on repeat orders. As your TEAM Customer Group grows, the 25% that is placed into the Binary creates yet another residual income that will reflect how many other Brand Partners have introduced customers to Xenesta. Guaranteed Minimum Check You earn $75.00 as a guaranteed minimum every month that you have a $74.95 (70 CV) personal order, and 3 personally sponsored active Brand Partners who also purchase a $74.95 (70 CV) order. This bonus is not in addition to other commissions. It guarantees that if your binary commissions and other commissions do not add up to at least $75 in a month, Xenesta makes up the difference. Thus, you are guaranteed a minimum commission of $75.00 every month as long as you have maintained 3 personally sponsored Brand Partners who also continue to order at least $74.95 (70 CV) per month. This guaranteed minimum is important in the beginning, when you just start building your business. But keep in mind, when your monthly commissions equal or exceed $75.00, there s no difference to make up, so this bonus goes away. We created this guaranteed minimum check to help Brand Partners get their business into cash flow quickly and help others to do the same. Here are two quick examples of how this works: Let s say you have 3 personally sponsored active members in a calendar month, each with 70 CV, and your commissions earned are $ Xenesta will bonus your monthly income $ So in this particular month, you have earned a guaranteed minimum check of $ In the next month, lets say your commissions earned are $ Xenesta will bonus your monthly income $ So in this particular month, you have earned a guaranteed minimum check of $ This will continue every month that you are qualified until your regular commission earnings meet or exceed $75.00 in a calendar month. 4 Brand Partner Compensation Plan

5 3 Get 3 Bonus You receive a bonus of $ every month on top of all other commissions when you personally sponsor 3 Brand Partners who also personally sponsor 3, and each maintains a minimum order of $74.95 (70 CV) every month. This is a total of only 12 Brand Partners! And keep in mind; your 3 personally sponsored Brand Partners each earn a guaranteed minimum of $75.00 a month. It does not matter where these Brand Partners are in your binary. All you have to do is maintain a $74.95 (70 CV) monthly order and acquire 3 personally sponsored Brand Partners who do the same. 6 Get 3 Bonus This bonus is simply building a 3 Get 3 structure (as above) one more time. You must maintain a $74.95 (70 CV) personal order every month to qualify for this bonus, and you must personally sponsor 6 Brand Partners who each personally sponsor 3, and each maintains a minimum order of $74.95 (70 CV). Your 6 personally sponsored Brand Partners will earn a guaranteed minimum of $75.00 a month and you will receive a $ bonus every month! This is a total of only 24 Brand Partners. Remember, you will also be earning binary commissions on top of this monthly bonus so your total monthly income will be larger at this stage and will grow as your total TEAM group volume grows. Again, it does not matter where your personally sponsored members are placed in your binary to receive this bonus every month. Leadership Pack Fast Start Bonuses The Leadership Pack (LP) gives you the best price per box of product for Retail Sales or Samples, plus it comes with two awesome books: Brighter Mind by Dr. Kyl Smith, and Go Pro by Eric Worre. You must purchase a Leadership Pack one time to be qualified to earn the Leadership Pack Fast Start Bonuses. For LP s ordered by a member in your group, the commissions are paid on your sponsor tree genealogy through 8 levels as follows: $100, $20, $20, $10, $10, $10, $10, $10. These bonuses are paid regardless of where members are positioned in the binary. Full dynamic compression works here, so unearned commissions roll up to up-line members who are qualified. Weekly Binary Commissions The Xenesta binary plan pays a very generous 15% to 20% on the smaller of your binary legs, with volume calculated to infinity. At the rank of Associate with a minimum of 30 CV (a $37.50 personal order), and two personally sponsored members, one on the left and one on the right, each with 30 CV, you will earn 15% of the smaller of your binary legs. At each of the higher ranks, you will earn 20% of the smaller leg (see example below). The extra volume from your larger leg carries over to the next week as long as you maintain a minimum of 30 CV in each calendar month. Bob 980 CV You 700 CV Jeff Sue Jill Joe Bill In this example, you earn 20% of the smaller leg: $ (20% of 700 CV) every week. The extra 280 CV of volume on your larger left side is carried over to the next week. Up to 3 Generations of Matching Bonuses Xenesta s Matching Bonus has very simple qualifications. All you need to maintain is 70 CV and one active personally sponsored Brand Partner. You will earn a 10% match on the binary commissions of all personally sponsored Brand Partners, regardless of where they are in your binary organization. Earn the second-generation 10% match at the rank of Global Executive. Earn the third-generation 10% match at the rank of Global Corporate Executive. Global Leader Pools Xenesta provides two Global Leader Bonus Pools to reward our top leaders worldwide. In this case, 2% of the global Xenesta commissionable sales volume is placed in two separate pools: 1% of the first pool is shared by qualified Global Executives, and 1% of the second pool is shared by qualified Global Corporate Executives. EARN three generations of 10% match plus 1% Global Bonus Pool for GCEs. For Rank Qualification purposes, a member must qualify with the weekly SGV for two consecutive weeks. 30 CV + PS 1 left and 1 right (30 CV each) 70 CV + PS 1 left and 1 right (70 CV each) 70 CV + PS 1 left and 1 right (70 CV each) 70 CV + PS 1 left and 1 right (70 CV each) 70 CV + PS 2 left and 2 right (70 CV each) 70 CV + PS 2 Regional Execs, 1 left and 1 right 70 CV + PS 2 National Execs, 1 left and 1 right 15% $300 20% $500 20% $1,000 20% $2,500 20% $5,000 20% $10,000 20% $20,000 Carry Over Volume: Volume from the larger leg will carry over to the next week and continue to accumulate weekly up to a maximum of one million CV as long as the member maintains 70 CV monthly and maintains 2 personally sponsored members with 70 CV monthly, one on the left and one on the right. If a member loses binary commission qualification, but maintains their minimum of 70 CV monthly, then the accumulated volume of the larger leg shall be limited to a total of 250,000 CV. KEY CV = Commissionable Volume (used to calculate commissions) PS = Personally Sponsored Member PGV = Personal Group Volume (includes all PS Members / Customers) SGV = Smaller Leg Group Volume OGV = Organizational Group Volume to infinity (binary legs) STGV = Sponsor Tree Group Volume to Infinity Preferred Retail Customer = A Retail Customer Brand Partner = An Independent Associate who intends to build a Xenesta Business TEAM Customer Group = The total number of Brand Partners and Customers in your group IMPORTANT NOTE: In this document, A Brand Partner or Member are Independent Associates who have made a choice to build a business with Xenesta. As such, they are eligible to earn commissions as they meet the commission qualifications at the various ranks as described above. In this document we also refer to Customers as both Customers and Preferred Retail Customers. These are individuals who choose to order Xenesta products as Customers and are not eligible for commission earnings. Currently, a Customer can choose to upgrade to a Brand Partner at any time for free and begin building an income with Xenesta by referring customers via the website Xenesta provides them, or Retailing products directly, or both.
