Additional Functionality Contact Form Users can fill out a contact form which automatically sends the content to your account. Search Engine Optimisation Tool This tool will allow you to manage your page titles, meta tags and descriptions which are important to the search engines. You can update your titles and keywords whenever you want, to make sure the search engines are displaying the correct information about your website. Flash Banner with Rotating Images Our designer will create a rotating image in flash with up to 6 images in the design. This is usually placed on your home page or as the site banner across the top available on all pages. Please prepare 6 images which you would like us to include in the rotation design. Advanced Photo Gallery We will include an advanced photo gallery plug in which allows you to display photographs as thumbnails, slideshows and other effects. Photographs need only to be prepared for web use before hand, then once uploaded, the gallery software takes care of the rest and gives you the tools you need to publish great photographs on your website. Events Calendar We will include an events calendar on your website. This tool allows you to display a calendar widget on your website which links to events. 4 Roster System We will investigate current roster systems for you that suit your needs. Please provide us with a specific list of requirements, and we will be able to find the best software that can do this. We can also provide a bespoke solution, which we will offer to you as an alternative. E-Newsletter System Our E Newsletter system is a fully integrated system that allows you to manage your subscriptions, send out regular newsletters and generate traffic for your website. Our system includes a design that matches your website design, and gives you flexibility with the content and management of your readers. Online Booking System Our online booking systems can be used to take direct electronic payments for events. Payments are handled by PayPal which is free for you to open an account with. 5 Hosting, and Support The first 12 months of Hosting are provided for free as part of your package. We will then charge you an annual fee as detailed in this quote: Hosting Your website will be hosted on a premium web server, using the latest PHP technology. Our servers are fast, robust and reliable. 250MB of Web Space 3 GB Monthly Bandwidth We will provide you with a full service and up to 20 accounts. Our server can be accessed through your favourite program such as Outlook, Eudora or Windows Mail. You can also access your through a web interface similar to Hotmail and Gmail from anywhere in the world. If you are already using an account with your current provider, we can transfer this service to your new server or leave it with your existing account. 6 Project Management Your website development will be project managed by a senior Nutwork Project Manager. Their job is to ensure that your website is delivered on time and on budget. They will also work with you to ensure that you are happy with your concept design. Your project manager will liaise with you throughout the development and contact you at each milestone to keep you abreast of the production status. By meeting the designer they will be able to get a feel for what your ideas are and they can sketch out an initial concept during the meeting. Our project manager will also layout the process and be able to answer any questions you may have right at the beginning. Should you not be available to call in to our office for the meeting, we can schedule a phone call between our designer and yourself but we find that most clients enjoy meeting the team in person. 10 Maintenance Your website package comes with some maintenance hours already included. Additional maintenance can be purchased from us should you require it see the prices below. Maintenance is used to make any changes to your site that deviates from this brief to the design or the development. Also, when you ask us to make changes to your website or do any kind of development work after the website is deployed, we use Maintenance hours. All maintenance work is billed in 15 minute increments (minimum). The more time you buy in advance, the cheaper the rate. All Time is valid for 12 months from date of purchase. 11 Consultation Nutwork Web Design offer many consultation services through , telephone and meetings (both at our office and yours). The first meeting we have with you is completely free and has no obligation for you to proceed. This meeting is to go over your website in broad strokes and define what it is you want your site to do for your business. After this meeting, we will prepare a briefing document (this document) which outlines the website in much more detail and lists our terms & conditions. If you have training included in your website package, then this meeting is also free and is normally held at our office in Subiaco. Any subsequent consultation, before, during or after the web site project will be charged at our consultancy rates as shown below. This includes: Telephone advice Further meetings questions Generally, anything that takes 15 minutes or more will be billed to your account. Remember that you get maintenance as part of your website package, so it s up to you how you use it. If you would like us to travel out and meet you at your office or home, this can also be carried out under our consultancy rates, which would include the travelling time. We can also visit you in areas outside Perth, but this will incur travel costs as well. 12 Project Milestones The project has 9 milestones. Each milestone has an estimated duration which is how long Nutwork Web Design estimate that this activity will last for. We require your approval at each milestone, and the time it takes for you to approve each milestone will affect the overall duration. 1. Concept Design 2 weeks We will invite you to a meeting at Nutwork to meet the design team and project manager. If you are not available, this can be scheduled as a phone call. They will take some notes and ask you some further questions in relation to design and colours. At this point you may also want to start sending through links to websites you do or do not like. Once we prepare the concept, it will be sent through to you for review and comment. We allow up to 3 rounds of changes and tweaks to the design. Further changes after this can be carried out under maintenance. 2. Development 1 weeks Development will begin once the design is signed off and we will begin building your website. This can usually be the longest phase of the project, and our Project Manager will liaise with you closely during this stage to ensure you are kept up to date with the current status. 3. Styling, Flash, CSS 1 week Once the website has been completed our designers will start applying the concept designs to the site, adding all the graphics, and preparing the flash files and animations. This is the stage where the websites start to take shape and once completed, we can demonstrate the sites to you. 4. Demonstration & Content 1 day web@nutwork.com.au ABN ACN Pg. 12

13 After the development and styling has been completed, we are now ready to show you the site. We will setup a demonstration server and give you access so you can take a look around your new website. There will be no real content on the site just lots of placeholder text and some example images in places where we will begin adding real content next. The idea is that you can get a feel for how the site looks and handles, play around in the content management system and test out all the features. You will be tasked with making a list of tweaks and getting that back to us as soon as you can so we can get them sorted and get your site live! We also take the final payment for the project at this stage as the website is now built to the specification indicated in this document, and all that remains is for you to send us the content and carry out any additional maintenance/tweaking work. We will also request that you send us all your content in electronic format for uploading to the site once you re happy with it. We will your content as is indicated by your package (see top of this document). Once we have uploaded the indicated number of pages, any further uploads will need to be handled under your maintenance hours. Please note that once we request your content, there is a 2 week limit at which point we can no longer offer the content upload for free. Any content upload after 2 weeks will need to be performed under maintenance. 5. Tweaking & Maintenance 1 week As part of your Website Package, you have a number of Maintenance hours included. These can be used to change or tweak any part of your website. We will carry out any tweak request until you use up your maintenance time at which point, we can sell you more so that you can continue requesting us to make changes to the site for you. Bugs are always fixed for free but changes and tweaks not specified in this brief are considered maintenance. 6. Client Review & Signoff At this point you will make a final review of the website. If there are further tweaks required we will carry these out for you under maintenance hours until you are happy to sign off. web@nutwork.com.au ABN ACN Pg. 13

14 7. Deployment 1 day After a final review and sign off, we will deploy the site on to the live server and update your DNS records. This process takes up to 72 hours to complete and then your website is live. 8. Training 1 day Once deployed, we will arrange for a time to visit your office and show you how to use the Content Management System and all the new tools on your website. Training lasts for around 40 minutes to an hour, and is carried out either at your office or at Nutwork as you prefer. 9. Hosting & Maintenance Ongoing If you would like any further changes made to your site or need some maintenance carried out, you can purchase time from us in hours at our standard maintenance rates. Buying time in bulk gives you a discount, and we only bill you in 15 minute increments so you can be sure to get the most out of your time. The first 12 months of hosting is included in the price of this quote. We will invoice you after the first 12 months, and then on each subsequent yearly period. 15 Terms & Conditions Below are the terms and conditions (Client Contract): 1. Nutwork Services a. Nutwork offers a complete service: Design, Development and Hosting. We reserve the right to refuse continuing the project should you decide to host, design or develop the website yourself 2. GST a. All costs in this document are listed exclusive of GST 3. IP Ownership and Licensing a. Subject to paragraph 3b below, all intellectual property rights in the website (including but not limited to all intellectual property rights in all information, software (including html, object code and source code), graphics and images) are the sole and exclusive property of Nutwork as and when they are created b. You own all logos and data which you provide to Nutwork for use on the website c. Nutwork grants you a limited revokable licence to use the website for your own business purposes until the date on which you make your final payment instalment for the website to Nutwork (Final Payment Date). If you do not make your final payment instalment to Nutwork in full on the date on which it is due, Nutwork may revoke your licence to use the website d. On and from the Final Payment Date, Nutwork grants you a perpetual, non exclusive and royaltyfree licence to use the website e. Nutwork may, following the Final Payment Date, provide you with a copy of all files on the hosted server (.html,.aspx,.dll,.css) upon request f. Nutwork may, following the Final Payment Date, provide you with a copy of the current database upon request 4. Hosting a. Hosting fees recur annually from time of deployment b. Our hosting has certain limits (as described above) c. We reserve the right to review our hosting costs each year based on your usage d. Nutwork Hosting is required for some/all services e. Hosting a website does not imply ownership it s simply the delivery medium 5. Support a. We offer free telephone and support during Mon Fri 9am through to 5pm b. Support issues that are related to bugs will be handled at no charge for the first 6 months after the website is launched c. Support issues that are identified as maintenance, or reported after the 6 month period, will be handled as additional maintenance and billed to your account 6. 16 a. All content added by client is owned by client b. All images uploaded by client is owned by client c. All uploaded documents added by the client is owned by the client d. All other information is the property of Nutwork as set out in paragraph 3 above 7. Browser Compatibility a. All of our websites are coded and designed to work in the following browsers: i. Internet Explorer (version 8) ii. Mozilla Firefox (version ) iii. Apple Safari (version 3.2) b. All other browsers and/or browser versions are not supported and we cannot guarantee that the website will function 100% correctly in other versions 8. Maintenance & Warranty a. At any time that a bug is reported to the support team, Nutwork will investigate the issue b. If it is determined that the fault lies with a coding or design error, it will be deemed a bug and fixed at no charge to the customer c. If it is determined that the fault lies with a user generated error or cause, then it will be deemed as maintenance and a charge will be made to the customer which includes the investigation time and the time it takes to correct the user error d. This warranty applies for 6 months only from the time the website is commissioned, after which all issues are classified as maintenance e. Our warranty only applies while the hosting of the website remains with Nutwork Web Design hosting the website on your own server or that of another company completely voids this warranty 9. Confidentiality a. The contents of this proposal are confidential and remain the property of Nutwork Web Design. If you decide not to use the contents, you must not copy, reproduce or disclose them to any person without the prior written consent of Nutwork Web Design. You agree to indemnify Nutwork Web Design against any loss directly or indirectly suffered by Nutwork Web Design as a result of a breach of this provision 10. Inclusiveness a. This document is an inclusive document that is we will provide everything that is included in this document b. Any item or request that is not included in this document is an additional requirement, and subject to maintenance and/or further quoting 11. Costs & Payments a. 17 b. Part payments may be required and requested at different stages throughout the development cycle c. Each milestone has an applicable limit in terms of resources and time these limits are noted in this document. Excess charges will apply if these limits are exceeded at the clients request and we reserve the right to request any outstanding amounts d. The price of any scoping document will be deducted from the overall total if the full project is proceeded with 12. Validity a. This document is valid for 30 days from the date of publication shown at the top b. This document is, and remains the property of Nutwork Web Design and may not be used for any other purpose other than is intended by Nutwork Web Design c. You may not pass this document on to any third party provider or person without written prior consent from Nutwork Web Design 13. Wordpress a. Wordpress is an open source system supported by a large online community b. We always install the latest stable version c. 19 Payments Upon acceptance of this brief, we will issue you with a tax invoice for a 50% deposit. The dates and milestones shown in this brief will be adjusted to commence from the date the deposit is received and is subject to change should there be any unavoidable delays, which we will inform you of. Once the project reaches the demonstration stage, we will issue you with a tax invoice for the remaining balance of the project. Once the invoice has been fully paid, we will be able to launch (make live) the site for you and set up your associated accounts activating your hosting and support. We also have a trigger date, which when reached, activates the invoice for the remaining payment. This trigger date is usually reached if there are long delays on the client side during design and content. We reserve the right to request the invoice be paid in these circumstances or when the trigger date is reached.
