Commission Rates Commission will be charged as a percentage only on successful and authorized transactions. The applicable commission rates will be outlined at application stage. Our standard commission rates are as follows: Card Type Commission Rate All BOV Cards 2.00% VISA & MasterCard SEPA Cards 3.00% VISA & MasterCard non-sepa Cards 3.25% American Express 4.00% The above rates are negotiable depending on a number of criteria including turnover, line of business and conduct of account. Fees and charges may change after this product has been acquired and peripheral products may incur their own costs. Please contact any BOV Branch or our e-commerce Department on (356) or by on Terms and Conditions Processing Limits The following are the salient terms and conditions which presently govern the service. These terms and conditions are intended merely as guidance. Any service which may be granted to you by Bank of Valletta will be governed by the terms and conditions agreed to between you and the Bank at the time of your application and its acceptance by the Bank. A monthly CAP will apply for every ecommerce merchant account. This will be based on projections or past turnovers were a track record exists and is reviewable in line with turnover and conduct of the account. A transaction limit may also apply. Page iii

8 Chargebacks Monthly Chargeback thresholds will be applied for both Visa and MasterCard. These thresholds are worked out as a percentage on transaction count and calculated on the actual charge backs received against the turnover of the previous month. Fines for breaching these thresholds may be applied. Such fines will be clearly stated in the Merchant Agreement Form. An administrative fee of 5 per charge back will also apply. Retention During the operative term of the ecommerce merchant account, the Bank will keep a rolling reserve by blocking a percentage of the funds being processed. The Retention Rate is based on the line of business, refund policies and chargeback risk. Apart from the above, the Bank may also request a Fixed Reserve to be pledged in favour of the Bank. Retention Rate for start-up operations is normally 25% of turnover for 120 days. Regardless of the above, a 100% retention will apply on transactions for turnover exceeding the Monthly Cap. The above terms are subject to negotiations and review and adjusted in accordance with the conduct of the account. 3D-Secure Registration with Verified by Visa and MasterCard Securecode shall apply to merchants wishing to accept 3D-Secure transactions. The bank reserves the right to mandate this registration for certain merchant accounts. This payer authentication occurs after checkout but prior to the authorization of the credit card whereby enrolled cardholders are prompted to enter a password. This additional authentication helps to minimize abusive card use. Registration with Payment Systems In the case of online gaming, merchants will be required to register with MasterCard against a fee of US$1,500 per annum. Site Visit The Bank may opt to conduct a site visit to the Merchant s operating premises as per Visa and MasterCard Best Practice recommendations. In such case the cost will be quoted to the merchant. Page iv

9 Other Conditions Depending on volumes and other criteria, the Bank may request that the merchant be PCI compliant. For further information on PCI compliancy please visit: Page v
