Notwithstanding, but without prejudice to the foregoing, Microsoft s intention is that the primary and backup facilities for storage of Customer Data shall be in the EEA. However, Microsoft may transfer personal data outside of the EEA as necessary to provide the services, including without limitation, for billing and accounting, log analysis, the provision of technical and customer support, distributed authentication services and to comply with law. Microsoft shall ensure that, as set out in this Clause 2(e), any such transfers outside of the EEA shall comply with applicable data protection law. f. Microsoft Personnel. Microsoft personnel will not process Customer Data without authorization. Microsoft personnel are obligated to maintain the confidentiality of any Customer Data and this obligation continues even after their engagement ends. g. Subcontractor; Transfer. Microsoft may hire other companies to provide limited services on its behalf, such as providing customer support. Any such subcontractors will be permitted to obtain Customer Data only to deliver the services Microsoft has retained them to provide, and they are prohibited from using Customer Data for any other purpose. Microsoft remains responsible for its subcontractors compliance with the obligations of this Office 365 DPA. Any subcontractors to whom Microsoft transfers Customer Data, will have entered into written agreements with Microsoft requiring that the subcontractor abide by terms offering at least the same level of protection for Customer Data as Part 1 of this Amendment. For subcontractors that intended to process Customer Data in another non-eea jurisdiction, Microsoft will enter into written agreements with the subcontractor requiring that subcontractor to comply with the data importer obligations of the Model Clauses (attached as an Annex hereto) and will monitor compliance with the same. Microsoft agrees to provide such information on, and access to, the relevant data processing provisions of such subcontractor agreements as is reasonable to support Customer to enable Customer to: (i) comply with Clauses 4(h) and 11(4) of the Model Clauses (attached as an Annex hereto); and / or (ii) meet the requirements of any audit Page 2 of 7

3 carried out by the relevant supervisory authority under the applicable data protection law. Except as set forth above, or as Customer may otherwise authorize, Microsoft will not transfer to any third party (not even for storage purposes) personal data Customer provides to Microsoft through the use of the Office 365 Services. 3. Customer responsibilities. Customer must comply with applicable legal requirements for privacy, data protection, and confidentiality of communications related to its use of Office 365 Services. 4. Additional European terms. If Customer has End Users in the European Economic Area or Switzerland, the additional terms in this Section 4 will apply. Terms used in this Section that are not specifically defined will have the meaning in Directive 95/46/EC of the European Parliament and of the Council of 24 October 1995 on the protection of individuals with regard to the processing of personal data and on the free movement of such data ( EU Data Protection Directive ). a. Certifications and audits. (i) Microsoft has established and agrees to maintain a data security policy that complies with the ISO standards for the establishment, implementation, control, and improvement of the Information Security Management System and the ISO/IEC code of best practices for information security management ( Microsoft Online Information Security Policy ). On a confidential need-to-know basis, and subject to Customer s agreement to non-disclosure obligations Microsoft specifies, Microsoft will make the Microsoft Online Information Security Policy available to Customer, along with other information reasonably requested by Customer regarding Microsoft security practices and policies. (ii) Microsoft will audit the security of the computers and computing environment that it uses in processing Customer Data (including personal data) on the Office 365 Services and the physical data centers from which Microsoft provides the Office 365 Services. This audit: (1) will be performed at least annually; (2) will be performed according to ISO standards; (3) will be performed by third party security professionals at Microsoft s selection and expense; (4) will result in the generation of an audit report ( Microsoft Audit Report ), which will be Microsoft s confidential information; and (5) may be performed for other purposes in addition to satisfying this Section (e.g., as part of Microsoft s regular internal security procedures or to satisfy other contractual obligations). (iii) If Customer requests in writing, Microsoft will provide Customer with a confidential summary of the Microsoft Audit Report ( Summary Report ) so that Customer can reasonably verify Microsoft s compliance with the security obligations under this Office 365 DPA. The Summary Report is Microsoft confidential information. Page 6 of 7

7 (iv) Microsoft will make good faith, commercially reasonable efforts to remediate (1) any errors identified in a Microsoft Audit Report that could reasonably be expected to have an adverse impact on Customer use of the Office 365 Services and (2) material control deficiencies identified in the Microsoft Audit Report. (v) The audit obligations described in Section 4b(i)-(iv) are made at Customer s request to ensure regularity and consistency in the audit process and shall apply, without limitation, to processing of Customer Data (including personal data) by Microsoft Corporation for purposes of the Standard Contractual Clauses between Customer and Microsoft Corporation in full satisfaction of Customer s rights as the data exporter under Clause 5 paragraph f and Clause 12 paragraph 2 of the Standard Contractual Clauses to conduct an audit of the data processing facilities used by Microsoft Corporation. Customer will treat the terms and conditions of this Office 365 DPA, the contents of the Microsoft Online Information Security Policy, the Microsoft Audit Report and the Summary Report as confidential and shall not disclose them to any third party except for Customer s auditors or consultants that need access to this information for the purpose of this business relationship as articulated in this Office 365 DPA and the Enrollment. b. Freedom of Information. Microsoft acknowledges that Customer may be subject to the provisions of the Freedom of Information Act 2000 or the Freedom of Information (Scotland) Act 2002 ("the Acts") and that under the Acts it may be required to disclose Microsoft Confidential Information. If Customer receives a request to disclose Confidential Information under the Acts, it shall notify and consult with Microsoft as soon as is reasonably practicable after receipt of the request and shall seek Microsoft's view on whether such Confidential Information may fall under one of the exemptions to disclosure under the Acts.
