2 COMPANY PROFILE ORPC Solutions, LLC is a wholly- owned subsidiary of Ocean Renewable Power Company, LLC (collectively ORPC ), one of very few companies in the world to take a hydrokinetic power system project from an idea to a successfully operating project delivering power to a grid. In addition to other prestigious awards, Fast Company named ORPC to its Top 10 List of the World's Most Innovative Energy Companies in At ORPC Solutions, we provide the same technical and project development expertise to other hydrokinetic efforts that has proven so successful for our own projects. In 2012 ORPC made history by building and delivering power to the grid from the first commercial, federally- licensed, grid- connected hydrokinetic tidal energy project in North America. The project was installed in Cobscook Bay, Maine, at a site near the U.S./Canadian border at the mouth of the Bay of Fundy, about 300 miles northeast of Boston. This was the first ocean energy project of any type, other than one using a dam, to deliver power to a utility grid in North, Central and South America. ORPC generated revenues from sales of electricity through the first power purchase agreement for tidal energy issued in the U.S., as well as from the first renewable energy credits sold for tidal energy. We also issued the first environmental monitoring report in the U.S. on the effects of a hydrokinetic device on the marine environment to the Federal Energy Regulatory Commission. The first and subsequent reports, reviewed and approved by all relevant federal and state regulatory agencies, conclude that there are no known environmental impacts from ORPC s tidal energy project. This is a significant achievement for the worldwide tidal energy industry. ORPC is also pioneering river hydrokinetic power systems for remote off- grid and micro- grid communities. ORPC is currently installing, operating and monitoring our first river hydrokinetic power system in collaboration with the Village of Igiugig, Alaska, U.S. This system will displace high cost diesel generation and supply a significant part of the village s power needs. Also in Alaska, ORPC is providing project development and permitting services to a wave energy demonstration project in Yakutat. In Maine, ORPC installed and is currently testing the next generation of our proprietary technology at our Cobscook Bay, Maine, U.S., site. Globally this new system is the first installation of a floating hydrokinetic device that is held at a prescribed position within the water column using a tensioned mooring system. It will allow ORPC to generate electricity from tidal and ocean currents at sites where water depths exceed the capabilities of systems that are fixed to the ocean floor. Through these projects, ORPC is gaining invaluable experience and expertise in all aspects of technology and project development, and the company is known around the world for our commitment to collaboration with local communities, regulators, elected officials, economic development groups, fishermen and other key stakeholders. 4 PROJECT EXAMPLES Maine Tidal Energy Project Eastport and Lubec, Maine. ORPC is developing the Maine Tidal Energy Project, with high- energy sites located at the mouth of the Bay of Fundy in Cobscook Bay and Western Passage. ORPC received a pilot project license from the Federal Energy Regulatory Commission in 2012 and installed the first commercial TidGen Power System at the Cobscook Bay site in September This project is connected to the Emera Maine utility grid. ORPC received approval from the Maine Public Utilities Commission for a 20- year power purchase agreement for up to five megawatts of installed capacity from the project. ORPC also retains ownership of the renewable energy credits generated and sells them under a contract with 3 Degrees. ORPC will begin the build out of the 5 MW of capacity at the Western Passage site beginning in late 2016 under one or more subsequent FERC licenses. Cook Inlet Tidal Energy Project Nikiski, Alaska. ORPC is developing the first hydrokinetic ocean energy project in Alaska, which will be expanded into a utility- scale project in Cook Inlet, the best tidal energy resource in the U.S. The first phase will be installed in the East Forelands off Nikiski, where the company has a FERC Preliminary Permit. RivGen Power System Demonstration Project Igiugig, Alaska. Offshore Wind Project Confidential Client/Location ORPC provided financial advisory services to the owner/developer including economic modeling and pro forma development and analysis, project financing, and corporate structure. ORPC is installing a RivGen Power System at Igiugig, Alaska, on the Kvichak River. The RivGen Project will demonstrate the ability of hydrokinetic river energy to provide an economical source of clean power for remote river communities, particularly those dependent on isolated power grids. ORPC plans to expand into other remote community markets in Alaska, Canada, South America and elsewhere. The RivGen Power System will provide energy solutions in areas of the world currently not electrified. Page 4 of 10
5 Yakutat Wave Energy Project Yakutat, Alaska. ORPC Solutions provides guidance and expertise to Resolute Marine Energy for their wave power demonstration project in Yakutat. Our services include the drafting of a marine mammal monitoring study plan. U.S. Department of Commerce Economic Development Administration Eastport, Maine. ORPC Solutions provided grant management to Washington County and the City of Eastport, recipients of a $1.4 million economic development grant from the U.S. Department of Commerce. The funds were used to renovate and equip the Guilford Mill Building for a boat building manufacturing business owned by Millennium Marine. The company has created 12 new jobs and plans to have 30 employees by the end of Tidal Energy Feasibility Assessment False Pass, Alaska. ORPC Solutions performed a resource assessment for tidal energy potential in the vicinity of False Pass for the Aleutian Pribilof Islands Association. The assessment included data collection and analysis of tidal velocities. The results showed that power from a tidal energy project could be provided to False Pass at a rate at or below the cost of diesel generated electricity and sold to commercial customers at rates competitive with current market rates, providing a stable, flat priced, environmentally sound alternative to the diesel generation currently utilized for energy in the community. ORPC subsequently drafted the findings in Feasibility of Tidal and Ocean Current Energy in False Pass, Aleutian Islands, Alaska, Final Report, Aleutian Pribilof Islands Association, Inc., U.S. Department of Energy, Renewable Energy Development and Deployment in Indian Country: DE- EE Page 5 of 10
6 PROFILES SENIOR MANAGEMENT Christopher R. Sauer President and CEO Mr. Sauer provides overall management and leadership to all of the technical and commercial activities required to commercialize ORPC s technology, and develop, finance and build ORPC s projects. He is an energy entrepreneur and former strategic development consultant with more than 40 years of experience in the project development, electricity, cogeneration, renewable energy and energy efficiency industries. He has a proven track record in developing new energy facilities and energy and environmental technologies, structuring complex transactions and starting up and managing new organizations. Mr. Sauer has held senior management positions with two major U.S. corporations Wheelabrator Technologies and PG&E National Energy Group. He has been in the energy transaction business since 1977, and since that time, has played an instrumental role in the business planning, development, financing and executive management of two startup technology companies of which he was president and CEO, and the development of more than $2 billion in energy assets. He is a founding member of ORPC Holdings. Brenda LeMay Chief Financial Officer and Vice President Finance and Administration blemay@orpc.co Ms. LeMay manages all financial and administrative matters for ORPC, including contract negotiations, business management, strategic planning, financial analysis, budgeting and reporting. She has more than 15 years of development experience in the energy industry, including negotiating commercial transactions, permitting, structuring policy, financial analysis and management. Most recently, she held senior management positions at EDP Renewables, the third largest wind energy company in the world, where she was responsible for energy management across Europe and project development throughout the U.S. Pacific Southwest. John M. Ferland Vice President Project Development jferland@orpc.co Mr. Ferland leads ORPC s project development, environmental permitting and project licensing activities, as well as subsidiary companies of ORPC's focused on international business development and the providing of strategic and tactical expertise and support to other ocean energy developers and related parties. He draws on over 30 years of experience encompassing technology commercialization, renewable energy development, port emergency response operations and coastal resources management. He has served as CEO of an oil spill response company, mentored numerous startups as director of a technology entrepreneur assistance program, and was the founding president of the Environmental & Energy Technology Council of Maine, now the leading industry association for clean technology companies in northern New England. 7 Jarlath McEntee, M.S., P.E. Vice President Engineering and Chief Technology Officer Mr. McEntee leads the development of the company s proprietary hydrokinetic energy technology. He comes to ORPC after spending more than 20 years in engineering and project management, having developed technical expertise in tidal power turbines, combined heat and power systems, Stirling engine and refrigeration systems, control system design and analysis, micro- mechanical structures, and marine engineering systems. Mr. McEntee served on the faculty at Maine Maritime Academy and holds multiple engineering- related patents. Darrel Speed Director of Project Management dspeed@orpc.co Mr. Speed manages ORPC projects, including project testing, planning, budgeting, scheduling, vendor management, and quality control. He also manages the operations and maintenance of all devices operating in Maine. He has over 15 years of experience as a military sub- contractor and a project manager in the automotive, power plant, and petro- chemical industries and managed over $12 million in power plant and petro- chemical products for Bachmann Industries. Mr. Speed has work experience in Australia, Bahrain, Canada, China, Germany, Japan, Mexico, Poland, Saudi Arabia, South Korea, and Spain. KEY STAFF Sean Anderton, Manager Technical Support sanderton@orpc.co Mr. Anderton manages ORPC's site characterization activities, including (ADCP) current meter deployments. He has a proven track record of nearly 50 successful deployments, including the siting of the Maine Tidal Energy Project approved by the Federal Energy Regulatory Commission. He also leads site monitoring for all ORPC projects, including sensor integration for remote monitoring. He is responsible for managing vendors that provide site surveys, including geophysical surveys, and GIS work. He reports on data and maintains undersea data acquisition systems, GIS databases, and provides mapping for ORPC projects. Mr. Anderton oversees ORPC's corporate information technology and is experienced with Microsoft, Cisco and Apple environments and software as well as Exchange and Windows Server, ArcGIS, Solidworks Network deployment, Final Cut Pro, and Microsoft Office software. He also shoots, edits and publishes ORPC corporate videos for presentations, web and other media use. James Donegan, Test Engineer jdonegan@orpc.co Mr. Donegan is responsible for testing the company s advanced design cross- flow turbine generator units, and for developing modeling tools to predict and analyze the units behavior. He received a Bachelor of Engineering in energy engineering with first class honors from University College Cork in Ireland in His honors thesis, Optimized Photovoltaic and Electric Vehicle Power System, studied the prospect of an integrated system by which electric vehicles could be powered solely from a domestic solar energy plant. He also completed the specialty projects, Design of Blade Pitch Control System for Page 7 of 10
8 Laboratory Scale Wind Turbine, and Building Services Design for Commercial Building in Dublin City Center". Jason Huckaby, Mechanical Designer Mr. Huckaby creates mechanical designs, drawings and solid models for ORPC s proprietary technology and project development efforts. He also analyzes composite and steel underwater structures, helps develop underwater mooring system designs, prepares manufacturing guidelines and assembly processes for composite structures, and inspects physical structures during fabrication. Douglas Johnson, Director Business Development, Alaska djohnson@orpc.co Mr. Johnson coordinates early- stage business development and growth strategies in Alaska and the Pacific Northwest and supervises ORPC s projects in Alaska. He cultivates key relationships with government agencies, regulatory bodies, development partners and new staff, and works closely with the ORPC senior executive team. Nathan Johnson, Director of Environmental Affairs njohnson@orpc.co Mr. Johnson is responsible for creating solutions to deploy ORPC technology in an environmentally responsible and cost effective manner. He addresses permitting and licensing market barriers through innovative environmental monitoring technologies and implementation of adaptive management approaches. He contributes to ORPC s strategic development by identifying partnerships, emerging technologies, and projects to accelerate the marine renewable industry and contribute to the sustainability of global communities. A native of Long Island, Maine, he has a diverse background that includes commercial fishing, construction management, groundwater exploration and more than ten years in environmental engineering. Cian Marnagh, Director Engineering cmarnagh@orpc.co Mr. Marnagh provides hands- on leadership to ORPC s engineering team, managing various product development and design initiatives for the company s proprietary power systems. He addresses mechanical and manufacturing process engineering challenges with a focus on increasing efficiency, reducing cost and system and component risk. With professional experience in the aerospace and industrial tooling industries, Mr. Marnagh brings a solid, demonstrated background in advanced materials design and new product implementation to ORPC with a focus on QA/QC and adherence to engineering standards with a focus on system engineering from project concept through field operations. 9 Glen Marquis, Manager Project Development Mr. Marquis researches and secures new development opportunities in the U.S. and internationally using experience in start- up technology development, project management, engineering and construction. He supports strategies and activities of development and regulatory teams through project management, public outreach and document control. Mr. Marquis also contributes to permitting and licensing efforts, helps shape public policy through legislative work, and participates in industry forums and conferences. Genetta McLean, Ph.D., Grants and Licensing Manager Dr. McLean manages all phases of federal and state grants and loans for ORPC technology and project development. She works directly with project management, development, engineering, and finance to gather and organize materials, prepare reports, conduct analyses and generate budgets. She plays a similar role in ORPC s licensing efforts preparing licensing and permitting applications, as well as managing the post- licensing and reporting process. Monty Worthington Director, Project Development - Alaska mworthington@orpc.co Mr. Worthington oversees the implementation of ORPC projects in Alaska, including rural development projects funded by the U.S. Department of Agriculture. He manages project development, permitting, and logistical efforts, while advancing ORPC organizational capacity in Alaska in its initial project stages. He is currently assisting False Pass, Alaska, with their application to the U.S. Department of Agriculture's Rural Utilities Service program's Assistance to High Energy Cost Rural Communities. His rural development expertise includes designing, installing and maintaining solar and wind power electric systems in rural Cambodia and traveling to remote areas of the country to work with and train local Khmer people.
