This document is designed by the FSA to be given to consumers considering buying certain financial products. You need to read this important document. It explains the service you are being offered and how you will pay for it. 2. Whose products do we offer? We offer products from the whole market. We only offer products from a limited number of companies. We only offer products from a single group of companies. We offer products from a range of insurers for non-investment insurance contracts covering pure protection and general insurance such as term assurance, income protection, critical illness cover, accident, sickness and unemployment (ASU) cover, buildings and contents. We only offer products from a limited number of insurers for non-investment insurance contracts. We can offer products from a single insurer for non-investment insurance contracts. We only offer our own products for non-investment insurance contracts. We offer mortgages from the whole of the market. We only offer mortgages from a limited number of lenders. 2 3. Which service will we provide you with? We will advise and make a recommendation for you after we have assessed your needs. You will not receive advice or a recommendation from us. We may ask some questions to narrow down the selection of products that we will provide details on. You will then need to make your own choice about how to proceed. You will then need to make your own choice about how to proceed. 4. What will you have to pay us for our services? You will pay for our services on the basis of commission (through product charges) and/or fee. We will discuss your payment options with you and will answer any questions you have. We will not charge you until we have agreed with you how we are to be paid. We have ticked the payment options we offer: Paying by fee For fee-based work, we will agree a fixed fee. Fees become due on the date that the advice is given, although you may be asked for an initial down payment before work is started. You will not be charged any more than the amount agreed, unless we subsequently agree with you that the cost of our work is much higher than originally estimated. Commission is not payable when we work only on a fee basis, therefore we will waive any commission we would otherwise receive. The value of this will be passed on to you in one or more ways. For example by a reduction in your product charge or an increase in your ingestible amount. The agreed fee will depend on a number of factors including the type and complexity of the work undertaken, and the time that it will take. Our typical fee is 4%. There is a minimum charge of 250 (VAT may be added). We will confirm the actual rate in writing before beginning work. Review Service paying by fee Our fee for our standard review service is typically 0.5% per annum of the value of the investments or pensions we manage for you. We will tell you if this includes VAT. In some circumstances we will set a minimum fee for our reviews. There may be a higher rate to a maximum of 1% per annum of the value of the investments or pensions we manage for you, CIDD Page 2 Feb 2012

3 which may be applied to bespoke review services. We will confirm what we will charge you in writing before beginning work. For example: If you invest 10,000 into Unit Trusts and require the review service we might take an initial fee of 4% of the amount invested ( 400) for the advice and 0.5% of the value of the fund (roughly 50) every year. You may ask us for an estimate of how much in total we might charge. You may also ask us not to exceed a given amount without checking with you first. Paying by commission (through product charges). If you buy a financial product, we will normally receive commission on the sale from the product provider for acting as an adviser. Although you pay nothing to us up front, you still pay us indirectly through product charges. Product charges pay for the product provider s own costs and any commission paid to us. The charges reduce the amount left for investment. If you buy direct, the product charges could be the same as when buying through an adviser, or they could be higher or lower. For work on a commission basis the amount we receive will depend upon a number of factors including the amount invested, product, service, provider and (sometimes) how long you invest and/or your age. For advice Truly Independent Ltd typically cap this to a maximum of 4% of the total amount invested. For certain types of business (e.g. annuity, protection) we may receive commissions from providers, which exceed this; however we will confirm the actual amount with you before any transaction takes place. Review service paying by commission In some cases we receive ongoing commission and can use this to offset against the cost of the review service. The level of any ongoing commission will be detailed to you at outset. We will confirm the total commission (initial and ongoing) we will receive from any investments before the investment is completed, but you may ask for this information earlier. Paying by a combination of fee and commission (through product charges). Where we are working on a fee basis and a product is implemented that pays a commission, we can use the commission to offset against the fee charged. The actual amounts will depend on the service provided to you, but will be in line with the arrangements set out in the sections headed Paying by fee and Paying by commission (through product charges). No fee. No fee specifically for non-investment contracts covering pure protection and general insurance such as term assurance, income protection, critical illness cover, accident, sickness and unemployment (ASU) cover, buildings and contents, although the costs involved in advising on these areas maybe incorporated in to any fee that you pay us for other services. This will be made clear in your letter of engagement. You will receive a quotation, which will tell you about any other fees relating to any particular insurance policy. You will receive a key fact illustration when considering any insurance which will tell you about any fees relating to it. CIDD Page 3 Feb 2012

4 No fee. The commission payable from the lender will remunerate us. A combination of fee and commission. We charge 0.375% of the loan amount with a minimum fee of 250. An initial fee of 99 is payable at the outset to cover the cost of research. The balance is payable on application of the mortgage. For example, for a mortgage of 50,000 our total fee would be 250 and for a mortgage of 100,000 our total fee would be 375. We will tell you if any VAT is due. In addition to these fees we may receive a fee from the lender on completion. We will not refund to you any commission we receive from the mortgage lender. You will receive a key fact illustration when considering any mortgage that will tell you about any associated fees. Refund of Mortgage Fees If we charge you a fee and your mortgage does not go ahead A full refund if the lender rejects your application. No refund if you decide not to proceed. Other benefits we may receive We advise on a range of products from a variety of firms; we may receive certain non-monetary benefits from these firms, which are used to enhance the quality of service we provide to you. Benefits we may receive include access to technical services, information technology support or the supply of product literature. Further information regarding any of these arrangements is available on request. Information about other costs and associated charges There may be other costs, including taxes, that are payable through other parties (such as the product provider) that we may not be party to. Such charges are normally disclosed in relevant third party documentation, for example a Key Features Document. 5. Who regulates us? Truly Independent Ltd, Pacific House, Parkhouse, Carlisle, Cumbria CA3 0LJ is authorised and regulated by the Financial Services Authority. Our FSA Register number is Our permitted business is to provide investment advice and arrange life assurance, pensions, collective investments (e.g. unit trusts, investment trusts and OEICs), individual savings accounts and general insurance. Are we covered by the Financial Services Compensation Scheme (FSCS)? We are covered by the FSCS. You may be entitled to compensation from the scheme if we cannot meet our obligations. This depends on the type of business and the circumstances of the claim. Deposits 100% of 85,000 per person firm (for claims against firms declared in default from 31 December 2010) Provision and mediation of investments: protection for 100% of 50,000. Non- Non-compulsory insurance provision (both general and life insurance): protection for 90% of the claim, with no upper limit. Cover for compulsory insurance is 100% of the claim with no upper limit. Mortgage advising and arranging is covered for 100% of the first 30,000 and 90% of the next 20,000 so the maximum compensation is 48,000.
