1 MINUTES OF THE WESTERN CAPE DIVISIONAL MEETING OF THE FINANCIAL INTERMEDIARIES ASSOCIATION OF SOUTHERN AFRICA (FIA) HELD ON 20 JULY 2012 AT HARTENBOS FROM 08:30 TO 13: WELCOME The Chairman Riaan Geldenhuys opens the meeting with a minute of silence. He welcomed in particular Mr. Justus van Pletsen and Ms Miekie Jooste from Head Office. As well as Mr John Stebbing from the sponsor Camargue. 2. APPROVAL OF THE MINUTES OF 02 MARCH 2012 Robert Wilson proposed and Leon Swart seconded that the minutes of 2 March 2012 were approved. 3.1 MATTERS ARISING FINANCES this had been discussed at the members EXCO and will be taken up with the National Advisory Committee on the 14/16 October UNIONS AND FIA. Gerrit Lambrecht had been given a mandate by the Western Cape to discuss the issue with the FIA Board: Firstly to investigate the possibility and advantages of joining a Union Secondly to show the Board/ CEO a Brochure and video supplied to him by Solidarity. A general discussion was had on the pros and cons of FIA joining a Union. Would it benefit the members if the FIA became more militant/ aggressive or did the Board just need to become less diplomatic? There was consensus between members that the Independent Broker s income needed protection for example from Regulation of Commissions as well as from the filtering down of costs onto the Advisors/ Independent Brokers by Insurance Companies. Michael Morris proposed that the Board investigate what the advantages and/ or disadvantages of joining a Union would be for the members Shane Accom seconded. Justus says this will be done at the next Board meeting on the 23 rd of August 2012 Branches will then be given feedback. 2 The Financial Soundness Test Shane Accom stated that members must be aware that if for example they purchased a car the brokerage finances may not, at that stage, pass the test thus placing the practice in danger. Exemptions of certain categories of advisors from writing the RE exams Leon Swart felt that the Board needed to go back to the FSB and state that the playing fields needed to be leveled. These advisors who did not have the capacity of writing the same standard of exams were eroding the higher qualified advisors client base. SPONSOR ACKNOWLWDGEMENT - CARMARGUE JOHN STEPPING Camargue provides Risk Management Services and specializes in Liability products on behalf of Mutual and Federal and Lloyds. They were established in General Liability Professional Liability Pension Fund Trustees Liability Directors and Officers Liability Employment Practice Liability Commercial Crime Cyber Risk Medical malpractice. John will answer any technical questions you may have and can be contacted at John@camargueum.co.za or They will also provide support material. Possible Road Show with Mutual & Federal Negotiations are in process with Mutual and Federal for members to be able to understand the amendments and changes that have been made to the policy wording. Questions will also be given to both Grandmark and Camargue prior to the meeting being held on the 13 th August 2012 in the Western Cape. Shane Accom will give feedback to the members on what each company can bring to the table for the members. 4. GENERAL The vetoing by the Divisional Chairman or Vice chair of all s being circulated to members is working well. s are vetted and sent to members within 24 hours of being received by the Chairman. If an is of a technical nature and falls within his mandate as National Manager Compliance, it first needs to be vetted by Joe Kotze before being circulated. 4.1 The new method of communication by Head Office to members is acceptable and already 2900 members have responded to it. 3 Michael Morris proposed and Leon Swart seconded that a new link to the FIA website needed to be developed jobs offered and jobs sort. It was proposed that a secure link only accessible to FIA members be made available for members where they can go into and find suitable staff obviously with a disclaimer notice being added. The details of the CV will only be kept on the system for a period of one calendar month in terms of our proposal. 5. JUSTUS VAN PLETZEN Road shows Johan Heymans will be introduced as the newest member of the FIA team. He will be acting as the regional co-coordinator. Topics that will be discussed at the road show include:, FIA S CODE OF CONDUCT Anton Swanepoel will be doing the presentation. The FSB will also be given a copy of the code of conduct. The Board has had discussions with the FSB and suggested that it become compulsory for advisors to belong to a body such as FIA. Brochures regarding FIA will also be distributed at the road shows. PRO Intermediary Campaign FIA has come to an agreement with other insurance entities to advertise the Independent Broker / FIA members in the media (Television). Financial Advisors must take advantage of this campaign and make sure that before it starts broadcasting they all have the FIA logo on their marketing materials, letterheads, signage etc. This campaign will start in January Justus will have the FIA logo ed to all brokers before the time so that they can have their stationary etc changed timorously. Justus says Head Office still has a lot of the plastic FIA logos available without the silver backing. If Advisors would like to obtain one of these logo s they can contact him directly. Masthead and FIA have had discussions and are considering co-operating and handing in joint submissions to the FSB when necessary. Compliance through FIA tenders have been sent out and proposals have been received by various institutions including Masthead. These proposals will be discussed at the meeting on the 23 rd of August A short list will be made by the Board and this will in turn be sent to the Advisory Council to decide. Members may even be given a variety of options to choose from. The present FIA Group Life is expensive and is being looked at. Two options being considered are: 1. Existing members like for like. 2. All members - including Representatives and Administrative staff Compulsory Scheme. Sanlam is busy with a quote which should be based on the new rates available in the industry. The existing FIA group scheme rates were based on out dated rates as well as the average age of the FIA advisor and also the claims ratio up to date, which made it expensive. Concern is that FIA could have a substantial loss of members due to the RE2 exam being written shortly. Justus van Pletzen stated that he does not expect more than a 2% loss. 4 Of bigger concern was the loss of Key Individuals. If a practice only had one Key Individual and this individual does not pass his exam this could cause problems in the industry. In 2004 there were ± Advisors whereas in 2012 there were only Advisors left. Mr. Justus van Pletzen does not expect this figure to go under Another concern is that as the number of Advisors decrease the FSB s running costs will have to be taken up by the remaining FSP s. Mr. van Pletzen says that we are still however cheaper than many other countries e.g. Botswana, England etc and the FSB knows this. Mr. Rob Wilson said that FIA must however have a strategy in place on how FIA will deal with the increasing costs before they are increased and that FIA must not wait until it sees how many Advisors fall out - this will be too late to start planning. Regulation of Commission There has been no word from Jonathan Dixon yet, but no changes in the Short Term commissions are expected (other than the binder Agreements). Life no changes yet, but discussions are under way and will probably come into effect in the next 2-3 years. Administrative costs that are entered into by the Financial Advisors etc are also being looked at and taken into consideration. Leon Swart proposed that FIA do a financial casting Model for a financially viable Brokerage. Divvie de Villiers seconded. This will not only assist the Advisors but FIA as well. It will enable one to see how the increased fees affect practices. Various members agreed to make their Financials available to Mr. Justus van Pletzen to be able to do this study. These financials will be confidentially dealt with. Mr. Tim Timmerman asked whether the Board were aware of Advisors buying into Insurers. Mr. Justus van Pletzen stated that in Europe/ USA more short term agency forces were becoming independent as Insurers were concerned with Compliance/ Conflict of interest etc and were not willing to take the risk of non compliance. This was also being looked at more closely in South Africa. Translation of RE2 into Afrikaans members felt that whoever does these translations must be in the industry themselves and not just a professional translator, as wording and terms differ in practice. General If sponsors are brought into a meeting by FIA to address members then FIA probably could be held liable for approving said sponsor. Masthead has a short four page due diligence questionnaire that can be used to question new product houses. Mr. Rob Wilson proposed that FIA do due diligence on new product houses Gerrit Lambrecht seconded. INSETA vouchers Leon Swart stated that it is now understood that these vouchers are for training going forward. Regional Inseta Advisor informed FIA members that they could claim back monies in respect of passing RE examinations. It turns out that the Inseta training voucher was only redeemable in respect of attending training courses in preparation of the RE examinations. o However it was felt that INSETA must take responsibility for the misinformation given by their representative with regards to these vouchers. Mr. Gideon Meyer proposed W Cape Div Meeting 20 Jul 12 Page 4 of 15

5 that INSETA must pay for the promises made - Annameka Carter seconded. Mr Shane Accom said INSETA will put out an apology. Division agreed to send Justus Van Pletzen a letter/ stating concerns with regard to incorrect information provided to FIA Western Cape Division. Justus will in turn send the complaint to Shane being the FIA National Representative on the National Inseta Broker Network for tabling at the next meeting. Mr Riaan Geldenhuys felt that better structures needed to be put into place for giving feedback to branch members once Chairmen etc have held meetings with EXCO and Head Office. This feedback takes too long to pass down and is out dated by the time members get it. It was agreed that FIA members representing the FIA Western Cape at Exco Level meet with portfolio committee members as soon as possible following the release of the minutes to give proper feedback to its constituents within their regions. 6. FINANCES MIEKIE JOOSTE Larger branches get R50 from Head Office while smaller branches get R60. Michael Morris asked that cash book figures also get sent with the management accounts to the branches. Budgets must be realistic cross subsidization will not take place. Division Balance R As from the beginning of the FIA Financial year in 2013 the new fee structure will be put into place. This will be R260 for the first FSP and then R50 for each FSP or staff member thereafter. Mr. Michael Morris suggested that this new model be sent out to Advisors as soon as possible so that they had time to work out how it would affect their practices. 65% of FIA s income comes from membership fees - the rest is from the magazine, sponsorships and rebates from the PI Scheme and Employer Benefits. Mr. Leon Swart suggested that if you looked at the financial statements, FIA National was running at a financial loss. Mr. Justus van Pletzen agreed but stated with the new membership fee structure this will be addressed. Mr. van Pletzen said that membership growth must however be looked at. Other ways of addressing this loss were: - Staff having to take their leave and therefore not being paid out for not taking it. - The two FIA buildings the possibility of selling these was being looked into. Consolidation between Boland and Tygerberg will be discussed by the two Chairman s concerned. Shane Accom proposed and TimTimmerman seconded. 7. APPROVAL OF PORTFOLIO REPORTS 7.1 FINANCIAL PLANNING MR GIDEON MEYER o o Non refundable admin fee being looked at by Insurers for Advisors. 6 7.2 SHORT TERM WESTERN CAPE DIVISION MR SHANE ACCOM FIA Western Cape Division Short Term Portfolio Period under review January to July 2012 Regional and National Issues Meaning of Communication Codes R = Restricted M = Membership P Public Technical Sub-Committee and Short Term Exco Demarcation Regulations M FIA requested extension to deadline date for submission however FIA is ready to submit anyway should request not be granted Negative Consequences and Possible backlashes It will remove most forms of hospital cash, dreaded diseases and gap covers Numerous legal challenges will follow from various sources Economic loss in terms of business closures where an FSP practices mostly in this area of business PI Cover - M Members face unknown and unlimited liability and whilst it s difficult to peg in a figure, members need to re-evaluate what risks they insure poses the greatest risk in terms of maximum exposure and pitch their PI limits in line with that exposure. Bear in mind we need to balance affordability of cover and at the same time protect their balance sheets by putting in suitable levels of cover Sole Proprietors are most at risk since they will be held responsible in a personal capacity as well in terms of the license conditions Tracking Units - R Western Cape agenda item pertaining to tracking companies referred to SAIA for discussions with members It relates to different interpretations of the tracker Endorsement/warranty that applies where discounts are given by Insurers on fitment of a tracker unit. Clear cut wording and easy to understand endorsement needed to eradicate any doubt with interpretation. Other concerns and issues rose with regard to the modus operandi of tracking companies and whether they fell under CPA will not be taken by FIA. I intend to take it up with other relating to conditions of testing where client is responsible for checking whether the unit is functioning. De-regulation of commission - M FSB has taken it off its radar for the moment and placed it on the back burner until such time come up with a framework that provides for fair compensation to Intermediaries along with suitable disclosures. This to the contrary could turn out favorable, who knows? FSP collecting fees without Binder authority R Recommended that you put in place a separate agreement with W Cape Div Meeting 20 Jul 12 Page 6 of 15

7 regards to fee collection in view of disclosures required in terms of commissions, fees etc. Binder Agreements - R There will be no extension to deadline date Don t wait for the Insurer to contact you rather go to them and sort out the terms of your contractual agreements. Please remember that the FSP and NOT the Insurer dictates policy fee arrangements although an Insurer will try to influence to protect the competitiveness of their products. Conclude your binder agreements by latest end of October, since everything slows down from November onwards. It will give you ample time to make informed decisions and time to negotiate the best possible deal for processes performed on their behalf. Don t be pressured at the last minute. Requirements with regard to Bulk movements of books/clients within 30 day period - R FSB is having a re-think in respect of the advisement of each and every client and also having to wait for them to respond. There seems to be an acceptance that it is near impossible nor very practical to do this or pull it off within the stipulated time frames allowed by the rules. Consequently the client could end up being the biggest loser. Legislation does however compel the existing Insurer to cover the risks until such time a full placement is done. Watch this space!!! SASRIA ENHANCEMENTS Sasria to provide full Business Interruption cover - M Implementation Date 1st September 2012 Tips Recommend that Members advised all their Product Providers to change to Full Interruption cover as from that effective date Uncertainties with cover Whether extensions granted under normal Underlying policy will be covered? Whether Wraparound cover purchased from Specialist to bridge the gap in cover as opposed to a normal commercial BI section of the policy SASRIA commission increases - R FIA ST Exco approved and will request SASRIA to increase the commission rate by 1% for this year and every consequential year until it reaches 15% - by agreement Motor Coupon Charge - R SASRIA very unhappy to pay claims on Special Type vehicles of up to R5,0 million for a measly R50 coupon. They are considering a review of the rates. Quarterly Meeting with Major Insurers - M W Cape Div Meeting 20 Jul 12 Page 7 of 15

8 We have meetings planned with Zurich, Mutual & Federal and Santam before the end of this year. Let me have any agenda items and/or issues for the Insurer together with a motivation and/or facts for tabling at that particular meeting. Sharemax - R It recommended that the those FSP s who expect to be summoned should notify their PI Insurers without delay of a claim or the potential thereof where there is clear evidence that their clients were prejudiced in terms of incorrect advice leading to financial loss. It would be best to work and assist your client in these instances. Important Upcoming Events - P Mutual & Federal FIA Road Show FSB Binder Regulations Road Show at Old Mutual Pinelands FIA Regional Conference 7.3 MEDICAL MR ROB WILSON o NHI Little coming out the primary concern at the moment is getting the Government Hospitals up to Standard. o There was a commission increase for medical Advisors. o Individual Schemes Mr Rob Wilson reminded advisors that they must send their clients renewal letters highlighting the differences in the New Year s medical aid plans and how the clients would be affected. 7.4 EMPLOYEE BENEFITS MR MICHAEL MORRIS o Employer Benefit Roadshow in Western Cape in August or September. Marriott will talk about their income plans after retirement. o With RE2 exams coming up there may be a few practices that have 1 or 2 small schemes on the books. Chairman Date Secretary WESTERN CAPE DIVISION: TRAINING AND EDUCATION REPORT 18 July 2012 To date there has only been one Exco meeting which occurred in March There Steve Akakios was elected as chair and the framework of this new Exco was established. Our next meeting takes place on 08 August 2012 and some of the issues to be discussed are as follows: Our involvement with the INSETA broker network. I informed all members about the network on two earlier occasions; The new list of recognised qualifications and duty of FSP to upload qualification codes to KI/Rep registers; S and SP status of qualifications; Latest developments on level 2 exams; Credit requirements for transitional period exclusion of fundamental unit standards in skills programs credit count; New CPD requirements; CPD IISA and FPI platforms; Insurance Bootcamp; Feedback from the Insurance Conference; IISA - Human Capital Development Alignment discussion Late last year, the FIA joined the INSETA Broker Network and are represented on the committee. In his own capcity, largely as a result of his proactive work and passion for this field, we congratulate Shane Accom for also being elected to the INSETA Network Committee. The FIA board and more specifically the Education and Development Committee, conducted an investigation into effect of the RE exams on the industry. the In an extract from the report dated 07 June 2012 the following is of importance: The FIA can be seen to be at risk where a reduction of members can be expected as a result of the FAIS regulatory level 1 exam requirement. There exist a number of variables that are not measurable and therefore as best as possible assumptions have been considered in compiling the outcomes. With these in mind it is apparent that Board of Directors and Management should expect a level of member attrition of between 78 to 140 member KI s and 2350 to 3510 member representatives. Of a total of current FIA KI s an attrition rate of 4.3% should be expected based on the aggregated average. (a minimum 3% and a maximum of 5.5%). Of a total of current FIA representatives an attrition rate of 28.6% should be expected based on the aggregated average. 10 Insurance Bootcamp: In April this year, we rolled out our first country wide IB seminars nationally. We held seminars in Cape Town, Durban and Johannesburg on the topic of Marine. As anticipated, the attendance was fair and this was attributed to the fact that there are not many Marine insurer s brokers. There was also a logistical dispute which arose in Durban. We held a de-brief afterwards and the logistical matters regarding Durban were addressed and corrected. Our next seminars take place on 30 / 31 July and 01 August 2012 and we tackle the topic of Liability Insurance. We have a great panel of experts and these include attorneys from Norton Rose as well as an insurer and underwriting manager. Various aspects of Liability will be discussed but emphasis will lean toward the effects of CPA, Directors and Officers liability, PI, Employers liability etc. At this stage we are oversubscribed at all venues, which is very exciting. At our recent committee meeting, the matter of rolling out to other regions was discussed. This was especially in light of the enquiries from the Eastern Cape and Southern Cape areas. We are at present investigating numerous scenarios that will help overcome the logistical challenges. These could take the form of discount accommodation and meal vouchers for delegates in the major cities or alternatively, live streaming to a particular location in that region via Skype. This could allow for active audience participation in respect of Q & A. We will report back regarding the developments at soonest. In conclusion, this EXCO is still new yet vibrant. I will forward feedback to the division via Salomi after our next meeting. Regards Tim Timmerman MEMBERSHIP REPORT -JULY 2012 Membership Membership through all the branches have stayed constant over the past seven months and although we are not attracting as many new corporate members as expected we have not lost members in large numbers. This could be one of the main reasons why expansion is not growing at expected rates. The issue regarding branch funds and allocations from Head office have been raised on numerous occasions in the past. This matter has yet to be resolved to the satisfication of the Western Cape and should receive urgent attention. Members should have more access to the financials of the branch and the organisation as a whole. The fact that the FIA showed a huge deficit for the 2012 financial year is a situation that should be addressed. Regional Representitive The eventual appointment of a regional representitive is a positive which should in future meet Members needs such as feed back that was not usually forthcoming timeosly from Head Office. Congratulations and best of luck to Johan Heymans for his appointment in this position. RE 1 Exams The effect of those members not succesfully passing the RE1 exams will only be felt by the end of September. This could lead to a decrease in membership numbers and will also have an effect on the financial side of the branches. General feed back is that brokers in the Western Cape have achieved quite a high pass rate at this stage and we are positive that that the negative effect should not be to high. 12 JJ Van Der Spuy SOUTHERN CAPE: Chairman s Report July 2012 My first report as chairman has focussed on our committee s strategy for We are still focussed and committed to improve on all the goals that we have set to ourselves. For this report I would like to address the following: MEMBERS Feed-Back from members: Carol has done a survey with our members to evaluate the service of the FIA as offered on their website. A summary was include in the minutes of our previous members meeting and was send to Justus for his attention as well. We do thank the FIA for all the work that was done regarding the RE exams and the support that we have received from the FIA in this regard. Certainly there will be concerns as well. There is a specific need for training. Meetings: our previous meeting was structured to serve as a work session and we do have received valuable input from the members. Most outstanding for me was the fact that the members that have attended the meeting were the members that have large practices and are serious about the industry. The question was raised if we must not come to the point where we have committee meetings and then sessions where issues/topics of concern are discussed as needed. There is no need anymore for members to attend meetings just to receive feedback. New Members: We have made a list of the brokers in our area who have contracts with Santam, but are not members of the FIA. Between Carol and myself we will discussed the list and will approach these brokers if we have good reference of them out of the industry. TRAINING On behalf of our members, I request that the FIA extend the Boot-Camp to the Southern Cape as well. I am aware of logistics etc, but I believe we can learn from what was done in other areas and use expertise in our area to reduce cost. REGIONAL CONFERENCE The FIA must take note that many members of the FPI in our area have cancelled their membership due the fact that nothing is offered for them in the Southern Cape. It is almost impossible for our members to travel 400 km either Cape Town or PE to attend these conferences. When members are informed of these offerings they want to be part of it and not read everything just to find out it is not in our area or on a time that still need to be scheduled. 14 Branch Report: TYGERBERG TAK CHAIR: Leon Swart We have had two branch management meeting and one members meeting since our last Divisional meeting and our next members meeting has been move to coincide with the regional conference that the FIA is hosting on the 31 July. We hope to see you all there. At our last members meeting we had the privilege being spoken to by Graham Power on the ethical and moral issues we have to deal with in our business environment and how you could approach these issues as a businessman, he also propositioned his organization unashamedly ethical. If you interested make use of the following link; The branch management has been busy each in their own field to sort our member s issues that we identified or has been brought to our attention by our members. To name a few that we are addressing: 1. Inseta and it s ongoing way to Over promise and under deliver - Shane is taking this up with them as the FIA representative on the Broker INSETA workgroup. 2. CPD and the need to be proactive in making sure that we get this instituted not only on our training side, but also for our members attending members meetings. 3. Legislative questions relating to the Commission and fees, Medical aid and EB spaces. 4. A new drive that is come to the forefront lack of trained back office staff at the insurers, in all the financial service offerings, short-term, Life, EB, medical and Investments. 5. The bulk transfer of Clients for FSP category 1 licences, with no resolution yet. 6. The attack of Insurers on our clients which they are deeming to belong to them case in point Discovery Insurer. We also have the ongoing internal issue with our New FIA membership model and the finances associate with this. We still have no clarity with this issue. This has cause problems with not only our understanding of our finance, but also dissatisfaction with our members. I want to thank Justus for helping to retain one of our senior members and his large practise, but we need clarity and a method forward on this. On the Social side our GOLF day arrangement has gone to date well largely due to JJ and Juanita s handling of the day in a professional and efficient why, with help from Salomi on the admin side. We look forward to see as our sister branches at our day on the 26 October Arrangements for our year end function are also on course on the 24 th November to the other chairman and their vices please keep your diaries clear. 15 Last but not least, we welcome Johan Heymans as our Divisional representative and which I success with his endeavour and we trust this will make this an even stronger region. I want to conclude with the same statement as last divisional meeting: We as an membership organisation must insurer that our priority stays with the vision of the FIA namely, The FIA s primary purpose is to represent, protect, promote and further the common interests of its members. REPORT FROM THE CHAIRMAN OF PENINSULA BRANCH DIVISIONAL MEETING MOSSEL BAY JULY 2012 The end of year celebrations and Golf Day are a long way past, and a long into the future. In the middle of the year, winter falls on us in the Cape, and hard work in our FIA branch. Our thrust, this year has been the RE examinations and ensuring that our members complete and pass these. Michael Morris and myself presented three further training sessions for our members. Our objective was to give the members a Road Map and put them on the freeway. We believe from the enormous feedback that we have had, that this was successfully accomplished. My heartfelt thanks to my partner, Michael Morris. Over and above this, we assisted our members telephonically and resorted to one-on-one coaching and mentoring where a member needed this assistance. We have learnt valuable lessons from this first and we will ensure that our members are even better prepared for the next round of RE examinations. At this point I must mention how excited we are to welcome our new Regional Coordinator Johan Heymans. With his assistance, we know that we will face the next round confidently. We have had a few wonderful member meetings. In March we had a great meeting at Maestros in Milnerton. Our guest speaker was Steven Powell, awell-known forensic auditor. He had us enthralled as he gave us an insight into the world of white collar crime. Particularly interesting was the process by which an ordinary Joe Citizen becomes a criminal. He also gave us practical pointers on how to prevent white collar crime in business. In May we were back at Weslake Golf Club for Ada s wonderful buffet. The meeting was sponsored by Lion of Africa. It was a great opportunity to meet the guys and learn more about the products of this innovative company, who seem committed to supporting the FIA. Our midyear social function will be a curry buffet at Jewel of India restaurant in the Waterfront later this month. The speaker at our next member meeting will be Richard Calland of IDASA. We look forward to his valuable insights into the political scenario in South Africa ahead of Mangawaung. We look forward to offering our members even more benefits with the assistance of Johann. And Finally my thanks again to Michael Morris, who has stepped up to the chair on so many occasions when my health has prevented me from performing my duties.
