1 TERMS & CONDITIONS LOCATE SALES AND MARKETING LTD TERMS & CONDITIONS 1 GENERAL 1.1 Locate Sales and Marketing Limited is registered in England and Wales No ( LSML ) and has registered offices at Ternion Court, Upper Fourth Street, Central Milton Keynes, Buckinghamshire England MK9 1DP. 1.2 In these Conditions: Communications Services means the services to be provided in accordance with the service description set out on the Website at ; Data Protection and Privacy Policy means the data protection and privacy policy available on our Website; Equipment means the HAL-Locate hardware; Initial Subscription Period means the term of the first Subscription Period which commences on the date set out in the Subscriber s order form; "False Alarms" means (1) the provision by the Subscriber of information regarding an incident which is incorrect and which is recklessly provided by the Subscriber or (2) the failure to reasonably follow procedures communicated to the Subscriber by LSML with regard to the Telematics Unit and its operation; GSM Communications means the Global System for Mobile Communications comprising of a Subscriber Identity Module (SIM Card) and an airtime contract with a Telecommunications Network provider, used to communicate messages, alerts and position information; "Manufacturer's Warranty" means the warranty provided by the manufacturer for the Equipment, a copy of which will be provided to the Subscriber when it purchases the Equipment from LSML; Network means the mobile telecommunications services obtained from LSML s telecommunications network provider; SIM means the Subscriber Identity Module or SIM Card supplied by LSML that enables the use of the Communications Services; Subscriber means the person or entity who receives the benefit of the Communications Service; "Subscription Period" means the period for which the Communication Services have been subscribed; Telecommunications Network Provider means the company appointed by LSML to provide the the SIM and associated telecommunications services to end users. "Vehicle" means any caravan, motorhome, boat or construction asset owned or under the legal control of a Subscriber; Website means the website located at and any other site operated by LSML in relation to the provision of the Communication Services as notified by LSML to the Subscriber in writing. 1.1 The headings in these Conditions do not affect their meaning. 1.2 These Conditions set out the whole agreement between the Subscriber and LSML for the supply of the Equipment and the Communications Services. The Subscriber should check that the details in these Conditions are complete and accurate before committing to the Conditions 1.3 LSML may at any time and at its sole discretion modify any of these Conditions by publishing a change notice on our Website. We will provide at least 30 days prior notice of any changes to the DW:# v3 MSOffice

2 2 Communication Services. If any of the changes are unacceptable to the Subscriber, the Subscriber s only recourse is to terminate using the Communication Services. If the Subscriber continues to use the Communication Services beyond 30 days after the change notice, Subscriber s use will be considered an acceptance of the change. 1.4 If any court or competent authority decides that any of the terms of these Conditions are invalid, unlawful or unenforceable to any extent, the term will, to that extent only, be severed from the remaining terms, which will continue to be valid to the fullest extent permitted by law. 1.5 These Conditions bind the parties and their respective successors and assigns. 1.6 References in these Conditions to LSML includes its associates or partners. 1.7 References to a person includes a reference to a body corporate, association or partnership and references to the singular includes the plural and vice versa and references to any gender includes a reference to all other genders. 1.8 References in these Conditions to a party shall be to LSML or the Subscriber. 2 PROVISION OF THE COMMUNICATION SERVICES AND EQUIPMENT 2.1 By confirming your agreement or by making use of the Communication Services, the Subscriber confirms that it has read and agreed to these Conditions which shall form a binding agreement between the Subscriber and LSML. These Conditions set out the terms and conditions for using the Equipment and Communication Services as operated and offered by LSML. 2.2 The subscription to the Communication Services shall commence on the date nominated by the Subscriber as part of his Subscription registration process and shall continue until terminated by LSML or the Subscriber in accordance with the terms of these Conditions. 2.3 The Subscriber shall as part of the subscription registration process elect whether it wishes to purchase any Equipment in accordance with these Conditions. The Equipment shall be provided in accordance with the Manufacturer's Warranty for that Equipment. In the event that the Subscriber purchases Equipment, until such time as LSML has received payment in full for the Equipment, such Equipment shall belong to LSML (notwithstanding that any such Equipment may have been installed in any Vehicle). The Subscriber shall not be entitled to sell, assign or deal in such Equipment until such time as full payment for the Equipment has been made and ownership in the Equipment has passed to the Subscriber. 2.4 Ownership of the SIM shall at all times remain with the Telecommunications Network Provider, and usage and ownership of the SIM shall be subject to the Telecommunications Network Provider s standard terms for the usage and ownership of such SIM. 2.5 Risk in any Equipment purchased from LSML shall pass to the Subscriber on delivery of that Equipment to the Subscriber. Installation of Equipment is through a third party service provider, and LSML bears no responsibility nor shall it be liable for the installation of any Equipment. 2.6 The Communication Services provided by LSML are as set out on its Website at The provision of the Communication Services and the Website is without prejudice to Clause 2.6 subject to the following conditions: LSML s ability to provide the Communication Services may be affected by circumstances beyond LSML s control, including but not limited to the following: capability of any Equipment provided, the number of people using the communications network; geographic or atmospheric conditions; maintenance requirements or Equipment failures. 3 3 2.8 The Subscriber agrees and acknowledges that, to the extent permitted by applicable law, the Services are provided without any warranty or condition, express or implied, except as specifically stated in these Conditions. LSML will use reasonable efforts to maintain acceptable performance of the Services but makes absolutely no commitments, warranties or representations whatsoever, express or implied, including any implied terms as to satisfactory quality or fitness for a particular purpose. 3 CHARGES 3.1 The price for the Equipment and the Communication Services is as selected by the Subscriber at the point of purchase, and shall be paid by the Subscriber to LSML on registration (and in respect of any Subscription Period following the Initial Subscription Period, immediately prior to the commencement of the Subscription Period). 3.2 The Subscriber shall make payment of the price for any Subscription Period in advance of the commencement of the applicable Subscription Period. 3.3 Without prejudice to any of the Subscriber s rights to claim losses or damages pursuant to these Conditions, the price for the Communication Services are not refundable. 4 RESTRICTIONS RELATING TO THE PROVISION OF THE GSM COMMUNICATIONS SERVICE 4.1 LSML may at any time set a limit on an amount of service charges incurred on behalf of Subscribers during each billing period or place a bar on the SIM card being used on overseas networks. 4.2 Monthly usage of the Communications Service is expected to be below 15 UK SMS text messages per month and 5 international roaming SMS text messages per phone per month sent by HAL-Locate in response to Subscriber requests or False Alarms. Excessive use, determined at LSML s discretion, acting reasonably, will constitute an abuse of the Communication Services. LSML reserves the right to monitor usage, to apply additional charges and/or withdraw the Communication Services from any SIM Card provided to the Customer at any time in the case of actual or suspected overuse or abuse of the service. Where the Communication Services are overused or there is an abuse of the service, a minimum charge of 10 will be applied to the Subscriber's account and additional UK SMS text messages will be charged at 0.08 and International Roaming text messages at 0.25 (and deducted from the 10 charge). Any remainder of the 10 charge shall be for the Subscriber's account and will be used for any future text messages utilised through the Communications Services. 4.3 Charges for activation and GSM communications subscriptions are not refundable. 4.4 LSML reserves the right to change the Subscriber s HAL-Locate mobile telephone number or other number from time to time. 5 SUBSCRIBER RESPONSIBILITIES 5.1 The Subscriber shall immediately advise LSML in writing or by fax if the SIM is stolen, damaged or lost. LSML s contact details for these purposes are on the Website. The Subscriber undertakes not to use the SIM, the Communication Services and/or Equipment for any illegal purpose. LSML or the Telecommunications Network Provider reserve the right to immediately suspend the provision of the SIM and/or the Communication Services at any time in the case of actual or suspected fraudulent or illegal usage, and to request the return of the Equipment (to the extent that payment in full has not been made in respect of the Equipment by the Subscriber). 4 4 6 TERMINATION 6.1 LSML reserves the right to suspend and/or terminate the Services for any breach of these Conditions at its sole discretion and without further liability to the Subscriber. 6.2 Otherwise these Conditions shall terminate if the Subscriber gives LSML at least thirty (30) days notice before the beginning of any Subscription Period. 7 WARRANTY AND LIABILITY 7.1 The Equipment will materially conform with the Manufacturer's Warranty. 7.2 The Subscriber agrees and acknowledges that, subject to section 7.1 of these Conditions and to the extent permitted by applicable law, the Communication Services and the Equipment are provided without any warranty or condition, express or implied, except as specifically stated in these Conditions. LSML will use reasonable efforts to maintain acceptable performance of the Communication Services but makes absolutely no commitments, warranties or representations whatsoever, express or implied, including any implied terms as to satisfactory quality or fitness for a particular purpose. 7.3 LSML shall only be liable to the Subscriber for loss or damage caused directly and reasonably foreseeable by its breach of these Conditions and LSML s liability in these circumstances is limited as set out in the remainder of these Conditions. 7.4 In no event shall LSML, or persons who act on its behalf and/or its sub-contractors or agents, be liable for any of the following types of loss or damage arising under or in relation to these Conditions (whether in contract, tort (including, without limitation, negligence) or otherwise): any loss of profits, goodwill, business, contracts, revenue or anticipated savings even if it is advised of the possibility of such damages, loss of profits, goodwill, business, contracts, revenue or anticipated savings; or any loss or corruption of data; or any indirect, special or consequential loss; or any loss or damage whatsoever which does not stem directly from its breach of these Conditions. 7.5 Nothing in these Conditions shall limit LSML s liability resulting from its fraud or fraudulent misrepresentation, for death or personal injury resulting from either it or its subcontractor s or agent s negligence, for any liability pursuant to the implied covenants as to title contained in section 2 of the Sale of Goods Act 1979 or section 12 of the Supply of Goods and Services Act 1982 or to the extent such limitation or exclusion is not permitted by applicable law. 7.6 Without prejudice to the foregoing, in no event shall LSML s liability to the Subscriber in relation to any and all claims against LSML in the aggregate exceed the total fees paid or payable by Subscriber to the SVT Service Provider under these Conditions. 7.7 In the event that a Subscriber is dissatisfied with the Services or becomes aware that the Services do not conform with the terms of these Conditions, the Subscriber should notify LSML in writing by letter to Locate Sales and Marketing Ltd, Unit 13 Dencora Way, Sundon Park, Luton, LU3 3HP or to info@hal-locate.eu as soon as possible. 7.8 The Subscriber shall at all times insure and keep the Vehicle insured with a reputable insurance company against all insurable liability relating to the Vehicle, its operation and its passenger howsoever related to the Services. 8 DATA PROTECTION DW:# v3 MSOffice

5 5 In using the Communication Services the Subscriber consents to LSML processing their Personal Data in accordance with the terms of its Data Protection and Privacy Policy which forms part of these Conditions. LSML undertakes that it will not sell or rent any Personal Data that the Subscriber has provided to LSML for any reason. 9 PARTIAL INVALIDITY If any provision of these Conditions is held to be invalid by a court of competent jurisdiction, then the remaining provisions shall nevertheless remain in full force and effect. 10 ENTIRE AGREEMENT These Conditions set out the whole of the agreement between LSML and the Subscriber in relation to the Communication Services, the Equipment and the use of the Website and supersedes any and all previous statements, agreements, arrangements or understanding (whether written or oral) between LSML and the Subscriber with regard to the Communication Services, the Equipment and the use of the Website. The Subscriber agrees and acknowledges that no representations were made to the Subscriber prior to its use of the Communication Services, the Equipment and the use of the Website and that, in receiving the benefit of the Communication Services, the Equipment and the use of the Website, the Subscriber does not rely on, and shall have no remedy in respect of, any statement, representation, warranty or understanding of any person (whether party to these terms and conditions or not) other than expressly set out in these Conditions. Without prejudice to the foregoing, the only remedy to any party for breach of these Conditions shall be for breach of contract. Except as otherwise specified in these Conditions, no changes or amendments to these Conditions shall be binding upon LSML or the Subscriber until confirmed in writing by LSML. 11 GOVERNING LAW These Conditions are governed by the laws of England and shall be subject to the exclusive jurisdiction of the English courts. 6 EUROWATCH SUBSCRIBER TERMS & CONDITIONS 1 GENERAL 1.1 EUROWATCHCENTRAL LTD is registered in England and Wales No ("EUROWATCH") and has a registered office at Martell House, Cranfield, Bedfordshire, MK43 0TR, United Kingdom. 1.2 In this Contract: "Contract" means the terms and conditions set out below for using and operating the Services offered by EUROWATCH; "Countries" means the countries that are covered by the Services as detailed on the Website from time to time, and Country means any of them. As at the date of this Contract these countries include Austria, Belgium, Bulgaria, Czech Republic, Denmark, Estonia, Finland, France, Germany, Greece, Hungary, Ireland, Italy, Liechtenstein, Lithuania, Luxembourg, Monaco, Netherlands, Norway, Poland, Portugal, Romania, Slovakia, Spain, Sweden, Switzerland, Turkey, Ukraine and the United Kingdom. In the event that any Country is deleted from the list of Countries on the Website, EUROWATCH shall provide the Subscriber with thirty (30) days notice of such change; Data Protection and Privacy Policy means the EUROWATCH data protection and privacy policy; "False Alarms" means (1) the provision by the Subscriber of information regarding an Incident which is incorrect and which is recklessly provided by the Subscriber or (2) the failure to reasonably follow procedures communicated to the Subscriber by EUROWATCH or the SVT Provider with regard to the Telematics Unit and its operation; "Incident" means an incident occurring in respect of a Subscriber s Vehicle, where the Subscriber has been unlawfully dispossessed of the Vehicle. For purposes of clarity coverage for an incident under this Contract shall not include any coverage for mechanical breakdown of any Vehicles, traffic accidents and/or any claims relating to personal accident or illness; Initial Subscription Period means the term of the first Subscription Period which commences on the date set out in the Subscriber s order form; "IPR" means any patents, trade marks, service marks, design rights (whether registerable or otherwise), applications for any of the foregoing, copyright, database rights, trade or business names and other similar rights or obligations whether registerable or not in any Country; Guard and Recover Service means the optional service available to Subscribers where (1) in the event of an Incident and (2) recovery of the Vehicle by the Police, EUROWATCH will arrange for personnel to attend the Vehicle to protect it until the Subscriber attends the scene and if necessary arrange for transportation of the Vehicle back to the Subscriber s designated location. This service is only available when the Vehicle is recovered in the Country of registration of the Subscriber; Personal Data means any data or information relating to the Subscriber which the Subscriber provides EUROWATCH or the SVT Provider with; "Police" means any police force, police authority or recognised law enforcement agency, or any of their respective servants or officers, in any Country; "Services" means the initial test and initialisation of the Tracking Device, the alarm centre call handling and police access service for Subscribers provided by EUROWATCH in the Countries, and if selected by the Subscriber, the Guard and Recover Service; "Subscriber" means the person or entity that is contracting for the Services under this Contract; "Subscription" means this Contract by which EUROWATCH provides the Services to the Subscriber; "Subscription Charges" means the charges for the Services which the Subscriber agrees to as part of the registration process pursuant to Clause 3 of this Contract; "Subscription Period" means any period for which the annual Subscription Price for the Services has been pre-paid; SVT means stolen vehicle tracking;

7 2 SVT Services means the provision of the Telematics Unit and any associated services in respect of the Telematics Unit (other than the Services pursuant to this Contract) to be provided by the SVT Service Provider in accordance with the SVT Terms; SVT Service Provider means Locate Sales and Marketing Limited or any of its affiliated companies; "SVT Terms" means the SVT Service Provider s GSM communications subscription terms and conditions for the provision of the Telematics Unit and associated services; Telematics Unit means the tracking equipment supplied by the SVT Service Provider under the SVT Terms and used by the Subscriber for the receipt of the Services; Thatcham Standards means security standards as set out at Verification" means in respect of an Incident the availability and validation of data in respect of the Incident to the standards required by Police; "Vehicle" means any caravan, motorhome, boat or construction asset owned or under the legal control of a Subscriber; "Website" means the entire content of the EUROWATCH website located at or any replacement or successor uniform resource locator and any other site operated by EUROWATCH in relation to the provision of the Services as notified by EUROWATCH to the Subscriber in writing. 1.3 The headings in this Contract do not affect their meaning. 1.4 This Contract sets out the whole agreement between the Subscriber and EUROWATCH for the supply of the Services. This Contract sets out the terms and conditions for using the Services as operated and offered by EUROWATCH. 2.2 EUROWATCH will provide the Services for the Subscription Period in accordance with this Contract. 2.3 The SVT Service Provider s sole responsibility under this Contract is the collection of payments from the Subscriber for and on behalf of EUROWATCH pursuant to Clause 3.3, and the SVT Service Provider is not responsible for providing any element of the Services under this Contract. The SVT Service Provider provides the Telematics Unit and the SVT Services to the Subscriber in accordance with the SVT Terms. 2.4 Upon becoming aware, or suspecting, that there is an Incident taking place relating its Vehicle, the

8 3 Subscriber must follow the guidelines issued at the time of Subscription by EUROWATCH or the Vehicle s vendor or the SVT Service Provider and/or any instructions given to the Subscriber by EUROWATCH at the time of an Incident. 2.5 In the event that EUROWATCH is alerted and able to attain Verification it will contact the Police to seek assistance in the Country of the Incident. 2.6 A Subscriber's telephone calls to EUROWATCH may be monitored or recorded in accordance with applicable laws. 3 TERM, PRICES & PAYMENT 3.1 A Subscription commences on the date nominated by the Subscriber as part of his Subscription registration process and shall continue until terminated by EUROWATCH or the Subscriber in accordance with the terms of this Contract. 3.2 The Initial Subscription is as selected by the Subscriber upon registration. 3.3 The price for the Services is as selected by the Subscriber upon registration, and shall be paid by the Subscriber to the SVT Service Provider on registration (and in respect of any Subscription Period following the Initial Subscription Period, immediately prior to the commencement of the Subscription Period). It is acknowledged by EUROWATCH that it shall have no claim against the Subscriber for payment to the extent that the Subscriber has made the due and proper payment of the price for the Services to the SVT Provider on registration (and at any time thereafter in accordance with this Clause 3.3), and agrees that payment by the Subscriber to the SVT Service Provider on registration (and at any time thereafter in accordance with this Clause 3.3) satisfies the Subscriber s obligation to pay EUROWATCH. 3.4 Without prejudice to any of the Subscriber s rights to claim losses or damages pursuant to this Contract, Subscription Charges are not refundable. 3.5 Where the Subscriber has raised more than four (4) False Alarms in any twelve (12) month period, each subsequent False Alarm raised will be charged at a rate of 20 per False Alarm raised. In the event that more than four (4) False Alarms are received, EUROWATCH may in addition to charging for such additional False Alarms notify the Subscriber in writing of its intention to suspend the Services until such time as the False Alarm issue is resolved. Resolution of these issues shall be within 7 days from date of notification (in accordance with the Thatcham Standards). Invoicing of such additional charges shall be from EUROWATCH, direct to the subscriber, with no involvement from LSML. 3.6 EUROWATCH shall in its notification pursuant to Clause 3.5 inform the Subscriber that unless confirmation has been received in writing or by to the appropriate EUROWATCH representative that the Telematics Unit has been checked and is fully operational then the Subscription for the Telematics Unit will be suspended and no action will be taken by EUROWATCH in respect of any further alarm activations. After reactivation of the Subscription following a suspension, as detailed above, any further False Alarms received within the twelve (12) month period will be invoiced to the Subscriber at the rate indicated in Clause 3.5 on 15 day payment terms. Non-payment of False Alarm charges shall entitle EUROWATCH to terminate the Subscription under Clause A Subscriber may assign his Subscription to another Vehicle within any Subscription Period by giving the SVT Service Provider ten (10) days notice and upon payment of a 20 administration charge. In addition a Subscriber may assign a Subscription to the purchaser of a Vehicle by giving the SVT Service Provider ten (10) days notice (the new purchaser will be liable to pay a 20 administration charge). The SVT Service Provider will notify EUROWATCH of the assignment request. EUROWATCH is under no obligation to provide the Services to the new purchaser until the new purchaser has paid the administration charge (by credit card), provided the alternative registration information and agreed to receive the Services pursuant to this Contract. The 20 administrative charge shall also be payable for other administrative tasks such as changes to personal details. 4 TERMINATION

9 4 4.1 EUROWATCH reserves the right to suspend and/or terminate the Services for any breach of this Contract at its sole discretion and without further liability to the Subscriber. 4.2 Otherwise this Contract shall terminate if the Subscriber gives EUROWATCH at least thirty (30) days notice before the beginning of any Subscription Period. 5 WARRANTY AND LIABILITY 5.1 EUROWATCH warrants that the Services provided will materially comply with the specification set out on the Website at and will be provided with reasonable care, skill and diligence. 5.2 The provision of the Services and the Website is without prejudice to Clause 5.1 subject to the following conditions: EUROWATCH will use all reasonable efforts to make the Service available but (without limiting Condition 5.1) EUROWATCH shall not be liable if communication or location services used by the Telematics Unit such as the cellular communications or satellite positioning are adversely affected by faults and disruptions outside the control of EUROWATCH including, but not limited to, atmospheric conditions, state of the ionosphere or other causes of interference, failure or are otherwise withdrawn, or the Telematics Unit is faulty or not operable, damaged or tampered with or does not conform to national laws and regulations or insurance criteria relevant to the use of stolen automobile tracking systems and accordingly the Services are not available or possible; While EUROWATCH will use all reasonable efforts to make the Services or the Website available or operational, EUROWATCH shall not be liable in the event that the Services or the Website is unavailable or not operational for any period of time. The Website is provided on an "as is" and "as available" basis; and EUROWATCH will use all reasonable efforts to make the Services available but EUROWATCH shall not be liable if the Police in the Country in which the Incident occurs or is occurring, fail to respond to a request for assistance properly or at all. The Police have a full discretion to respond to an Incident and will be subject to other operational demands on them. Nothing in this Contract is intended to impose on or represent that the Police have any legal duty of care or entitlement to the Subscriber which greater than or different from that owed to the public at large. 5.3 The Subscriber agrees and acknowledges that, to the extent permitted by applicable law, the Services are provided without any warranty or condition, express or implied, except as specifically stated in this Contract. EUROWATCH will use reasonable efforts to maintain acceptable performance of the Services but makes absolutely no commitments, warranties or representations whatsoever, express or implied, including any implied terms as to satisfactory quality or fitness for a particular purpose. 5.4 EUROWATCH shall only be liable to the Subscriber for loss or damage caused directly and reasonably foreseeable by its breach of this Contract and EUROWATCH s liability in these circumstances is limited as set out in the remainder of this Contract. 5.5 The SVT Service Provider shall only be liable to the Subscriber for loss or damage caused directly and reasonably foreseeable by its breach of this Contract and the SVT Service Provider s liability in these circumstances is limited as set out in the remainder of this Contract. 5.6 In no event shall EUROWATCH or the SVT Service Provider, or persons who act on its behalf and/or its sub-contractors or agents, be liable for any of the following types of loss or damage arising under or in relation to this Contract (whether in contract, tort (including, without limitation, negligence) or otherwise): any loss of profits, goodwill, business, contracts, revenue or anticipated savings even if it is advised of the possibility of such damages, loss of profits, goodwill, business, contracts, revenue or anticipated savings; or any loss or corruption of data; or

10 any indirect, special or consequential loss; or any loss or damage whatsoever which does not stem directly from its breach of this Contract. 5.7 Nothing in this Contract shall limit EUROWATCH s liability resulting from its fraud or fraudulent misrepresentation, for death or personal injury resulting from either its or its subcontractor s or agent s negligence, for any liability pursuant to the implied covenants as to title contained in section 2 of the Sale of Goods Act 1979 or section 12 of the Supply of Goods and Services Act 1982 or to the extent such limitation or exclusion is not permitted by applicable law. 5.8 Nothing in this Contract shall limit the SVT Service Provider s liability resulting from its fraud or fraudulent misrepresentation, for death or personal injury resulting from either its or its subcontractor s or agent s negligence, for any liability pursuant to the implied covenants as to title contained in section 2 of the Sale of Goods Act 1979 or section 12 of the Supply of Goods and Services Act 1982 or to the extent such limitation or exclusion is not permitted by applicable law. 5.9 Without prejudice to the foregoing, in no event shall EUROWATCH s liability to the Subscriber in relation to any and all claims against EUROWATCH in the aggregate exceed the total fees paid or payable by Subscriber to the SVT Service Provider under this Contract. Without prejudice to the foregoing, in no event shall the SVT Service Provider s liability to the Subscriber in relation to any and all claims against the SVT Service Provider in the aggregate exceed the lower of 120 or the total fees paid or payable by Subscriber to the SVT Service Provider under this ContractIn the event that a Subscriber is dissatisfied with the Services or becomes aware that the Services do not conform with the terms of this Contract, the Subscriber should notify EUROWATCH in writing by letter to Martell House, University Way, Cranfield, Bedfordshire, MK43 0TR or to support@eurowatchcentral.com as soon as possible but in no circumstance more than 28 days of being aware of it.5.6 The Subscriber acknowledges that the provisions of these Terms limiting or excluding the liability of EUROWATCH are reasonable given the complex nature of the technology involved in the provision of the Service and the many other factors affecting the Service outside EUROWATCH's control The Subscriber shall at all times insure and keep the Vehicle insured with a reputable insurance company against all insurable liability relating to the Vehicle, its operation and its passenger howsoever related to the Services The Subscriber shall notify EUROWATCH or its designated agent of any change to the password relating to his Telematics Unit, of any alternative credit card details for payment as detailed in Clause 3 or of any changes to the information provided on registration with the Service. 6 INTELLECTUAL PROPERTY The Subscriber hereby acknowledges that: 6.1 Any IPR owned by EUROWATCH, whether associated or not with the Services, shall remain EUROWATCH's exclusive property; and 6.2 EUROWATCH is the proprietor of the "EUROWATCH" and the EUROWATCH symbol, trademarks and all documentation relating thereto. Any use of the IPR is specifically prohibited unless by agreement with EUROWATCH. 7 EVENTS OUTSIDE THE CONTROL OF EUROWATCH EUROWATCH does not guarantee to carry out the Services if it is prevented from doing so in circumstances beyond its reasonable control including, without limitation, the activities of civil or governmental authorities, industrial disputes, acts of God, or severe weather conditions. EUROWATCH will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under this Contract that is caused by such events. 8 WAIVER

11 6 If EUROWATCH fails, at any time while this Contract is in force, to insist that the Subscriber performs any of their obligations under the Contract, or if EUROWATCH does not exercise any of its rights or remedies under this Contract, that will not mean that EUROWATCH has waived such rights or remedies and will not mean that the Subscriber does not have to comply with those obligations. If EUROWATCH does waive a default by the Subscriber, that will not mean that EUROWATCH will automatically waive any subsequent default. No waiver by EUROWATCH of any of the terms under this Contract shall be effective unless EUROWATCH expressly says that it is a waiver in writing. 9 NOTICES 9.1 A notice given by the Subscriber to EUROWATCH under or in connection with the Contract shall be in writing either by to support@eurowatchcentral.comor by pre-paid post to Martell House, University Way, Cranfield, Bedfordshire, MK43 0TR. 9.2 A notice given by EUROWATCH to the Subscriber under or in connection with the Contract shall be in writing to the last know address provided to EUROWATCH by the Subscriber. 9.3 In the absence of earlier receipt, a notice is deemed received if acknowledgement of receipt is received or, if sent by post, three days after posting it. 10 THIRD PARTY RIGHTS Where any provision of the Contract refers to an affiliated company or licensor of EUROWATCH or the SVT Service Provider, it shall be enforceable by that company in accordance with the Contracts (Rights of Third Parties) Act 1999 (UK), but otherwise no provision in the Contract is intended for the benefit of any third party. 11 DATA PROTECTION 11.1 In using the Service the Subscriber consents to EUROWATCH processing the Subscriber s Personal Data in accordance with the terms of its Data Protection and Privacy Policy. The Subscriber acknowledges and agrees that, the Subscriber will be subject to the terms and conditions of the SVT Provider in relation to the Telematics Unit and SVT Services and that Subscriber consents to the SVT Provider processing the Subscriber s personal data in accordance with its own terms and conditions. EUROWATCH undertakes that it will not sell or rent any personal data (as defined under the Data Protection Act 1998) that Subscriber has provided to EUROWATCH to any third party for any reason EUROWATCH operates in accordance with applicable European data protection legislation, including the EU Data Directive (95/46/EC). A Subscriber has a right to ask for a copy of its information. EUROWATCH may subject to the provisions of Clause 11.1 use a Subscriber's data for administration, information and Subscriber services. A Subscriber, by agreeing to this Contract: consents to his or her information being made available during an Incident to EUROWATCH affiliates and police agencies in countries whose legislation may not provide the same level of data protection as in the Subscriber s country of residence, but EUROWATCH shall in doing so comply with its obligations pursuant to Clause 11.1 and this Clause 11.2; and may revoke the consent referred to in 11.2 above, by notice to EUROWATCH. 12 PARTIAL INVALIDITY If any provision of this Contract is held to be invalid by a court of competent jurisdiction, then the remaining provisions shall nevertheless remain in full force and effect. 13 ENTIRE AGREEMENT This Contract sets out the whole of the agreement between EUROWATCH, the SVT Service Provider and the Subscriber in relation to the Services and the use of the Website and supersedes any and all previous statements, agreements, arrangements or understanding (whether written or oral) between EUROWATCH, the SVT Service Provider and the Subscriber with regard to the Services and/or the Website. The Subscriber agrees and acknowledges that no representations were made to the Subscriber prior to its use of the Services and/or the

12 7 Website and that, in receiving the benefit of the Services and the Website, the Subscriber does not rely on, and shall have no remedy in respect of, any statement, representation, warranty or understanding of any person (whether party to these terms and conditions or not) other than expressly set out in this Contract. Without prejudice to the foregoing, the only remedy to any party for breach of this Contract shall be for breach of contract. Except as otherwise specified in this Contract, no changes or amendments to this Contract shall be binding upon EUROWATCH and the SVT Service Provider or the Subscriber until confirmed in writing by EUROWATCH, and the SVT Service Provider. 14 GOVERNING LAW This Contract is governed by the laws of England and shall be subject to the exclusive jurisdiction of the English courts.
