Part 6 General conditions Introduction These conditions and the policy schedule set out the details of the contract. As an aid to understanding, these conditions have been divided into sections. Brief notes are included at the start of each section. These notes do not form part of the contract but they will help in understanding the policy. Please read the policy carefully and keep it in a safe place. Part 1 Contract basis and definitions This section sets out the basis of the contract and also some technical terms used in these conditions. 1. Basis of the Policy The policy consists of the Policy Schedule and these Conditions and is evidence of the contract which has been issued on the basis of the assessment by Friends First Life Assurance Company Limited (Friends First) of the details provided on the Proposal Form and other information furnished verbally or otherwise, together with any medical evidence obtained from any Medical Practitioner or Consultant attended by the Insured at any time for treatment or advice We reserve the right to declare the policy void from inception in the event that we become aware of any non-disclosure or misrepresentation of any relevant personal information either at the time of proposal or at the time of and in the course of making and receiving a claim for benefit. 2. Definitions In these conditions the following words and phrases will have the following meanings: Insured The person named in the policy schedule and who is accepted by Friends First for inclusion. Proposal The Proposal signed and dated by the Insured together with any subsequent information provided by, and accepted verbally or otherwise from, the Insured or the Insureds agent. Commencement Date The Commencement Date of the Plan as set out in the policy schedule. Anniversary Date The anniversary of the Commencement Date as set out in the policy schedule. Expiry Date The Expiry Date as set out in the policy schedule. Deferred Period The first number of consecutive weeks of any period of disability as set out in the policy schedule that must expire before a claim can be paid. State Illness Benefit 52 times the weekly rate of the State Illness Benefit in Ireland for a single person (excluding any amounts relating to dependants). Premium Rate The rate of premium notified by Friends First as applicable to this Policy and as amended from time to time under Condition 7. The premium for this Plan is as set out in the policy schedule. Period of Disability A period throughout which the Insured is totally unable to carry out his Normal Occupation due to a recognised illness or accident and during which the Insured is not involved in carrying out any other occupation for profit, reward or remuneration of any kind whatsoever whether sedentary or otherwise and whether or not entirely different from his Normal Occupation. Normal Occupation The normal principal occupation of the Insured during the year immediately prior to a Period of Disability. Disability Benefit The sum insured, subject to the limits where appropriate set out in Part 3, in respect of the Insured, as set out in the policy schedule. Benefit Disability Benefit or Proportionate Benefit. Earned Income In respect of the Insured means gross earned income from his Normal Occupation less any amount allowable against income tax as expenses for the period of one year immediately prior to the commencement of the Period of Disability or such other period as Friends First may agree. The Actuary The appointed actuary of Friends First or any other actuary he appoints for the purpose of this policy. In this policy words importing the masculine gender shall, unless the contrary intention appears, also import the feminine gender. Part 2 Premiums This section describes how premiums can/should be paid and outlines the basis of rates and guarantees. 3. Payment of Premiums If premiums are payable annually, the 1 st premium is due on the Commencement Date and thereafter on the Anniversary Date each year during the term of the policy. If premiums are payable by instalments, they must be paid by direct debit at periodic intervals beginning on the Commencement Date.

2 Notwithstanding the above the onus is at all times on the Insured to ensure that premiums are paid. 4. Days of Grace Thirty days of grace from the due date of a premium are allowed for payment. 5. Waiver of premium cover Premiums due in respect of the Insured during the Deferred Period in any period of Disability must be paid. Under the terms of this benefit, all premiums will be waived during any period of disability following the expiry of the deferred period, as follows: Monthly premiums All premiums will be waived until the claim ceases. All other frequency premiums A proportion of the next premium in relation to this policy based on the length of the claim and all subsequent premiums will be waived until the claim ceases. Premiums will then recommence on the Anniversary Date following the date on which entitlement to Benefit ceases. 6. Non Payment of Premiums If any premium is not paid then the liability of Friends First will cease as at the due date of the unpaid premium other than for an Insured in respect of whom a Period of Disability has then already commenced. The liability of Friends First in respect of any such Insured will cease on the expiry of that Period of Disability. During the six months following the due date of the unpaid premium Friends First's liability may be reinstated. Reinstatement will be subject to production of evidence acceptable to Friends First of the state of health of the Insured and of any other factors affecting the risk and will be on such terms and conditions as Friends First will require, including payment of all arrears of premium together with an additional amount to be determined by Friends First. 7. Rates and Guarantees Premium rates will be level throughout the term. However, different premium rates may apply to alterations on policies. Guaranteed If the Guaranteed Premiums option is chosen, the Premium Rates for this policy are on a Guaranteed basis. This means that the premiums payable for the Disability Benefit at policy outset will be guaranteed for the term of the policy based on the Table of Rates applicable at the time the benefit was insured. Under this option, the premiums will not be amended at any time over the life of the policy, so long as the benefits remain the same. (b) Reviewable If the Reviewable Premiums option is chosen, Friends First reserve the right to review the policy on the fifth anniversary of the policy start date and every five years after that. At this review the Actuary will decide the minimum premium and benefit which will be allowed until the next review. To decide these values, the Actuary will take into account the following factors: Claims experience in preceding years; the likely future cost of such claims, (b) Expected cost of cover in future years; increased or decreased risk, (c) Expenses and interest rate changes, (d) Relevant published mortality and disability factors, (e) (f) Future investment conditions, and The potential impact of any new medical developments that have occurred or of any new diseases. If the Actuary decides that the premium is not enough to maintain the benefits until the next review, it will be possible to: reduce the level of benefits; or increase the premium. By default we will reduce your benefit. The claims experience, referred to in above, will relate to our portfolio of income protection policies and the circumstances of individual policyholders will not be taken into account. The published experience referred to in (d) may relate to experience of other companies with similar products.

3 Part 3 Benefits, exclusions, restrictions & limitations The main purpose of the Policy is to provide the Insured with an income in the event of his becoming unable to carry out his Normal Occupation. There are, however, financial limits on the maximum benefit payable and situations for which the Insured is not covered. This section describes maximum benefits, standard exclusions, restrictions and limitations. Subject to the foregoing the Plan details, including any special terms or additional restrictions are as set out in the Policy Schedule. 8. Conditions for Eligibility The only persons eligible to be included under this Policy are individuals who normally carry on business within the Republic of Ireland as at the Commencement Date of this policy. The liability of Friends First in respect of the Insured will terminate if he ceases to be eligible in accordance with the foregoing. 9. Evidence of Health and Occupation Unless Friends First has agreed otherwise, Friends First will require a form of application giving particulars of health and occupation from the Insured prior to his inclusion under the Policy and again prior to his being granted an increase in Benefit. Friends First will also have the right to require that an Insured submits himself to a medical examination and/or other tests by a medical officer appointed by Friends First. Upon receiving the required evidence of health and occupation Friends First may accept the application on standard terms or at its absolute discretion: (i) impose special conditions on the insurance (or any part thereof) or (ii) decline to accept the application. Every underwriting decision will be notified in writing to the Insured. 10. Benefit The Benefit in respect of the Insured will be determined initially on the date of his inclusion in the Policy and may change with effect from subsequent Anniversary Dates of the Policy. 11. Limitation of Benefit At the end of the Deferred Period the amount of the Disability Benefit in respect of the Insured will be as calculated below. If the total benefit so calculated exceeds 175, per annum (or such higher figure as Friends First shall declare from time to time), Disability Benefit will be limited to 175, (or such higher figure as Friends First shall declare from time to time). The Income to the Insured as set out in the policy schedule is limited where necessary so that the annualised amount of disability benefit paid to the Insured does not exceed any of the following limits: (i) 75% of earned income, less: (b) (c) the annual rate of any continuing salary, commission, pension or other income, and the annual rate of benefits payable under any other insurances against disability, and the annual amount of the current State Illness Benefit which will be taken as zero in the case of an Insured who would not qualify for State Illness payments in Ireland or equivalent benefit in other member states of the European Union, and (d) the annual equivalent amount of any compensation for loss of earnings either by virtue of a Court Award or by way of settlement in respect of a claim for loss of earnings due to the Member s disablement. Such annual equivalent amount shall be calculated by the Actuary of Friends First. (ii) 75% of the first 125,000 per annum (or such higher figure as Friends First shall declare from time to time) of Earned Income plus 33% of the amount if any by which Earned Income exceeds 125,000 per annum (or such higher figure as Friends First shall declare from time to time). The Benefit to the Insured will be restricted to an overall maximum of 175,000 per annum. This maximum limit shall increase by 3% at each policy anniversary and the figure of 125,000 mentioned above shall also be increased by 3%. The maximum benefit will also be increased by the amount of any increases allowed under Clause 11 above. Friends First will repeat this calculation whenever there is a change in the financial circumstances of the Insured. If so, it will update the Earned Income to reflect changes since the beginning of the Deferred Period in the Consumer Price Index and use revised figures for (i), (b), (c), and (d) as appropriate. Friends First will not refund any premiums if as a result of the operation of this Condition it pays less than the Disability Benefit payable under the Policy. If required, Friends First can provide practical examples of how this Condition operates. 12. Residence The Insured may travel or reside anywhere in the world but entitlement to Benefit whilst he is travelling or residing outside the member States of the European Union as at the Commencement Date will be restricted to a maximum of 13 weeks in any period of one year subject to an overall limit of 39 weeks in total. Within the European Union, Friends First reserve the right to reduce the benefit paid out on claim proportionately if the Insured resides in any country in the EU other than Ireland, by the ratio of the comparative price levels published annually by Eurostat (the Statistical Office of the European

4 Union) or another suitable or equivalent statistic if that is no longer published. In addition, Friends First will reserve the right to require that a claimant return to Ireland to undergo an independent medical examination or other assessment if this is deemed necessary by the Chief Medical Officer of Friends First during assessment of the inception or continuance of their claim. 13. HIV If at any time whilst Friends First is considering entitlement to Benefit under this Policy, the Insured is shown to be carrying or to have been carrying, a human immunodeficiency type virus or antibodies to such a virus, and the cause of the HIV infection is not as listed below, the liability of Friends First will immediately cease and no Benefit whatsoever will be payable. contact with a HIV infected medical instrument in the course of carrying out normal duties if the occupation is one of the following: Ambulance worker Dental nurse District nurse Garda / Police Officer General Practitioner Hospital caterer Paramedic Hospital cleaner Dental surgeon Fire officer Hospital nurse Hospital porter Midwife Prison officer Hospital doctor, surgeon or consultant Hospital laboratory technician Hospital laundry worker Nurse employed by a general practitioner The incident leading to the infection must have taken place after the Commencement Date of this policy. It must have been reported, investigated and documented in line with the established procedures for the facility in which it occurred. The Insured must have been tested within 7 days of the incident and shown not to have been HIV positive already. (b) a blood transfusion given as part of medical treatment in Ireland or the United Kingdom after the Commencement Date of this Policy. (c) a physical assault occurring in Ireland or the United Kingdom after the first 6 months of the Commencement Date of this Policy. The assault must have been reported to the Police within 48 hours. The Insured must have been tested within 7 days of the incident and shown not to have been HIV positive already. 14. Identifiable and Recognised Medical Cause Benefit will not be payable where an identifiable and recognised medical cause does not exist. A recognised medical cause (other than those relating to stress, anxiety, depression, mental or nervous disorders), will be deemed to exist in circumstances if it can be attributed to the existence of recognised and positive signs of a known illness, sickness, interruption, cessation or disorder of the body functions systems or organs. It must be identifiable on the basis of recognised and identifiable signs and symptoms through medical examination or clinical tests carried out by a medical officer or consultant nominated by Friends First. Symptoms of disabilities derived solely or principally from a mental or psychological state (other than disabilities directly related to stress, anxiety, depression, mental or nervous disorders) shall be deemed not to be recognised medical causes. 15. Other Exclusions Friends First will not be liable under the Policy if the Insured immediately prior to a Period of Disability is not engaged in a full-time remunerated occupation. There will be no entitlement to Benefit under the Policy if the circumstances giving rise to a claim for Benefit are either directly or indirectly attributable to (b) (c) any form of war whether declared or not, participation in a riot, insurrection or civil commotion, a wilfully self-inflicted injury or the deliberate neglect of health by failure to seek or follow medical advice. Benefit for a claim arising from the taking of alcohol or drugs (otherwise than under the direction of a Registered Medical Practitioner) will be paid for a maximum period of 24 months and only if the Insured enters and remains active in a program of treatment. Part 4 Benefits and Options attaching to your policy This section sets out what benefits in addition to Disability benefit may attach to your policy, how you know if they are attaching to your policy, and what they mean. AUTOMATIC OPTIONS (APPLYING TO ALL POLICIES): 16. Increasing the Benefit This option applies automatically to your Income Protection policy. This option is available every three years beginning on the third anniversary of the policy start date and ending on the fifteenth anniversary of the policy start date. It is possible for the Insured to increase their Income Protection benefit without providing any additional evidence of the health, job, residence or pastimes of the Insured, subject to each of the following provisions: This option is not available within five years of the policy end date. The following conditions apply to any benefit increase taken out under this option: the increase in Disability Benefit may not be more than 20% of the Disability Benefit at the commencement date of this policy;

5 The increase in Disability Benefit will apply to the lesser of: 1. the Disability benefit at the commencement date of the policy and 2. the current benefit at the date of offer the total Disability Benefit from all benefit increases or related policies must not be greater than the maximum benefit allowable under this contract the premium applying to any increase in benefit will be the same as if the Insured was to take out a new policy for the increase amount any rating or exclusion applied to the policy at inception will apply to any increase in benefit under this option. If this option is not exercised on two of the applicable anniversary dates, it will not be available again. It is not possible to increase this policy or to take out a new Income Protection policy: during a Period of Disability lasting a week or more; within six months of such a Period of Disability; or while the Insured is receiving any benefit under this policy. 17. Hospital Benefit This option applies automatically to your Income Protection policy. The Insured may be entitled to a Hospital Benefit if during any Period of Disability he has to stay in hospital for more than seven days during the Deferred Period. This benefit will be one seventh of the weekly Disability Benefit for each day he is in hospital. Friends First will pay benefit from the eighth complete day he is in hospital up to and including the earliest of: the last day the Insured is in hospital; the 91 st day the Insured is in hospital; the date the Deferred Period ends; the date the Insured dies; or the date the policy ends. The payment of the hospital benefit during the Deferred Period will not in any way influence the assessment of a claim for Disability Benefit at the end of the Deferred Period. The exclusions detailed above relating to Income Protection Benefit also apply to Hospital Cash Benefit (see Part 3 Benefits, Exclusions, Restrictions, and Limitations). OPTIONS THAT MUST BE CHOSEN AT OUTSET (THESE OPTIONS WILL BE DETAILED ON YOUR POLICY SCHEDULE IF THEY APPLY TO YOUR POLICY): 18. Indexation option Indexation option: If you have chosen this option it will be noted on your policy schedule. If this option applies, we will increase the benefit sum insured on each anniversary of the policy start date by a fixed rate of 3% per annum. We will increase your premiums on each anniversary of the policy start date by a fixed rate of 3.5% per annum. The level of benefit will not increase during payment of a successful claim as a result of these increases. The level of benefit payable will be determined at the commencement of your claim and will only increase if the Increasing Benefit during claim option is selected, as set out in your policy schedule. 19. Increasing Benefit during claim Increasing Benefit during claim option: If you have chosen this option, during any Period of Disability the Benefit will increase. The rate of increase applicable is as set out in the policy schedule. The first increase will take place on the first anniversary of the expiry of the Deferred Period and subsequent increases will be made at yearly intervals thereafter subject to any limitation under Condition 11 of these conditions, for so long as the Period of Disability continues. When the Period of Disability ceases the Benefit will revert to the level determined by Condition 11 as at the commencement of the Period of Disability, unless the indexation option was also selected, in which case, the benefit will revert to the level determined by Condition 18 of these conditions (indexation option). Part 5 Making a claim and claim payments This section sets out what should be done when making a claim and the evidence required. 20. Disability Benefit Disability Benefit will be payable from the end of the Deferred Period if, in the opinion of the Chief Medical Officer of Friends First, having regard to all of the information available, the Insured is suffering a Period of Disability. Friends First will continue to pay benefit until: (b) (c) (d) The Insured, in the opinion of Friends First, having regard to all of the information available to it, is no longer suffering a Period of Disability; the Insured dies; the Insured returns fully to his Normal Occupation or another equivalent occupation; or the Expiry Date of the policy whichever happens first. There will be no entitlement to Disability Benefit in respect of any period during which the Insured engages in a remunerative occupation although Proportionate Benefit may be payable in certain circumstances.

6 21. Proportionate Benefit The Insured may be entitled to a Proportionate Benefit in a situation where he does not qualify for Disability Benefit because: The Insured is not totally disabled by reason of sickness or accident to fully carry out his Normal Occupation and is able to do part of his Normal Occupation resulting in a loss of income; or The Insured is totally disabled from following his Normal Occupation but is doing a different occupation for profit, reward or remuneration resulting in a loss of income. Proportionate benefit may continue to be payable until: the Insured dies; the Insured returns fully to his Normal Occupation or another equivalent occupation; The Expiry Date of the policy; Friends First commences or resumes paying Disability Benefit. Friends First will calculate the amount of Proportionate Benefit by reducing the Disability Benefit, limited if necessary in accordance with Condition 11, by the proportion the new weekly income bears to Earned Income. If required, Friends First can provide practical examples of how this Condition operates. 22. Making a claim Friends First should be notified of any claim under this Policy no later than 4 weeks before the expiry of the Deferred Period. Friends First will then issue a claim form. Friends First will not be liable in respect of any period more than one month prior to the receipt by Friends First of the completed claim form. Evidence of age of the Insured satisfactory to Friends First must be produced before a claim can be admitted. If, upon production of evidence the declared age is found to be incorrect then the Sum Insured and/or the premiums applicable will be adjusted by an amount to be determined by Friends First. 23. Medical Evidence The liability of Friends First will at all times be subject to production by the Insured of such reasonable information and evidence satisfactory to Friends First as Friends First at its absolute discretion may require. This will include, as often as Friends First may require: the completion and submission by the Insured of a signed initial claim form or any subsequent claim review form which Friends First consider to be reasonable in the circumstances; the attendance of the Insured at any medical doctor, consultant, occupational therapist or other relevant professional person nominated by Friends First; reports or statements from any of those persons relating to the state of health or disability of the Insured; the undergoing of any blood test or other medically recognised process to show that the Insured is not HIV positive; or the undergoing of any tests including but not limited to, ECG, X-ray, exercise stress tests and any other tests as deemed medically appropriate in the circumstances in order to enable Friends First to assess any claim for Benefit. 24. Other Evidence and Enquiries In addition Friends First may as often as it requires carry out any enquiries considered necessary to further investigate a claim for Benefit and/or review an existing claim including, but not limited to, the following examples. It may arrange for a visit to the Insured by a Health Claims Visitor appointed by Friends First; request from the Insured a copy of his latest P60 in respect of his Normal Occupation prior to the commencement of a Period of Disability if the Insured is in PAYE employment; request from the Insured the latest notice of Assessment issued by the Revenue Commissioners together with a certified copy of the relevant accounts prior to the commencement of a Period of Disability if the Insured is self-employed; or request a report or statement from any Law Enforcement Officer or member of the Emergency Services in relation to any incident or conduct giving rise in Friends First s reasonable opinion to a Period of Disability. This list of requirements is not exhaustive and Friends First reserves the right at all times to request any additional evidence as it considers necessary to complete the full assessment and/or review of an Insured s claim. The payment of benefit is not guaranteed and will at all times be subject to regular review. The claim will at all times be assessed on the ability of the Insured to carry out his Normal Occupation. If the Normal Occupation is no longer available for the Insured to return to, it will have no impact on the continued payment of the claim. 25. Payment of Benefit Payment of Benefit in respect of the Insured will be made to the Insured by way of salary. The payment of Benefit may be suspended or ceased in the event of the Insured failing to follow the advice of, or a course of treatment recommended by, his or her own or any registered medical practitioner. Payment of Benefit will be made at calendar monthly intervals in arrears at the rate of 1 / 12th part of the Benefit for each complete month of entitlement. Payment of Benefit in respect of incomplete months

7 will be made at the rate of 1 / 365th part of the Benefit for each day of entitlement. 26. Linked Claims If the Insured suffers a relapse caused by the same injury or illness and which starts within six calendar months of the end of a period during which he was receiving Disability Benefit or a Proportionate Benefit, Benefit may recommence without the imposition of a further Deferred Period if, in the opinion of Friends First, having regard to all of the information available to it, he is suffering a Period of Disability 27. Mis-Statement and/or Non-disclosure If, in connection with any application for Individual Income Protection or with the making of any claim for Disability or Proportionate Benefit or at any time, whether or not the Insured is in receipt of Disability or Proportionate Benefit, the Insured or anyone acting on his behalf, makes an untrue statement or omits to disclose any material fact, including but not limited to the provision of evidence or information requested under Condition 21 the insurance in respect of the Insured shall be terminated immediately. All Benefit payable shall be forfeited and any Benefit paid which in any way relied on the making of the untrue statement or the omission to disclose the material fact shall be recoverable. Part 6 General Conditions This section sets out some general and legal provisions. 28. Law and currency All money payable to or by Friends First will be paid through its registered office in the currency of the Republic of Ireland. The payment or acceptance of payment by Friends First at any other place will not be deemed to waive this Condition as regards any subsequent payments. This Policy will be read and construed in accordance with the law of the Republic of Ireland. 29. Friends First s right to change Policy Conditions Friends First will have the right to vary these Policy Conditions on the Anniversary Date or on any subsequent Anniversary Date provided that written notice has been given by Friends First at least two months prior to the Anniversary Date. Any such alteration in these Policy Conditions will apply only to increases in Benefits, which take effect on or after the Anniversary Date. 30. General Instruction or notice must be given to Friends First in writing. Letters should be sent or delivered to the registered office together with any other documents or information required. Notice or instruction by way of electronic communication may be accepted purely at the discretion of Friends First Life Assurance Company. Instructions may be accepted by us other than in writing at our discretion. Such instructions will be confirmed by us in writing to the address we hold on our records at that time. Such confirmation, once posted, shall constitute a valid instruction. The failure by Friends First to insist on the strict performance of any covenant or duty of an Insured or the Employer, or to pursue any remedy available to it under these Policy Conditions or otherwise, shall not constitute a waiver or breach of that remedy. Any benefit payable under this policy is not capable of being assigned. If any action is taken which purports to assign the benefits of this policy, the policy shall immediately become invalid. This policy is a Permanent Health Insurance contract approved under the Taxes Consolidation Act 1997 (or any statutory amendment or re-enactment thereof). All benefits payable under this policy are subject to the deduction of the relevant tax unless a certificate issued by the Revenue Commissioners waiving this requirement is presented to Friends First. There shall be no entitlement by any party to inherit any benefit paid or payable under this policy. 31. Paying Premiums It is the responsibility of the Insured to ensure that all premiums are paid. The non-payment of premiums, for whatever reason, may result in a loss of benefit under this policy. Any reinstatement of cover that has lapsed as a result of non-payment of premiums is at the discretion of Friends First. Friends First may require payment of missed premiums and further evidence of health to consider a reinstatement. 32. Complaints If the Insured needs further information, or for any reason, is unhappy with either the policy or the service he has received, he should first contact his broker/advisor or local Friends First branch. If he does not receive satisfaction and wishes to make a formal complaint he should write, quoting his policy number, to the Friends First Customer Relations Manager. His complaint will then be referred to the relevant area in the organisation who will reply to him as soon as possible. If agreement cannot be reached, the complaint can be referred to the Financial Services Ombudsman s Bureau, 3 rd Floor, Lincoln House, Lincoln Place, Dublin 2. Lo-Call: All communications from Friends First, including these conditions and your policy documents will be in the English Language.
