3 Yu shall indemnify us against all liabilities, csts, expenses, damages r lsses (including any direct r indirect cnsequential lsses, lss f prfit, lss f reputatin and all interest, penalties and legal and ther prfessinal csts and expenses) suffered r incurred by us arising ut f r in cnnectin with the exercise by yu f yur rights granted under these terms f website use r any breach f these terms f website use. If yu learn f any activities which culd cnstitute an infringement r threatened infringement f r by ur site and/r any materials which can be accessed and/r dwnladed n r frm ur site (including but nt limited t the Materials), yu shall frthwith and withut delay ntify us giving full particulars f such circumstances and yu shall make n cmment r admissin t any third party in respect f such circumstances. In any infringement prceedings which are brught by us, we shall be entitled t receive and retain all amunts awarded r secured by way f settlement r damages, prfits r therwise in cnnectin with such claims. 6. Yu hereby acknwledge that the Materials are the prperty f Tracerc Limited and shall indicate that the Materials are the prperty f Tracerc Limited by accmpanying the Materials with wrding and clear marking which identifies that the Materials belng t Tracerc Limited. Yu shall nt at any time apply anywhere in the wrld t register any r all f the Materials (r parts theref) including but nt limited t the designs and trade marks cntained in the Materials and/r anything which is cnfusingly similar and/r likely t cause cnfusin with the same. Yu shall nt use any wrds used in ur trade marks (r any wrds cnfusingly similar t ur trade marks) as part f any crprate business r trading name r style. Yu shall nt register any dmain name which includes wrds used in ur trade marks, except where instructs yu t register any dmain name due t lcal legal restrictins n the wnership f dmain names r fr any ther reasn. Yu shall hld any such dmain name n trust fr Tracerc Limited and shall upn expiry r terminatin f ur Distributin Agreement (r earlier upn Tracerc Limited's written request) prmptly transfer any such dmain registratin t Tracerc Limited r cancel it, at Tracerc Limited's ptin. We may update ur Materials frm time t time by mdifying r remving pre-existing Materials r adding new Materials. Yu will check ur site regularly and ensure that yu are using the mst up-t-date Materials available n ur site. Within ne mnth f us taking dwn such Materials frm ur site, yu will immediately cease use f and destry any cpies f thse Materials. Yu must cmply with any ther guidelines in relatin t the Materials as issued by Tracerc Limited frm time t time. Fr the purpses f this legal ntice, any use f any r all f the Materials and/r ur site ther than in accrdance with these terms f website use is prhibited. If yu breach any f the terms in this legal ntice, yur permissin t use ur site autmatically terminates and yu must immediately destry any dwnladed r printed Materials and/r any ther printuts r dwnlads frm ur site.
