We shall not be liable for any cost, claim, expense, loss or damage whatsoever, including, without limitation, direct, indirect or consequential damage, loss of income or profit or loss of bargain, damage to property and claims of third parties, arising from any action, or refraining from action occurring, in reliance in whole or in part upon or in response to any information provided. We are only liable in case of gross negligence or bad intent. 3. We do not vouch for availability of any offer. Unless a different commission level is set in the property offer s information sheet or has been agreed in writing, a commission to be paid to the German agent by the buyer upon purchase is 6% + 19% VAT of the total sales price. For the avoidance of misunderstanding, the German agent, identified in the notarized purchase contract, is the local agent contracted to sell the property. This commission is due and payable at the time of signing the notarized purchase contract. Transfer tax, notary and court/land registry fees are in case of a purchase payable exclusively by the buyer. 5. The commission is due also in case of the purchase being made by a company or private person or professional advisor in any way related, associated, or linked to the recipient of the property offer s information. The recipient is in such case liable to pay the commission. 6. In case of concluding a purchase contract for any of our property offers you are to immediately notify us in writing and inform us of the contract 4

5 conditions; we will in turn notify and inform the German agent. The commission is also due if the actual contract conditions differ from the conditions in our property offer, or if a transaction was achieved by another contract or through a purchase at auction. 7. Should you already know a property offered to you by ourselves you are obliged to immediately inform us; we will in turn inform the German agent. If you do not do so in writing and within 5 days of receiving our offer, you will, in case a purchase contract is concluded, be liable to pay the commission as if we were the agent cause of purchase. Should you, after receiving our property offer, receive details of this property offer from another agent or any other party, you are obliged to immediately inform them of having already received this offer from ourselves, and are obliged to refuse the services of the other party with regards to the property offer in question. 8. Details of property offers are intended solely at the recipient. By passing them on to third parties you become liable for damages to the German agent. In case a transaction is concluded as a result of one of the offers provided to you, you will be liable to pay damages to the German agent in the sum of the commission they would have received for the transaction. The right to claim further damages from you is expressly retained by the German agent. 9. The German agent s right to commission is retained should you (or the respective buyer, in case of linked purchase) withdraw from the purchase contract and should the contract be cancelled. The same applies should the transaction not be completed for any fault on your (or the respective buyer s) side, in case we have not been notified of such problem in advance and in writing. 10. The German agents are also entitled to act on behalf of the other party and to receive commission. 11. This agreement shall be subject to German law and the exclusive jurisdiction of the courts of Dresden. 12. Any changes to this agreement must be in writing. 13. Should any clause not be valid does this not invalidate the remaining clauses and such invalid clause is to be explained or replaced in a manner that comes to aid the intended result of the transaction. 5
