2 FAQs How long has Marketing Source One been in business? Since How many transfers can I get per day? As many as you want as long as your target demographics are wide enough to have enough leads. How long does each campaign last? The campaign must be completed within 30 days of your campaign going live. All remaining transfers not taken within 30 days are forfeited. How much time should I dedicate to the campaign to make sure I take all my transfers within 30 days? We recommend setting aside 3 x 2 hour blocks of time per week to build good momentum, so about 6 hours per week total. However, if your schedule doesn't allow this, most agents receive approximately 4 transfers per hour...so you really just need to set aside about a total 15 hours within the 30 days to receive transfers. Just make sure you adjust the speed of your campaign if the transfers are coming in too slowly for you. What is the recommended approach on talking to these prospects? Having a warm friendly voice goes a long way on the phone. If you have experience taking incoming calls, cold calling and talking with warm prospects, and you re good on the phone, just follow the script and you ll have success. If you do not have experience, and are not good on the phone, have a warm friendly person who is good on the phone pre-qualify the calls using the script and then transfer the best ones to you. Do not try to make a sale on the phone. Your goal should be to set qualified appointments. Can I stop & start my campaign online anytime? Yes, between 9am-9pm in all time zones. Is my reporting available online? Yes, in real time 24/7 (except during server maintenance) Are these phone numbers washed against the do not call list? Yes, they are scrubbed against the current DNC. Does the person receiving the call have an option to remove himself from the call automatically before I speak with them? Yes, the prospect has 3 options: Pressing 1 to be transferred live to you, pressing 8 to be removed from the list, and the prospect can hang-up anytime during the 30 second recorded message. What should I do if the person complains about receiving the call? Tell them you will add them to the no call list, take their number and input it into the DNC section on the website. Will the campaign send me calls while I am talking to a transfer? The campaign will pause dialing while a transfer is active but it will not hand up on calls in progress. Note: There are numerous calls being made at the same time, and there is a possibility that one of the calls in progress could get transferred while you are on the line with another prospect. To reduce the possibility of this happening, we recommend you lower the number of phone lines being used to make dials. Most agents prefer lines but you need to find the speed that is right for you.

3 Is there a guarantee? Any transfer in which you follow the provided script in a professional manner and during the first minute of the recording the caller asks to be removed from the list (or for you to stop calling them) you may submit for a replacement credit during the 24 hours following the transfer by ing support@heritageagent.com in the following format: subject should read "Credit Request", and the should include the phone number of the caller, the date and time of the call. We will listen to the call in question and reply within 2 days or less and credit your account once a week if the credit request is valid. Hang ups are not valid for credit as there are many unverifiable reasons prospects hang up and you may also call them back. Missed calls are not valid for credit as you may control the speed of your campaign through our web interface. Calls must be taken on a hard wired land line to qualify for replacement, calls taken on cell phones, magic jack, Skype and the like to not qualify for replacement. Here s what qualifies for credit: Calls taken on a land line. You must stay on script for at least the first minute in a professional, courteous tone. Prospect asks to be taken off list, or makes it very clear they are not interested. ALL REQUESTS FOR CREDIT MUST BE MADE WITHIN 24 HOURS OF CALL TO QUALIFY Here s what does not qualify for credit: Calls not taken on a land line. Going off script during the first minute. Hang-ups. Voice Messages. What if I miss a call? Call the prospect back as soon as possible. Missed calls are not valid for credit as you may control the speed of your campaign through our web interface. Do I get credit if the prospect hangs-up? If a prospect is transferred to you and hangs-up, that transfer is not credited. There are several reasons that a prospect might hang up before you answer the phone including: you took too long to answer (too many rings), the provided script wasn't followed, the tone of voice used by the person answering the call didn't sound friendly to the prospects, etc. You can always call back a "hang up" as they did press 1. These calls are not credited. Can I take incoming calls on my cell, magic jack, Skype and the like? Calls must be taken on a hard wired land line to qualify for replacement, calls taken on cell phones, magic jack, Skype and the like to not qualify for replacement. How long does it take to get setup? 3 business days or less from the time your order is placed & paid for. Why should I buy a list in addition to purchasing the leads? These lists retail for 5 cents per record ($ 500 per 10,000), they can be used for direct mail and direct telemarketing for Living Trusts or other products and services you provide. Additionally, if you have the leads they can be imported into a customer relationship management (CRM) software and when you receive a transfer, you can look up the prospect's record by phone number. Please note that if you use them for telemarketing, they must be DNC scrubbed again once every 30 days.

4 What do I need to know to be successful with Live Transfers? 1. Have a dedicated landline. A solid connection makes a better first impression, and prevents other incoming calls while you are in the process of taking live transfers. Plus, you can only get credit while you are on a landline. You do not need an outbound calling plan, just an inbound calling plan. 2. Stay on script. Professionals use scripts, amateurs don t. Plus, you will not get credit for a call if you do not stay on script. 3. Have an office outside your home. Clients may feel more confident meeting you in a professional atmosphere instead of meeting at a Starbucks. 4. Be available to see the client. If you have a full-time job and your hours of availability are limited to see prospects, Live Transfers may not be a good investment. 5. Be good on the phone. If you have not purchased leads in the past, have never talked to warm prospects on the phone, and you have a poor phone voice, chances are you probably will not be successful. If you are not good on the phone, consider having someone in your office take the incoming calls, or hire someone who is good on the phone to take your calls and forward you the hot prospects. Or practice. 6. Practice. Even if you are good on the phone, learn the script and have your spouse, your partner, and your friends practice with you on the phone. Make your mistakes here where they do not cost you money. Do not practice with the live transfer calls. 7. Know how to manage your campaign. Besides learning the script and getting good on the phone, spend time learning to navigate the live lead campaign manager. You control when to turn on or turn off your campaign. 8. Use your time wisely. Set-up your campaign to make calls the hours that is best to get live people, and not answering machines. Making calls at 5:00 PM on a Friday may not the best the use of your time. Adjust your campaign hours, days, and number of lines to maximize your success. 9. Set realistic expectations. The live transfers are opportunities, not guaranteed closed sales. 10. Learn from your mistakes. If you have a good phone voice, and stay on script, over time you will find success. However, not all calls will go the way you d like. All the calls are recorded and housed for one week, so that you can go back and learn from your mistakes. You are welcome to download the recordings during this time. 11. Follow-up. A Harvard University study reported that it took 6 calls on average to make a sale. If the call didn t go well, follow-up until the prospect asks you to stop. 12. Do not quit. 7 Terms & Conditions of Service Definitions: Company is Marketing Source One, Inc. a Delaware Corporation with its main offices at 608 S. Washington St., Suite 207, Naperville, IL "Licensee" shall be defined as Client info filled in above on page 1 of this agreement Agreement to Provide Service. The Company hereby agrees to provide self-serve Telecommunications service web access to Licensee with the understanding that Licensee will be using the telemarketing Service solely under Licensee s name and for use by the Licensee s and/or for further end-users of the Telecommunications Services and that Licensee is in full compliance with all current applicable regulatory statutes and provisions. Leads must be used within 30 days of the date client campaign training is complete. If client does not reply to requests for training to be scheduled, the 30 days will start 7 days after the original request to schedule training. This LICENSE AGREEMENT shall become effective upon its execution by Licensee and shall be deemed accepted by Licensee upon Signature by Licensee on page 1, which shall be deemed to be the date of Licensee s first use of the Service or execution of this agreement, whichever occurs first. In the event Licensee is an existing Licensee of the Company, then the Licensee s continued use of Marketing Source One s self-serve telecommunications services shall constitute its acceptance of this updated LICENSE AGREEMENT and its terms. Confidentiality Agreement. Licensee has been advised and hereby acknowledges that the Company is lessee of the proprietary computer software and switching systems designed to provide telecommunications services, including the Service (the Company Proprietary Information ), to individual and business Licensees. In the ordinary course of business during the term of this LICENSE AGREEMENT, it is recognized that the Licensee may obtain access to Company s Proprietary Information related to the Service. Licensee hereby agrees to keep confidential and not disclose to any other party (without the express written consent of the Company), any Proprietary Company Information. Additionally, Licensee agrees not to disclose to any 3rd party that it is utilizing the Company s systems without express written consent from the Company. Representation of Telemarketing Compliance. Company hereby advises Licensee, and Licensee hereby acknowledges, that the Federal Telephone Consumer Protection Act of 1992, and all revisions thereto (the TCPA ), regulates the use of telecommunications for the marketing of products and services. Licensee represents and warrants to Company that any and all actions taken by the Licensee pursuant to this LICENSE AGREEMENT shall be in full compliance with all TCPA regulations and statutes, and that Company shall have no liability whatsoever for any and all Telecommunications actions executed or performed, or caused to be executed or performed by Licensee or Licensee s end-users in connection with the selfserve website, and Licensee agrees to indemnify and hold Company harmless herein. Client agrees that all campaigns are nonrefundable, although transfers disputed as invalid within 24 hours of time of delivery and verified to be invalid by Licensee s guidelines via recording will be replaced. Website: The company has the right to assign Licensee to a different website should be unavailable, all of the same terms and conditions of this agreement should The Company reassign Licensee to another website. All billing shall be per Telecommunications Dialing can only occur between the hours of 9am and 9pm in each time zone or the legal hours as per the state called whichever is less. Any dialing outside of these hours must be for EMERGE NCY purposes only. Dialing within the legally allowable time restrictions and other regulatory statutes are the sole responsibility of the Licensee and its execution of self-serve Telecommunications dialing. Non-review of Telecommunications Campaigns by Company. The Company has no obligation to review the Licensee s list of call destinations, marketing parameters, caller ID settings, recorded messages or other Telecommunications -related activities. Licensee hereby agrees to assume all potential risk that may potentially result from the lack of review by the Company, and further agrees to hold the Company harmless from any potential claims for damages resulting from its Telecommunications campaigns. Possible Regulatory Call Exemptions. You may be an exempt organization, if one or more of the following is true Your organization does not engage in any "telemarketing" or telephone solicitation activities, as defined by the FTC and FCC, respectively and your organization qualifies for one or more of the specific exemptions contained in the FTC's and FCC's rules, such as only calling: To solicit charitable contributions; Consumers with whom you have an established business relationship; Consumers from whom you have received written permission to call; or Business-to-business. Login Information: Company will provide Licensee with secure, password protected Licensee-specific login details in order to utilize with appropriate web security safeguards. Licensee agrees to keep its login details confidential and restrict its use solely for its own internal use. In the event the Licensee opts to provide its logins to any other party, including the Company, in order to receive technical assistance on Licensee s Telecommunications campaigns, all campaigns and regulatory compliance shall remain the sole responsibility of the Licensee. Voice Message: Licensee will provide all recordings for its Telecommunications campaigns on Indemnification: Licensee agrees to utilize a voice message and

8 caller ID which is its own and that is honest and ethical. Licensee also agrees to not use fictitious names in its message and to accept all responsibility for the complete fulfillment of any offer made by Licensee within the stated parameters of the VB campaign offer. Licensee agrees to indemnify Company in regards to all compliance, legal and/or regulatory issues if they were to arise from as a result of this campaign. Licensee will be solely responsible for supplying lists for its campaigns and ensure each and every facet of their Telecommunications campaigns are in full compliance with all US regulatory and DNC provisions, statutes and laws. Warranty: Company and its partners make no warranty, either expressed or implied, as to the number of individuals who will actually become customers of Licensee as a result of the services provided for this campaign. In no event shall Company or its partners be liable for incidental or consequential damages, including lost revenues or profits, regardless of the theory of recovery such as negligence or breach of contract. Licensee shall hold Company and its partners harmless from and against all claims, liabilities, damages, and expenses (including attorney s fees and all costs of defense) suffered and incurred arising out of, or in any way related to, Licensee s use of Company & its partner's services. This agreement overrides and previous verbal or written agreement. Authorization to Administer Service; Lawful Usage of Service. Customer and its representatives are the only individuals who are authorized to administer the Service. Customer shall not permit any other person or entity to administer the Service and shall ensure that all authorized users comply with this Agreement, including provisions of the TCPA. Customer is solely responsible for maintaining the confidentiality of passwords for its account. Customer shall not use or permit others to use the Service in any way which violates any applicable law or regulation, including the TCPA. Company, at its sole discretion, may suspend Service or refuse to provide Service in the event Company determines the Customer s use to be in violation of this Agreement or the TCPA. Company Disclaimers. Company makes no representation or warranty that the Service will operate uninterrupted or error -free. Company makes no express or implied warranties, representations or endorsements including, but not limited to, warranties of title, non -infringement or implied warranties of merchantability or fitness for a particular purpose. No advice or information given by the Company, its employees or affiliates shall in any manner create a warranty of any kind. Indemnification by Customer. Customer agrees to protect, defend, indemnify and hold harmless the Company, its officers, directors, shareholders and employees, from and against any and all losses, claims, demands, causes of action or judgments which may be brought against the Company or any of its officers, directors, shareholders or employees, related to or arising out of the delivery of the Service pursuant to this LICENSE AGREEMENT, or related to or otherwise arising out of this LICENSE AGREEMENT. The Company may terminate this LICENSE AGREEMENT and suspend provision of the Service to Customer immediately without prior notice to Customer in the event of (1) a material breach by Customer of this LICENSE AGREEMENT, (2) Customer s unlawful use or misuse of the Service, including the TCPA, or (3) the Customer s failure to pay any charges due Company hereunder within 15 days of their initial due date. In the event Company terminates this LICENSE AGREEMENT for any of the reasons set forth in the second sentence of this Section 15(b), Company shall give written notice of such termination to Customer and the date such termination was effective, together with the reason the Service was terminated. Governing Law. The laws of the State of Delaware and of the United States of America shall govern this LICENSE AGREEMENT. In the event of a dispute concerning this LICENSE AGREEMENT or any Services provided by the Company hereunder, venue shall lie in a court of competent jurisdiction in Delaware. Any cause of action with respect to the Service must be commenced within one (1) year after the claim or cause of action or such claim or cause of action is barred. Attorneys Fees. If legal action is brought for enforcement of this LICENSE AGREEMENT or because of an alleged dispute in connection with the LICENSE AGREEMENT, the prevailing party is entitled to recover reasonable attorney s fees and related costs in addition to any other relief provided by law or equity. Notwithstanding anything is this LICENSE AGREEMENT to the contrary, in no event shall the cumulative liability of the Company under this LICENSE AGREEMENT exceed the total payments paid by the Customer to the Company hereunder. No Joint Venture, Partnership, Etc. This LICENSE AGREEMENT creates no relationship of joint ventures, partners, associates, principal and agent, attorney -in-fact or similar relationship between the parties. Neither party hereto nor any of its officers, agents or employees shall have any right or authority to assume or create any obligation of any kind, whether express or implied, on behalf of the other party. No Assignment. Neither this LICENSE AGREEMENT, nor any rights or obligations arising hereunder, shall be transferred or assigned by Customer to any third party, nor shall the controlling interest of the Customer change, without the Company s prior written consent. Sever-ability. In the event that any one or more of the provisions of this LICENSE AGREEMENT are deemed illegal or unenforceable, such determination shall not affect the enforceability of the remaining provisions hereof. Entire Agreement. This LICENSE AGREEMENT and the Service Agreement constitute the entire agreement between the Customer and Company, with respect to the Service, and the parties agree to revoke and rescind all prior agreements regarding the subject matter. Licensee hereby agrees to all of the terms and conditions outlined within this agreement.
