PracSoft License Agreement By installing, downloading, accessing or otherwise using the Application or any update Application you agree to be bound by this Agreement. If you DO NOT agree to the term Agreement DO NOT install the Application or any upgrade or supplement to the Applica Once the Application has been installed on your computer, any person subsequently op using the Application will be deemed to be a User and be subject to the terms and cond Subscription Agreement. Health Communication Network Limited of Chandos Street, St Leonards, NSW 2065 ACN (HCN) provides the PracSoft software program and all printed and electronic documentation, including any media, and instructional and operational manuals covering its use together with updates (the Application), on the terms set out in this Agreement. The User assumes responsibility for the selection of the Application to achieve its intended results and for the installation and use of and results from the Application. 1. Licence HCN grants to User, and User accepts, a non-transferable and non-exclusive licence to use the Application, subject to the following conditions: a. User may use the Application only at the location(s) and on the number of terminals (if any) specified in the Documentation; b. Use of the Application is restricted to the number of Doctors or Administrators or other persons or positions (if any) specified in the Documentation and for the purposes of the User's medical practice only; unless otherwise specified in the Documentation the Application cannot be used under this Agreement in a hospital environment; c. User cannot grant sub-licences of the Application; d. User has no right to adapt, modify, disassemble or reverse engineer the Application nor may User make any copies of the Application, except one (1) copy for backup purposes; e. Use is in accordance with any user identification and password requirements stipulated by HCN; and HCN has received payment in full of the Subscription Fee. 2. Support Services Provided User complies with its obligations under this Agreement, and subject to clauses 2.4 and 8, HCN agrees to provide the Support Services for the Subscription Period: 2.1 Availability of Support a. Support Services will be provided by HCN during the hours published by it from time to time as the Support Services Hours for the Application. b. HCN may provide emergency Support Services outside the hours specified pursuant to clause 2.1(a) at its sole discretion. Such emergency Support Services may require User to pay an additional charge to HCN. 2.2 Provision of Support a. Where HCN is required to provide Support Services to User, these services will, at the sole option of HCN, take the form of either telephone advice or error correction by means of modem in accordance with HCNs then current procedures governing the performance of such services. b. HCN will only provide Support Services to User at the User's location if: i. in HCNs sole discretion the nature of the problem requires it; and

User pays a time-charge for HCNs personnel in transit and on location as well as reasonable travel and accommodation costs of such personnel. 2.3 User's Obligations in relation to the Support Services a. Where User requests Support Services involving alleged errors or defects in the Application, User must provide to HCN a documented example of the alleged error or defect; b. User will, if requested by HCN, provide to HCN a listing of output and any other data HCN reasonably requires in order to reproduce operating conditions similar to those existing when any alleged error or defect in the Application was discovered by User. 2.4 Exclusions For the avoidance of doubt, the Support Services do not include: a. correction of errors or defects caused by Users' operation of the Application in a manner other than as authorised by HCN; b. correction of errors or defects caused by modification, revision, variation, translation or alteration of the Application not authorised by HCN; c. correction of errors or defects caused by the use of the Application by a person not authorised by HCN; d. correction of errors caused in whole or part by the use of software other than the Application; e. correction of errors which, in the opinion of HCN, were caused by the failure of User to provide suitably qualified and adequately trained staff to operate the Application; f. training of User's staff; g. rectification of operator errors; h. rectification of errors arising from faults in the computer hardware on which the Application is running or any device connected to that computer hardware; i. maintenance of User's computer network; j. correction of errors arising directly or indirectly out of User's failure to comply with this Agreement or any other agreement between User and HCN. 3. Application Updates Provided User complies with its obligations under this Agreement, and subject to clause 8, HCN agrees to provide to the User during the Subscription Period any Updates of the Application published by HCN from time to time, subject to the following conditions: a. Apart from an annual Update where required to comply with revisions to the fee schedules of the Health Insurance Commission, HCN does not warrant that any Updates of the Application will in fact be released during the Subscription Period. b. HCNs obligations to provide Updates relate only to the Application, and not to any hardware or third party software used in conjunction with the Application, nor to the extent the Application has been modified by User. 4. Intellectual Property Rights and Non-Disclosure 4.1 Title to the Application All intellectual property rights and other proprietary rights in or related to the Application are and remain HCNs exclusive property, whether or not specifically recognised or perfected under local applicable law and User must not do anything that jeopardies HCNs proprietary rights. Subject to the licence set out above, no licence, right or interest in any of HCNs trade marks,

4 Page 4 of 186 service marks or trade names is granted to User under this Agreement. User agrees that HCN retains title to any modifications to the Application made by HCN at the request of User and that HCN may provide such modifications to its other customers. 4.2 Copyright and Trademarks User agrees not to remove, deface or destroy any copyright notice, patent notice, trademark, service mark, other proprietary markings or confidential legends placed on or within the Application. 4.3 Non-Disclosure User acknowledges that the Application is confidential in nature and constitutes a trade secret belonging to HCN. User agrees to hold it in trust and not to sell, rent, licence, distribute, transfer, or, directly or indirectly, disclose or permit the sale, rental, licensing, distribution, transfer or disclosure of the Application or its contents to any other party at any time. User agrees that any disclosure of the Application to a third party in contravention of this clause constitutes a material breach of this Agreement, and that in such a case, the licence granted by this Agreement terminates and User shall be strictly liable for all loss or damage to HCN that result from such disclosure. 5. User's Obligations 5.1 Payment of Subscription and other fees In consideration for the licence granted to User under this Agreement, User shall pay HCN the Subscription Fee as specified in the Documentation. Unless otherwise specified in the Documentation the Subscription Fee does not include any freight or insurance, sales tax, customs duty, consumption tax, goods and services tax, value added tax or similar tax, all of which the User must pay in addition to the Subscription Fee if assessed on the Application or its use. User agrees to pay any fees specified in the Documentation for services other than Support Services, including training and installation services. 5.2 Other Obligations a. User must provide all reasonable assistance to HCN in performing its obligations under this Agreement (including the provision of the Support Services), including without limitation ensuring that HCNs personnel are provided with all information, facilities, assistance and access (to premises and equipment) reasonably required to enable HCN to comply with its obligations under this Agreement. In this respect User acknowledges that if it does not provide HCN with remote access to User's network, HCN will not be able to provide as extensive a range of Support Services as if remote access were available. b. User shall be exclusively responsible for the supervision, management, and control of its use of the Application, including, but not limited to: i. maintaining proper configuration of the equipment or devices on which the Application is used; ii. iii. iv. maintaining the integrity of the data and databases used with the Application; establishing adequate operating methods; and implementing procedures sufficient to satisfy its obligations for security under this Agreement, including appropriate action between it and its employees to prevent misuse, unauthorized copying, modification, or disclosure of the Application. 6. Installation Services 6.1 HCNs Obligations Where a fee is specified for Installation Services in the Documentation, HCN agrees to use its best endeavours to install the Application onto the User's computer equipment at the location(s) specified in the Documentation provided that User complies with its obligations in clause 6.2.

5 Page 5 of User's Obligations a. In consideration for the services specified in clause 6.1, User agrees to pay or cause payment to HCN of the fee(s) in the amount(s) specified for Installation Services in the Documentation plus a travelling time-charge and reasonable travel and accommodation costs for HCNs personnel involved in the installation. These amounts are to be paid at the time(s) specified at in the Documentation or as otherwise agreed. b. User must prepare the computer equipment at the installation location(s) specified in the Documentation in accordance with the reasonable directions of HCN and will, at its own expense, give HCN such assistance, including the provision of uninterrupted access to personnel and equipment, as HCN considers necessary or convenient to ensure satisfactory installation. 7. Training Services 7.1 HCNs Obligations HCN agrees to provide training in the use of the Application: a. for the number of Doctors and the number of Administrators (if any) specified in the Documentation; b. subject to clause 8, for the training services period specified in the Documentation; c. at the training location specified in the Documentation; d. only for the Application and not any third party software, whether used in conjunction with any HCN software applications or not. 7.2 User's Obligations a. User agrees to pay to HCN the fee(s) for the training services in the amount(s) and at the time(s) as specified in the Documentation. b. Where the training is to be provided other than on HCNs premises, User agrees to pay or cause payment to HCN of a travelling time-charge and reasonable travel and accommodation costs of HCNs personnel involved in the training. 8. Termination 8.1 Cause for Termination User will have committed an event of default, and this Agreement and the licence granted under it will terminate automatically and without further notice upon the occurrence of any of the following: a. User attempts to or does use, copy, licence or convey the Application in any manner contrary to the terms of this Agreement or in derogation of HCNs Intellectual Property Rights; b. User fails or neglects to perform or observe any of its existing or future obligations under this Agreement, including without limitation, the timely payment of any amounts due to HCN; or c. User becomes Insolvent or ceases to carry on business. 8.2 Effect of Termination User agrees that immediately upon an event described in clause 8.1, whether or not it receives notice of termination, it will immediately destroy all copies of the Application and certify that fact to HCN. User further agrees that in the event of termination through its default, all fees or charges due for the remaining term of this Agreement will immediately become due and payable. Upon termination of the licence granted under this Agreement, HCNs obligations under this Agreement will cease.

6 Page 6 of Warranties 9.1 Limited Software Warranty a. Subject to this Agreement, HCN warrants that: i. to the best of its knowledge and belief it has good title to the Application and the right and authority to grant the licence in clause 1; and ii. iii. iv. the media on which the Application is supplied is free of defects and computer software viruses at the time of supply. Subject to clause 8 and to the extent permitted by law HCN does not warrant that: the Application is error free or that all errors can or will be corrected; or v. use of the Application will be uninterrupted, timely or secure; or vi. vii. viii. ix. the Application will meet User's particular requirements or expectations, whether known to HCN or not; or the Application will function correctly on the User's particular computer equipment; or the Application will provide any function not designated in the Software Documentation; or the Application is of merchantable quality or fit for a particular purpose, whether known to HCN or not. 9.2 Limited Software Warranty Remedy HCNs liability and User's sole and exclusive remedy for any breach of the warranties in clause 9.1(a) is limited to the re-supply of the Application, or at HCNs option, a refund of the Subscription Fee. 9.3 Other Warranties Subject to clause 10, User acknowledges that the only warranties in relation to: a. any Hardware or the supply or installation thereof are those contained in the relevant manufacturer's documentation; b. any software apart from the Application or the supplies thereof are those contained in the licence from the third party supplier of that software. 10. Limitation of Liability a. In the event that this Agreement constitutes a supply of goods and services to a consumer as defined in the Trade Practices Act 1974, as amended, or relevant State legislation (the "Acts") nothing contained in this Agreement excludes, restricts or modifies in relation to this Agreement and the goods and services to be supplied hereunder any condition, warranty, right or remedy which pursuant to the Acts is applicable or is conferred on the User or any third party where to do so is unlawful. b. In the event of a breach by HCN of a condition, warranty or right referred to in clause 10 (a), HCNs liability for such breach shall be limited (except to the extent specifically set out in this Agreement) to: i. In the case of goods, at the option of HCN - The replacement of the goods or the supply of equivalent goods; or payment of the cost of replacing the goods or acquiring equivalent goods. ii. In the case of services - The supplying of the services again; or the payment of the cost of having the services supplied again. c. Subject to this clause, all conditions and warranties which would or might otherwise be

7 Page 7 of 186 implied in this Agreement are hereby excluded to the extent permitted by law. d. Other than as set out in clause 10(b), under no circumstances will HCN be liable for any loss, damage or injury (including without limitation any loss of profits, indirect, incidental or consequential loss, damage or injury) arising from the supply or use of the Application, or any other applications or services supplied under this Agreement, any failure by HCN to perform any obligation or observe any term of this Agreement or any loss of data suffered by the User in connection with use of the Application. Neither HCN nor User shall be liable in any circumstances whatsoever for any failure to perform any obligations to be performed by HCN or User where such failure is due to any cause beyond the reasonable control of HCN or User. 11. Third Party Content and Links within PracSoft All information, text, material, graphics, software and advertisements within PracSoft (Content) are Copyright 2002 HCN, its suppliers, sponsors and/or licensors unless expressly indicated otherwise in PracSoft. The Content is protected by Australian and international copyright and trademark laws. User must not modify, copy, reproduce, republish, frame, upload to a third party, post, transit or distribute this Content in any way except as expressly provided for within PracSoft or expressly authorised in writing by HCN or its Affiliates. a. PracSoft may contain hyperlinks and other pointers or buttons to Internet web sites operated by third parties. These linked web sites are not under the control of HCN and HCN is not responsible for the contents of any linked web site or any hyperlink contained in the linked web site. HCN provides these hyperlinks in PracSoft as a convenience for the User. Inclusion of any such link is not and should not be construed as an endorsement of the linked web site, its contents or the operator thereof by HCN or its affiliates. User links to any such web site entirely at User's own risk. b. PracSoft also contains third party advertisements (including banner and block advertisements) which may contain embedded hyperlinks or which include referral buttons to Internet web sites operated by third parties or their licensees or contractors. All third party advertising (including referral buttons and embedded hyperlinks) is paid for by the relevant third party advertisers and are not recommendations or endorsements by HCN. User should refer to the relevant advertiser for all information regarding its products and/or services. User's correspondence or business dealings with, or participation in promotions of, advertisers found in PracSoft, including payment and delivery of related goods and services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between User and such advertiser. User agrees that HCN will not be responsible for any loss or damage of any sort incurred as the result of any such dealings or as a result of the presence of such advertisers in PracSoft. c. In some cases third party advertisements will contain representations or offers by the third party advertiser which can be accepted by linking to the advertiser's Internet web site and executing the relevant transaction. Such offers are not made by HCN and the third party advertiser is solely responsible to the User for the delivery/provision of any goods or services User purchases or selects on the third party Internet web site. 12. PracSoft Disclaimer Where the Application comprises or incorporates the PracSoft program: a. User acknowledges and agrees that the contents of PracSoft do not constitute professional medical or healthcare advice, diagnosis or recommendation of treatment and are not intended to, nor should be used to, replace professional medical advice. In no circumstances should the contents of PracSoft be relied upon without independent consideration and confirmation by a qualified medical practitioner. b. HCN makes no representations or warranties with respect to any treatment, action, suitability or application of medication or preparation by any person whether in accordance with the contents of PracSoft or not. In no circumstances will HCN be liable for

8 Page 8 of 186 any direct, indirect, consequential, special, exemplary or other damages arising there from. c. While PracSoft provides alerts and warnings to interactions of certain pharmaceutical products, HCN does not represent or warrant that the list of such interactions in PracSoft is complete or comprehensive. It is the sole responsibility of any prescribing medical practitioner using PracSoft to ensure that all current product and prescription information in relation to pharmaceutical products referred to in PracSoft has been read and understood prior to the prescription of any pharmaceutical product. d. PracSoft provides alerts to interactions of certain pharmaceutical products with certain diseases as well as warnings noted in the 'Warnings, Precautions and Contraindications' section of Product Information of individual pharmaceutical company products. HCN does not represent or warrant that the data set used by PracSoft to produce these alerts and warnings is complete or comprehensive. e. These alerts and warnings are based on information provided by pharmaceutical companies and clinical sources considered to be reliable to enable users of PracSoft to exercise their own professional judgment, having regard to, among other things, a particular patient's condition and other prescribed medication, as to whether a particular pharmaceutical product should or should not be prescribed. The information in PracSoft is provided on an 'as is' basis and any alert or warning (or lack thereof) does not constitute a recommendation or advice by HCN to take or refrain from taking any course of action including, but not limited to, the prescription a particular pharmaceutical product. f. User acknowledges and agrees that messages, data, images or documents (each called a "message") sent or received utilising PracSoft's messaging facility (where messages can be sent or received by PracSoft to or from the internet and external software or systems) are sent or received at User's risk. HCN will not be liable for any loss, claim, damage or injury arising from the non-receipt of or a failure to deliver a message or if any message is incomplete, corrupted or in error. User should communicate separately with external message/data senders or recipients to verify the receipt of messages utilising the PracSoft messaging facility. 13. Drug Database HCN grants to User a non-exclusive sub-licence to use the Drug Database on the terms and conditions set out in this clause: a. User assumes responsibility for the selection of the Drug Database to achieve User's intended results and for the installation, use, and results obtained from the Drug Database. b. The Drug Database contains information intended for use in Australia only. If User uses the Drug Database outside Australia, User does so at its own risk and, to the extent permitted by law, neither HCN nor MIMS will have any liability to User or any third party for such use. c. User may: use the Drug Database solely on the same basis as User's authorised use of PracSoft a nd solely for User's own internal business purposes in Australia; copy the Drug Database into any machine readable form for backup purposes in support of User's own internal business use of the Drug Database. HCN or MIMS, however, may include mechanisms to limit or inhibit copying. d. To the extent permitted by law, User may not (nor permit any third party to): alter, merge, modify or adapt the Drug Database, including disassembling or decompiling (except as, and only to the extent, Drug Database, or any copy, in whole or in part in anyway, including disassembling or decompiling, except as expressly provided for in this sub-licence. Information necessary to achieve interoperability and security testing of the Drug Database within the meaning of the Copyright Act 1968 is available from MIMS upon request. If User does any of the prohibited acts, User's sub-licence is automatically terminated.

9 Page 9 of 186 e. User's sub-licence to use the Drug Database in accordance with theses terms and conditions lasts only while User's subscription to PracSoft is current. f. This sub-licence automatically terminates: if User's PracSoft subscription expires without renewal or is cancelled or terminated; or if User destroys the Drug Database (in which case User must also destroy all copies of the Drug Database in any form; or if User fails to comply with any term of this Agreement. In addition, HCN may terminate this sub-licence without fault by User if HCN provides User with three (3) months prior notice and if HCN does terminate this sub-licence without fault by User, HCNs sole liability to User will be to repay User the component of the PracSoft subscription relevant to the Drug Database less a reasonable amount for User's use of the Drug Database up to such termination. Upon any termination User will destroy all versions of the Drug Database, any copies of the Drug Database and any related documentation. g. MIMS warrants that, for a period of three (3) months from the date it releases each edition of the Drug Database: that edition will substantially conform to the applicable online user documentation; and that the media on which that edition is distributed is free from defects in materials and workmanship under normal use. If the Drug Database does not meet such warranties, to be extent permitted by law MIMS' sole and exclusive liability to User (and User's sole remedy) will be (at MIMS' option), the replacement of the defective edition or media at no charge, provided User returns the item with proof of ownership to MIMS within the three (3) month warranty period. If MIMS is unable to replace the defective edition or media, MIMS will refund the relevant amount of the PracSoft subscription MIMS makes no warranty or representation either express or implied, with respect to the Application, including the quality, performance, merchantability, or fitness for a particular purpose. Neither MIMS nor HCN warrants that the Drug Database will be current or error free or that its use will be uninterrupted. To the extent permitted by law the warranties, conditions, representation, terms and remedies set forth in this Agreement are exclusive and in lieu of all others, oral or written, expressed or implied. No distributor, agent or employee is authorised to make any modification or addition to this warranty. h. All intellectual property rights and other proprietary rights in or related to the Drug Database are and will remain MIMS' exclusive property, whether or not specifically recognised or perfected under local applicable law and User must not take any action that jeopardies MIMS' proprietary rights. Subject to the licence set out above, no licence, right or interest in any of MIMS' trade marks, service marks or trade names is granted to User under this Agreement. If an action is brought against User claiming that the Application infringes the intellectual property rights of a third party, MIMS will, at its own expense, defend or, at its option, settle the action and, subject to this clause, indemnify User against any loss, cost or expense (including reasonable legal fees and expenses on a solicitor client indemnity basis), demand or liability, whether direct or indirect, arising out of any such claim, but only if: (a) User notifies us promptly of any infringement, suspected infringement or alleged infringement; (b) MIMS has sole control over the defence of the claim and any negotiation for its settlement or compromise; (c) User makes no admission of liability, do not incur any legal expenses in connection with the claim except as would be reasonable in the circumstances, or agree to any compromise or settlement without MIMS' prior written consent, and take no other action that is contrary to our interests; and (d) User provides MIMS with all available information and assistance as it may reasonably require in respect of any proceedings. i. If a claim described above has been asserted, MIMS will, at its sole option and expense: (a) procure the right for User to continue using the Drug Database; or (b) replace or modify the Drug Database to eliminate the infringement while providing functionally equivalent performance; or (c) accept the return of the Drug Database and refund to User the amount being part of the PracSoft subscription referable to this sub-licence, less a reasonable amount for User's use of the Drug Database. MIMS will have no obligation to defend and indemnify User for any claims that the Drug Database infringes the intellectual property rights of a third party, to the extent that the claim results from: (a) a correction or modification of the Drug Database not provided by MIMS or HCN; (b) use of the Drug Database other than in accordance with the Documentation or this Agreement;

10 Page 10 of 186 (c) User using an out of date edition of the Drug Database; or (d) the combination of the Drug Database with other products that are not owned by MIMS (other than as contemplated by this Agreement). j. To the full extent permitted by law, the remedies contained in this clause constitute User's sole and exclusive remedies and HCNs and MIMS' entire liability under this Agreement with respect to infringement of third party intellectual property rights. k. To the fullest extent allowed under law, and subject to any terms or conditions implied by legislation which cannot be excluded, MIMS and HCN exclude all liability for breach of any other warranty or condition of any kind in respect to the Drug Database, and if such exclusion is not permitted by law, MIMS' sole liability for breach of such implied warranty or condition will be limited (at MIMS' option) to the replacement or repair of the Drug Database. To the full extent permitted by law, in no event will either MIMS or HCN be liable for any indirect, consequential or special damages or any loss of profit or goodwill in connection with or arising out of performance of the Drug Database and in no event will either HCNs or MIMS' liability to User for any claim or damage arising out of or in connection with this Agreement exceed the component of the PracSoft subscription fee referable to the Drug Database. Because databases are inherently complex and may not be completely free of errors, User is advised to make backup copies. l. You agree to indemnify, defend and hold both HCN and MIMS harmless against any claims, liabilities, proceedings, costs, losses, expenses or damages incurred by either HCN or MIMS in connection with User's use of the Drug Database or use of the Drug Database outside Australia), breach of this Agreement or any other negligent or wrongful act by User. m. User may not assign or transfer this sub-licence. User agrees to comply with all applicable laws. 14. General 14.1 Definitions In this Agreement: "Administrator" - means a person employed by or otherwise associated with User's medical practice who is not a Doctor; "AEST" - means Australian Eastern Standard Time; "Agreement" - means this agreement, and incorporates where appropriate matters referred to in any Documentation; "Application" - means the PracSoft software program in machine readable object code as well as any registration number or other means to access that program as provided by HCN and where the context admits, includes the Application Collateral and Updates to the Application; "Application Collateral" - means all printed and electronic documentation, including any media, and instructional and operational manuals covering the use of Application and provided to User by HCN in connection with the Application; "Doctor" - means a medical practitioner associated with User's medical practice; "Documentation" - means the document or documentation (if any) provided by HCN in conjunction with provision of the Application specifying, but not limited to, any one or more of: the Subscription Fee and any other fees in respect of the User's licensing of the Application and the matters referred to in clauses 1(a),(b) and (e), 5.1, 6.1, 6.2, and 7; "Drug Database" - means the MIMS Pharmaceutical Database provided by MIMS and licensed to HCN for use in PracSoft; "Hardware" - means any computer and peripheral equipment that User has agreed to purchase from or through HCN in conjunction with the licence of the Application; "Insolvent" - means, in relation to a party, that a liquidator, receiver, manager, receiver and

11 Page 11 of 186 manager, special investigator, administrator, statutory manager or similar person is appointed (whether by a Court or other persons) concerning any of the party's property, assets, business or affairs or the party assigns its property, assets, business or affairs for the benefit of its creditors; "Intellectual Property Rights" - in relation to the Application includes, both in Australia and throughout the world, any copyright, trade or service mark, design, patent, semiconductor or circuit layout right, trade, business or company name, indication of source or appellation of origin, or other proprietary right, or any right to registration of such rights; "PracSoft" - means HCNs Application known as PracSoft; "MIMS" - means Medimedia Australia Pty Limited ACN ; "Subscription Fee" - means the amount (if any) specified as such in the Documentation; "Subscription Period" - means the 12 month period set out in the Documentation; "Support Services" - means, subject to this Agreement, that HCN will use its best endeavours to assist User to resolve any problems experienced by User in relation to use of the Application; "Update" - means any new release of or supplement to the Application issued by HCN and designed to correct errors identified in the Application, comply with legislative requirements, reflect changes to Health Insurance Commission fee schedules, or add extra program features or functionality, but specifically excludes any new release of the Application designated by HCN as a new version Interpretation In this agreement, headings and boldings are for convenience only and do not affect the interpretation of this agreement and, unless the context otherwise requires: a. words importing the singular include the plural and vice versa; b. words importing a gender include any gender; c. where a word or phrase is defined in this agreement, other parts of speech and grammatical forms of that word or phrase have a corresponding meaning; d. an expression importing a natural person includes any company, partnership, joint venture, association, corporation or other body corporate and any governmental agency; e. a reference to any thing (including, but not limited to, any right) includes a part of that thing but nothing in this clause implies that performance of part of an obligation constitutes performance of the obligation; f. a reference to any statute includes all statutes varying, consolidating or replacing them, and a reference to a statute includes all regulations, proclamations, ordinances and by laws issued under that statute; g. a reference to a document includes an amendment or supplement to, or replacement or novation of, that document; h. a reference to a party to a document includes that party's successors and permitted assigns; i. no provision of this agreement will be construed adversely to a party solely on the ground that the party was responsible for the preparation of this Agreement or that provision; j. a reference to an agreement includes an undertaking, deed, agreement or legally enforceable arrangement or understanding whether or not in writing; k. a reference to a document includes any agreement in writing, or any certificate, notice, instrument or other document of any kind; and 14.3 Priority of Documents In the event of any inconsistency between the terms and conditions of the Agreement and any Schedules, the terms and conditions of the Agreement will prevail to the extent of the inconsistency.

12 Page 12 of Assignment of Agreement User shall not assign or otherwise transfer its rights under this Agreement, including the licence granted hereunder, or the Application obtained pursuant to this Agreement without the prior written consent of HCN. Any attempt to make such an assignment without HCNs consent shall be void Nonwaiver HCN and User agree that no failure to exercise, and no delay in exercising, any right, power, or privilege hereunder, on the part of either party shall operate as a waiver of any right, power, or privilege. HCN and User further agree that no single or partial exercise of any right, power, or privilege hereunder shall preclude its further exercise Severability If any part of this Agreement is adjudged by any court of competent jurisdiction to be invalid, that judgment shall not affect or nullify the remainder of this Agreement, and the effect shall be confined to the part immediately involved in the matter adjudged Governing Law The laws of New South Wales govern this Agreement, and each party irrevocably submits to the non-exclusive jurisdiction of the courts of that state Entire Agreement User acknowledges and agrees that this Agreement is the complete and exclusive statement of the mutual understanding of the parties and that it supersedes and cancels all previous written and oral agreements and communications relating to the subject matter of this Agreement Parties Bound This Agreement shall be binding on and insure to the benefit of User and HCN and their respective successors and (to the extent specified in any assignment) assigns Previous Licence Agreement The Agreement supersedes any previous licence agreement between the User and HCN in relation to the Application. Step 1 If an error message has been displayed, take note of the error details and exactly what action you were taking just prior to the error. For example which button were you clicking on? This information is important in helping us to identify your problem. Step 2 1. You may need to exit the PracSoft program and restart it. If the error persists try rebooting the computer. If your computer is acting as a server, you need to confirm with other users on your network before shutting down. If you are running Windows, it is sometimes difficult to close down. If you find this to be the case and you are having difficulty closing PracSoft, press the CTRL+ALT+DEL keys all together. You may need to repeat this sequence several times in order to fully exit all processes. If using Windows 95, 98 or ME, the Task Manager is displayed. The program that is not responding is marked. Select this program and click the End Task button. If using Windows NT, 2000, and XP select Task Manager from the Windows Security box. The program that is not responding is marked. Select this program and click the End Task button. 2. If the computer is not responding at all (mouse does not move and there is no keyboard response) then turn it off or press the RESET button. You should close down the computer completely and leave it for 10 to 20 seconds with the power off before restarting. On re-boot, Windows may check the disk for errors which may take a few minutes. Step 3 Often problems are caused by corrupted data and index files. Once you have restarted your computer, run the Data Integrity Check using PracSoft Utilities. Note: If you are running PracSoft on a network ensure that PracSoft and the Appointment

14 Page 14 of 186 Book are closed on all workstations and the server before running this utility. Step 4 Before calling Technical Support, you should also have the following information on hand: Your Customer ID number. This is assigned to the registered subscriber and appears on any invoices sent to you from PracSoft. It can also be viewed by selecting Setup Registration Details from the menu bar in PracSoft. The exact version of PracSoft you have this can be found using the previous method (above) or by clicking on Help About from the Main menu bar in PracSoft. Your computer's hardware and operating system specifications. This information can be obtained by running PracSoft Utilities and then clicking General System Report. What Service Packs (if any) have been installed? This can be found by clicking on the system icon in the Windows Control Panel. If you are using PracSoft on a network, then make sure you know which computer is the server and its Network Operating System. Is it running Windows 95, 98, ME, NT, 2000, XP, UNIX, Linux, LANtastic, System Manager or Novell NetWare or something else? If there is an Administrator password for your network, either find out what it is or make sure someone is available who can administer your server. They may need to make changes under instruction by Technical Support Staff. Version of Online Help This is version 2.1 of the Online Help. Printing the Entire Help System To print the help system: 1. Select the Print button from the main menubar. 2. Print the selected topic and/or subheadings. The documents are printed to your printer. Note: If you are having difficulties printing the complete help system, print the file in batches of 20 pages to allow the printer to complete smaller tasks. Components of the Windows Interface A number of standard controls are used by Microsoft Windows for information entry and program control. The illustration below shows the most commonly displayed controls. Basic Data Entry Techniques You are frequently required to enter data, either for storage in files or to provide information to the program. Microsoft Windows provides a number of data entry controls, for more information refer to Components of the Windows Interface. Tips on Data Entry To enter information into an edit box, begin typing. When the TAB key is pressed, the cursor moves to the next field ready for input. The SHIFT+TAB key combination moves the cursor back to the previous control or edit box. The keyboard's left and right arrows can be used to position the cursor within a edit box. Typing then inserts text at the new cursor position. The BACKSPACE key can be used to erase the letter to the immediate left of the cursor, and the DELETE key erases the letter after the cursor. If text in the edit box is highlighted, then typing overwrites that text. Getting Help for PracSoft PracSoft offers online context sensitive help from within the PracSoft program. PracSoft Help File

18 Page 18 of 186 To access PracSoft's inbuilt help system use: The F1 Key - To access context sensitive help simply press the F1 key on your keyboard at any time while you are using the program. The help system is displayed at the appropriate page depending on what you are doing at the time. Menu Bar - The Help menu is the far right item on PracSoft's menu bar (top of screen). Clicking 'Help' on the menu bar displays a drop-down list allowing you to manually select various help functions and information. Trained staff are available to assist with technical difficulties and other problems or questions relating to the PracSoft program. To start PracSoft: 1. Either double-click the icon on your desktop or click Start Programs PracSoft. 2. An initial PracSoft logo screen is displayed followed by a window prompting you to acknowledge the License Agreement. Click the I Understand button once you have read the License Agreement and wish to continue. 3. The first time you start PracSoft you are presented with a window prompting you to confirm your 'Registration and Practice details'. Once you have checked that these details are correct (changing them if required), click OK to continue. The PracSoft program will now start and by default you are presented with the Waiting Room window.
