2 Gacq" t2 On March 2, 2007 Mayor John Marks was the deciding vote that gave Honeywell a multi-million dollar smart meter contract that by-passed the Request for Proposal process. Mayor Marks' law firm at the time, as repolied on his Form 1, was Adorno and Yoss. Documents show that Adorno and Yoss represented Honeywell at the time of the vote. This complaint seeks an ethics investigation into Mayor Marks' violation of Chapter 112 of Florida Statutes. urge the Florida Ethics Commission to act swiftly to address this egregious violation of the public trust. Specifically, this complaint alleges Mayor Marks violated Section (7)(a), Florida Statutes, provides: CONFLCTNG EMPLOYMENT OR CONTRACTUAL RELATONSHP.--No public officer or employee of an agency shall have or hold any employment or contractual relationship with. any business entity or any agency which is subject to the regulation of, or is doing business, with an agency of which he is an officer or employee... ; nor shall an officer or employee of an agency have or hold any employment or contractual relationship that will create a continuing or frequently recurring conflict between his private interests and the performance of his public duties or that would impede the full and faithful discharge of his public duties. Section (7)(a) prohibits a public official from having a contractual relationship with a business entity which is doing business with his agency. The Florida Commission on Ethics, in CEO ~7-8s.. and CEO 86-37, advised that an attorney has a contractual relationship with each client of his law firm. Therefore, if the Mayor's law firm - Adorno & Yoss - was representing Honeywell, then the Mayor would have a contractual relationship with Honeywell. The attached documentation clearly shows that Adorno and Voss represented Honeywell when Mayor Marks voted to award the smart meter project to Honeywell. The documentation also shovvs that Mayor Marks was a partner of the Adorno and Voss law firm. Based on the rationale above, this complaint also alleges that Mayor Marks' smart meter vote is a clear violation of FS chapter (3)(a), which states in part: "No county. municipal, or other local public officer shall vote in an official capacity upon any measure which would inure to his or her special private gain or loss; which he or she knows would inure to the special private gain or loss of any principal by whom he or she is retained or to the parent organization or subsidiary of a corporate principal by which he or she is retained."

3 The following documents indicate that Mayor Marks' law firm Adorno & Yoss represented Honeywell when Mayor Marks voted to give Honeywell a management contract that was not put our for proposal. The contract was ultimately worth $5million. The vote took place on March 28,2007. Documents 1-5 indicate that Mayor Marks was employed by Adorno & Yoss from at least 2005 through r 7 j 1 it L 11= 1 if]' 1; J! ls.l it ~ Documents 6-14 indicate that Honeywell was an Adorno & Yoss client from at least 2006 until Documents are a public records request addressing the Honeywell conflict. Document 15 is a letter from Jim English stating that there was no conflict between any subsidiaries of Honeywell and Mayor Marks. However, nothing states there was no conflict between Honeywell and Mayor Marks. Document 19 shows that Mayor Marks uses document 15 to indicate that there was no conflict. Also, document 19 shows that then Commissioner Katz recused bimselfbecause his law firm represented Honeywell. As the documents indicate, like Commissioner Katz, Mayor Marks' law firm did represent Honeywell. Why did Mayor Marks not recuse himself? Why was this not revealed over the whole year Marks was pushing for the $50 million smart meter program? THS APPEARS TO BE A CLEAR VOLA non OF THE CONFLCT OF NTEREST STATUTES.

The trial court should have excluded from evidence prejudicial language in a letter written by an employee of Honeywell's corporate prede'cessor, the 3rd District Court of Appeal said. Stephen Guilder brought the suit in the Miami- Dade County Circuit Court, alleging Honeywell, as the successor manufacturer of Bendix brake pads, was liable for his lung cancer. n his complaint Guilder said he worked with Bendix brakes for years as an automotive hobbyist in the 1970S and early 1980s. Other defendants were narned in the suit, but Guilder settled with or dismissed all but Honeywell prior to trial. When the jury returned its $24 million award in April 2008, Guilder's attorney David Jagolinzer ofthe Ferraro Law Firm said it was the largest-ever compensatory award in Florida in an asbestos suit. Honeywell spokesman Rob Ferris said at that time: "There is no supportable evidence Mr. Guilder's disease was caused by exposure to [our] products. We "",i.llcontinue to vigorously defend our position and are confident we will ultimately prevail on appeal." The company told the appeals court the trial court should have excluded a 1960s letter from a Bendix employee to an asbestos supplier. The company said the letter was irrelevant and highly prejudicial. The appeals court found, that the letter was relevant to proving Honeywell's knowledge of asbestos in its products. However, a portion of the letter was prejudicial and should have been redacted, the panel said. The panel also found that Honeywell had the right to have other parties listed on the jury verdict form for the jurors to consider in apportioning damages. The company pleaded the fault of nonparties and provided sufficient evidence that at least two were at fault, the appeals court said. Under the principle established in Fabre v. Marin, 623 So. 2d n882 (Fla. 1993), Honeywell was entitled to have those entities listed on the jury verdict form, the panel ruled. ~ Finally, the appeals court said, Guilder's dependent children were not entitled to receive any of the $10-4 million in damages they were awarded for loss of parental consortium. The legislation allowing such a claim specifically limits such claims to negligent acts occurring on or after Oct. 1, 198 8, the court said. 14 defendants' motions for continuance, and remand the case to the trial court for further proceedings consistent with this opinion and with the Florida Rules of Civil Procedure and the Omnibus Order. The plaintiff filed a complaint on August 28, The complaint listed 54 defendants. Service on these defendants initiated on September 6, When the first emergency petition was filed in this court, not all defendants had been served. On September 16, 2005, plaintiffs counsel conducted a videotaped deposition of the plaintiff to preserve his testimony in light of his terminal illness. On October 14, 2005, the plaintiff moved to expedite the trial. On November 7, 2005, the defendants received a copy of the plaintiffs social security printout, listing several job sites not previously disclosed. On November 14, 2005, the plaintiff renewed his motion to expedite the case, attaching expert affidavits concerning his life expectancy. On December 5, 2005, the defendants received verbal notification the case wouid be set for trial on December 13, The defendants served a motion for continuance on December 7, The trial court denied the motion on December 8, t is from this order, and similar orders that followed, the defendants have filed their petitions for relief from this court. We issued a stay on December 12, Orders denying motions for continuance do not often give rise to the issuance of a writ of certiorari because they do not generally create irreparable harm. See Smith v. State, 187 So. 2d 61 (Fla. 2d DCA 1966). We therefore frequently dismiss petitions seeking relief from such orders. SSJ Mercy Health Sys., nc. v. Posey, 756 So. 2d 177, 179 (Fla. 4th DCA 2000). Occasionally, however, facts will give rise to this form of relief, but that has more often been occasioned by illness affecting the trial lawyer responsible for the case. See, e.g., Quinton v. Horvath, 690 So. 2d 755 (Fla. 3d DCA 1997); Thompson v. Gen. Motors C07p., nc., 439 So. 2d 1012 (Fla. 2d DCA 1983); Outdoor ReS071s at Orlando, nc. v. Hotz Mgmt. Co., nc., 483 So. 2d 2 (Fla. 2d DCA 1985). A writ of mandamus, however, may be issued to enforce compliance with a mandatory rule. See S. W.T. v. CA.?, 595 So. 2d 1084 (Fla. 4th DCA 1992); Fireman's Fund ns. Co. v. Weissing, 448 So. 2d 630 (Fla. 4th DCA 1984)., - 2 -

15 Florida Rule of Civil Procedure 1.440(a) provides that "[a]n action is at issue after any motions directed to the last pleading served have been disposed of or,if no such motions are served, 20 days after service of the last pleading." Subsection (b) then provides that "any party may file and serve a notice that the action is at issue and ready to be set for trial." Fla. R. Civ. P (b). That did not occur in this case.. More importantly, the rule then provides that if the court finds the action to be ready for trial, "it shall enter an order fixing a date for trial. Trial shall be set not less than 30 days. from the service of the notice for trial." Fla. R. Civ. P (c) (emphasis added). t is this provision which is mandatory. t is this provision with which the trial court failed to comply. t is this provision which causes us to issue the writ of mandamus in this case. The plaintiff argues that its Motion to Expedite Trial, filed on October 14, 2005, and its renewed Motion to Expedite Trial, filed on November 11, 2005, were tantamount to Notices for Trial and the defendants are exalting form over substance. We disagree. There is no excuse to ignore the mandatory language of Fla. R. Civ. P (c), which prevents the trial court from setting the trial in less than thirty days from service of a notice for trial. We do not adhere to the plaintiff's theory that the rules of civil procedure were meant to be broken. Additionally, the plaintiff argues the Amended Omnibus Order on Trial Setting, Discovery and Product dentification in Personal njury Asbestos Litigation automatically provides the trial schedule, thereby obviating the need for a Notice of Trial. Our review of the Omnibus Order reveals quite the opposite. First, the order provides for a case to be placed on the trial calendar only after service on all defendants. According to the record provided to us, some defendants are still not served. Second, upon receipt of a letter or notice certifying that service shall be made, the case is to be placed on the next available trial docket, but no sooner than nine (9) months after the date of the notice. This case was set for trial on eight (8) days phone notice within four months of the filing of the complaint. And third, if an individual case is expected to go to jury trial, the order requires the party to inform the court and any other parties of the trial date at least three months prior to the trial date. Needless to say, that did not occur here. While the plaintiff correctly argues the order allows the trial court to expedite a case upon good cause, it provides no excuse for non

16 compliance with either the Florida Rules of Civil Procedure or the Omnibus Order. Because the plaintiff and the trial court failed to adhere to the Florida Rules of Civil Procedure and the Omnibus Order, we grant the defendants' petitions for mandamus, quash the orders denying the defendants' motions for continuance, and issue the writ of mandamus. We are not unmindful of the plaintiffs medical condition. We therefore remand the case to the trial court for proceedings consistent with this opinion. This does not preclude the trial court from expediting proceedings as long as such expedited process complies with the Florida Rules of Civil Procedure, the Omnibus Order, and is fair to all parties. 19 REGULAR COMMSSON MEETNG Tallahassee, Florida March 28, 2007 TARGET SSUES WORKSHOP The City Commission met in regular target issues workshop session on March 28,2007, in the Commission Chamber in City Hall with Commissioners Marks, Lightsey, Katz, Gillum and Mustian present. Also present were Assistant City Manager Coe, City Attorney English and City Treasurer-Clerk Herndon,. Mayor Marks called the meeting to order at 1:19 p.m. City Manager_ Thompson reviewed the agenda, indicating that tem.1, Smar1 Metering Evaluation in Response to Energy Policy Act of 2005, had been added to the agenda. SMART METERNG tem 1, introduced by City Manager Thompson, was a staff presentation on the evaluation of the viability of advanced metering for the City's utility system and the resulting proposal that the Commission authorize the implementation of Smart Metering as part of the City's Demand Side Management (DSM) Program. The evaluation was reviewed and endorsed by the Environmental and Energy Resources Target ssue Committee. The staffs recommendation was to take the following action (as recommended by Utility Business & Customer Service): Option 1. Direct the staff to pursue the installation of smart meters for all customers, which will enable them to participate in time-based rate schedules and other demand response programs, and seek final Commission authorization based on the outcome of the vendor selection process (Option 1 as recommended by Utility Business & Customer Service [UBCS]) Option 2A. Authorize the staff to negotiate a contract with Honeywell to provide contract management services for the full deployment of a Smart Metering network and Smart Thermostats (Option 2.A as recommended by UBeS) Assistant City Manager Fernandez introduced the staff at the table, including Mr. Kevin Wailes _ General Manager of the Electric Utility, Mr. David Byrne - Director of Energy Services, Mr. Reese Goad - Director of Utility Accounting, and Ms. Cynthia Barber - Director of Utility Business & Customer. Service. He advised that staff from the City's various utilities were also in attendance. Mayor Marks noted that the City had been investigating smart metering for the past two years, initially with skepticism that had turned to enthusiasm. He stated that the Commission was interested in what this would mean for the community and wanted to make sure that the City stayed in the forefront of this issue. Mr. Goad gave a Power Point presentation on the City's completed evaluation of a smar1 metering system, noting thai Section 1252 of the Energy Policy Act of 2005 (EPAct of 2005) expanded the Public Utilities Regulatory Policies Act to require state commissions and non-jurisdictional utilities to consider five new standards, including an Advanced Metering nfrastructure (AM), which was defined as a fixed metering network allowing for the collection and distribution of intenal data for use wittl time- TARGET SSUES WORKSHOP MNUTES - MARCH PAGE 1 OF 13 b

He advised that the EPAct provided for such consideration to begin by August 2006, but the City of Tallahassee's evaluation of smart metering was we! underway by that time. Mr. Goad briefly described the City's evaluation process on the smart metering issue, including site visits, vendor presentations, updates to the Target ssue Committee, and one update to the full Commission. He reported that each month 109,500 electric, 87,000 water and 23,500 gas meters were read manually; 200 drive-by meters were read, and there were approximately 230,000 turn-on and disconnects annuahy. Me Goad gave a brief overview of the overall industry, indicating that advanced meters in service had increased from 12 million in 1996 to 70 million in He cited a general cost of $125-$150 per installed meter and JEA costs of $150-$214 per installed meter, and noted that water meters were more costly. Mr. Goad discussed the City of Tallahassee smart metering cost benchmarks projections, citing the following estimates: o o o w $8140 per gas meter, $100 per electric meter, and $ per water meter $33~36 million for a smart metering network of 220,000 meters $9 million for 25,000 smart thermostats $42-46 million for total program capital costs Mayor Marks interjected an inquiry relating to the dependability of the advanced technology for smart metering. Mr. Goad advised that smart metering was projected to be an emerging market and suggested that the City of Tallahassee could be one of the needed.proving grounds". Commissioner Gillum questioned if the smart meters could be protected from incompatible technology. Mr. Goad opined that the City could protect itself by keeping pace with emerging technology, and he briefly discussed the changing technology for the interpretation of data using cell towers. At this point, Commissioner Gillum advised that some individuals using the Jake Gaither Community Center had suggested tha the meter readers could be more accurate if they moved closer to the meters.
