2 Richard Atkinson gave a recap of the journey so far - details can be found in the record of previous meetings. Richard reiterated some key messages for participants: in essentials, unity; in non-essentials, liberty; in all things, charity this is about tomorrow, not anything that has happened in the past Recap on numbers: St Mirren pledges from 1007 fans at Dunfermline approx fans giving 20 Hearts over 8000 fans giving average of Target is Rangers fans Recap on how a CIC works details can be found in records of earlier meetings and on RangersFirst website. Question : How fast do you want to get to 20000? As fast as possible but it will depend on take up. There are key milestones along the way such as 5%. Can you transfer assets in to the CIC? Yes. There is a working party dealing with people donating shares in to the CIC. Can you offer existing shareholders (the 12%) an incentive? People can use their shares as part payment of Club 1872 membership. The working party dealing with this are looking at several options and making sure this is all set up properly as it is a complex issue. Page 2 of 6

3 Working Groups: The working groups which have been established and the volunteers leading these groups in this interim period are: Legal James Blair (Richard Atkinson will also help with this group) Admin Gail Richardson (this group deals with organisation and public content output) Shares Peter Ewart Accounts Greg Marshall (the client account is only actioned to send money to a brokerage account to buy shares) IT Will Craig (this group currently includes marketing and social media which will, over time, be likely to become stand along groups) Supporters Clubs engagement Graham Campbell (Graham Campbell is currently in Hong Kong where he will be talking to the RSC there. ) Former Players/High Net Worth Individuals Iain Martin Will we buy shares before the first General Meeting? It is possible. We don t have a brokerage account just yet but there have been suggestions that we buy 1872 shares as a symbolic gesture. We will have some shares before the general meeting as we have people who have pledged to donate shares once the process is in place. Is there a timescale for the big launch? Not yet. It is likely to be within 3-4 weeks. We need a number of things in place before we do this. The steering group will be discussing this. What is Go Cardless? Page 3 of 6

4 Go Cardless is the third party organisation who handles the Direct Debit. They hold your bank details and your direct debit guarantee is with them. You can cancel your direct debit at any time. What is happening with merchandising? Is a working party looking at that? Some designs are being looked at. Will and Alex are looking at scarves, pin badges and t- shirts. It is possible that money raised by selling merchandising could be used for advertising purposes. Direct Debit money will only be used to buy shares. Any advertising you see has been blagged or donated. Could we improve communication with members? Answer Will: If all working party leads me weekly with a summary of their activity I will ensure a weekly goes out to members. A big area we need to push is the forum. We are hoping to raise its profile by having former players do question and answers. We all need to start using the forum. Is there an administrator for the forum? Answer Will Someone has volunteered. I will let you know the name in my update. Richard thanked all attendees and closed the public meeting. Page 4 of 6

5 RangersFirst Steering Group Meeting 31 March 2014 Attendees: James Blair, Peter Ewart, Gail Richardson, Greg Marshall, Iain Martin, Will Craig, Robert Marshall - deputising for Graham Campbell. Richard Atkinson SDS Derek Miller - Volunteer for Shareholder WP Standardised minutes: All meetings to produce minutes to the same format. Action: Gail to circulate template. Disclosure: RA would like everyone to get disclosure checked. Action: Richard to progress. Code of Conduct: It would be good to have all working group leads and board members going forward, to sign up to a code of conduct. Action: Iain to produce a draft. Under 16 membership: Keen to allow under 16s to register and junior membership allowed under CIC rules. One way to ensure validity would be to say all junior members needs to be attached to an adult member. Suggestion to look at doing a junior membership pack for 5. Action: Will to get Jim and Alex to investigate the possibilities of a pack. Shares: Peter is talking to people who have offered to donate shares and shares will be transferred into the CIC once the process has been completely verified. Some discussion around the share price compared to value of shares at time of IPO and how Page 5 of 6

6 flexible we can be with people and joining options. Action: Peter and his working group to look at an additional option to the 1872 club for people with shares. AOCB: James and Greg will be the initial double signatories to the bank accounts. The CIC paperwork is with Companies House and James should be finalized this week Draft memorandum and articles already on website for members comments. Page 6 of 6
