1 Falls Lake Academy Board of Directors Meeting March 3rd, 2015 Meeting Minutes Meeting Start Time: 6:37 pm Meeting called to order by Chairman Andrew Peterson Meeting Ending Time: 10:45pm Next Scheduled BOD Meeting March 17 th, Citizen Input PTA representative (Ms Chappell) presented recommendation regarding playgound ($12k currently available for PG). Plan is to purchase equipment and have local parent(s) perform installation. Equipment costs $14k, w/installation costs exceed $20k. Ms Dinkins provided positive feedback regarding BETA club event. Mr Reece provided feedback from a mother of a student expressed appreciation regarding positive school environment (safety). Positive feedback on Newspaper article written by DrD. 2. Adoption of BOD Meeting Minutes from 2/03/2015 Motion unanimously approved to accept minutes from 2/03/15 as distributed. Motion: Vaught, Second: Nolte 3. Announcements None 4. USDA Funding, Promissory Note Title submitted on Feb 19 th to the USDA regional office. Expect approval within next 7-10 days then we can establish closing date. pg. 1

2 Work continues with Raymond James on completion of funding. Closing will occur either late March of Early April (driven by interest rate outlook). BOD reviewed $500k Promissory Note with Butner Charter School LLC. Motion unanimously approved to accept the $500k promissory note as prepared by Butner Charter School LLC. o Motion Teal Second- Tanner Motion unanimously approved to designate Andy Peterson as signer of promissory note (to be signed at closing) o Motion Teal Second- Tanner Mr Draughon from Charter Success provided a review of the Raymond James contract proposal. Mr Draughon recommended further negotiations be conducted directly by the FLA BOD officers. Proposal from RJ is a fee of $103,500 for closure of expenses for services provided. Motion unanimously approved to provide Andy Peterson authority to negotiate on behalf of FLA with Raymond James for closure of contract within an allowable expense range of $88,250 to $103,500. o Motion Teal Second- Nolte 5. Discussion of expansion approval and intentions- impact on spacing Expansion request approved by NCDPI for total enrollment up to 1300 students. Original Application enrollment 680 students. Current enrollment of FLA is 422 students. BOD discussed multiple enrollment options, the following was deemed most desirable: o 100 in 9 th grade (+40 expansion), o 80 in 8 th grade (+20) o 60 in 7 th grade (+20) o 60 in 6 th grade (+20) Dr D to assess staffing in support of proposal (Tracy and DrD to consult) DrD to evaluate moving 5 th grade back to Elementary school. 6. Lottery / Enrollment status Applicants pg. 2

3 Lottery enrollment in all grades surpasses openings. No major issues/problems to address. 7. High School Plans Topic covered in 5. Expansion Approval and 8. IB Feasibility agenda items 8. IB Feasibility Study Committee, long-range plans. DrD reviewed timeline and expense schedule associated with IB program. Recommendation is to establish a Feasibility Study Committee. New State legislation being passed will have State Government pick up testing fees (reduces expenses to parents/school). DrD to get 2 staff on IB Feasibility study and request PAC for parent participation. BOD participants to be determined at next meeting. Motion unanimously approved to form IB feasibility task force. o Motion : Nolte Second : Tanner 9. Administrative structure deferred to next meeting th grade placement: elementary vs. middle school - Dr D to provide recommendation (staffing) Board Preference to move to Elementary. 11. EC Non-Compliance report. Report submitted by NCDPI. Findings being addressed by administration. 12. EC positions postings: remainder of this year and next Motion unanimously approved to open request for additional EC staff position o Motion: Vaught Second: Cooke 13. Snow makeup days: Current YTD: weather has caused for 5 complete missed days from school along with 3 days with 2hour delays. Recommendation of using April 6 th, May 1 st, and March 26 th,. Reserve March 27 th as date to use in case another snow make-up day is required. Motion unanimously approved to use April 6 th, May 1 st and March 26 th as make-up days. Reserve March 27 th as a placeholder in case of additional school closing event. o Motion: Vaught Second: Tanner 14. Revised Calendar (as per recently-adopted GCS calendar) pg. 3

4 Granville County changed calendar. Motion unanimously approved to accept calendar as distributed by DrD. o Motion Vaught Second: Teal. 15. Fundraising requests: Yarbrough, Reif: Hoops / Jump for Heart 4 th grade OBX field trip (Wagner, McMillen): Magic Melts Scented Wax Dance (Carden): Middle School Dance April 10 th Art- Ms Korneluck Motion unanimously approved to support the listed fundraising requests ( Yarbrough/Reif, 4 th Grade OBX Field trip, Dance and Art classes. o Motion: Vaught Second : Cooke 16. March annual BOD meeting (schedule): Annual meeting to be held on March 17 th, beginning at 7:30pm (immediately following standing called BOD meeting). 17. Saturday School personnel incentives (as per FAC recommendations) FAC preference that Teachers have option to have additional PTO or get paid for effort. Tabled to next meeting. 18. Facility electrical status/issues (quote received) Request is to get a total list of Hock/Electrical issues open. Hector to test all electrical circuits and provide list of open issues. Mr Seccia provided 3 quotes for electrical services (Waco, Express, 1 st Call) Motion unanimously approved to contract with 1 st Call to address the electrical issues in the amount of $1,950 (implementation will not utilize power poles). o Motion Vaught Second- Teal 19. NC DPI FLA report card results: looking forward No discussion conducted. 20. Water Cooler request Water supply from Butner does not meet the expectation of the FLA BOD. Carolina Pure water systems has performed testing and can install and manage filtration for a rate of $135/month. pg. 4

5 Motion unanimously approved to enter agreement with Carolina Pure for water filtration at a rate of $135/month. Katrina to evaluate all budget line items to find the needed monies. o Motion Vaught Second- Tanner 21. Gym Floor - Concerns regarding wood floor (gaps/issues). Hock to replace floor over the summer. Mr Seccia to get floor replacement agreement in writing. Continued discussions to include Ms Cooke st reading: PROMOTION AND RETENTION (revised) Motion unanimously approved to accept policy into 1 st Reading o Motion Teal Second Vaught 23. Gideon request Bibles made available to kids. BOD needs further discussion. To be discussed at upcoming meeting 24. Parent concerns: Dance class/mats/studio/floor discussion. Request by parents to buy dance mats - tabled until budget approved 25. Corrinna Sammons: Crossfit training proposal insurance issues (revisited) Insurance feedback (per Andy) will not cover CrossFit efforts. Categorizes CrossFit as a dangerous fitness program. Recommendation from Insurance provider is to obtain insurance coverage elsewhere or have participants sign waivers. No decision made during the meeting. Request additional work regarding liability and participation waiver. 26. BOD membership requests tabled till next meeting 27. Staffing Motion unanimously approved to support the following staffing/coaching positions: o Stephanie Yarbrough Middle school PE o Karen Teague - Elementary PE o Eduardo Sosa - Head Coach Girls Soccer 2015 o Ms Slaughter, Ms Haddow, Ms Vaughn add to the teacher substitution list Motion: Cooke Second: Vaught 30. Finance: Expense Management BOD discussed need to oversight of all budget line items. Increased oversight due to increased number of unexpected expense requests Water filters, dance floors, musical instruments, Raymond James expenses ect... BOD needs to ensure expenses are managed to ensure a balanced budget at YE. Motion approved (5-0) to request BOD approval of any expense from the Instructional Supplies budget line item.
