1 POWER AND SIMPLICITY IN THE CLOUD Uniquely Legal CIO ROUND TABLE: The Future of Legal Content Management Introduction by James Davies, Technical Director EMEA, NetDocuments It s been two years since I moved from having responsibility for content management selection and direction in a major global law firm to driving the technical development of NetDocuments in Europe. It has been an immensely fulfilling period, being able to import my knowledge and understanding of the legal services arena into the development and evolution of NetDocuments. I know from first hand experience that law firms recognise the absolute importance of a well-functioning content management system, but at the same time I understand that there is a huge amount of frustration and concern about this sector too.

2 There s also the fact that the world has changed enormously in two years, especially from a technology standpoint. The software-as-a-service (SaaS) phenomenon has taken hold along with the consumerisation movement and the intrinsic need for mobility at all times. In addition, we know that firms have a necessary fixation on security. During my time at NetDocuments, I have realised that products and services such as ours require continual refinement, a constant re-alignment to changing customer needs, and a very fast and dynamic product development process. Delivering this through a SaaS product obviously makes this considerably easier. An essential part of this process is listening, understanding and then responding to the customers needs. It s easy to say this, but we simply have to be alert to the challenges our current and prospective customers are facing. As someone who has been in that position within a law firm up until quite recently, perhaps I can empathise more than most. But now that I am no longer working for a legal services firm, I spend a huge amount of time talking to those that still are. Two years is a long time in legal content management. For this reason, we at NetDocuments decided to assemble some senior thought leaders from the legal profession to discuss and openly debate the future of legal content management. We wanted to give these thought leaders a forum for airing their current frustrations about document and content management in the legal sector. But we were particularly interested in how content management systems could remain aligned to a modern day law firm and the direction that firms are heading over the next five to ten years. We wanted to learn more about budgetary pressures, scalability, security and regulatory demands, about agility and simplicity, and what features were absolutely fundamental to the workforce. Having recently raised US$25m, NetDocuments now has a greater ability to invest and evolve our product in line with technological advances and the demands of the modern day law firm. We wanted to get the perspectives of these thought leaders to ensure that our product development roadmap was on track. So it s with immense gratitude, that we thank the representatives from Allen & Overy, Clifford Chance, Hogan Lovells, Farrer & Co, Cripps Harries Hall, Sackers, Taylor Vinters, and Neil Cameron Consulting Group for their time and enlightening insights. While we at NetDocuments share many of the same opinions and thought processes as our friends in the legal profession, this roundtable discussion helped us to better understand the direction of legal services, the pressures that firms are having to stand up to, and ultimately how firms are expecting content management systems to drive them forward in the coming years. Legal IT thought leaders visualise the future Document and content management systems are intrinsic to most sizeable businesses, but in the legal sector they are positively fundamental. The document management system sits at the heart of most law firms. At a roundtable discussion on 19 June entitled The Future of Legal Content Management, sponsored by NetDocuments and TheKnowList, IT professionals from many of the leading City and international law firms pointed to a series of major challenges that firms are facing in the document and content management arena. Roundtable attendees identified a number of factors that are influencing the way they approach document and content management. Firms are primarily concerned with security, data storage and management, consumerisation and mobility, and mostly importantly, the expectations of clients. In this regard, clients are increasing their scrutiny of document management processes and where a firm s data is held. Distinctively legal When assessing firms and their document and content management processes, our roundtable attendees said it was vital to understand the industry s uniqueness. They indicated that document and content management is so pivotal to the profession because a high proportion of the workforce author documents or can be considered content generators. We have everyone working on the crown jewels of the firm all of the time, one participant commented. Roundtable attendees acknowledged that many content management systems are rooted in the idea that the minority of the workforce are authors and the vast majority are consumers. The legal sector is inherently different. Simplicity, agility and mobility While the legal sector may operate in a unique fashion compared to other industries, it is still subject to the same technology and business trends that other sectors are contending with. Roundtable attendees acknowledged that firms are intent on simplifying the user-experience in document management. They believe

3 that legacy document management systems are still based on a product design that is essentially outdated. It is why a number of firms have attempted to develop their own document management systems based on the Microsoft SharePoint platform. Roundtable participants recognised that internal expectations are changing as users become increasingly comfortable with and enthused by consumer products and applications. Internal pressure from lawyers to be able to work from anywhere at anytime is also influencing the way firms address the document management environment. As an example, roundtable participants pointed to the way that firms are readdressing their approach to security, because the workforce demands that it can use consumer products such as tablets and smartphones. Allied to and part of the consumer phenomenon is the ability to access and manage content across various platforms. Whether this is a PC, Mac, tablet or smartphone, firms require flexibility around the sharing of documents. It is about how we share content, one attendee commented. Roundtable participants also recognised that simpler and less feature-heavy document management systems enable firms to provide access across multiple platforms and devices and to upgrade more efficiently and smoothly. We have all over-customised at some point, one participant admitted. Office 365 and the Microsoft ecosystem As part of this agility aspect, firms recognise that for the vast majority the move towards Office 365 is an inevitable process. The creation and editing of documents is likely to become more of an online process in the near future, and document management systems are obligated to account for Office 365 s sizeable market share. Attendees were hopeful that document management systems would be sufficiently integrated with Office 365 and the Microsoft ecosystem, to further enable efficient and productive document production and management. Globalisation and scalability Another core consideration for firms content management strategies is the issue of geographic expansion. This includes consolidation and establishing new overseas offices, but also the establishment of lower cost centres for commoditised work and outsourcing centres for areas such as document production. Given these factors, there is an appreciation that the expansion of IT infrastructure, including the document management system, can be hugely problematic. The cost of establishing IT infrastructure in new offices is obviously substantial. Firms are recognising that simpler and more scalable products are increasingly attractive, given the physical challenges that they are facing. Clients expect While firms are addressing the issue of sharing documents and collaborating on documents across a geographical or even international network, they are also attempting to share content with their clients in a more sophisticated fashion. Firms are still struggling with how to manage and share content. Roundtable participants recognised that clients are demanding Dropbox and sharing type functions. For firms, extranets are still a principal way of delivering content to clients, according to roundtable attendees, but largely these are not connected to document management systems. Extranets are limiting because most of the time you are exporting out of one system and importing into another system. It is painful and clunky, one attendee remarked. Indeed, roundtable participants stressed the importance of effective content sharing with clients, intermediaries and other third parties, and are hopeful that document and content management systems will provide that ability. This is what is needed in the next generation, one participant remarked. Security and user-friendliness At the same time, the clients primary concern is of security of data. Clients now demand extensive detail on document management processes and where the data is held and backed up. They also often wish to see log files to assess threats to a firm s security. Roundtable attendees indicated that clients often look for minimum standards such as ISO27001 when assessing a firm s document management system and that many clients demand greater security measures from their law firms than they have in place themselves. Unfortunately, this has clear implications for firms efforts to foster simplicity and agility in their document management systems. Security is inimical to user friendliness, one attendee commented. While IT departments still encounter some internal resistance to the use of the cloud, particularly in relation to the hosting of data, there is an increasing recognition

4 that onsite data storage is not actually as secure as that provided by a third party. Roundtable participants acknowledged that cloud or software as a service (SaaS) vendors invest heavily in security and that a server room inside a firm s building is unlikely to be as secure as a vendor s datacentre. As a result, firms are becoming less fixated on where data lives, particularly as the greatest security risk to businesses is generally held to be security lapses by the workforce themselves. Indeed roundtable attendees were united on the point that physical and human security failures posed the greatest threat to firms. Managing and searching for data Connected to the security debate is the fact that firms management of content has become cumulatively burdensome, particularly with the immense growth of traffic. The cost of storage is now a huge expense to law firms according to the roundtable attendees. One participant revealed that their firm was holding some 325 million items of content, of which 92% was . The average is also thought to be a substantially larger piece of data than the average document. One other attendee remarked that in the last 18 months his firm had accumulated more documents in the document management system than in the previous ten years. Firms recognise that the tendency is to hold onto data, as the cost involved in keeping the data is preferable to the risk of being sued for not retaining important documents. With an ever-heightening mountain of data, firms report that search functions have become too slow and unsatisfactory. If you work out how many servers you need to search 100 million documents, then you realise that you are a small data centre as well as a law firm, one attendee commented. Merging document and content management As document and content management systems have struggled to deal with the immense increase in data, roundtable participants felt that traditional systems were becoming too disconnected from the other key tasks that law firms perform, particularly in relation to publishing content. Roundtable attendees are eager for document management systems to be more effective in publishing content to websites and to clients. Document management and content management are doing different things, but they must merge, one participant remarked. While firms recognize the importance of simplicity in document and content management, they still believe that these systems ought to offer more. We want our document management system to provide Dropbox style features and web publishing, but there is nothing that does that, one attendee complained. In essence roundtable participants are becoming frustrated by the lack of innovation and development in the document management arena. There have only been small incremental changes along the same formula, one remarked. A vision for the future Instead, firms believe that document and content management systems need to be reformulated to account for the radically changing business and technology dynamics. These systems must address the need to share content with clients in a more sophisticated and efficient fashion. Document and content management systems are expected to become more aligned to the consumerisation phenomenon, the social media revolution, and the need for constant mobility. Firms expect simple, intuitive and agile systems that have the requisite security to satisfy management as well as client requirements. These products should support Office 365 and the Microsoft ecosystem, and should have the scalability to account for geographical and global growth, including lower cost centres and document production sites. Firms have great expectations for the document and content management industry and roundtable attendees believe that the sector must do considerably more to answer their calls.

5 THE GAME CHANGER: Neil Davison, IT Director at Farrer & Co Why was it necessary for to you to re-look at your document management environment? We came to the realisation that to move forward as a business our current system wasn t cutting it. We needed a single depository, an e-file type product that could contain everything and support our way of working. We wanted to move forward and have a more intuitive product that people could work with. What were you hoping to achieve by going out to the market? We wanted to ensure that we carried out a comprehensive review. It is so easy to be a lemming and follow the Joneses. We wanted to buy something that could last for ten years, not just two or three years. Many of the legacy document management products were built 15 to 20 years ago. They were not developed with mobility in mind, working in different locations, working on tablets and being able to share documents with clients. If you take commoditisation and consumerisation, these products were not designed with that in mind. IT is changing so quickly and I don t expect those legacy products to last in the generation of technology that we are in at the moment. What were your primary considerations when making your selection? We wanted to make sure the document management system covered all the basics and frankly we were working with a board of partners and fee-earners from around the firm to ensure that this was a genuine business decision. We wanted something that was more intuitive and easy to work with, that could work with different types of documents seamlessly, with seamlessly, with drawings and plans, and be able to control and manage these various types of document that we work with. We actually ended up with an awful lot more than that. We felt that NetDocuments was the only product that delivered that, was truly intuitive, had the mobility aspect, and had the ability to share documents with clients and third parties. What influenced your decision at the end of the day? Users are influenced by the look and feel of the product. NetDocuments has the look and feel of a web browser, not a classic document management system with grey boxes and a load of lists. It is totally different. It s intuitive and user friendly. The fee-earners were enthusiastic about mobility and then there was the collaboration aspect with the ability to share documents. The other thing was simplicity. With document management systems you usually end up with a complex infrastructure with numerous servers. You have all this backend stuff that needs to be installed over several months and it s only in the final quarter of implementation that you get to the important stuff. With NetDocuments, the entire project was focused on what is important to the end-user rather than the issue of installing servers and bits of software. You have the cost savings that come as the system grows. You also have infrastructure savings in terms of time and money. How do you think firms are going to address the content management question in the coming years? I think that collaboration on documents and mobility are the key things going forward. Office 365 is the only natural step to take for firms so you need to work with a system that supports it. Collaboration and Office 365 are linked and NetDocuments has already addressed that. They seem to have a vision, and looking forward they are able to adapt the product in line with what is going on in the market. Most document management systems around these days handle documents and , they tick all the right boxes, but can they adapt to the market changes in three or four years time? A SaaS product has the ability to adapt.
