Scopeofservices 1.1 The) Contractor) agrees) to) perform) such) professional) services) as) are) set) forth) in) the) herein) Terms) of) Service) TERMS) OF) SERVICE )) to) this) Agreement.) Contractor) will) perform) such) services) with) the) standard) of) professional) care) and) skill) customarily) provided) in) the) performance) of) such) services.) FeesandExpenses 2.1 Subject)to) the) terms) of) this) Agreement,) AAS) agrees) to) pay)contractor) $ ) US) dollars)) for) services)and)deliverables)rendered)by)contractor)hereunder.)contractor)will)be)paid)per)invoice)as)an) independent)outside)contractor.) 2.2 AAS) shall) reimburse) the) following) incidental) outpofppocket) expenses,) subject) to) the) securement) of) funds)by)contractor s)respective)club)from)aas:) ) Airplane)travel)for) )persons))coach)only),)not)to)exceed)$.) ) One)rental)car)in)an)amount)not)to)exceed)$ )per)day.) ) Lodging)for) )persons))for) )nights))not)to)exceed)$150)per)night.) ) Meals)for) )persons))for) )days))not)to)exceed)$20)per)meal.) ) Other)as)follows:) 2.3 The)total)fee,)and)any)reimbursement)for)incidental)outPofPpocket)expenses)identified)above,)shall)be) payable)at)completion)of)service.)an)application)for)payment)of)fees)and)expenses,)accompanied)by) proper)documentation,)including)receipts,)shall)be)submitted)by)contractor)to)aas)upon)completion) of)work,)said)application)to)cover)and)include)all)fees)earned)and)expenses)incurred.)contractor)shall) be)deemed)to)have)waived)its)right)to)payment)for)any)fees)earned)or)expenses)incurred)if)not)included) on)the)application.)aas)reserves)the)right)to)require)reasonable)additional)supporting)documentation) from)contractor.)all)applications)for)payment)shall)be)on)forms)acceptable)to)or)approved)by)aas.) 2.4 Contractor) agrees) that) it) is) solely) responsible) for) payment) of) income,) social) security,) and) other) employment) taxes) due) to) the) proper) taxing) authorities,) and) that) neither) AAS) nor) the) College) will)

2 3. Term deduct) such) taxes) from) any) payments) to) Contractor) hereunder.) Contractor) agrees) to) indemnify,) defend,)and)hold)harmless)aas)and)the)college,)as)well)as)their)respective)governing)boards,)officers,) employees,) and) agents) from) and) against) any) and) all) costs,) losses,) damages,) liabilities,) expenses,) demands,)and)judgments,)including)court)costs)and)attorney)fees,)relating)to)the)payment)of)income,) social)security,)and)other)employment)taxes.) The) services) to) be) rendered) by) Contractor) under) this) Agreement) shall) commence) not) later) than),)and)be)completed)by),)as)per)the)dates)specified)on)terms)of)service.) Time)is)of)essence)of)this)Agreement.)This)term)may)be)extended)beyond)such)completion)date)if)AAS) agrees)to)the)extension)in)writing.) 4. Contractor scapacityandresponsibilities 4.1 It) is) expressly) understood) that) Contractor) is) a) casual) employee) and) not) the) agent,) partner,) or) a) permanent)employee)of)aas)or)the)college.)contractor)and)contractor s)workers)are)not)permanent) employees) of) AAS) or) the) College) and) are) thus) not) entitled) to) unemployment) compensation) or) any) other)employee)benefits,)whether)statutory)or)otherwise.) 4.2 Contractor) shall) not) have) the) authority) to) enter) into) any) contract) or) agreement) to) bind) AAS) or) the) College)and)shall)not)represent)to)anyone)that)Contractor)has)such)authority.) 4.3 Contractor)represents)and)warrants)that)in)performing)the)services)called)for)hereunder)Contractor)will) not)be)in)breach)of)any)agreement)with)a)third)party.) 4.4 Nothing in this Agreement prohibits Contractor from entering into agreements with other entities to provide services similar to those provided under this Agreement. Except as otherwise specified in this Agreement or the TERMS OF SERVICE, Contractor will control the manner and method in which it performs its obligations under this Agreement.) 5. ConfidentialityofInformation Contractor)agrees)to)keep)confidential)and)not)to)disclose)to)third)parties)any)information)provided)by) AAS)pursuant)to)or)learned)by)Contractor)during)the)course)of)this)Agreement)unless)Contractor)has) received) the) prior) written) consent) of) AAS) to) make) such) disclosure.) This) provision) shall) survive) expiration)and)termination)of)this)agreement.)this)obligation)of)confidentiality)does)not)extend)to)any) information)that:)1))was)in)the)possession)of)contractor)at)the)time)of)disclosure)of)aas,)directly)or) indirectly;)2))is)or)shall)become,)through)no)fault)of)contractor,)available)to)the)general)public;)or)3))is) independently) developed) an) hereafter) supplied) Contractor) by) a) third) party) without) restriction) or) disclosure.) 6. SuspensionorTerminationofContract AAS)and)the)College)each)reserve)the)right)to)suspend)indefinitely)or)terminate)the)contract)and)the) services)to)be)rendered)by)contractor)for)any)reason)upon)seven)7))days )prior)written)notice)for)any) reason)or)no)reason,)including)for)unsatisfactory)completion)of)duties.)in)the)event)of)termination)prior) to)completion)of)all)work)described)in)section)1,)the)amount)of)the)total)fee)to)be)paid)contractor)shall) be)determined)by)aas)on)the)basis)of)the)portion)of)the)total)work)actually)completed)up)to)the)time)of) such)termination.) 7. Insurance 7.1 Contractor)shall,)at)its)own)expense,)obtain)and)maintain:) Comprehensive)general)liability)insurance,)covering)bodily)injury) in)the)sum)of)not)less)than) one)million)dollars)$1,000,000))per)person)and)one)million)dollars)$1,000,000))per)occurrence)

Assignment/Delegation This) Agreement) may) not) be) assigned) or) delegated) with) the) consent) of) all) Parties.) Any) attempted) assignment)and/or)delegation)without)such)consent)shall)be)void.) 14. RepresentationsandWarranties Contractor)represents)and)warrants)the)following:)a))that)it)is)financially)solvent,)able)to)pay)its)debts) as) they) mature,) and) possessed) of) sufficient) working) capital) to) provide) the) equipment) and) goods,) complete) the) services,) and) perform) its) obligations) hereunder;) b)) that) it) is) able) to) furnish) any) of) the) plant,)tools,)materials,)supplies,)equipment,)and)labor)required)to)complete)the)services)required)and) perform)all)of)its)obligations)hereunder)and)has)sufficient)experience)and)competence)to)do)so;)c))that) it)is)authorized)to)do)business)in)massachusetts,)properly)licensed)by)all)necessary)governmental)and) public)and)quasippublic)authorities)having)jurisdiction)over)it)and)the)services,)equipment,)and)goods) required)hereunder,)and)has)or)will)obtain)all)licenses)and)permits)required)by)law;)and)d))that)it)has) familiarized)itself)with)the)local)conditions)under)which)this)agreement)is)to)be)performed.) 15. CompliancewithRules,Regulations,andInstructions Contractor)shall)follow)and)comply)with)all)rules)and)regulations)of)AAS)and)the)College,)as)well)as) the)reasonable)instructions)of)amherst)college)or)aas)personnel.)aas)and)the)college)each)reserve) the)right)to)require)the)removal)of)any)worker)they)deem)unsatisfactory)for)any)reason.) 19. SignatureProcess This)Agreement)constitutes)a)revocable)offer)by)AAS)and)the)College)to)enter)into)an)Agreement)on)the) terms) stated) herein.) This) Agreement) is) not) binding) until) countersigned) by) Contractor.)
