3 Introduction Audi of America (AoA) is pleased to announce the new Audi Dealership Employee Vehicle Program (DEVP) designed to offer Dealers a tool to reward and recognize their employee s contributions to the Audi brand and the dealership. This program offers dealership employees an affordable monthly payment, which allows them to drive an Audi and to have a hands-on experience with the Audi product they sell or service. In this document, Employee Vehicle refers to vehicles procured under this program. Dealer and Employee Benefits Dealers are encouraged to take advantage of this special offer to realize the following benefits: Greater Levels of Employee Satisfaction Increased Employee Retention and Employee Loyalty Increase in High Quality, Low Mileage CPO Vehicles AoA Pays for ½ the Cost of the CPO Enrollment Increased Product and Dealership Exposure Does Not Tie Up Cash or Credit Lines Completely Voluntary Participation 3

4 1 Terms & Conditions 1.1 Dealer Enrolment In order to participate in the Audi Dealership Employee Vehicle Program (DEVP), the Dealer must be enrolled in the Audi Dealer Service Loaner Program. If enrolled in the Dealer Service Loaner Program, Dealers can participate in this Program by signing the Audi Dealership Employee Vehicle Program Participation Agreement. Once the Dealer has formally enrolled in the Program and has agreed to the Terms and Conditions outlined in this Program Guide, the Dealer can participate. 1.2 Vehicle Eligibility These vehicles do not count toward your Business Planning Objective. They are eligible for DIP payment when the vehicle is sold to a retail customer as a Certified pre-owned Audi. Dealers agree to pay a monthly payment and to purchase the vehicles after 6 months for a pre-determined purchase price on all vehicles. Audi reserves the right to change these prices at any time, but once the Dealer submits the Vehicle Request Form, the rates stay the same, it is only on future orders that the rates may change. All vehicles will be new and unused, vehicles will be factory ordered by AoA. The lease rate includes the following: Depreciation Interest Administration (Vehicle ordering, tracking, replacement analysis, remarketing) License/ Title Fees Taxes (Applicable Local, State, Federal, Property, Excise Sales and Usage) 1.3 Vehicle Ordering To order a vehicle for the DEVP, a Dealer needs to fill out the Audi Dealership Employee Vehicle Program Vehicle Request Form and fax it to Program Headquarters at (248) or it to corporatesales@audi.com. The Vehicle Request Form accompanies this document. A Dealer cannot order a vehicle in AIM for the DEVP. All vehicles are equipped to maximize return at sale and no substitutions for equipment will be allowed Dealer can choose between 4 colors, available color choices can be found on the current Vehicle Request Form Selection of vehicles are currently limited to 6 models Dealer installed options will not be capitalized, but are allowed at the Dealer s expense Dealer orders for vehicles under this program cannot exceed the total number of personnel employed by the dealership at any one time. 1.4 Recommended Fleet Size The fleet size for each Audi Dealer is based on the number of full-time employees and should be managed in an efficient manner. The Dealer is responsible for requesting replacement vehicles in a timely manner (6 months is the total time the vehicles will be inservice). It is recommended that each vehicle be tracked in an electronic format with the date in/out, mileage in/out, employee information, and vehicle condition. An Employee/Dealer Vehicle Agreement shall be fully completed for all vehicles. These vehicles cannot be used in the Dealer Service Loaner Program. Vice versa, the Dealer Service Loaner Vehicles cannot be driven as Employee Vehicles. 1.5 Vehicle Delivery The Dealer is responsible for vehicle receipt, inspection, and pre-delivery-inspection (PDI). The Dealer can submit for PDI warranty reimbursement the same way as any other retail sale. Upon receipt of vehicle from the carrier, the Dealer is responsible for performing procedures regarding the inspection for damage, report missing items, and must complete the proper registration and title work within 2 business days. 4

5 1.6 Vehicle Registration The Dealer is responsible for completing the initial license and titling paperwork and register the vehicle according to local and state laws. A copy of the registration and employee insurance card must be located in each vehicle while the vehicle is in-service. If a current registration is not located in the vehicle, the Dealer may become responsible. 1.7 LeasePlan The Dealer will receive plating instructions along with a Draft from LeasePlan USA (to be used as reimbursement for out-of-pocket expenses) and an Appointment of Agent to complete the Initial Registration of each vehicle. AoA has partnered with LeasePlan USA, the world s second largest fleet management company and the innovative global leader in vehicle leasing and fleet management solutions. LeasePlan will be responsible for and are experts in the administration of fleet programs including vehicle specking, ordering, tracking, paperwork, and remarketing. In some states the Department of Motor Vehicles or the Secretary of State automatically sends the title to the Dealer, in those cases, the Dealer is responsible for ensuring that the Certificate of Title (the exact name on the Title for every vehicle is going to be LeasePlan USA) is forwarded to LeasePlan USA at 1165 Sanctuary Parkway, Alpharetta, GA The documentation necessary for the proper licensing and titling of DEVP vehicles should be received at the dealership on or prior to the vehicle arrival. Processing of the documents should be done in a timely manner. Dealer rental payments will begin 2 days after the vehicle delivery receipt date as reported by the carrier. The delivery date will be 2 days upon receipt of vehicle and paperwork from LeasePlan, the Dealer will be responsible for paying for the vehicle from the delivery date through 6 months thereafter. Dealers are responsible for completing the Draft from LeasePlan USA including all plating, taxes, and other charges. Other charges and expenses include, but are not limited to, titling, registration, inspection, and taxes (local, state, federal, property, sales) All documents of title, including the title and/or certificate of registration, for all Employee Vehicles shall clearly identify LeasePlan USA as the registered owner of said vehicles. Specific instructions of how each vehicle shall be titled and registered will be provided by LeasePlan USA for each vehicle in the delivery paperwork. All registrations, license plates and any other or additional such plates, permits or licenses, or any similar requirements of any governmental authority for any Employee Vehicle required to be obtained in the name of LeasePlan USA or otherwise, shall be obtained by LeasePlan USA (to the extent allowed by law), and will be included in the monthly rental payment. Dealer promises to keep each vehicle bearing valid license plated provided and agrees to provide all reasonable assistance and required documentation necessary and requested for processing such applications for registration. If necessary, each party shall provide to the other party and/or its authorized representatives such necessary authority to facilitate obtaining such items. Dealer shall comply with all federal, state, county and municipal statutes, ordinances and regulations which may be applicable to the leasing, use, insuring or operating of the vehicles and shall prepare and furnish all documents, returns or forms legally required. Dealer shall be solely responsible for any and all fines, penalties, and/or forfeitures (including, without limitation, the confiscation of any Leased Vehicle) arising out of or due to the use, operation, and maintenance or insuring of the vehicles in violation of any law, regulation, statute or similar requirement of any governmental authority during the term assigned to employee. It is up to the Dealer to extend any of these responsibilities to the participating employee. LeasePlan USA will be responsible for performing the registration renewals where applicable. 5

6 1.8 Vehicle Service and Maintenance The Dealer is responsible for keeping each vehicle clean and maintained according to the Audi recommended maintenance schedule. The Dealer is responsible to pay for any nonwarranty repairs. Failure to perform the required maintenance, body, or mechanical repairs may result in non-compliance and suspension from the Program. Vehicles that require warranty repairs or have outstanding campaigns or recalls must be performed in a timely manner and the Dealer should follow the normal procedures for submitting for warranty reimbursement. 1.9 Operating Expense The Dealer is ultimately responsible for the operating expenses of the vehicle such as: Fueling Exterior Washing Interior Cleaning Non-Warranty Repairs We recommend that the Dealer include an Excess Mileage Fee of 15 cents per mile over 7500 miles in a six-month vehicle term in each vehicle agreement to protect the Dealer from loss of value when the vehicle is ultimately sold as a Certified pre-owned vehicle to the retail customer. Dealer may extend these responsibilities to their employee under written agreement with employee. This is totally between the Dealer and the dealership employee. It is recommended that the Dealer establish a set of processes, policies and procedures to ensure that each employee s vehicle in this program is properly inspected prior to going in and out of the Employee Vehicle Program. We recommend The Dealer keep an electronic inventory tracking system and someone designated to monitor employee vehicle usage to minimize employee abuse. We recommend the Dealer monitors usage and ensure that vehicles are being maintained and utilized according to program intent. We recommend that the vehicle be operated by the eligible dealership employee only or their spouse and not by any other person to limit exposure to liability. Audi requires that an eligible employee must be a minimum of 21 years of age and can provide proof of valid operating license with no driving restrictions. Dealer shall maintain the vehicles and all accessories and equipment in good mechanical condition and running order at all times during the term of the lease, reasonable wear and tear excepted. The Dealer shall perform the scheduled maintenance, maintain properly inflated tires with at least 1/8th of their original tread at all times, and keep the odometer in good working order. Lessee and their assignee shall comply with any governmental requirements affecting the maintenance, operation or use of the vehicles, including without limitation, any changes in, additions to or safeguards therein to keep the vehicles in compliance. Any permanently affixed replacement parts, changes in or improvements to the vehicle shall become and remain the property of LeasePlan USA until such time the Dealer has completed the purchase agreement for the vehicle and LeasePlan USA has surrendered title. 6

7 2 Vehicle Payments Dealers will be charged the then current monthly payment for each vehicle in their inventory to their Open Parts Account. The current Monthly Payment can be found on the most current Audi Dealership Employee Vehicle Request Form. New vehicles in service will be charged a Per Diem/Daily Rate for days the vehicle was in service for that month. The first month s payment is due on the 1st day of the month following receipt of the vehicle and will include one full month s payment. All subsequent payments for the remainder of the lease term, (6 months), are paid, in advance, on the 1st of day of each month. For example an A4 that goes into employee service on the 12 th day of the month will be charged for 18 days of usage. Monthly Payment: $ Per Diem/Daily Rate: $ 8.30 ($249/30 days=$8.30/day) First Monthly Payment: $ ($8.30 x 18 days) Monthly Payment: $ Total First Payment: $ (1 st month per diem + 1 st full month payment) Any billing errors that occur will be either credited or debited on the following month. Any questions regarding billing concerns should be directed to the Corporate Sales Department in writing and ed to corporatesales@audi.com. Vehicles will be in-service for 6 months from the 1 st day of the month following the receipt of the vehicle. Any vehicle removed from service earlier than a full 6 months in service will be charged the balance of the remaining outstanding payments and any other fees or expenses associated with the termination of an early termed vehicle which includes but not limited to property tax, sale fees, administration fees, and plating fees. Prior to end of term, LeasePlan will provide you with an invoice and termination document for each vehicle being terminated. The Dealer agrees to provide LeasePlan the signed termination document and payment in the full amount of the invoice by the last day of the vehicle term. LeasePlan in turn will forward an executed title in the name of your dealership. If payment is not received by that date, the Dealer will be charged for the invoice on their parts statement by AoA as of the as of the 1 st day of the month following the invoice due date of the payment. In no event shall any defect in, or unfitness of, any vehicle relieve the Dealer of the obligation to pay the monthly payment for such vehicle or to make any other payments required hereunder or of any other obligation hereunder. 3 Dealer Purchase Agreement The Dealer agrees to purchase the vehicle after 6 months, for a pre-determined price (established when the Dealer requests the vehicle). The current Monthly Payments and Pre-Determined Purchase Price can be found on the most recent Audi Dealership Employee Vehicle Program Request Form. Payment is due the first day of the month following the date-out-of-service (6 months after the date-in-service). The Dealer agrees to purchase each vehicle for the Pre-Determined Price from LeasePlan. The Dealer agrees to purchase the vehicle six months after the commencement date of the vehicle. The Pre-Determined Price can be found on the current Audi Dealership Employee Vehicle Request Form. Prior to end of term, LeasePlan will provide you with an invoice and termination document for each vehicle being terminated. The Dealer agrees to provide LeasePlan the signed termination document and payment in the full amount of the invoice by the last day of the employee assigned vehicle term. LeasePlan in turn will forward an 7

8 executed title in the name of your dealership. If payment is not received by that date, the Dealer will be charged for the invoice on their parts statement by AoA as of the as of the 1st day of the month following the invoice due date of the payment. If for some reason payment has not been received within 30 days, AoA reserves the right to charge the Dealer s Open Parts Account for the full Invoice amount plus any applicable interest, depreciation, administration, tax, and/or other fees that may be incurred during that timeframe. If a vehicle is not purchased within 30 days following the out-of-service date, the Dealer may be suspended from participating in the Program. In the event of any loss, damage, theft or destruction to a vehicle, Dealer shall either repair such unit or pay the amount of any repairable damage directly to LeasePlan USA. In the case of any loss, damage beyond repair, theft or destruction, vehicle shall terminate and Dealer shall pay an amount equaling the original capitalized cost of the of the vehicle plus termination expenses; to be calculated as follows: (a) all Monthly Rentals and other amounts due and owing as of the date of termination; plus (b) the Monthly Rentals due for the balance of the month in which the vehicle is terminated; plus (c) the original Capitalized cost of the vehicle; minus (e) any insurance proceeds that may have been paid to LeasePlan USA. 4 Violations It is strongly recommended that the Dealer keep an electronic tracking system for numerous reasons and one of those reasons is to limit the Dealer s liability as it relates to violations. There are many circumstances that an Employee may have knowledge or not have knowledge of violating the law. If the Employee does not know or does not pay a ticket or violation, then the Dealer will be responsible for paying the applicable fees. Therefore it is highly recommended that the Dealer create an electronic tracking system to track Employee usage. Some example of violations and tickets include the following: Parking Tickets Camera Violations Speeding Failure to Stop Toll Road Violations 5 Vehicle Usage & Unacceptable Risks Employee Vehicles are intended to be used as Dealership Employee Vehicles only and as transportation to work. These vehicles are not to be used for hire or commercial use. The Dealer is responsible to ensure that those using an Employee Vehicle are full time employees of the dealership, have a valid driver s license, proper insurance coverage, and a rental agreement is properly completed. 5.1 Prohibited Usage Dealer shall not operate or permit the operation of the vehicles in any unintended, injurious, or unlawful manner; operate or permit the operation of the vehicles primarily for agricultural purposes; change or alter the vehicles without AoA s prior written consent. 8

9 The following is a list of prohibited usage: Rentals- Receipt of payment from someone other than a dealership employee for a vehicle for personal or business use. For customer loaner vehicle service. Transporting Dangerous Materials- vehicles cannot be used to transport flammable, hazardous chemical, or explosive materials Commuter Use- such as van pooling Livery Use-such as vehicles being used as chauffeured vehicles to transport people or goods Driver Education- Vehicles used in the training of high schools, or other non-profit organizations used by instructors to teach driving techniques Demo s- Vehicles are not to be used a demonstrators 5.2 Other Dealer related usage: Do not allow anyone under the age of twenty-one to drive these vehicles Do not allow anyone to drive these vehicles to anyone who does not possess or present a valid driver s license or has a restricted or suspended license Do not allow an additional driver who has not been qualified and properly added to the program to use the vehicle Do not allow anyone who is under the influence of alcohol, prescription or nonprescription drugs to drive these vehicles Do not allow anyone to smoke inside the vehicle. Vehicles that have been smoked in reduce residual values Do not allow a vehicle to be driven by anyone who will be taking the vehicle outside the United States Do not allow a vehicle to be driven by a dealership employee for a period of more than 6 months. Do not allow anyone to drive the vehicle that transports children without a federallyapproved child safety restraint or booster seat as required by state law 5.3 Risk Avoidance Ensure that each vehicle is properly maintained according to the Audi suggested maintenance schedule. Ensure that each vehicle undergoes proper safety check including brakes and tire pressure before each usage. Ensure that the employee keeps a proper insurance card, and proper registration in vehicle prior to usage, placing these documents in a well-labeled envelope is recommended. Never indicate to a dealership employee that they have no responsibility for damage to the vehicle while in their possession. Avoid verbal agreement or contracts that may release them from their responsibility. 9

10 6 Fleet Management Recommendations 6.1 Staffing It is recommended that the Dealer designate a person to be the Employee Vehicle Coordinator and point person of all activities as it relates to Employee Vehicles. 6.2 Inventory Management It is recommended that the Dealer take careful consideration when checking in vehicles to separate the Employee Vehicle from the retail units when they are delivered to the Dealer from the car carriers. This is to avoid the vehicles from incorrectly being sold to customers or placed in Service Loaner Vehicle Service. A physical inventory of your fleet should be done monthly that includes touching each vehicle to ensure accountability and cleanliness. A true inventory count should include all available, vehicles in the Employee Vehicle fleet. The sooner you find out there is a vehicle missing the more likely you will locate and recover it. We recommend that you keep all employee agreements in a secure place, do not allow others to print or fill out any employee agreements. Maintain a copy of all closed employee agreements in a fire safe closet and/or scanned electronically. Properly train your vehicle receipt staff to separate Employee Vehicle from retail vehicles that come in from the car carriers to minimize the chance of selling these vehicles before they are placed into the Employee Vehicle Program. 6.3 In/Out-of-Service Since the Employee Vehicle will be in service for 6 months, we expect that not all employees will be in a position to participate in the program at its launch. Therefore, over time, as their current vehicle leases end or employees are financially able to take an Audi Employee vehicle, the program will ramp up slowly so that we create a steady supply of vehicles. Each Employee Vehicle will qualify to be enrolled in the Audi Certified pre-owned Program and AoA will pay ½ of the enrollment fee. Therefore, when a vehicle nears it s 6 months inservice the Dealer will receive purchase documents from LeasePlan, which will include the price that was originally listed on the Audi Dealer Employee Vehicle Request Form that was signed and submitted at the time the vehicle was requested. The dealer must purchase the vehicle for that pre-determined price, then the title will be sent to the Dealer. The Dealer should then complete the inspection and Certified pre-owned certification process. 6.4 Vehicle Replacement The Dealer shall make the necessary arrangements to complete the Vehicle Request Form in a timely manner to allow for proper time to replace vehicles. The Dealer should complete and submit a Vehicle Request Form on a monthly basis depending on fleet size and time in service. Remember that a 90-day lead-time is necessary to ensure a timely replacement. If vehicles are not requested in a timely manner, the Dealer may end up with a much smaller fleet than necessary to supply participating Employee Vehicles. 6.5 Fleet Mix We are currently offering 4 models to choose from for the Dealership Employee Vehicle Program in order for the Dealer to provide a wide range of vehicles to all employees. Because many Dealers subsidize their employee s Audi vehicles, more employees may be able to drive an A4 or A6 than before under these special lease payments. Some employees will be able to afford an A4 or A6 at an even lower special rate for eligible employees who qualify with a minimum of 2 years employment at the dealership and the achievement of Audi Brand Certification in their current job code. 10

11 7 Employee/Dealer Agreements There are different laws, rules, and regulations for many states and it is important that the Dealer use a correct agreement for their state. Dealer agrees to properly complete a Employee/Dealer Agreement for each transaction, including verifying a current valid drivers license and proof of insurance for each dealership employee using an Employee Vehicle. The Dealer is responsible for providing Employee/Dealer Agreements that apply to current state laws in the state the Dealer operates in. We recommend that Dealers check with their tax advisors for any tax implications to their employees. 7.1 Requirements: A Dealership provided Employee/Dealer Agreement completely filled out and signed by the employee A copy of the employee s valid drivers license A copy of the employee s vehicle insurance card; there are no exceptions. 7.2 Record Keeping It is recommended that the Dealer establishes, documents, and communicates their processes, policies, and procedures for the Employee Vehicle Program to all employees. Proper safeguards in place will help protect against abuse and negligence, which may increase liability to the Dealer and in turn increased exposure, costs, and possibly removal from Program eligibility. The Dealer must keep the original copy of all the Employee/Dealer Agreements together and should file it numerically for easier tracking and retrieval. The Dealer is subject to audit and any violation may result in the loss of participation in the DEVP. 7.3 Vehicle Insurance Under this program the Insurance for each Employee Vehicle must be provided by the Employee unless Dealer chooses to insure the vehicle as a benefit of the program. Employee provided vehicle insurance helps to provide protection for the Dealer, AoA and Lease Plan USA against certain risks of loss. Dealer agrees to defend, indemnify and hold harmless AoA for any bodily injury or property damage claim, loss, liability or expense arising from any failure by the dealer to follow the terms and conditions of the Dealership Employee Vehicle Program Guide. 7.4 Authorized Drivers Audi Dealership Employee Vehicle Program vehicles may only be driven by Authorized Drivers. Authorized Drivers means the following: Full-time Dealership employee provided that such person is at least age 21 Every Authorized Driver must posses a valid driver s license 11

12 8 Frequently Asked Questions (FAQs) Question: Is there a limit to how many vehicles I can lease? Answer: The number of Employee Vehicles cannot exceed the total number of dealership employees registered in the Audi Brand Academy web site at any time. Question: How is the vehicle monthly payment calculated? Answer: the monthly payment includes depreciation of the vehicle plus, interest expense, administration fees, secondary insurance expense, license fees, taxes and other ancillary fees. Question: How will Audi verify Employees eligible for the special reduced rates? Answer: Audi will verify that the Employee is certified via the Audi Academy web site and will monitor from training data. Employees with a certification path in the Audi Academy must be employed by the dealership for a minimum of two years. We will monitor the inservice date of the employee to determine eligibility for the reduced rates via the Audi Academy database. This will be done when Audi receives the order. Acknowledgement will be sent to dealer of acceptance of the employee for the special reduced rates. If an employee does not have a position with a certification path through the Audi Academy, such as the Business Manager, in order to be eligible for the special rate, that employee must be employed for three years by the dealership to be eligible and there will be no certification requirement for that employee. Question: Can we use the Employee Vehicles to pick-up and drop-off service customers? Answer: No, an Employee Vehicle cannot be used to pick-up and drop-off service customers. Only vehicles ordered under the Dealer Service Loaner Program can be used for picking up and dropping off customers who will sign a Rental/Loaner Agreement. Question: Do all accidents/damage need to be reported? Answer: Yes, an accident or damage to any vehicle must be reported to the Dealer and properly documented. This is to protect the Dealer and Audi of America from any hidden liabilities that may come up in the future. The employee s insurance is responsible for the damage or liability. Question: What happens if a dealership employee totals an employee vehicle? Employee and dealer should follow the same process for reporting the claim as any other accident and report it to the employee s insurance company. Question: Does it matter what Employee/Dealer Agreement we use? Answer: This agreement should be created by the Dealership to explain and obligate the Employee to Vehicle requirements extended by the Dealer. We recommend that you speak with your tax advisors for any tax implications for your employees. Question: What is the Employee Vehicle Program period? Answer: The new Employee Vehicle Program is planned to be in place for many years, there is no scheduled end date. Question: What should I do if the vehicle is returned with damage? Answer: After the vehicle is thoroughly inspected and damage has been found have the employee acknowledge the damage and have them sign or initial the damage and the location where it is found. Then ask the employee to provide you with an accident report form if one was not completed previously, and then have the employee fill one out, in detail. All damage should be reported to the employee s insurance carrier. Question: If my dealership elects not to participate in this Program, is there any other Audi of America subsidy for dealership Employee Vehicles? Answer: No, this is the only program that is available at a discounted monthly rate for the sole purpose of dealership employees. 12

13 Question: What vehicles are going to be offered in this Program? Answer: Initially there will be 4 vehicles offered; A42.0T CVT, 2.0T quattro, A4 2.0T quattro Avant, and A6 3.2 quattro. Audi of America reserves the right to add or delete vehicle at any time. Question: Is the Dealer required to hard plate the vehicle? Answer: Yes, the Dealer is responsible for the initial licensing and titling. A draft from LeasePlan USA to pay for these fees will be included in the delivery paperwork. Question: Are Dealers required to use a Log Sheet? Answer: No, however, it is highly recommended that the Dealer keep a paper or electronic file of all Employee Vehicle Program vehicles for audit and liability purposes. Question: Can Dealer employees drive the service loaner vehicles? Answer: Yes, and only if their vehicle is in for service repair and they sign a Loaner/Rental Agreement. Question: What if the employee terminates employment during the 6-month vehicle rental? Answer: If an employee is terminated or voluntary ends employment, the employee must turn in the vehicle immediately. Employees are not eligible to participate in the program if they terminate employment. The vehicle can be provided to a different employee with the proper new paperwork and agreement completed. The vehicle cannot exceed the 6-month in-service period. Question: What if the employee does not return the vehicle at the end of the designated period? Answer: Immediately review the agreement to determine if it was filled out properly and completely. If so, and the date has expired, contact the employee and document the dates and times. This will help justify your effort in requesting information and reason why there was not a return. If contact is made, your first objective is to get the vehicle back or to get the employee to explain why they have not returned the vehicle. Again make sure you document this accurately in a written format with dates and times. If vehicle is not returned and employee does not explain the whereabouts of the vehicle by the date that you are requesting a response by, contact your local law enforcement agency and report the vehicle stolen. 13
