7 Our compensation plan rewards both those who want to earn a part-time income and those who want to become sales leaders. It s structured to pay distributors an industry-high percentage on both their customers and distributors, while at the same time rewarding those who develop and duplicate teams. It s called the Limitless TriBrid Overlay Compensation Plan : TriBrid, because it has three ways to earn income, and Overlay, because on the same genealogy, you can create multiple income streams from our three product categories. 7

9 PROGRESSIVE PV Limitless has pioneered the concept of Progressive PV, a patent-pending concept that allows you to unlock the benefits of all three parts of the TriBrid Compensation Plan. (PV or personal volume is the amount needed every month to stay active. Limitless gives all distributor purchases a 1 for 1 credit in the compensation plan so $ means PV.) Progressive PV allows you to accumulate volume into a series of buckets. Filling each of the three bucket types gives you specific, progressive benefits: Core PV Bucket: This initial bucket gets filled with the first PV of your personal purchases each month regardless of the category in which products are purchased. Your personal customers also have a Core PV bucket that gets filled each month. Anything over will progress and combine into the next series of buckets, the Portal PV buckets (see Portal PV Buckets section below). For example, if a Timeless category product is priced at $59 wholesale and it is the first order of the month, then PV will go into your Core PV bucket, and 9 PV will go into your Timeless Portal PV bucket. Portal PV Buckets: After the Core PV bucket is filled, both your personal purchases and your customers purchases will flow into the corresponding category Portal PV bucket. Each category Portal PV bucket is considered full once it reaches 100 PV. Once your 100 PV bucket is full in any category, you are a qualifying Xecutive and you have opened up a category Pay Portal. As a Qualifying Xecutive, you will earn 5% of the total volume on your front line (personally enrolled distributors) in this category, including all volume in your Limitless bucket (see Limitless Buckets section below). The category buckets of each of your front-line distributors have a maximum potential of 100 PV. Any volume they create beyond the 100 PV in that category will progress into their Limitless buckets on their front-line, which is your second level (see Definitions page). In order to get paid past the first level in this portal, you must finish qualifying as an Xecutive. Limitless Buckets: All category volume over the 100 Portal PV that goes toward filling your Portal PV bucket will then flow into the corresponding category Limitless Buckets. Any volume accumulated in each Limitless bucket will be paid to the distributor according to their qualification as either a Qualifying Xecutive or an Xecutive (see next page for more details). 9

11 1 15% CORE Through Progressive PV, distributors can be active in the plan with their first PV. Unlike other companies, Limitless gives all distributor purchases a 1 for 1 credit in the compensation plan so $ means PV. COMMISSION ON THE CORE VOLUME OF YOUR PERSONALLY ENROLLED DISTRIBUTORS AND CUSTOMERS Limitless richly rewards distributors who build a solid foundation of core volume. You ll earn 15% commission on the core volume of your personally enrolled distributors and customers. On personal customers, you ll get rewarded twice with both core commissions as well as retail markups that could total as high as 37%. 10% ON THE CORE VOLUME OF DISTRIBUTORS ON YOUR SECOND AND THIRD LEVELS 5% ON LEVELS 4-6 You can also qualify to earn 10% on the core volume of distributors and customers on your second and third levels. In most companies, these high percentage levels are usually reserved for people who have already become leaders not for people just getting started. Then we keep going and pay 5% on levels 4-6 in a rewarding one-for-one unilevel model. So if you re one personally enrolled active distributor wide, you ll get paid one level deep. Two wide? Get paid two deep and so on up to the maximum of six levels deep, for being six or more wide. Easy to learn, quick to earn! 11

13 2 PORtals As you and your downline grow beyond just core volumes, you will start accumulating monthly portal volume in each of the three Limitless product categories: Timeless, Effortless, and Ageless. You can qualify to earn income in each category portal by continuing to gather customers and personal purchases, until your personal portal volume is at least 100. You ll then become a Qualifying Xecutive, and you ll earn 5% on your Xecutive Qualifying Volume (XQV). XQV includes your total Limitless bucket volume in the category PLUS the 100 Portal PV of your entire front-line personally enrolled distributors. EARN AN EXTRA 5% ON YOUR FRONT LINE AS AN XECUTIVE, EARN 15% ON YOUR FRONT LINE AND 10% ON THE REST OF YOUR XECUTIVE GROUP In each category, as your Xecutive Qualifying Volume accumulates to at least 1000, you become an Xecutive. In order to earn commissions beyond your front line in the category Portal, you must finish qualifying as an Xecutive. As an Xecutive, you are eligible to continue earning the Qualifying Xecutive 5% plus an additional 10% on your Xecutive Group Volume (all the volume between you and the next Xecutive on your team). That means you re earning a total of 15% on your front line! And remember, you can become an Xecutive in each category Portal. 13

15 3 30% PORTAL pools As an Xecutive, once you develop other Xecutives in your downline, you can participate in the Portal Pools in each product category. Each category Portal Pool is worth a total of 30% of the company-wide portal volume for the month (excluding the core volume, of course). Each time you enroll a distributor, that begins a leg. When at least one Xecutive develops in each of your legs, you can count it as an Xecutive Leg. For each Xecutive Leg wide, you can earn on an Xecutive generation, up to seven generations deep! OF THE COMPANY-WIDE PORTAL VOLUME FOR THE MONTH IN EACH CATEGORY Plus, Limitless pays out the pool with no breakage, which means that any unearned commissions are paid out to those who are earning in the pool! So what will you earn on each generation? At 30% spread over seven generations deep, the minimum percentage per generation would be 4.28% but with paying out all breakage, the percentage will be even higher (it will vary on a monthly basis, of course). And this can happen with every category, for a total of three separate income streams! 15

16 Limitless Distributor Business Kit and Application Fee: $49 (required*) The only financial requirement to become a Limitless Worldwide Independent Distributor is this $49 fee. The fee has no commissionable volume but includes: A Distributor Business Kit (first year only) Access to the Limitless Virtual Office A distributor replicated website and certain print and marketing materials for one year ProPay online banking account and Limitless branded MasterCard debit card The annual renewal fee is $25. Independent Distributors can purchase Limitless products at wholesale and sell them to Retail Customers and Preferred Customers. They can also enroll such customers into the Limitless system and allow customers to buy direct while still getting credit for those sales. Distributors and customers can also participate in the Limitless Delivery Rewards (LDR) Autoship Program. 16 *Optional in the following states: IN, MI, ND, SD, WI.

18 Limitless Optional Value-Added Enrollment Product Pak: $299 (optional max purchase of two) Distributors may purchase this optional product pak only at the time of enrollment. It includes a full package of all the primary Limitless products at a 36% savings off of wholesale price! An enrolling distributor who opts to purchase this pak may buy a maximum of two. The sponsoring distributor who sells this pak to a new enrollee will receive a Fast Start Bonus of $. The purchaser of the pak will receive 200 PV: Core PV, and Portal PV in each of the Ageless, Effortless, and Timeless portals. Also, the purchaser will be made eligible for the 5% Qualifying Xecutive Bonus in each portal for the remainder of their first commission month as well as the following first full commission month, providing that they are at least active with their Core PV. If two paks are purchased, the sponsoring distributor will receive a Fast Start Bonus of $125 and the purchaser will receive Core PV and 100 Portal PV in each of the category portals. Leadership Delivery Rewards (LDR) Autoship Program The LDR program awards points for each autoship order that can be redeemed for product on a future date. The program will be released at the Official Limitless Worldwide launch in February 2013, but will be retroactive as to the points earned beginning in August

19 CommissionS Schedule Thursday 12:01 AM Wednesday Midnight Retail markups + Fast Start Bonus Other commissions S M T W T F S Weekly Run Weekly PAy All retail markups from customer purchases are paid out on a weekly basis. Also, the Fast Start bonus associated with the Optional Value-Added Enrollment Pak is paid in the weekly run. The weekly period begins at 12:01 a.m. MST on Thursday mornings and ends at 12:00 midnight MST on Wednesday evenings. Then one week later on Thursday, the weekly run will take place with payments going to distributors ProPay Payments accounts. For example, a weekly period would start on Thursday, July 5th at 12:01 am and would end on Wednesday evening, July 11th at midnight. The weekly pay run for this period would be on Thursday, July 19th. Monthly PAy All commissions other than Retail Markups and Fast Start bonuses will be paid monthly on the 15th. For example, commisions for orders placed between July 1-31 will be calculated and paid August 15th. 19

20 DEFINITIONS Active: A distributor who maintains Core PV (see also Core Active). Commissionable Volume: All products have a 100% commissionable volume based on the wholesale price. Company Portal Volume: All volume in a given portal after the distributors initial Core PV. Core Active: A distributor who has filled their Core PV bucket by the end of the commission month. Core PV Bucket: The initial bucket that gets filled on a monthly basis from purchases by an Independent Distributor. Regardless of which category product is purchased, the first $ of personal purchase will flow into this bucket. Anything over $ will flow then into the next series of buckets, the Portal PV buckets. Even in one product purchase, the order will be split into the Progressive buckets as they are filled. For example, if a Timeless category product is priced at $59 wholesale and it is the first order of the month, then PV will go into the distributor s Core PV bucket, and 9 PV will go into the distributor s Timeless Portal PV bucket. All customers who enroll in the Limitless system under the Independent Distributor will also fill a Core PV bucket. Any purchases over the Core will flow into the sponsoring Distributor s respective Portal PV bucket. Core Volume: The volume coming from the distributors core PV. Customer Core PV: A customer s first PV in a period regardless of category. Frontline: Personally enrolled distributors. Independent Distributor: Independent Distributors can purchase Limitless products at wholesale and sell them to Retail Customers and Preferred Customers. They can also enroll such customers into the Limitless system and allow customers to buy direct while still getting credit for those sales. Distributors and customers can also participate in the Limitless Delivery Rewards (LDR) Autoship Program. Leg: A first level personally enrolled distributor and their entire organization. Limitless Bucket: All category volume over the 100 Portal PV will flow into the respective category Limitless Bucket (which is actually housed on the front line of the distributor in each Portal). No limit is applied to the volume in this bucket. Any volume accumulated in each Limitless bucket will be paid to the distributor according to their qualification as either a Qualifying Xecutive (5%) or an Xecutive (qualifying 5% plus 10% for a total of 15%). Portal: The area of the compensation plan that pays on volume coming from different product consumption categories. Portal Pool: A bonus pool to be shared among all Xecutives who also achieve a minimum rank of Manager (at least one Xecutive leg) (see Rank Advancements page). Each category will have a pool that consists of 30% of the Company Portal Volume. Xecutives can earn shares in the pool according to their total eligible downline Xecutive volume, as per their rank. Portal Pool Share Eligibility: To participate in any category Portal Pool, an Xecutive must have developed at least one other Xecutive in his/her downline, which is equivalent of achieving a rank of Manager or higher. The rank each distributor achieves will be applied to determine the total number of pool shares for which he or she is eligible. Portal Pool Share: Rank Qualified Xecutives will earn one share for each point of volume in the total Xecutive Group Volumes he/ she is eligible to override. Then each share is rewarded with the calculated Portal Pool Share Value. Portal Pool Share Value: The value of each share in each category pool is determined by taking 30% of the Company Portal Volume and dividing it by the total number of eligible shares earned by all Xecutives with a rank of Manager (at least one Xecutive leg) or higher. Example: If in a category the Company Portal Volume is 1,000,000, then the Portal Pool Value = 300,000 (30%). If the total of all eligible Xecutive Portal Pool Shares earned is 600,000, then 300,000 divided by 600,000 equals $. Portal Pool Share Value. 20

21 Portal PV Active: A distributor who has filled their 100 Portal PV bucket in any one category by the end of the commission month will be Portal PV active in that category. Volume for the Portal PV bucket comes from all purchases beyond the Core from both the distributor as well as his or her personally enrolled customers in the specific category. Portal PV Bucket: Each Independent Distributor has a Portal PV bucket in each product category. Currently, Limitless has three product categories: Timeless, Effortless, and Ageless. All volume accumulating during the month over the first $ wholesale (the Core PV) will then flow into the respective Portal PV bucket for the distributor. Both personal purchases of the distributor and customer beyond the first PV will flow into the respective Portal PV bucket. Once a Portal PV bucket is filled to a maximum 100 PV from both distributor and customer purchases, then all volume will flow into the Portal Limitless bucket. Portal Volume: Volume from corresponding product category after core requirement is met. Preferred Customer: A non-distributor who chooses to enroll in our Limitless Delivery Rewards (LDR) Autoship Program will receive a discount off of full retail. Each Preferred Customer must be sponsored by a distributor, and any purchases made directly through the company will be credited to the sponsor and the discounted retail markups will be forwarded in the weekly commission run. Product Consumption Categories: The three product categories that correspond with the different portals: Timeless, Effortless, and Ageless. Progressive PV: A patent-pending concept that allows for volume to accumulate into a series of buckets which qualify an Independent Distributor to participate in graduating parts of the TriBrid Overlay Compensation Plan. The plan incorporates Progressive PV into three bucket types: Core PV, Portal PV, and Limitless PV. Qualifying Xecutive: In any given category, a distributor who has 100 Portal PV, but has not yet accumulated 1000 Xecutive Qualifying Volume. As a Qualifying Xecutive in any category, earn 5% commission on your category Xecutive Qualifying Volume. Retail Customer: A non-distributor who wishes to purchase Limitless products, who must go through a distributor and will pay retail prices for their purchases. They can buy directly from the distributor or enroll through the sponsoring distributor s replicating website and from then on make their own retail purchases directly from the company. The sponsoring distributor will receive credit for each purchase made by a customer who has enrolled this way and the company will forward all retail markups between the wholesale price and full retail price in a weekly commission run. Xecutive: In any given category, a distributor who has 100 Portal PV and who has 1000 Xecutive Qualifying Volume. Xecutive Group: All distributors between an Xecutive and the next downline Xecutive (includes the first Xecutive in each line). Xecutive Group Volume: All portal volume beginning with an Xecutive s qualifying volume, continuing down to and including the 100 Portal PV of the next qualified Xecutive. Xecutive Leg: If a Leg has at least one qualified Xecutive anywhere in the leg in a given month, the leg counts as an Xecutive Leg. Xecutive Qualifying Volume: In any category, the total Portal Volume coming from a) a distributor s Limitless Portal PV, plus b) the total Portal PV of all personally sponsored distributors (up to the first 100 Portal PV). 21
