1 Managing Your Stock Options Online An employee stock option gives you the right to purchase a certain number of shares of your company stock at a fixed price within a specific period of time. With StockPlan Connect, Morgan Stanley helps you keep track of your stock option grants and provides you with online access to your account. Stock Option Plan Overview Upon logging into your StockPlan Connect account, you will be taken to your plan s Overview page, which features an easy-to-read table of all your stock plan awards. Here you will see Incentive Stock Options (ISOs), Non-Qualified Stock Options (NQSOs), and Stock Appreciation Rights (SARs), if you have them. If you have other stock plans (such as restricted or performance stock, or an ESPP plan), you can click on the Stock Options jump link to navigate to the stock option table. If you have multiple grants and have to scroll down to the bottom of the Overview page, you can use the back to top arrow( ) in the lower right-hand corner to jump back to the top of the page. The Stock Plan Summary provides a quick overview of your stock option grants, including: A. Outstanding Grants awards that have not vested plus vested awards that have not been exercised *When an option vests, you may buy stock at the grant price for the option B. Exercisable Grants the number of grants that have vested and are available to exercise C. Market Value an estimated value of your plan, based on current market value (Exercisable Grants multiplied by the difference between the Current Share Price and the Grant Price). This estimate does not account for taxes, commission, and fees. A B C note: Click on the? next to Stock Options to access a glossary of terms that may help you better understand your stock option plan. Depending on your company s settings, you may see additional values here, including: Unvested Value A summary of the unvested value of all your plans, which is the difference between the current market value and the award price multiplied by the number of shares or units that are unvested. If you see unvested value in the header, you will see it in your plan table, as well. Potential Total A summary of the total value of all plans, which is the current market value plus, if applicable, the value of any unvested awards or grants less the option costs of the grants. 2 Note: You can also hover over the column headers to view definitions of the various terms: Column Grant Number Definition An alphanumeric identifier assigned by your company to identify your grant. Grant Date In most plans, the first day of the offering period. Please refer to your company s plan documents for information regarding your plan. Expiration Date The expiration date is the date that any outstanding options are forfeited if they have not previously been exercised or terminated early in accordance with the terms and conditions of your company s plans (e.g., in connection with your termination of employment). Refer to your company s plan documents for related details regarding your plan. Grant Type Stock Options: NQ Non-Qualified Stock Option ISO Incentive Stock Option (ISOs which have lost their preferential tax treatment and are now fully taxable at the time of exercise are marked with an asterisk * ) UKA UK-approved Grant UKU UK-unapproved Grant PSO Performance Stock Option Stock Appreciation Rights: SAR Cash-settled Stock Appreciation Right SSR Stock-settled Stock Appreciation Right Grant Price The price at which you have the right to buy the stock during the term of the grant. Also known as Option Price, Exercise Price or Strike Price. Granted The number of stock options or stock appreciation rights granted to you by your company. Outstanding The number of Stock Options /Stock Appreciation Rights (SARs) granted that are unvested plus vested Stock Options /SARs that are exercisable. Exercisable The number of vested stock options or stock appreciation rights currently available to be transacted. This number increases every time a grant vests or an open order is cancelled. It decreases when an order is placed and the grant is exercised or expired. Status The Notation Column identifies the status of the grant or award you were given. Accepted you have accepted the grant /award Rejected you have declined the grant /award Accept you have not yet accepted the grant/award View the grant /award does not require acceptance, but you may view the documents associated with that grant /award Review the grant /award does not require acceptance, but you may view the documents associated with that grant /award Reviewed you have reviewed the grant /award 2 Morgan Stanley 2015

3 Grant Detail Pages You can link to detailed data about a specific option by clicking the Grant Number link. Clicking on one of these links, indicated by blue text, takes you to a detail page that features information pertaining just to that one grant, including grant activity history and future vesting schedule. For example, if you click on SSR-0058, the detail page for that particular award will be displayed. note: If there is an Alert Icon ( ) next to a specific grant, you can click on icon to open the alert and take the appropriate action. Quick Action Buttons You can access these one-click links from both the Overview and detail screens: D. Vesting displays a listing of upcoming vesting schedules by award, including the quantity of shares vesting on each date. D E F E. Model launches the Model Sell process, which allows you view the results of potential transactions of stock option grants before you actually exercise them. Click here for more information. F. Exercise Grants launches the Exercise Grants process, which allows you to exercise your stock option grants. The Exercise Grants process has been broken up into three entry pages: Create the order, Review and Confirm the order, and View Confirmation. note: The Exercise Grants button can be found on any screen where users can launch the Exercise Grants process. This includes the following pages: Overview, Vesting and Details. 3 Morgan Stanley 2015

4 Exercise Grants Click on the Exercise Grants button to launch the Exercise Grants process. The Exercise Grants process takes into consideration your company s plan and the types of options you are exercising. The selections that you make, in combination with the specifics of your plan, will determine the subsequent questions/options that you will see. For this reason, the questions that you see may differ from the questions that are presented in this guide. The Exercise Grants process has been broken up into three entry pages: Create the Order, Review and Confirm, the order and View Confirmation. A. Create the Order 1. Select how you would like to receive proceeds from the exercise: Select As Cash or As Shares 2. Select the grants you want to exercise Determine which grant lot you would like to exercise and click on the Select All box or specify the grant quantity you would like to exercise. You may only exercise one lot per order. note: If you selected As Cash previously, you may be asked what grant type you would like to exercise. 3. Select the order type: Market Orders are fill at the market price. Limit Orders allow you to specify the price at which you want to exercise your options. Limit orders are valid for 365 days. The transaction will be displayed as an open order on the Activity page and if / when the limit order price is reached and the order is filled. 4. Specify how you would like the proceeds delivered by selecting a method from the dropdown menu. For example, if you select Send me a check, we will mail your proceeds as a check to the address we have on file for you. 5. View your Estimated Proceeds 6. Click on the Next Step button to Review and Confirm your order. Note: This sample transaction is for illustrative purposes only. 4 Morgan Stanley 2015

5 B. Review and Confirm 1. Review all the details of your transaction on the Review and Confirm page. 2. Select or enter a phone number and enter your StockPlan Connect Password to confirm the order information. 3. Click on the Submit Order button to submit your order. note: Phone numbers will be used only if there is a question about your transaction. Phone Numbers can be updated In the Profile > Contact Settings page. C. View Confirmation note: Click on the Print button to print the Order Entry Confirmation. A separate trade confirmation will be available for viewing on the Documents page when the trade has been executed. note: If you have not completed your Tax Certification, you may be subject to additional withholding taxes. To edit or complete your tax certification, click on the Edit link to launch the tax certification process. 5 Morgan Stanley 2015

6 Activity The Activity page displays all activity across all plans, including all exercise option transactions. Unfilled orders including any unfilled limit orders, will appear in the Open Table of the Activity page. Open orders can be modified or canceled at any time. Click on the Modify button to launch the Modify Order process. Click on the Cancel button to launch the Cancel Order process. Click on the Refresh button to refresh the screen. This is useful when waiting for a market order to fill. Filled or completed orders will be displayed in the Completed Table on the Activity page. Use the Type filter to see only Sale activity. Click on the Date link to view the Order Details. The Activity Detail page will display Order Details, Proceeds Details and Share Lot Details. Need more information?
