THE SERVICES 1.1 The Services to be provided shall be the following: To assist with maintenance work on Rope Access Services at the Refinery Plant in Mossel Bay, Voorbaai Tankfarm, EM buoy, the FA Production Platform (80km from the coastline) and the ORCA (140km from the coastline) where access for normal maintenance personnel is inaccessible and requires qualified rope access personnel The Service shall not only be limited to maintenance work, but will also include the projects that may fall within the duration of the contract 1.2. DESCRIPTION OF THE SERVICES SPECIFIC To following services are required through rope access personnel: NDT and Inspection Ultrasonic tests, magnetic particle and Dye Pen Ultrasonic wall thickness Inspection of pressure parts and wells Paint inspection Survey of flares and pipe lines Welding and Boilermaking Grinding Cutting Fitting Welding Painting Blasting Surface preparation Paint application Cladding and Lagging Removal of cladding and lagging Replacement of cladding and lagging Page 1 of 10

2 High Structure inspection & repairs Flare boom, drilling derrick, inspection/ repair and maintenance Sprinkler & deluge system inspection & maintenance. Assist with maintenance on electrical cabling and lighting replacement as well as Instrumentation fire and gas detection systems maintenance. EM-Buoy structural inspection, repairs & painting Overboard work inspection & repairs Production risers, sea water lift caisons, inspection, repair and maintenance. Under MSF deck structural work inspection, repair and maintenance Categories and qualifications of personnel NDT INSPECTOR (MPI, UT, DYE PEN) Mobilisation and Demobilisation Level 1 Absailer certificate who has a NDT = Level 1 (12hr shift) Level 2 Absailer certificate who has a NDT = Level 2 (12hr shift) GENERAL MAINTENANCE (Mechanical, Instrument, Electrical) Mobilisation and Demobilisation Level 1 Absailer certificate who has a General Maintenance = Electrician, Mechanical, Instrumentation (12hr shift) Level 2 Absailer certificate who has a General Maintenance = Electrician, Mechanical, Instrumentation (12hr shift) Level 3 Absailer certificate (3 years abseiling industry experience) BOILERMAKING/ WELDING Mobilisation and Demobilisation Level 1 Absailer certificate who is a welder = multicoded welder (12hr shift) Level 2 Absailer certificate who is a welder = multicoded welder (12hr shift) Level 3 Absailer certificate (3 years abseiling industry experience) PAINTING Level 1 Absailer certificate who has Painting = Spray painter (12hr shift) Level 2 Absailer certificate who has Painting = Spray painter (12hr shift) Level 3 Absailer certificate (3 years abseiling industry experience) SANDBLASTING Level 1 Absailer certificate who has sand blasting = Sand blaster (12hr shift) Level 2 Absailer certificate who has sand blasting = Sand blaster (12hr shift) Level 3 Absailer certificate (3 years abseiling industry experience) Page 2 of 10

3 The NDT Level 3 is an industry requirement and performs the duties as per the company s Quality Management System and Procedures based on ASNT-TC-1A (minimum requirement) and is ultimately responsible for certification of all the company s NDT Personnel at no cost to PetroSA. Level 3 services shall only be billable if specifically requested by PetroSA; however this shall not be applicable in cases where PetroSA disputes or request verification of results issued by the company s Level 2 technicians. 2. GENERAL 2.1 Application The Supplier shall perform the services in strict accordance with the manufacturer s maintenance manuals and the latest edition of the PetroSA procedures, standards and specifications. It will be the responsibility of the Supplier to fully acquaint itself with the content thereof. 2.2 Demand PetroSA s demand for the services varies considerably and no minimum turnover can be guaranteed. The Supplier must have sufficient reserve capacity to mobilise immediately should the Services be required on an emergency basis. 2.3 Expertise and technical support The Supplier shall have the technical support and expertise to supply professional advice and to design and approve special requirements on an ad hoc basis. 2.4 New technologies, products, trends and best practices The Supplier shall keep up to date with the latest national and international new technologies, products, trends and practises in its field of operation and share any information with PetroSA that could positively contribute to product performance, reliability, productivity, safety and costs. 2.5 Training The Supplier shall be responsible for training all its personnel, including casual labour, to the minimum required level of competency to safely and effectively perform his/her duties. 4 3. BUSINESS PROCESSES 3.1 Normal operating conditions The Supplier will receive a Works Order to perform the specific task required which will clearly identify the required date for completion. The Supplier may be required to provide estimates of labour, materials and equipment needed for a specific service to be performed in terms of a Works Order and shall only be allowed to commence after approval thereof by PetroSA. 3.2 Abnormal operating conditions (breakdowns and emergencies) Work may proceed without the receipt of the official Works Order but must be confirmed to be a genuine priority or breakdown by the allocated Service representative or his/her superior. The Supplier will be responsible for recording such instances in a logbook and to acquire the signatures of the relevant PetroSA representative per individual job. The official Works Order shall be submitted to the Supplier within 24 hours of the initial request. 3.3 General PetroSA will have no obligation in any respect regarding work performed by the Supplier without an official Works Order. Any changes to an original Works Order must be authorized by means of a new or supplementary Works Order. The Supplier will have no authority to change any conditions in a Works Order without the prior approval of an authorized PetroSA representative. All work performed in excess of the approved estimates or work not performed in accordance with the manufacturer s manuals and PetroSA procedures, standards and specifications will be for the account of the Supplier. Should PetroSA, due to circumstances beyond their control, not be able to produce an official Works Order, a written request signed by the Rigger Foreman/Services Superintendent, Maintenance Superintendent Offshore or Maintenance officer E&P, or his/her designee or Supervisor and the Supplier shall be produced as the official document. An official works Order shall be produced as soon as the system is operational again and should realize within 24 hours. No services shall be performed without a Works Order/Purchase Order issued by PetroSA. No invoice will be paid without the corresponding Purchase Order No. appearing on the invoice. Page 4 of 10

5 3.4 Prerequisites The Supplier shall be responsible for obtaining the necessary work permits prior to the commencement of the services specified on the Works Order. No work shall be performed on site without a work permit. The Supplier shall only communicate with PetroSA via a competent person appointed by PetroSA or his/her assignee. The name of the competent person or his/her assignee shall be forwarded to the Supplier in writing subsequent to awarding this Contract. On completion of any task the Supplier shall submit a written report reflecting all details. The Supplier shall supply and maintain a complete set of registers for all PetroSA s equipment. On completion of each successful proof load test a test certificate in accordance with the statutory requirements shall be issued. 4. SUPPLY BY SUPPLIER The Supplier shall supply adequate resources, which shall include, but not be limited to the following, to enable it to perform the Services, unless PetroSA elects to supply any of it to the Supplier as a free issue item: 4.1 Labour The Supplier shall supply all labour, supervision, management and other overhead personnel required to perform the Service. The Supplier shall give preference to suitable labour from the Mossel Bay area. All personnel shall be suitably qualified and have the necessary experience required to perform the Service. PetroSA shall have the right to evaluate, test and interview all personnel designated to perform the Service, prior to commencement of the Service. PetroSA reserves the right to object to any personnel, who in terms of this contract is deemed to be incompetent, negligent, guilty of misconduct or otherwise unsuitable. The Supplier shall immediately remove such personnel from the premises and provide a satisfactory replacement if required. All personnel including causal labour must, as a minimum be able to read and understand safety signs. All personnel for offshore work shall be in possession of a survival course certificate as required in terms of the General Requirements To Be Observed By Suppliers Working Offshore On The PetroSA F-A Gas Production Platform. All personnel to have valid eye tests as demanded by SAQCC or SNT-TC-1A. All personnel shall have valid annual medical fitness certificates. Page 5 of 10

6 4.2 Materials The Supplier shall generally supply all materials required for the performance of the Services and carry sufficient stock so as not to delay the completion of the Services. All materials supplied by PetroSA on a free issue basis shall remain the property of PetroSA and any surplus material shall be returned to PetroSA upon completion of the Services. The Supplier shall also be responsible for any loss of material due to negligence, misconduct or bad workmanship. 4.3 Maintenance Manuals/Registers The Supplier shall supply and maintain a complete set of registers for all PetroSA s equipment. 4.4 Schedule PetroSA will schedule all inspections and maintenance services on an annual basis and inform the Supplier of the schedule. The schedule shall be completed and all work recorded by the Supplier, stating clearly: Type of service (e.g. Inspection/Maintenance) Planned duration Date Time (e.g. from 08:00 to 12:00) Equipment 4.5 Plant, Equipment and Tools The Supplier shall provide all the necessary equipment and tools of trade necessary for the performance of the Services. 4.6 Reserve Capacity The Supplier shall state what additional back-up resources it has available, with the associated mobilization periods. 4.7 Transport The Supplier shall provide all necessary transport for its personnel and equipment to the harbour and the George Heliport. 4.8 Identification The Supplier shall clearly mark all its material, plant, equipment and tools for easy identification, and be responsible for any loss thereof. 7 4.9 Safety Equipment/Apparel The Supplier shall ensure that all its personnel engaged in the performance of the Service are provided as a minimum with the safety equipment/apparel in good conditions listed in the General Requirements to Be Observed by Suppliers Working Offshore on the PetroSA F-A Gas Production Platform as well as on the onshore Refinery (Annexure D). As a minimum the following safety equipment/apparel in good condition must be provided; Safety shoes/boots Overall with long sleeves Hard hat Rain suit Safety gloves Hearing protection Safety glasses Safety harness The Supplier shall supply any additional safety equipment/apparel required for the safe execution of the Service. All safety equipment to bear the SABS mark and be approved by the PetroSA Safety Department. PetroSA will supply any other safety equipment, which is a special area requirement, to the Supplier s personnel free of charge. The safety equipment will remain the property of PetroSA and will only be replaced due to normal wear and tear. The Supplier shall replace any safety equipment damaged as a result of abuse, neglect, misuse, etc. 5. SUPPLY BY PetroSA 5.1 Utilities and facilities free of charge PetroSA will provide the following utilities and facilities free of charge to the Supplier, unless specifically excluded elsewhere: Suppliers lay down area (yard). The Supplier may erect suitable office, workshop and store facilities which must at all times be in compliance with the PetroSA safety policy. PetroSA reserves the right to execute safety inspections at random on the premises, buildings and equipment on site. Ablution and shower facilities on site. Water, steam and compressed air and electricity at various points on site. Water and Electricity in the Supplier s lay down area. Storage area on FA Platform/locker rooms on FA Page 7 of 10

8 5.2 Utilities and facilities at charge PetroSA will provide the following utilities and facilities to the Supplier for which the Supplier shall be charged: Telephone and fax lines. 6. QUALITY ASSURANCE All documentation will be in accordance with ISO 9002 to ensure full record keeping and traceability. Procedures The Supplier shall comply with the following codes of manufacture, legislation and PetroSA s procedures as listed in the reference table below: DOCUMENT NUMBER DESCRIPTION IWH and IRATA Lloyds Register ISO 9001 Act No.29 of 2002 Act No 29 of 1996 Quality Management System Occupational health & Safety Acts Mine Health and Safety Act 7. WORKING HOURS The Supplier shall provide the Service on a 24 hour per day, seven days a week basis. All work shall be performed during normal hours unless specifically instructed to the contrary by PetroSA. 7.1 Working Hours Offshore Listed in the General Requirements To Be Observed By Suppliers Working Offshore On The PetroSA F-A Gas Production Platform. To be supplied by PetroSA. Working hours are 12 hours per day on the FA Platform including weekends and public holidays. 7.2 Working Hours Onshore Normal working hours are as follows: Monday to Friday : 08:00 to 16:30 - with half hour lunch break Saturday & Sunday: Normal day off. 9 PetroSA operates on a Time and Attendance system to determine the Supplier s billable hours. The Supplier shall be briefed in regard the workings thereof. Should the Supplier question or dispute any Time and Attendance record issued by PetroSA, the Supplier undertakes to advise PetroSA in writing within 7 (seven) days from date of issue of such record. 8. GENERAL Any activity or work not covered in this contract shall be negotiated and approved in advance by PetroSA. Proper clean up after completion of a specific job shall be deemed part of the job and payment may be withheld if not adhered to. Any damage to PetroSA s equipment due to negligence or poor workmanship will be for the account of the Supplier. The Supplier shall be responsible for the proper protection of surrounding equipment against damage whilst performing the services. The Power supply on site is 110V, 220V, and 380V. One Technician shall be on call after hours and weekends to be reached by telephone or pager and ready to assume duty within one hour of notification. Additional Technicians in excess of the normal requirements shall be supplied to PetroSA within 24 hours of notification, if required. 9. CHANGES TO THE SCOPE OF SERVICES The scope of the Services shall be subject to changes by additions, deletions or revisions thereto by PetroSA. The Supplier shall be advised of any such changes by written notification from PetroSA describing the change. The Supplier shall promptly perform and strictly comply with each such change when so instructed by PetroSA. Any extra services resulting from such changes will be charged at the Supplier's normal or agreed rates. 10. ACCOMMODATION & TRANSPORT No accommodation or transport will be provided by PetroSA. The Supplier shall be responsible for making its own arrangements regarding accommodation and meals and will be responsible for providing transport to its Personnel to and from the PetroSA Works.
