On 7 January 2016, Hangzhou Shibao and China CITIC Bank (sub-branch at Hangzhou Economic and Technology Development Zone) entered into the Fifth CITIC Wealth Agreement and the Sixth CITIC Product Agreement. The relevant subscription amount under the Fifth CITIC Product Agreement and the Sixth CITIC Product Agreement itself does not respectively constitute a discloseable transaction of the Company under the Hong Kong Listing Rules. However, the relevant subscription amount under the Fifth CITIC Wealth Agreement and the Sixth CITIC Product Agreement shall be aggregated with those under the First CITIC Product Agreement, the Second CITIC Product Agreement, the Third CITIC Product Agreement and the Fourth CITIC Wealth Agreement pursuant to Rule of the Hong Kong Listing Rules. BACKGROUND On 31 December 2015, the Proposal on the Partly Use of the Idle Funds Raised for Cash Management Purpose ( 關 於 使 用 部 分 閒 置 募 集 資 金 進 行 現 金 管 理 的 議 案 ) was reviewed and approved by the 6th meeting of the fifth session of the Board. 3 CITIC Product Agreements Reference is made to the announcement dated 10 September 2015 in respect of the First CITIC Product Agreement, the Second CITIC Product Agreement, the Third CITIC Product Agreement and the Fourth CITIC Product Agreement. MAJOR TERMS OF THE FIFTH CITIC WEALTH MANAGEMENT PRODUCT AGREEMENT AND THE SIXTH CITIC WEALTH MANAGEMENT PRODUCT AGREEMENT Major terms of the Fifth CITIC Product Agreement are hereby listed as follows: (1) Name of product: No Type A of RMB wealth management product of Xinying series (corporate) CITIC Wealth ( 中 信 理 財 之 信 贏 系 列 ( 對 公 )1601 期 A 款 人 民 幣 理 財 產 品 ). (2) Type of product: Principal-protected with floating income and close-end. (3) Risk rating of product: PR1 Grade (cautious and green). (4) Subscription amount: RMB20 million. (5) Valid period of product: 35 days commencing from 8 January 2016 and up to 12 February

4 (6) Expected return per annum: 2.85%. (7) Principal guaranteed: CITIC guaranteed to return the principal to the investors. (8) Investment scope: During the terms of this wealth management product, the principal will be invested in money market instruments such as cash, borrowing/interbank deposit/repurchase, RMB interest rate swaps, sovereign debt, financial bond, central bank bill, asset-backed bill, asset-backed securities, asset-backed beneficiary certificate, enterprise bond, corporate bond, medium term note, non-public directional debt financing instruments, short-term financing bond, ultra short-term financing bond, credit assets, trust loan, entrust loan, receivable claim, usufruct of bond, trust beneficial interests, usufruct of special assets, notes-like assets, entrust bond and other investment instruments. (5) Valid period of product: 91 days commencing from 8 January 2016 and up to 8 April (6) Expected return per annum: 3.30%. (7) Principal guaranteed: CITIC guaranteed to return the principal to the investors. (8) Investment scope: During the terms of this wealth management product, the principal will be invested in money market instruments such as cash, borrowing/interbank deposit/repurchase, RMB interest rate swaps, sovereign debt, financial bond, central bank bill, asset-backed bill, asset-backed securities, asset-backed beneficiary certificate, enterprise bond, corporate bond, medium term note, non-public directional debt financing instruments, short-term financing bond, ultra short-term financing bond, credit assets, trust loan, entrust loan, receivable claim, usufruct of bond, trust beneficial interests, usufruct of special assets, notes-like assets, entrust bond and other investment instruments. 4

5 To the best knowledge, information and belief of the Directors having made all reasonable enquiry, China CITIC Bank and its ultimate beneficial owners are the third parties independent of the Company and connected persons of the Company, and are not connected persons of the Company. III. MAJOR TERMS OF THE EIGHTH AGRICULTURAL BANK WEALTH MANAGEMENT PRODUCT AGREEMENT Major terms of the Eighth Agricultural Bank Product Agreement are hereby listed as follows: (1) Name of product: "Hui Li Feng" RMB wealth management product (Issue 4045 of Year 2016) ( 滙 利 豐 2016 年 第 4045 期 對 公 定 制 人 民 幣 理 財 產 品 ). (2) Type of product: Principal-guaranteed and floating income. (3) Risk rating of product: Low. (4) Subscription amount: RMB100 million. (5) Valid period of product: 40 days commencing from 8 January 2016 and up to 17 February (6) Expected net return per annum: 2.60% %. (7) Principal guaranteed: Agricultural Bank of China guaranteed to the investors to return 100% of the principal amount of such wealth management product upon maturity. (8) Investment scope: The principal of this wealth management product will be fully invested in the investment instruments with lower risk such as interbank deposits and interbank borrowings by Agricultural Bank of China, and floating income will be generated by linking the gains derived from the investment with the foreign currency options. To the best knowledge, information and belief of the Directors having made all reasonable enquiry, Agricultural Bank of China and its ultimate beneficial owners are the third parties independent of the Company and connected persons of the Company, and are not connected persons of the Company. IV. REASONS AND BENEFITS FOR ENTERING INTO THE WEALTH MANAGEMENT PRODUCT AGREEMENTS Basing on the principle of maximizing the interests for the Shareholders and an aim to enhance the utilization of idle proceeds from fund raising, the Company will continue its cash management subject to the authority delegated by the Board without affecting the 5

6 construction of projects in which the proceeds from fund raising are invested and the utilization of such proceeds. Therefore, the Directors consider that the Fifth CITIC Product Agreement, the Sixth CITIC Product Agreement and the Eighth Agricultural Bank Product Agreement are fair and reasonable and in the interests of the Company and the Shareholders as a whole. V. IMPLICATION OF THE HONG KONG LISTING RULES The relevant subscription amount under the Fifth CITIC Product Agreement and the Sixth CITIC Product Agreement itself does not respectively constitute a discloseable transaction of the Company under the Hong Kong Listing Rules. However, the relevant subscription amount under the Fifth CITIC Wealth Agreement and the Sixth CITIC Product Agreement shall be aggregated with those under the First CITIC Product Agreement, the Second CITIC Product Agreement, the Third CITIC Product Agreement and the Fourth CITIC Wealth Agreement pursuant to Rule of the Hong Kong Listing Rules. GENERAL Information of the parties The Company The Company is principally engaged in the research and development, design, manufacture and sales of automotive steering gears and other key components and parts of steering system, and the supply of four types of steering products to large automakers: hydraulic power assisted recirculation ball steering gear for commercial vehicles, hydraulic power assisted rack-and-pinion steering gear and steering knuckle for passenger cars and EPS system for energy-saving and new energy vehicles. China CITIC Bank China CITIC Bank, formerly known as CITIC Industrial Bank and founded in 1987, changed its name at the end of Headquartered at Beijing, China CITIC Bank is one of national commercial banks in the PRC, whose substantial shareholder is CITIC Limited. Agricultural Bank of China Agricultural Bank of China is a licensed bank incorporated under the laws of the PRC. The principal businesses of Agricultural Bank of China include various corporate and retail banking products and services for a broad range of customers, and carrying out treasury operations for our own accounts or on behalf of customers.
