Adair, CGFM Finance Director & Treasurer sadair@centerline.gov GENERAL INFORMATION The City of Center Line ( the City ) invites qualified banking institutions to submit proposals to provide banking services as described in the attached specifications. The intent of this Request for Proposal (RFP) is to select one banking institution to provide basic banking services. However, the City reserves the right to award agreement(s) to more than one successful bank for any combination of services based upon whatever is deemed to be in the City s best interest. The City is a second ring suburb of the metropolitan Detroit region, located in Macomb County, Michigan, and has a population of approximately 8,300. The City is located ten miles north of downtown Detroit and is centrally located along U.S. Interstate 696 and just one mile from U.S. Interstate 75, making the City an ideal location for industry and commerce. Among the City s most famous manufacturing businesses is Mopar world headquarters, a subsidiary of Chrysler Group, LLC, as well as Whitlam Label Company. Mopar makes performance automotive parts for the full line of Chrysler vehicles. Whitlam Label Company is a major worldwide supplier of all vehicle information stickers found on nearly every major vehicle line in the United States and internationally. 2 Page 2 of 21 A. Bank financial analysis/rating from an independent source. This is a source different than the audited financial statements. B. Copies of their annual externally-audited financial reports for the past three (3) years. These reports will be used to determine the financial strength of the bank. The successful bank will, during the term of the contract continue to furnish to the City updated issues of each report in a timely manner. TIME TABLE Tuesday, August 6th, 2013 Request for Proposals is released on Michigan Intergovernmental Trade Network (MITN). Those interested in bidding should immediately submit an address to Steve Adair, Finance Director and Treasurer at sadair@centerline.gov in order to receive copies of all ed questions asked during the RFP open question period. Tuesday, August 20 th, 2013 at 5:00pm Deadline for mailed/ ed questions to be received. No questions will be accepted or answered after this time. Friday, August 23 rd, 2013 at 5:00pm Deadline for all completed responses to the RFP. All responses must be in the Clerk s Office by this time. All proposals received after this time will not be considered as part of the RFP process. PUBLIC INFORMATION PROCEDURAL INFORMATION All proposals and information submitted as part of a proposal will become a public record. 2. RESPONSES TO QUESTIONS

3 Page 3 of 21 A bank may submit written questions in order to clarify any matter relating to this RFP. The bank's question(s) and the City's answer(s) will become part of the public record and will be shared with all other banks provided with the RFP. Questions will be accepted until Tuesday, August 20 th at 5:00pm. Written questions may be delivered by mail or . Verbal questions will not be accepted. In the event it becomes necessary to revise any part of the RFP, supplements will be available on MITN. 1. CRITERIA FOR SELECTION SELECTION PROCESS Proposals will be reviewed by the City Manager/Clerk and Finance Director/Treasurer. The City reserves the right to award this proposal to the bank(s) considered most qualified based upon a combination of factors including but not limited to the following: A. Completeness of proposal B. Financial strength of the financial institution C. Completeness of proposal D. Availability of services within this RFP E. Caliber of customer service, training and technology platforms F. Least total cost to the City, greatest value to taxpayers 2. RESPONSIVENESS TO CRITERIA A check will be made to ensure that the responding bank has submitted the appropriate proposal forms and that the required financial data has been included. Services will be evaluated on availability, time schedules, reporting and in the case of interest bearing demand accounts, interest rates. Financial strength and capacity evaluation will be based upon the information contained in the required annual financial reports. All proposals that pass the completeness test and financial strength/capacity tests will be compared based upon the total cost for City designated services. Cost comparisons shall be calculated using the monthly service costs and highest earnings factors specified in the bank's proposal and the resulting direct fee basis (An equivalent compensating balance may be shown as a comparative figure).

4 Page 4 of 21 The basic required service proposal will be evaluated separately from any optional service proposal. Please make each proposal separate, so that each can be evaluated on its individual completeness, responsiveness and cost criteria. INSTRUCTIONS TO BIDDERS 1. The following pages include a banking questionnaire and proposal pricing form to be completed by each bank submitting a proposal. Each item must be completed. Banks not responding to any one of the questions may be classified as unresponsive. The bidder must initial and date any proposal corrections. 2. Responses should be concise and complete. Alternate and multiple proposals will be accepted. 3. Completed forms may be duplicated as required. Three (3) complete copies of the package shall be submitted. 4. The proposal is to be completed in legible form. 5. Any additional written material your bank may think important may be attached and submitted to augment the data included in the questionnaire. 6. Sealed submissions are due Friday, August 23 rd, 2013 at 5:00pm EDT, in the City Manager/Clerk s Office, 7070 East Ten Mile, Center Line, Michigan, Proposals will be publicly opened in the City Council Chambers on Monday, August 26 th, 2013 at 10:00am EDT. 7. Submissions should be prominently marked RFP - BANKING SERVICES. 8. No faxed or ed proposals will be accepted. 9. All information requested herein shall be submitted with the RFP; failure to do so may result in rejection of the RFP as non-responsive and/or incomplete. 10. The City reserves the right to reject any and all submissions, to waive any informality in any RFP received and to accept any RFP or part thereof, which shall be deemed to be most favorable to the interests of the City. 11. Execution of Agreement If a banking institution does not execute an agreement within sixty (60) days after being notified of selection, the City may give notice to the bank of the City s intent to select the next most qualified proposing bank or call for new proposals, whichever the City deems most appropriate.

5 Page 5 of Liability for Costs The City is not liable for any costs incurred by firms with regards to the response to this RFP, including demonstration of services requested in this RFP. 13. Independent Price Determination By submitting a proposal, the proposer certifies that in connection with this proposal: A. The fees in the proposal have been arrived at independently, without consultation, communication or agreement, for the purpose of restricting competition, as to any matter relating to such fees with any other proposer or with any other competitor; and B. Unless otherwise required by law, the fees which have been quoted in the proposal have not been knowingly disclosed by the proposer directly or indirectly to any other proposer or to any competitor; and C. No attempt has been made or will be made by the proposer to induce any other person or firm to submit or not to submit a proposal for the purpose of restricting competition. D. Each person signing the proposal certifies that he/she is legally responsible and authorized to do so by their organization and further has the ability to bind their organization to a contract with the City. BANKING SERVICE REQUIREMENTS I. DESCRIPTION OF OPERATING SYSTEM GENERAL INFORMATION: The City will require four (4) checking accounts: one (1) payroll clearing account, one (1) accounts payable clearing account, one (1) Police and Fire Pension Retirement System checking account; and one (1) general checking account. All daily receipts are deposited to the general checking account with the exception of one (1) monthly receipt that is deposited to the Police and Fire Pension Retirement System checking account. The payroll and accounts payable accounts are zero balance accounts (zba) funded by the general checking account. A. GENERAL CHECKING ACCOUNT all City funds, with the exception of the Police and Fire Pension Retirement System funds, are disbursed from this account. Book entry deposits and ZBA transfers are made through this account. B. PAYROLL approximately 120 part time and full time City employees are paid biweekly by check or direct deposit. C. ACCOUNTS PAYABLE an average of 80 checks are written twice a month.

6 Page 6 of 21 D. POLICE AND FIRE PENSION RETIREMENT SYSTEM 47 Center Line Police and Fire Pension Recipients are paid monthly by direct deposit. II. REQUIRED SERVICES GENERAL INFORMATION: The categories listed below are the basic required packages of banking services. Each institution submitting a proposal will provide a complete list of service prices by completing the Proposal Pricing Section, pages 16, 17, 18 and 19 of 21. This list will be considered all-inclusive, and the prices shown on the list will be incorporated into the agreement. The list will be effective under the terms of the contract. In completing the Basis for Determining Rate section, page 17 of 21, specify the money market instrument upon which the proposed rate is based and the method to be used in calculating the rate, i.e. 90% of prime rate, etc. Vague references to managerial discretion are not acceptable. A. DEPOSITORY REQUIREMENTS CURRENT CHECKING ACCOUNTS 1. GENERAL This account will be a sweep account. It is anticipated that there will be approximately 15,000 deposited checks per year to this account. In addition approximately $275,000 will be deposited in cash or coin. It is further anticipated that there will be 5,000 checks issued per year, 2,800 payroll checks and 2,200 accounts payable checks. We will use positive pay service for these checks and require data transmission to the City of the monthly reconciliation of this account. The bank will transfer funds from this account to our accounts payable and payroll zero balance accounts to cover checks that have cleared. The level of available funds will be determined on the following schedule: SAME DAY items on the depository, wire transfers, ACH deposits and cash NEXT DAY items on local institutions

7 Page 7 of 21 FEDERAL RESERVE SCHEDULE other items The above schedule will be the required clearing schedule, unless otherwise noted. If the bank can offer faster clearing services, it should be outlined in the proposal. If a submitting banking institution is using an availability schedule other than the Federal Reserve Schedule, a copy MUST be attached to the proposal. Interest will be calculated on the daily balance and paid on the last day of each month. Proposals will include the type of account, i.e. sweep, etc., the basis for determining the interest rate and compensating balance, and the fee to cover all services relating to general operations outlined below. 2. DEPOSITS FOR THE CITY The bank will provide depository bags, at no cost, as needed. The bank will provide to the City a bonded courier service to transport deposits to the bank OR onsite deposit vaults to be retrieved by a bonded courier service. Deposits normally occur each Tuesday and Thursday as well as on the first day of each month. Completed deposit slips will be delivered to the City Treasurer via mail or other delivery service the business day after the deposit is completed. All coins deposited will be rolled and cash will be bundled. Any deposit adjustment will be documented with the appropriate debit or credit advice. Photocopies of the check deposit batch tapes and any check(s) claimed in error will be attached to the adjustment advice slip. Discrepancies between the amount shown on the deposit slip and the funds submitted will be handled as follows: a. When the funds submitted exceed the amount shown on the deposit slip, two deposits will be made, the original deposit and a separate deposit of any excess funds. b. When the funds submitted are less than the amount shown on the deposit slip, the original deposit will be

8 Page 8 of 21 made and a separate debit outlining the difference will be processed. 3. WIRE TRANSFERS It is estimated that these accounts will have approximately fifteen (15) outgoing and thirty (30) incoming wire transfers per year. 4. RETURNED CHECKS All items returned for insufficient funds will be automatically presented for payment a second time. The online banking system will provide images of all returned checks. 5. STOP PAYMENTS Include a statement on the proposed stop payment process for both web based or on a manual basis. It is estimated that one stop payment will be issued per month. 6. PRINTING The bank will provide two part deposit slips printed at no cost to the City. Also coin wrappers and currency bands are to be provided at no cost. The City will provide all checks drawn off this account. 7. OTHER Submitting financial institutions are requested to list any other services that will be provided to the City. B. ZERO BALANCE ACCOUNTS The City will use two zero balance accounts for accounts payable and payroll. All funds deposited into these accounts will be in the form of a bank initiated daily disbursement from the City s General Account. The City will provide all checks drawn off these accounts. C. AUTOMATED CLEARING HOUSE (ACH) The City will be initiating a program where it will be accepting water/sewer payments as well as tax payments from customers

9 Page 9 of 21 using an automatic withdrawal from their financial institution accounts. The City currently bills water/sewer in two batches on an alternating bi-monthly basis. There are approximately 1,500 customers billed each month. The City also uses ACH disbursement for vendor payments and payroll deduction remittances. D. PAYROLL SERVICES The City requires each financial institution to provide automatic direct payroll deposit services. On-line capabilities for transmitting all of the information required by the appropriate government agencies are required and should be described in the proposal. E. POSITIVE RECONCILIATION In order to reduce the possibility of check fraud the City will be implementing a positive pay reconciliation process. The City would provide a listing of check numbers, amounts and payees for verification at time of presentment. A monthly text file of all cleared checks will be provided to the City. III. ACCOUNT MAINTENANCE GENERAL INFORMATION: Each proposal will include specific times when the information and materials requested below will be provided to the Finance Director. The Finance Director has established suggested standards which are set forth in parentheses, ( ); although submitting financial institutions can propose earlier times on the Proposal Forms. Submitting financial institutions are requested to establish times which best fit their bank. A. DAILY REPORTS The daily ending balance in each account will be available to the City Finance Office during the morning of the next banking day at (9:00a.m). When this information is not available at the specified time, the City s Finance Office will estimate the account balances and make investments according to their best estimates of the balances. The City will not be charged or penalized, over the rate of compensation, if an overdraft results because of the account balance information not being available at the specified time.

10 Page 10 of 21 B. DAILY STATEMENTS We require timely notification of daily activity. C. MONTHLY STATEMENTS Monthly statements for all accounts must be provided via internet with documentation supporting all entries on the statements within three (3) business days after the last calendar day of each month. Cancelled checks will be sorted in numerical order and returned utilizing optical imaging by remote access via internet. The statements will have checks listed in numerical order with any breaks in order noted. A monthly analysis report showing overall activity in all City accounts will also be provided to the Finance Director within ten (10) business days after the end of each calendar month. This report will include a monthly analysis of the bank s cost of operating the City accounts. D. RESOURCE PERSONNEL The bank will identify personnel within its operation who are available to answer transaction questions requiring professional level expertise. E. DEPOSIT SERVICES The bank will give all deposits received by (4:00 p.m.) credit as good ledger balance funds for the same day. The bank will similarly identify the branch where daily deposits will be accepted. A bonded courier service will be provided by the bank for the secure transport deposits twice a week OR onsite deposit vaults shall be provided, to be retrieved by a bonded courier service. F. WIRE TRANSFER SERVICES The bank will maintain wire transfer facilities to the Federal Reserve Bank for investment purchases or sales and other transactions with commercial banks. Wire service credit and debit notices must be included in the monthly statements. G. ACCESS TO RECORDS AND COOPERATION The bank shall, upon authorization from the Finance Director, allow reasonable access to bank records by the City s independent auditors, and where state or federal assistance is involved, to state and federal auditors, to examine records relating to the use of City funds. The bank

11 Page 11 of 21 shall also cooperate in any prosecution for misuse of City checks and/or misappropriation of City funds. H. NEW ACCOUNTS If the City develops a need for additional accounts or services during the life of this agreement, those new accounts or services shall be provided with the same conditions as apply to existing accounts at the time. The bank will take steps to keep the City informed of banking regulatory changes which impact City Treasury activities. IV. COMPENSATION GENERAL INFORMATION: Compensation will be provided either in the form of a compensating balance, determined by a formula described below, or a fixed fee. The fee will be deducted from the General Account as herein described on the last day of each month. A. COMPENSATING BALANCE FORMULA The bank shall provide their method and formula for calculating the monthly service fee based on compensating balance and a sample calculation based on the enclosed Proposal Pricing. B. FIXED FEE PROPOSAL In addition to the compensating balance proposals, each financial institution submitting a proposal shall specify a fixed monthly fee for the City to consider in lieu of the compensating balance method of compensation. Under this method of compensation, interest will be paid to the City on the basis of ledger balance before float. V. OPTIONAL SERVICES GENERAL INFORMATION: In addition to the banking services described in the Required Services (Section II), the City requests proposals for additional optional services as described below. Submitting financial institutions may, under separate cover, submit optional proposals for other services that the bank feels would be in the best interest of the City. Any optional services proposal will be considered separately from the basic service proposal. Each proposal is to be made separately, so that each can be considered as a complete entity. The Selection Criteria set forth previously applies to the selection of a bank for optional banking service(s).

12 Page 12 of 21 If chosen as the primary banking service provider, please indicate any discounts that would be applicable to your separately proposed optional services. A. ON-SITE ATM MACHINE Currently the City only accepts payments in the form of cash, cash equivalents such as certified funds, money orders, and checks. The City would like to accommodate its customers by offering an onsite ATM in the Municipal Complex building for resident s use. B. ON-SITE AND ONLINE CREDIT CARD AND DEBIT CARD PAYMENT Currently the City only accepts payments in the form of cash, cash equivalents such as certified funds, money orders, and checks. In addition to an on-site banking ATM, the City would also like to begin accepting credit card and debit card payments. All bids should include the cost to the City as well as to the end user (customer) for use of the service. Also, include the costs (either leased or purchased) of any required equipment purchases, such as card readers. C. PROCUREMENT CARD SERVICES Currently, the City has approximately six (6) corporate credit cards issued for purchases and bill payment by card users. The annual charges amount to approximately $50,000. The City would like to eliminate these credit cards and replace them with procurement cards, which limit purchases to certain types of businesses and thus work to mitigate the City s risk of misappropriation of funds.

20 Page 20 of 21 DEVIATION FROM SPECIFIED SERVICES: PRICES: The City anticipates that the same services provided by current financial institutions will be provided by the successful Financial Institution as a result of this Request for Proposal. If your bank cannot provide the type of account and fund flow described in the specifications, please indicate the difference in the Exceptions section. The Finance Director will evaluate the alternatives provided in lieu of the specified services. His decision as to acceptability will be deemed in the City s best interest and will be final. Prices quoted shall remain firm for 90 days or proposal award, whichever comes first, except the successful bidder whose prices shall remain firm for the entire contract period. CONTRACT PERIOD: The selected institution will be designated the City s banking services provider for an initial five (5) year period, commencing on the date of award and expiring five calendar years later. The contract may be extended through mutual consent of the City and the designated banking institution within sixty (60) days of the contract termination, under the same terms and conditions. Pricing for services may change with adequate documentation from the Banking Institution but the City reserves the right to review and accept or reject the request for payment adjustment(s). CONTRACT TERMINATION: The City reserves the right to cancel the agreement upon 60 days written notice of its intent to terminate the agreement at the City s discretion. AWARD OF CONTRACT The bank service contract will be awarded by the City Council at its earliest convenience (approximately September 9, 2013). AGREEMENT DOCUMENT: The City reserves the right to review and modify the banking agreement submitted by the selected financial institution to conform to the accepted bid. If a final agreement document cannot be signed by either party due to irreconcilable differences within sixty (60) days after the City Council approval date, the City reserves the right to rescind the award and to re-award this contract to another Financial Institution or commence another Request for Proposal process. If any
