9 Terms Of Service At a glance Payment occurs monthly or quarterly depending on your preference. You will receive a monthly report from us showing how your rankings are progressing. Call or us anytime for support, questions or marketing advice. This service requires a minimum contract period of 6 month because of the gradual nature in which SEO takes effect. After the minimum 6 months, the service will continue on month to month basis until you wish to cancel it. We require 30 days of prior notice to cancel this service. There is a simple form that you need to fill out to confirm this cancellation. This form must be submitted to us to cancel the service. Once this form has been submitted to us, the SEO service will continue for 30 days and billing will continue during this time. The legal jargon Our standard terms and conditions regarding Search Engine Optimisation (SEO) are detailed below. By placing an order with Fireworks Websites Pty Ltd ( Fireworks ) for SEO, you confirm that you are in agreement with and bound by the terms and conditions below. DEFINITIONS: The Client: The company or individual requesting the services of Fireworks. Fireworks : Primary designer/site owner & employees or affiliates. Optimisation: The process of improving the visibility and ranking of a webpage in search engines via the "natural" or unpaid ("organic" or "algorithmic") search results. SEO: The process of improving the visibility and ranking of a webpage in search engines via the "natural" or un-paid ("organic" or "algorithmic") search results. Contract Period and Cancellations 1.1 Fireworks will be conducting SEO to get clients websites listed on page 1 of Google, because of the work involved to get you listed on the first page of Google, the client must commit to a minimum period of 6 months of billing with our SEO plan. The client cannot cancel this service during the 6 month contract. After this 6 month contract period has

10 ended, SEO will continue on a month-to-month basis until written notification is received by Fireworks from the client that they wish to cease the service. If you do not make a request to cancel this service, the service will automatically continue on a monthly basis. 1.2 A request to cancel this SEO service can be made once the minimum 6 month contract is finished. A request to cancel this service will only be accepted by Fireworks if it is in the form of Fireworks' official cancellation form that will be provided to you on request. Cancellation requests made in any other format will not be accepted by Fireworks. Cancellation of this service occurs 30 days from the date that you complete this form. Therefore, a minimum of 30 days notice is required before this service will terminate. 1.3 The Client acknowledges that SEO is governed by many factors which are outside the direct control of Fireworks, and indeed, any other SEO company. Search Engines are third party systems with unknown variables, algorithms and indexing decisions that can change at any time, with which we have no control over. As such, no SEO specialist can offer a 100% guarantee of getting your website ranked #1 on any major Search Engine for your desired keywords. 1.4 Fireworks uses only ethical, legitimate SEO techniques and accepted standards to improve your Search Engine Ranking no tricks, no duplicate content, no invisible text, no re-directs. Some other SEO companies around the world use illegal software to spam Search Engines in order to improve the website rank quicker, but this usually results in a permanent ban of the website. By working with search engines and not against them, Fireworks ensures that clients have the best chance of achieving high organic search engine result page (SERP) rankings. Fireworks will provide the services with reasonable skill and care. Notwithstanding the previous sentence, the client acknowledges that Fireworks has no direct control over Search Engines and cannot guarantee the speed of performance of technologies provided by Search Engines in relation to the delivery of the services. Fireworks operates within the major Search Engines in Australia and worldwide. Listings will appear on either.com.au or.com engines dependent on the website s status, and the decisions of the Search Engines. 1.5 Fireworks SEO Service shall state in writing the exact keywords / phrases and the exact web page to optimise. Once the list of keywords has been compiled by Fireworks and the client, Fireworks will begin optimisation with billing commencing at this time. The client can choose to change the keywords in their list at any point in time, however it takes time to increase the websites ranking for each new keyword, therefore Fireworks do not recommend changing keywords frequently. 2. Hosting 2.1 The website should be hosted on a reliable server, based in the country of Search Engine interest, with constant availability, for optimum results. Fireworks cannot be held responsible for problems or additional costs arising due to any errors made by third parties, or failure to maintain a current copy of The Client s website. (Backups can be made at the client s request.) Website downtime can severely affect SEO. Down time can potentially cost the client their ranking positions for their desired search terms, and even a short period of down time can affect Fireworks SEO efforts. If the client s website experiences downtime due to server error, maintenance or any reason outside the reasonable control of Fireworks for a period of more than 3 days, the client is not entitled to any refund in whole or part thereof if Fireworks is not able to fulfill the service requirements. 2.2 If the client s website experiences downtime due to server error, the search engines could deem the website unreliable and lower the sites ranking. Fireworks reserves the right to charge additional fee s to achieve the clients requirements. 2.3 The client will not hold Fireworks responsible for any errors resulting from the client s website being unavailable for any reason. All/any traffic delivered to the client's website during this down time will not be credited or refunded. 3. Website Access 3.1 The client agrees to supply Fireworks with the necessary FTP and CMS backend access to the website, in order to optimise the website, unless otherwise negotiated prior to the commencement of SEO. 4. Content 4.1 Fireworks advises that regular, fresh content added to the website will significantly help to improve the stability of rankings within search engines. By accepting this agreement, the client understands fully that regular, unique content plays an important part in the success of their website ranking on page 1 of Google and that failure to add unique content will lessen the impact of the SEO services provided by Fireworks. 4.2 The client agrees to supply Fireworks with relevant content (text and images) that can be added to the web page that

11 is being optimised. If Fireworks has to create or source content on the clients behalf, the client will be given a quote for this work before proceeding with the service. 5. Search Engine Submission 5.1 The client gives permission for Fireworks to set, create and or set up relevant accounts with search engines on behalf of client, in order to fulfill its obligations under these terms. 5.2 The client acknowledges that Search Engines will rank websites with their own differing strategies. Some Search Engines use the algorithms and services of bigger Search Engines. The client acknowledges that any addition or alteration to the listing of the website in any Search Engine may affect the listing in other non-targeted Search Engines. 5.3 Search Engines have differing scheduled times to crawl and index submitted sites into their database, ranging from hours to months. Fireworks cannot guarantee an exact timeframe for SEO services. 6. Changes 6.1 If the client uses a third party (other than Fireworks ) during the SEO contract period between Fireworks and the client, Fireworks cannot be held responsible for any consequential loss of listings or associated damages that may arise. 6.2 If the client or any 3rd party, after engaging Fireworks SEO service, makes modifications to the website that use unethical SEO techniques to try and achieve high listings on the Search Engines (such as cloaking, hidden text, keyword stuffing, etc.) or add pharmaceutical, gambling or pornographic links to the website that have no relevance to the website, Fireworks will issue a 7 day cancellation request. If the questionable techniques are not removed within that time, Fireworks will cancel the existing contract with immediate effect and all fees payable to Fireworks will be retained. Fireworks will not be held liable for the effects caused by the client or a third party using unethical techniques. 6.3 Google can change its policy, its algorithms or ranking at any time. This can alter what can be achieved and Fireworks cannot be held responsible. 7. Refunds 7.1 Fireworks is under no obligation whatsoever to accept the cancellation of the services or cancellation of orders incorrectly placed. 8. Material 8.1 Fireworks reserves the right to refuse to handle: Any media which is unlawful or inappropriate Any media which contains a virus or hostile program Any media which constitutes harassment, racism, violence, obscenity, harmful intent or spamming Any media which constitutes a criminal offence, infringes privacy or copyright Any other questionable media at Fireworks own discretion 9. Disclaimers, Limitations, Warranties and Liability 9.1 Fireworks warrants that the services will at the time of delivery correspond to the description given by Fireworks. 9.2 The Client agrees Fireworks is not liable for any failure to carry out services for reasons beyond Fireworks control. 9.3 The Client agrees Fireworks is not liable for absence of service as a result of illness or holiday. 9.4 Fireworks is not liable for any consequences or financial losses such as, but not limited to, loss of business, profit, revenue, contract, data or potential savings, relating to services provided. 9.5 Fireworks shall have no liability to the Client or any third parties for any damages, including but not limited to, claims, losses, lost profits, lost savings, or other incidental, consequential, or special damages arising out of the operation of or inability to operate the website, even if Fireworks has been advised of the possibility of such damages.

12 9.6 The Client agrees that it is their responsibility to comply with laws and taxes which affect Internet ecommerce and will hold harmless, protect, and defend Fireworks from any claim, suit, penalty, tax, or tariff arising from the Client s exercise of Internet ecommerce. 9.7 Fireworks may from time to time recommend to the Client that updates are needed for their website to comply with, including but not limited to, new legislations, software releases and web standards. Fireworks reserves the right to quote for any updates as separate work. The Client agrees that Fireworks is not liable for any failure to inform or implement these updates to their site. The Client agrees that it shall defend, indemnify, save and hold Fireworks harmless from any and all demands, liabilities, costs, losses and claims arising from omission to inform or implement these updates. 9.8 Fireworks shall not be responsible for URLs or web pages dropped or excluded by a search engine for any reason. 9.9 Fireworks cannot guarantee you will get a top ranking or first page ranking with any search engine To the fullest extent permissible by the law applicable to this Agreement, Fireworks will not be liable for any personal injury, incidental damages, consequential losses, loss of profit or any like claims whatsoever arising from any use of, or incidental to, the Software. Without limiting this clause or any other clause in this Agreement, Fireworks will not be liable for any personal injury, incidental damages, consequential losses, loss of profit or any like claims whatsoever arising from or incidental to the use of the Software by the Client. 10. Payment For SEO Services 10.1 The Client is to pay a monthly fee, which will be agreed upon with the client and Fireworks before the SEO service starts The Client will receive a monthly report on how their website is progressing through the rankings Billing occurs monthly or quarterly depending on the client's preference The Client agrees that any failure by the Client to make payment of the set monthly fee will be dealt with under the general terms and conditions of trade as supplied by Fireworks.
