6 The Summit s Purpose Sponsor/Exhibitor Agreement This Agreement (hereinafter the Agreement ) is made and entered by and between ( Sponsor/Exhibitor ) and Operation UNITE ( UNITE ), a Kentucky non-profit organization. WHEREAS, Sponsor/Exhibitor desires to support the National Rx Drug Abuse Summit (hereinafter the Summit ) scheduled for April 2-4, 2013, at the Omni Orlando Resort at ChampionsGate in Orlando, Florida; WHEREAS, the Summit is designed to bring all impacted parties together to address the country s prescription drug abuse epidemic, including, but not limited to, professionals from the fields of prevention, education, treatment, law enforcement, health care providers, pain management, private industry, advocates and human resources; NOW, THEREFORE in consideration of the mutual promises contained herein, the parties agree to the following Terms and Conditions. TERMS AND CONDITIONS 1. Contract a. Sponsor/Exhibitor has entered into a binding contract for Exhibit Space, Strategic Sponsorship, Event Sponsorship and/or Supporting Sponsorship, which is incorporated by reference in its entirety in this Agreement. b. Sponsor/Exhibitor agrees to the additional terms and conditions set forth below as a condition of participation in the Summit. 2. Conditions of Participation a. UNITE retains complete control of and right of approval over all content related to the Summit in order to uphold the character and purpose of the Summit. b. Sponsor/Exhibitor certifies that it has never been convicted of or plead guilty to criminal charges related to the marketing, sale or branding of narcotics, and it does not receive majority funding from a corporate entity that has been convicted of or plead guilty to criminal charges related to the marketing, sale or branding of narcotics. c. UNITE will provide to the Sponsor/Exhibitor all benefits as outlined in the 2013 Sponsorship Guide. d. Sponsor/Exhibitor allows UNITE to use its name, logos and trademarks in promotion, advertising and conducting the Summit subject to any restrictions or limitations communicated to UNITE in writing. e. Sponsor/Exhibitor authorizes UNITE to edit, alter, copy, exhibit, publish or distribute any photograph taken during the Summit for purposes of publicizing or advertising for UNITE s programs, events or for any other lawful purpose, In addition, Sponsor/Exhibitor waives the right to inspect or approve the finished product, including written or electronic copy. f. UNITE may publicly disclose information about Sponsor/Exhibitor s support of the Summit. g. Neither party shall do anything that might harm the other party s reputation or goodwill.
