2 REINSURANCE GROUP OF AMERICA, INCORPORATED (RGA) RGA is one of the largest life reinsurers in the world, serving clients in more than 60 countries from operations in 26 countries around the world. RGA, a FORTUNE 500 company, has been listed on the New York Stock Exchange since 1993 (NYSE: RGA). As of December 31, 2014, RGA had approximately $2.9 trillion of life reinsurance in force and assets of $44.7 billion. Total revenues in 2014 were $10.9 billion. For the sixth consecutive time, RGA s main operating subsidiary, RGA Reinsurance Company, was named Best Overall Life Reinsurer in the 2015 Flaspöhler Survey (Direct Writers Evaluate Reinsurers / Life N. A.). RGA INTERNATIONAL REINSURANCE COMPANY LIMITED (RGA International Re) RGA International Reinsurance Company Limited is a wholly owned subsidiary of RGA. RGA International Re, based in Ireland, and its affiliate, RGA Global Reinsurance Company, Limited, based in Bermuda, together form an integral platform for RGA s business operations outside North America. Both RGA International Re and RGA Global Re received the AA- issuer credit and financial strength rating from Standard and Poor s. RGA s international operations contributed 32% of RGA s net premiums in RGA International Re was formed in June 2003, in Dublin, Ireland as a life reinsurance company to support clients located in Continental Europe, India and Singapore. The company has branch offices in France, Germany, Italy, the Netherlands, Poland, Spain, the U.K., and Singapore. The company focuses on the provision of effective economic and service-oriented solutions for each of the individual European markets. RGA International Re meets local legislative and fiscal requirements by setting up branches in local countries, as appropriate. Moreover, as a highly rated company, RGA International Re provides strong counterparty protection for its clients. RGA International Re allows RGA to more efficiently manage the administration of its international operations. Regulated by the Central Bank of Ireland, the company is ideally placed to maximize the effective use of capital to the benefit of its customers, while at the same time leveraging its branch network to support locally based sales, marketing and administrative teams. RGA International Re s local offices are supported by the group s service team, located in Toronto (International Head Office) and St. Louis (Corporate Head Office), to ensure that clients receive the same high standards of underwriting, claims management, administration and IT support that RGA has used to build its worldwide reputation. 3 LINES OF BUSINESS RGA International Re reinsures life products primarily covering mortality risk, annuity risk and all related riders. RGA International Re s license also allows it to write Accidental Death and Dismemberment, Total Permanent Disability, Disability Insurance and Critical Illness reinsurance. The company also writes customized nontraditional reinsurance to meet the specific needs of its clients. Reinsurance is written primarily on a risk premium or coinsurance basis, covering risks on a quota share or excess basis. Reinsurance agreements may be either facultative or automatic, covering individual and/or group risks. Both new policies and in-force policies are reinsured. MARKETS RGA International Re currently writes business in Ireland, Continental Europe (including Eastern Europe and Scandinavia), the Commonwealth of Independent States, India, Singapore and the U.K. DISTRIBUTION RGA s staff markets products and services to existing and potential clients which, for the most part, are life insurance companies. RGA supports its clients with locally based, experienced personnel. COUNTERPARTY ASSESSMENT RGA International Re assesses counterparty risk of retrocessions (e.g., retro approval process), and monitors its counterparty exposure and mitigation strategies, as part of its prudent approach to risk management. RATINGS RGA International Reinsurance Company Limited receives a high rating for its claims-paying ability based on the company s financial condition and earnings. RGA International Re is rated by Standard & Poor s; the rating has consistently been AA- since 2004 (current outlook: stable). Scott Cochran is an Executive Vice President of Reinsurance Group of America, Incorporated. He has more than 15 years of experience with a range of insurance and reinsurance markets and product lines and is a member of RGA s Executive Council. Seamus Creedon (Chairman of the Risk Management and Compliance Committee and Non-Executive Director) is a qualified actuary with more than 40 years of wide-ranging experience in the Financial Services industry in both Ireland and the U.K. He was the first Chief Executive Officer of Lifetime, Bank of Ireland s life assurance company, and subsequently a partner with KPMG in London. He holds a number of other non-executive director positions within the life and health re/insurance sectors. He leads the representation of the European actuarial profession within the development and implementation of the Solvency II regime of prudential supervision of the insurance industry. Olav Cuiper is Executive Vice President, EMEA Markets, with over 30 years of experience in the financial services industry. Hans Danielsson (Non-Executive Director) has an MBA from Insead, Fontainebleau. He has more than 30 years of experience in the investments industry. Patricia Kavanagh is the Managing Director of RGA International Reinsurance Company Limited, with almost 30 years of experience in the industry. Donna H. Kinnaird is Senior Executive Vice President and Chief Operating Officer of Reinsurance Group of America, Incorporated. She leads RGA s global and corporate functions, including Global Accounts. She is also responsible for initiatives aimed at new expansion opportunities. Ms. Kinnaird has almost 30 years of experience in the insurance and reinsurance industry and is a member of RGA s Executive Council. Enda Murphy is Executive Vice President (EVP) and Head of Global Business Operations, with almost 30 years of experience in the industry. Allan O Bryant is Executive Vice President and Head of Asia for Reinsurance Group of America, Incorporated, with more than 20 years of experience in the financial services industry. He is also a member of RGA s Executive Council. John O Hanlon (Chairman Audit Committee & Non-Executive Director) is a Chartered Accountant (FCA) with 40 years of experience in the Financial Services arena, an ex-ceo of Allianz Ireland, an experienced non-executive Director/Chairman and holds a number of such appointments at primary and captive re/insurance companies in Ireland. A. Greig Woodring is President, Chief Executive Officer, and a director of Reinsurance Group of America, Incorporated. Prior to becoming President, Greig served as Executive Vice President of General American Life Insurance Company (now GenAmerica Financial), in charge of all reinsurance business.
