4 3 Our history ICD-SITRA S.A. de C.V is a subsidiary enterprise of ICD (Inmobiliaria, Constructora y Desarrolladora S.A. de C.V.), its objective is to provide an adequate response to the existing growing need, in Mexico and abroad, to plan and integrally construct Tourism Estate Developments, warranting to clients its execution with absolute accuracy in budget, time and with the highest standards in quality during the whole process. CONSTRUCTORA ICD S.A. de C.V. was founded by a teamwork that joint two experience platforms: on one hand professionals who worked for more than 35 years in developing commercial constructions in the State of Jalisco, and on the other hand, a workgroup that had participated in over 16 years in the construction and development of tourism projects of all kinds in Mexico, Central America and the Caribbean. Afterwards, Constructora ICD S.A. de C.V. merged with Grupo SITRA S.A. de C.V.,an enterprise, which at the same time was a subsidiary of Kverner Cementation House Holding LTD. before known as Trafalgar House Construction International Holding LTD, which is one of the largest Construction Groups worldwide and evidently developer of a large number of hotels around the world. 5 Our mission ICD-SITRA s mission, is to plan and integrally build hotels and tourism master plan comunities on Turnkey basis back up by the vast experience of the members of the Board of Directors, With a well design and experimented work methodology, ICD-SITRA participates in the development of tourism projects, engaging itself in all necessary points: location and acquisition of suitable pieces of land, feasibility, ecological, and legal studies, necessary financing for the project, architectural design, engineering calculations, constructions and project s equipment, to deliver turnkey products of unbeatable quality. ICD-SITRA has a team of professionals specialized in Hotel Management and Tourism such as Architects, Decorators, Electrical, Air conditioning and Mechanical Engineers and other specialists in all kind of needed engineers who directly carry out the entrusted work. 4

7 Financing; key point A key point to any development is the financing that will make it possible. ICD-SITRA provides the support to obtain financing, credits and venture capital. In order to accomplish this, ICD-SITRA has a close relationship with financial institutions and investors, as well as experienced staff to develop investment projects, financial studies and to prepare all corresponding documentation to obtain the necessary funds for the project. 6

Our résumé consists on projects in most of the tourist destinations in Mexico and key destinations in the Caribbean, Central America, USA and Africa. ICD-SITRA also has an engineering department, with the experience, capacity and technology to design hotels and tourism developments that adequately balance users, environmental and cost s requirements. Because of our knowledge of hotel and real estate markets, our designs and engineers consist not only on the most advanced techniques and the necessary aesthetics, but also innovation, vanguard and energy saving of concepts that effectively respond to market expectations, optimizing hotels operational efficiency. ICD-SITRA directly executes the construction of civil works, facilities and special equipment such as: kitchen, washing machines, and mechanical rooms, having for these purposes field and work professionals who support to execution of the job.

21 Mr. Ruiz Vazquez 50 years of practice have extended to a wide array of commercial litigation matters including corporate governance, real estate, real property disputes, contract disputes, breach of contract, breach of fiduciary duty, lender liability claims, and business divorce, focusing on complex business litigation matters. He has tried cases in federal and state courts in different states. He has successfully defended a substantial number of business litigation matters and actions nationwide. His knowledge and experience in law handling a wide range of complex cases have made him uniquely qualified to unravel intricate legal issues. His passion perhaps has being the litigation of complex commercial disputes in the Courts of Appeals; his deep experience includes victories on both the plaintiff and defense side of civil cases. He is a lawyer graduated from the Universidad Autónoma de Mexico, he also studied a B.A. in Philosophy and Letters in Turin, Italy. He has been a professor in the Universidad de Guadalajara, in the Universidad Femenina, and also in the Instituto Pedagogico Salesiano. He speaks several languages such as: Spanish, English, French and Italian. He has mainly devoted his professional career to his law firm, he also has been a consultant to the Banco Nacional de Mexico, Condumex, Banco del Atlantico, Banco de Centro, Detroit Diesel-Allison, among others. He also was deputy treasurer of the State of Jalisco. Honorary Consul of Panama in Mexico, founding partner of the Stock Exchange in Guadalajara, National Secretary of the Consular Corps, President of the Consular National Association of Mexico and member of the board of directors of the International Federation of Consular Associations Throughout his career he has been a columnist and presenter of prestigious newspapers and broadcasts. 25 Rafael is a passionate promoter of international investments specialized in real-estate, particularly in resorts, hotels and residential projects. He has participated in an important number of large-scale operations in several parts of the world, both in terms of the geographical location and/or the capital origin. At present, he is Managing Director Partner of Asintur Inmobiliaria, a company that has participated in the development of over 130 hotels, resort, residential communities, golf courses and marina projects, and Managing Director Partner of the Techno Cycle Company specialized in development of residential real-estate projects. The main international business and investment promotion projects in which he has worked have been operated in or from: New York, Miami, Dallas, Denver, San Diego, Los Angeles, Cincinnati, Las Vegas, Chicago, Washington, DC, Madrid, Palma de Mallorca, Barcelona, Lisbon, Milan, Tokyo, Seul, Saint Thomas, Barbados, Santo Domingo, Punta Cana, Belize, Guatemala, Tegucigalpa, San Salvador, San Jose Costa Rica and Panama; in addition to the main Mexican cities and beach destinations. Prior to his current responsibilities, he collaborated in several tourism resort development companies. He held several positions in Grupo Sintur: from Financial Analyst, Financing Manager, and Financing Director to Project Structuring; all of them in the mega-developments and in the business structuring division. He was in charge of financing for numerous projects, working also since the financial structuring and planning. He leaded the multinational Interval International Company for the Mexico and the Central-America region, providing business development support to more than 150 resort developments located in over 30 tourist destinations. He first worked for companies such as: Grupo Vidanta, Adventure Real Estate, Quinta Real, Grupo Velas and Desarrolladores Residenciales de Occidente. Rafael had the opportunity to work in the public sector, in the Federal Ministry of Tourism as General Director of Investment Promotion, where he was in charge of several programs including the creation and organization of the Mexican Tourism Investment Fair which managed to become the first federal government instrument to gather developers and investors in order to promote the creation of new projects or reinforce existing ones in all tourist destinations in the country. He was in charge of designing the Tourist Investment Promotion System to articulate the actions of different government levels, bodies and agencies for the promotion and facilitation of investments in the industry. He was deputy director of the Minister of Tourism, in the Board of Directors of Bancomext (Mexican Ex-Im Bank), Banobras (Infrastructure Development Bank) and the National Registry of Foreign Investments, and was a direct collaborator of the current Ministry of Economy. He has been keynote speaker in a great deal of conferences at national and international forums.
