Rapidly becoming the standard for blockbuster releases, Dolby Surround 7.1 enables big sound for the big screen by more fully immersing audiences in the action. Dolby Surround 7.1 increases the number of discrete outputs to eight, adding more definition to the surround array and delivering a bigger impact to your audiences. The latest cinema innovation from Dolby, sound-pioneering partner to studios and exhibitors for over 40 years, Dolby Surround 7.1 heightens the impact of movies by giving filmmakers greater control over the placement of specific audio cues in their soundtracks. Dolby Surround 7.1 uses eight discrete channels to establish four surround zones within a theater. Going beyond traditional Left and Right Surround, Dolby Surround 7.1 adds Left and Right Rear channels. 14 DOLBY DIGITAL MEDIA ADAPTER DMA8PLUS $2,500 The DMA8Plus provides digital-to-analog conversion of a digital cinema system s audio to integrate with an existing cinema processor that may not already provide this capability. Four separate digital inputs will accept up to eight channels of PCM digital audio as well as Dolby Digital, Dolby E, Dolby Pro Logic, and Dolby Pro Logic II bitstreams. A separate, adjustable global audio delay is assigned to each digital input to ensure that sound and picture are perfectly synchronized. The front panel is designed for usability, with manual control and digital clock status for each digital input selection, decode mode status, and eightchannel signal presence. DMA8Plus setup software is used during installation as well as for interactive remote monitoring. 18 DOLBY DIGITAL SOUNDHEAD CAT702 $3,040 The CAT702 Digital Soundhead is a penthouse-type reader that bolts directly to many current and older projectors, enabling playback of Dolby Digital or Dolby Digital Surround EX soundtracks. The CAT702 uses a newly designed, more efficient CCD board and lens, an LED level indicator and adjustment, and an integral power supply that requires no AC connection. To ensure smooth film motion, the CAT702 features an easily threaded Davis tight-loop configuration with twin tension arms for superior film guidance. The CAT702 includes a 30 ft video cable (DPN ) for connection to a Dolby Digital processor. With the purchase of a new Product, the individual or entity that has purchased the Product from Dolby or an authorized distributor (the Customer ) will receive Dolby s standard New Product Limited Warranty for one year and Software Maintenance for three years. The New Product Limited Warranty and Software Maintenance Coverage commences on the date of purchase of the Product and will expire after the relevant Coverage Period. Prior to the expiration of the New Product Limited Warranty, the Customer will have the option to purchase additional years of coverage with the Extended Hardware Warranty. At the end of the Software Maintenance Coverage Period, the Customer will have the option to purchase additional years of Software Maintenance for certain Products. This policy is subject to change at Dolby s discretion; however, the services provided will not be materially reduced during the period in which support has been paid. Software Maintenance Software Maintenance provides owners of a covered Product with software bug fixes and updates generally made available by Dolby to their Customers at no additional charge when a Product is covered by a Software Maintenance service program. Issues in the software must be demonstrable in the currently supported release(s) of a Dolby licensed software program, running unaltered, and on the original hardware and operating system configuration, as specified in the documentation supplied with the Product(s). Software Maintenance consists of the following: Software program updates, fixes, security alerts, critical patch updates, upgrade scripts, general maintenance releases, and documentation updates (collectively, Software Updates ). Software Updates are provided when and if available and Dolby shall have no obligation to develop any future features or functionality for the Product under the Software Maintenance policy. Software Maintenance does not include any new software releases with additional features or options or any future software program(s) that Dolby may sell separately. 21

22 Such Software Updates will be delivered by electronic download (or by physical media upon special request, if applicable). The Customer shall be responsible for downloading and installing such Software Updates. If the Customer has not purchased Software Maintenance, then Software Updates for certain Products may be purchased separately at market rates as they become available. Extended Hardware Warranty The Extended Hardware Warranty program consists of the following: Dolby will repair or, at its option, replace hardware components that prove to be defective in materials and/or workmanship, provided the Product is returned (with shipping costs prepaid by the Customer) to Dolby direct or via its authorized dealers or distributors in accordance with Dolby s Repair and Exchange policy. If applicable, in the event a hard disc drive included with the Product fails under the Extended Hardware Warranty, the Customer shall return the defective hard disc drive to Dolby at the Customer s expense, and Dolby will ship a replacement hard disc drive at Dolby s expense for reinstallation into the Product by the Customer. Software Maintenance is not included in the Extended Hardware Warranty and must be purchased separately. Continued Software Maintenance Coverage is required to purchase the Extended Hardware Warranty. Defects in the Product caused by modifications, physical damages, misuse, accidents, improper installation, environmental operating conditions, and connectivity (audio, network, and electrical), unauthorized Customer repairs, or any further damage caused by inadequate packaging for service return are not covered by the Extended Hardware Warranty. No on-site labor for removal, packing, or reinstallation of the Product is included in the Extended Hardware Warranty. If further assistance is required, the Customer may purchase such assistance at Dolby s then current rates. NOTE: Failure to purchase or renew the Extended Hardware Warranty coverage for the Product prior to the expiration date of the applicable New Product Limited Warranty Coverage Period or the Extended Hardware Warranty Support Period will result in the loss of the right to purchase or renew the Extended Hardware Warranty and, as a result, the Customer s benefits under the Extended Hardware Warranty will terminate at the end of such period and cannot be reinstated. Additional Terms Renewals of the Software Maintenance and/or Extended Hardware Warranty programs may be ordered, for each Product to be covered, through Dolby s sales department. The Software Maintenance and the Extended Hardware Warranty programs are specific to each Product based on the serial number. The Customer shall provide the serial number(s) for the Product covered when requested in order to initiate claims against the Software Maintenance and/or Extended Hardware Warranty programs. Fees are due and payable annually in advance of a Support Period, unless otherwise stated in the relevant agreement with Dolby or a Dolby affiliate. The Customer s commitment to pay is required to process an order with Dolby (e.g., purchase order, actual payment, or other approved method of payment). An invoice will be issued only upon receipt of the Customer s commitment to pay, and will be sent to a single billing address as designated by the Customer. Failure to submit payment will result in the termination or loss of right to purchase Software Maintenance and/or an Extended Hardware Warranty. Support Period If the Customer purchases the Software Maintenance and/or the Extended Hardware Warranty programs prior to the expiration of the applicable New Product Limited Warranty Coverage Period or previous Software Maintenance/Extended Hardware Warranty Support Period, the effective date of the Customer s renewal/ purchase will be the day after the expiration of the applicable New Product Limited Warranty Coverage Period or previous Software Maintenance/Extended Hardware Warranty Support Period. Once the Extended Hardware Warranty lapses, the Customer is not allowed to renew or reinstate the Extended Hardware Warranty, but may only purchase or renew Software Maintenance. For Software Maintenance purchases after the expiration of the Software Maintenance Coverage Period or previous Software Maintenance Support Period, see Reinstatement of Dolby Software Maintenance below. Terms, including pricing, reflect a one-year support period (the Support Period ). Unless otherwise outlined in this Policy, all services ordered for the Support Period and the related fees are noncancelable and nonrefundable. Dolby is not obligated to provide services beyond the end of the Support Period unless the Customer s subscription is renewed on or before the service expiration date. 22

23 Reinstatement of Dolby Software Maintenance In the event that Software Maintenance lapses, upon the recommencement of Software Maintenance a reinstatement and a lapsed support fee will be assessed. The reinstatement and lapsed support fee is equal to 150 percent of the support fee that would have been incurred for the period from the date the Software Maintenance lapsed to the reinstatement date. Applicable renewal adjustments are applied to the reinstatement and lapsed support fee and go-forward support fee. Unsupported Products Customers with Products that are no longer supported do not receive Software Updates, telephone assistance, or any other technical support services for those Products. Software programs purchased or downloaded for trial use, used with other supported Products, or purchased or downloaded as replacements may not be used to update any unsupported Products or software. Right to Discontinue Support It may become necessary as a part of Dolby s product life cycle to drop certain Products or software releases from support and, therefore, Dolby reserves the right to discontinue support for certain Products or software releases without obligation; however, Dolby will use commercially reasonable efforts to give 90 days notice. Dolby will refund any Software Maintenance or Extended Hardware Warranty fees paid related to periods after the discontinuation of support for such Products or software that are no longer supported. New Product Limited Warranty: Equipment manufactured by Dolby is warranted against defects in materials and workmanship for a period of one year from the date of purchase. During the warranty period, at Dolby s sole discretion, Dolby will repair or replace components that prove to be defective or, if Dolby deems that the equipment is irreparable, Dolby will provide a replacement Product with the same or equivalent model, provided the Product is returned, shipping prepaid by the Customer, to Dolby direct or via an authorized dealer. Usage of such Product must be in accordance with applicable Product documentation. Defects caused by modifications, physical damages, misuse, accidents, improper installation, environmental operating conditions, and connectivity (audio, network, and electrical), unauthorized Customer repairs, or any further damage caused by inadequate packaging for service return are not covered by this warranty. These defects will null and void the warranty and Dolby reserves the right to charge the Customer to remedy such defects. Returns: Products may not be returned to Dolby without prior authorization. The Customer must contact Dolby to obtain a Return Material Authorization (RMA) number or Repair and Exchange (RXO) number. Any Product returned to Dolby without the proper authorization will be returned to the Customer at the Customer s expense. Restocking: A restocking charge is applicable for all returned Products. Products returned over 90 days from original invoice date will not be accepted for credit. Service Warranty: Dolby warrants that the Software Maintenance and Extended Hardware Warranty services will be provided in a professional manner consistent with industry standards. The Customer must notify Dolby of any support deficiencies within 90 days from performance of the defective service. TO THE EXTENT PERMITTED BY LAW, THESE WARRANTIES ARE EXCLUSIVE AND THERE ARE NO OTHER EXPRESS OR IMPLIED WARRANTIES AND NO WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, OR OF NONINFRINGEMENT OF THIRD-PARTY RIGHTS (INCLUDING, BUT NOT LIMITED TO, COPYRIGHT AND PATENT RIGHTS). FOR ANY BREACH OF THE SERVICE WARRANTY, THE CUSTOMER S EXCLUSIVE REMEDY, AND DOLBY S ENTIRE LIABILITY, SHALL BE THE REPERFORMANCE OF THE DEFICIENT SERVICES, OR IF DOLBY CANNOT SUBSTANTIALLY CORRECT A BREACH IN A COMMERCIALLY REASONABLE MANNER, THE CUSTOMER MAY END THE RELEVANT SERVICES AND RECOVER THE FEES PAID TO DOLBY FOR THE DEFICIENT SERVICES. LIMITATION OF LIABILITY NEITHER PARTY SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR DATA USE. DOLBY S MAXIMUM LIABILITY FOR ANY DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT, WHETHER IN CONTRACT OR TORT OR OTHERWISE, SHALL BE LIMITED TO THE AMOUNT OF THE FEES PAID TO DOLBY RELATING TO SUCH DEFICIENT SERVICES. 23

24 Nondisclosure By virtue of the Customer s order, the parties may have access to information that is confidential to one another ( Confidential Information ). The Customer and Dolby each agree to disclose only information that is required for the performance of obligations under the Customer s order. Confidential Information shall be limited to the terms and pricing under this Agreement and the Customer s order and all information clearly identified as confidential at the time of disclosure. A party s Confidential Information shall not include information that: (a) is or becomes a part of the public domain through no act or omission of the other party; (b) was in the other party s lawful possession prior to the disclosure and had not been obtained by the other party either directly or indirectly from the disclosing party; (c) is lawfully disclosed to the other party by a third party without restriction on the disclosure; (d) is independently developed by the other party; or (e) is required to be disclosed pursuant to applicable law, court, or administrative order or regulation, provided that the receiving party gives the other party reasonable advance written notice of any request or demand for such disclosure and permits such other party to contest such disclosure by seeking a protective order or the equivalent. Each party agrees to hold each other s Confidential Information in confidence for a period of three years from the date of disclosure. Also, each party agrees to disclose Confidential Information only to those employees or agents who are required to protect it against unauthorized disclosure. Nothing shall prevent either party from disclosing the terms or pricing under the Customer s order in any legal proceeding arising from or in connection with the Customer s order or disclosing the Confidential Information to a federal or state governmental entity as required by law. This Nondisclosure provision is not intended to supersede any other nondisclosure provision agreed to by the parties, and the more restrictive provision shall control with respect to the Confidential Information provided under this Agreement. Transferability Unless otherwise outlined in this Policy, the Software Maintenance and Extended Hardware Warranty programs are nontransferable by the Customer and are nonrefundable. In the event that the Customer sells the Product subject to these programs, Dolby shall not be obligated to provide such services to the buyer. 25 RETURN MATERIAL AUTHORIZATION (RMA) POLICY Procedures and Policies Dolby Returns, Repairs, and Exchanges Policy Guidelines The following Dolby Laboratories policy explains the options and procedures for returning items for refund or repair. Following these instructions will help ensure that your request is handled as efficiently as possible and that your repair service or credit, whichever you are entitled to, will be prompt. When returning items, please refer to the appropriate section of this policy for the type of return you wish to have processed: return for Credit, return for Advanced Replacement, return for Repair/Exchange, or return for Repair. For all equipment returns, a Return Material Authorization (RMA) is needed. Return for Credit Most items can be returned for credit up to 90 days after the initial shipment from Dolby. Software items cannot be returned for credit. All items returned for credit will be subject to a restocking fee (please see the table below). The time frame is based upon the original ship date from the factory. Items must be in new condition and shipped with the original packing materials, cables, and manuals. 26 Return for Repair An RMA is used to return items that are defective. Dolby offers three different types of returns for faulty items. In each case, if the item is under warranty, there will be no repair charges for faults caused by a manufacturer s defect. If the item is no longer under warranty, you will be charged for the repair costs. Please refer to the Dolby Equipment Terms of Sale for a complete list of warranty exclusions. 1. Advanced Replacement: Items covered under Dolby s standard one-year New Product Limited Warranty or Extended Hardware Warranty may qualify for an Advanced Replacement (free of charge replacement) for any manufacturer s defect. If your Extended Hardware Warranty has lapsed, an Advanced Replacement can be purchased using Dolby standard product sales procedures. 2. Repair/Exchange: In this instance, you will return your defective item to Dolby. When Dolby receives the item, you will be sent a replacement factory refurbished item in exchange. You will keep this item and Dolby will keep the defective item. 3. Repair: The third type of return for a faulty item is a Repair. You will send Dolby your defective item; Dolby will repair it and return it to you. Processing and Shipping of Returns: Dolby will use reasonable efforts to process returns from the repair facility within two business days from the completion of the transaction. Please note that processing times may vary depending on item availability. Expected processing times, per service, are as follows: Advanced Replacements: Two days after your Advanced Replacement was requested, pending item availability. Repair/Exchanges: Two days after the faulty item was received at Dolby, pending item availability. Repairs: Two days after the item was repaired. Next business day dispatch can be arranged at additional customer expense. For items with a manufacturer s defect that are under warranty, Dolby will ship replacement items using either one or two business day shipping services within the United States. For shipments outside of the United States, either Priority or Economy shipping services will be used, depending on the urgency. If the item is under warranty, Dolby will cover shipping, duties, and taxes on the return shipment from the repair facility. If the item is out of warranty, you will be charged for all shipping, duties, and taxes to and from the repair facility for the shipping method that you choose. For all returns of faulty equipment: Additional information, including a full technical report describing the fault, is essential. This fault information will allow a comprehensive repair to be carried out in a timely manner. The lack of technical details related to the defect could cause a delay in turnaround time and/or impact the warranty. If multiple items are being returned, each line item must have a separate RMA Asset Number and a separate description or defect code. Multiple assets may be returned under one blanket RMA Number. 26
