1 Company Information British companies who deal with German businesses will often - either at the beginning of or during their business relationship - need information on their German counterparts. We are prepared to assist in seeking a variety of such information: Excerpt from the German commercial register and accounts We can obtain an excerpt from the German commercial register. This is comparable with the Companies House for England and Wales. However, it contains not only all companies (GmbH, AG, KGaA,) but also commercial partnerships (OHG, KG) and sole traders (ek). An excerpt from the German commercial register contains an overview of all current records regarding the company, i.e. information where applicable and available about the name the registered office, place of business and branches the line of business the subscribed capital the persons authorised to represent the business and their respective power the legal form the date of formation In addition we will aim to obtain the latest accounts on the German business. The availability of the accounts depends largely on the legal form of the business. We should be able to obtain the accounts of the following types of companies: All limited companies (AG, GmbH, KGaA) Limited partnerships in which the wholly liable partner is a company (GmbH & Co. KG). Sole traders and partnerships only if they are very large (i.e. for instance more than 5,000 employees or more than 130 million Euros of annual turnover). We will not be able to obtain accounts of sole traders and partnerships that do not exceed the above-mentioned size criteria. The content of the accounts disclosed depends on the size and legal form of the company. In principle, every company has to disclose complete financial statements. Medium-sized companies (generally defined as companies with more than 50 but less than 250 employees and / or annual turnovers between 8,030,000 and 32,120,000 Euros) however can opt to to only disclose an abbreviated balance sheet in their financial statements.

This is comparable with the Companies House for England and Wales. However, it contains not only all companies (GmbH, AG, KGaA,) but also commercial partnerships (OHG, KG) and sole traders (ek).

2 Small companies (generally defined as companies with less than 50 employees and / or less than 8,030,000 Euros of annual turnover) are only required to disclose a simple balance sheet and explanatory notes to the accounts, but no profit and loss account. Accounts are usually available at the latest twelve months after the end of the accountancy year. Group accounts are not covered by these conditions. All excerpts and accounts obtained will be forwarded to you by fax or . Furthermore we will provide you with an English translation and annotation of the excerpt and the format of the balance sheet and the profit and loss account used by the business. Our charges are as follows, payable in advance: Handling time: about 3 working days Standard ( 132 incl. VAT) Members ( ) Credit report We can obtain a credit report from Germany for you on all kinds of existing businesses, but not on private individuals. The credit report contains information where available on the legal form of the business, date of formation, line of business, names of shareholders / partners and amount of their respective shareholding / participation, names of managers, number of staff, bankers, assets and liabilities, real estate, total of annual sales, manner of meeting obligations and comment on creditworthiness. The reports are written in English. The information is supplied in strict confidence for your sole use and may not be communicated to third parties. Under German data protection law an individual may be entitled to find out what personal data are kept of him, to whom they are transmitted and if there was a legitimate interest of the recipient to obtain such data. If there should arise such a request, we have to supply this information to our data supplier. 3 Disclaimer Although we always strive to use only the most reliable sources, we can accept no liability for the contents, correctness and completeness of the credit reports, excerpts and accounts. Any liability for errors and omissions in the translation of the extract from the commercial register or accounts is excluded, unless the Chamber acted intentionally or was grossly negligent. Except in respect of injury or death due to negligence, for which no limit applies, our liability arising out of the supply or translation of excerpts, accounts or credit reports, regardless of the cause of action, is limited to 5 times the fee paid by our client.
