HIRING CONSIDERATIONS Most U.S. employers hire workers on an at-will employment basis At-Will - right to terminate relationship at any time and for any reason, absent discriminatory or illegal purpose Contractual vs. at-will what is the difference? SC Employee Handbook Disclaimer Statute makes it easier for employers to argue at-will relationship Offer letters and/or employment agreements can be helpful if carefully drafted Confidentiality and trade secret provisions Non-compete and non-solicitation clauses 48

EMPLOYEE HANDBOOKS Excellent resource to introduce your company to the workforce Opportunity to explain key policies and procedures and consequences for failure to comply Hours of work and pay periods Benefits Leave policies Work rules and discipline/discharge Provides good road map for your managers to be consistent and uniform in handling situations 49

TERMINATION CONSIDERATIONS Contractual or at-will employee? Review employee handbook policies and job descriptions Review written documentation in personnel file Past practice how have others engaging in similar conduct been treated? Review legal risks with counsel 50

SITE DUE DILIGENCE Not all sites are created equal No national standard for certification Some state certification programs little more than a listing of available sites South Carolina s site certification program is setting the standard for other states 57

South Carolina Certified Sites SOUTH CAROLINA CERTIFIED SITES South Carolina certification means a site has undergone substantial due diligence Provides prospects with comprehensive site data Certification re-verified every 2 years Additional information at SC DOC website: 58

TAXATION AND THE AFFORDABLE CARE ACT TOM PIETRAS Bauknight Pietras & Stormer, P.A. (803)

TAXATION IN THE USA Federal income taxes at about 34% maximum rate State taxes 5% in South Carolina Sales taxes in SC at 5-8%--not the same as VAT Property taxes Payroll taxes 68

AFFORDABLE CARE ACT An important change to the US s employer-based health care insurance Very complicated. Most US employers, insurance companies and hospitals don t fully understand it Goal was to reduce the number of uninsured by requiring employers to provide reasonable coverage or face penalties Also requires individuals to obtain insurance or face penalties Establishes exchanges to make it possible for individuals to obtain coverage. Best advice for foreign companies is to hire an experienced human resources person and/or a good health insurance broker/consultant 69
